CONTRACT TERMS

Extension of Contract

The term of the contract will be for one (1) year. Upon completion of the term of the original

contract and upon the mutual agreement of both parties, the original contract may be

renewed for up to four (4) additional one (1) year periods [five (5) years total]. Contracts are

extended upon mutual agreement of both Service Provider and BTU.

The renewal will be under the same terms and conditions as the original contract; provided,

however, that the unit prices bid under the original contract may, by mutual agreement, be

increased by no more than eight percent (8%) of the original contract price over the five (5)

year period. In the event a new contract cannot be executed at the anniversary date of the

original term or any renewal term, the contract may be renewed month-to-month until a new

contract is executed.

Bryan Texas Utilities

SPECIFICATIONS

FOR

EQUIPMENT RELOCATION

I. Scope of Work

A. Awarded Service Provider to provide all labor and equipment/tools, rigging and

riggers necessary to relocate, and transport electric substation/generation

power transformers, OCB's, and other electrical apparatus in the delivery of

electric services for Bryan Texas Utilities (BTU) on an as needed basis or in

the event of a system failure or emergency. Service Provider is required to

obtain permitting and escorting services as needed.

B. All equipment used on the project shall be clearly marked with the

Service Provider's name and LOGO. Subcontractor equipment shall also be

similarly marked.

II. Termination of Contract

A. BTU shall at time of issuance of this agreement, by 30 day written notice, have

the absolute right to terminate this agreement for cause or for convenience.

Cause shall be the vendor's refusal or failure to perform any provision of the

work or failure to meet specifications, quantity or quality of the work performed

within the time specified by this agreement. In such case, the vendor shall be

liable for any damage suffered by BTU.
