This RFP is intended to procure consulting and owner-representation services for preliminary evaluation and implementation
planning. It does not authorize submission of a RAD CHAP application, approval of a final repositioning plan, or selection of a
developer partner. Those actions will be presented to the Board separately if and when appropriate.
1. Purpose and Background
The Booneville Housing Authority (BHA) is evaluating whether to reposition its 160-unit public housing portfolio through the
Rental Assistance Demonstration (RAD), Section 18, a Small PHA RAD/Section 18 Blend, PBRA, PBV, 4% tax-exempt bond and
LIHTC financing, historic tax credits where applicable, and related preservation financing tools. BHA seeks a consultant to
help determine whether these options are feasible and in the best long-term interest of the Authority and its residents.
The Authority’s key concern is not merely whether a transaction can close. The Authority needs to understand whether any
proposed conversion and financing structure will support long-term systems viability and a maintenance program that is
sustainable for a typical housing authority. The consultant must be able to evaluate the development team’s assumptions
from the owner’s perspective, including the long-term cost of maintaining plumbing, underslab sewer, HVAC, electrical,
roofing, windows, doors, fixtures, accessibility features, environmental conditions, site systems, and unit finishes.
2. Desired Engagement
BHA anticipates an initial feasibility and owner-representation engagement. If the project advances to an approved financing
plan or active transaction, BHA may amend or extend the engagement, subject to available funds, procurement
requirements, and Board approval where required. The selected consultant shall not serve as legal counsel, bond counsel, tax
counsel, architect, engineer, developer, lender, or tax credit syndicator unless separately procured and authorized. It is
anticipate that this will be a Two Year Base Contract with three optional renewal years subject to mutual agreement and
negotiation.
3. Scope of Services
The selected consultant may be asked to provide the following services. BHA reserves the right to use all or part of this scope
depending on the project path, consultant proposal, funding, and Board direction.
A. Repositioning and RAD/Section 18 Feasibility
• Review existing property information, including unit mix, site configuration, Capital Needs Assessment, operating
information, utility allowances, rents, maintenance history, reserves, and available Authority funds.
• Evaluate repositioning options, including RAD, Section 18, Small PHA RAD/Section 18 Blend, PBRA, PBV, 4% LIHTC/tax-
exempt bond financing, historic tax credits, and other preservation tools.

• Assist BHA in determining whether a RAD/Section 18 Blend is feasible, prudent, and preferable to a debt-only or
minimum-repair conversion.
• Prepare preliminary schedules, action steps, Board briefing materials, and decision points leading up to any formal RAD
CHAP application.
B. Financial and Capital Stack Review
• Prepare or review preliminary sources and uses, debt capacity, tax credit equity assumptions, developer fee
assumptions, reserves, operating expenses, replacement reserves, gap funding needs, and feasibility scenarios.
• Compare debt-only and 4% LIHTC/bond structures from the standpoint of long-term owner risk and maintenance
sustainability.
• Assist BHA in evaluating assumptions provided by developers, lenders, syndicators, or other transaction participants.
• Identify where additional funding may be required to support a comprehensive preservation scope.
C. Construction Scope and Owner-Side Development Oversight
• Review the CNA and other due diligence to identify likely major system needs and potential hidden-risk categories,
including plumbing, underslab sewer, HVAC, electrical, roofing, fenestration, accessibility, environmental materials, unit
interiors, site work, and common buildings.
• Assist BHA in establishing an owner-preferred scope objective that prioritizes long-term systems replacement and
reduces future maintenance burden.
• Review proposed developer scopes, preliminary budgets, value-engineering proposals, allowances, contingencies,
alternates, and reserve assumptions to determine whether they are adequate for BHA’s long-term operational needs.
• Assist BHA in evaluating whether the proposed construction and rehabilitation approach is sustainable under a normal
housing authority maintenance program after closing.
• Participate in scope meetings, development team coordination, preconstruction review, and construction-side planning
as BHA’s owner representative.
D. Procurement Support for Studies and Professional Services
• Assist BHA in identifying needed due diligence and professional services, which may include surveys, environmental
review, asbestos and lead-based paint testing, engineering review, sewer camera work, rent studies, historic tax credit
analysis, architectural review, and other studies.
• Prepare or assist with procurement documents for such studies and professional services.
• Assist BHA in reviewing proposals, checking scope completeness, and documenting recommendations for award.
E. Developer Procurement and Selection Support
• Assist BHA in preparing RFQ/RFP documents for a developer partner or development team.
• Assist in creating evaluation criteria, interview questions, proposal review matrices, and recommendation materials.
• Review developer experience, proposed financing approach, development team, construction approach, resident
impact, fee assumptions, ownership structure, and long-term asset management posture.
• Assist BHA in documenting the procurement file and presenting recommendations to the Board.
F. Owner Representation and Coordination
• Serve as BHA’s owner-side liaison between the Authority, the selected developer, legal counsel, architect, engineers,
lenders, tax credit professionals, HUD, Mississippi Housing Corporation, and other parties as directed.
• Coordinate meetings, track action items, review deliverables, and help BHA maintain control of major decisions.
• Assist the Executive Director in preparing Board updates, recommendations, and decision materials.
• Help ensure that final development assumptions align with BHA’s long-term maintenance, resident-service, and
operational needs.

4. Expected Deliverables
• Initial document and data request list.
• Preliminary repositioning and financing path memorandum or presentation.
• Owner-side review of CNA and likely major systems scope.
• Preliminary capital stack and sensitivity review, including debt, LIHTC equity, reserves, gap funding, and hard-cost
capacity.
• Draft procurement documents or scopes for studies, professional services, and developer partner procurement as
requested.
• Developer proposal review matrix and recommendation support, if developer proposals are solicited.
• Board briefing materials and meeting support.
• Owner-representation support during preliminary planning and, if authorized, through active transaction planning.
5. Proposal Submission Requirements
Proposals should be concise. BHA is seeking a practical consultant capable of coordinating the process and protecting the
Authority’s interests, not a lengthy academic submission. Proposals should include:
• Cover letter identifying the firm, primary contact, and proposed lead consultant.
• Relevant experience with RAD, Section 18, RAD/Section 18 Blends, public housing repositioning, LIHTC, 4% tax-exempt
bond financing, developer procurement, and owner representation.
• Approach to the scope of services, including how the consultant will evaluate long-term maintenance and major systems
sustainability.
• Summary of construction-side experience relevant to owner review of rehabilitation scopes, allowances, contingencies,
value engineering, and developer budgets.
• Proposed staffing and availability.
• Fee proposal, including monthly fee or hourly rates, reimbursable expenses, proposed term, and termination provisions.
• At least three references for comparable PHA, affordable housing, RAD, LIHTC, or owner-representation work.
• Disclosure of any actual or potential conflicts of interest.
• Certification that the proposer is not suspended or debarred and is eligible to contract with a PHA.

BHA reserves the right to conduct interviews, request clarifications, negotiate scope and fee, reject any or all proposals,
waive minor informalities, and award the contract in the manner determined to be in the best interest of the Authority.
7. Anticipated Contract Form and Term
BHA anticipates a professional services agreement with a defined initial term, monthly fee or other agreed pricing structure,
and a termination for convenience provision. The initial engagement may be structured to allow either party to terminate on

thirty (30) days’ written notice. Any expanded scope after an approved financing plan or active transaction may require
amendment, additional procurement review, and Board approval.
8. Federal, HUD, and PHA Requirements
The selected consultant must comply with all applicable federal, HUD, and BHA procurement and contract requirements. To
keep this RFP readable, the major requirements are summarized below. The final contract may include additional clauses or
HUD forms as required by law, regulation, HUD guidance, funding source, or BHA policy.
• Procurement standards in 2 CFR Part 200 and applicable BHA procurement policies.
• HUD Instructions to Offerors for Non-Construction Contracts, form HUD-5369-B, incorporated by reference where
applicable.
• HUD General Conditions for Non-Construction Contracts, form HUD-5370-C, Section I, incorporated by reference where
applicable.
• Equal Employment Opportunity, civil rights, Fair Housing Act, Section 504, ADA, and nondiscrimination requirements.
• Section 3 requirements, where applicable to covered work or later development activity.
• Debarment and suspension requirements, including certification that the consultant and its principals are not excluded
from federal contracting.
• Conflict of interest requirements, including 2 CFR 200.318(c), HUD requirements, and BHA policy. The consultant must
disclose any relationship with potential developers, lenders, syndicators, contractors, or other parties that could affect
the consultant’s independent advice to BHA.
• Restrictions on lobbying and contingent fees, including Byrd Anti-Lobbying certification if applicable.
• Access to records and record retention requirements for BHA, HUD, the Comptroller General, and other authorized
representatives.
• Termination for cause and termination for convenience provisions.
• Minority business, women’s business, small business, and labor surplus area firm solicitation requirements where
applicable.
• Clean Air Act, Federal Water Pollution Control Act, energy efficiency, recovered materials, and other federal clauses
where applicable based on contract amount and work type.
• Confidentiality and data protection for Authority, resident, procurement, and transaction information.
Because this procurement is for consultant and owner-representation services, Davis-Bacon wage rates are not expected to apply to the
consultant’s professional services contract. If a later construction, development, or rehabilitation contract is procured, the consultant may
assist BHA in identifying and coordinating applicable labor, Section 3, procurement, and HUD contract requirements, but shall not serve as
legal counsel.
9. Construction-Side Owner Protection Expectations
BHA expects the consultant to provide practical owner-side oversight of the development planning process. The consultant
should be able to question whether proposed scopes and budgets are sufficient, whether value engineering shifts
unreasonable risk back to BHA, and whether the completed development can be maintained by a typical housing authority
maintenance operation. The consultant should help BHA avoid a transaction that closes financially but leaves major unfunded
system failures after conversion.

Proposals shall be submitted by the date and time stated in the solicitation notice. Late submissions may be rejected. BHA
may issue written addenda if questions or clarifications materially affect the RFP.
11. Reservation of Rights
• BHA may accept or reject any or all proposals.
• BHA may waive minor informalities or irregularities.
• BHA may negotiate with one or more proposers.
• BHA may request additional information or clarification.
• BHA may cancel this RFP if it determines cancellation is in the best interest of the Authority.
• Issuance of this RFP does not commit BHA to award a contract, pay proposal costs, submit a RAD application, select a
developer, or proceed with any conversion transaction.
Attachment A - Proposer Certifications
By submitting a proposal, the proposer certifies that:
• The proposal is genuine and not made in the interest of or on behalf of any undisclosed person or entity.
• The proposer has not directly or indirectly induced or solicited any other proposer to submit a false or sham proposal.
• The proposer is not suspended, debarred, or otherwise excluded from doing business with the federal government or
HUD-assisted entities.
• The proposer has disclosed all actual, potential, or perceived conflicts of interest.
• The proposer will comply with applicable civil rights, nondiscrimination, equal opportunity, Section 3, access-to-records,
record-retention, and federal contract requirements.
• The proposer understands that the final contract may incorporate HUD forms and clauses required for PHA non-
construction contracts.
