Wireless Carrier Installation and Lease Agreement
TOWN OF BEDFORD, MASSACHUSETTS

The Town of Bedford, MA (“Town” or “Owner”) wishes to lease out space at 140 feet +/- above ground level on a 165-foot telecommunications facility, and associated ground area at its Crosby Drive standpipe, 38 Crosby Drive, Bedford, Massachusetts as shown on the attached Site Layout (Exhibit B) and as provided in this Request for Proposals. The lease includes the following: a location on the tower for antenna facilities; a location on the ground, which may be used such as for ground equipment and an enclosure (as applicable); 24-hour access to the site; and backup power via an emergency generator. Power is provided on an “as is” basis and the Town assumes no liability for the provision of such power. Minimum first year lease payment will be $75,000, with future year lease amounts increasing at three (3%) percent annually.
Proposers (“Proposers”) shall propose an annual amount for the first-year lease. Nothing contained herein shall preclude Proposers from submitting an annual first year lease amount greater than the minimum amount stated above. Proposers are responsible for installation of all tower and ground equipment, equipment enclosures, and cabling from their ground equipment to the Town’s meter bank, at their own cost, at their own risk, and using their own personnel.

The successful Proposers shall execute an agreement substantially in the form of the attached “Wireless Lease Agreement and Lease” (“Agreement”), which is attached hereto as Exhibit A and incorporated herein by reference.

The highest overall responsive and responsible Proposer will be based upon the highest lease payments for the advertised first year term. In the case of two Proposers submitting the same price a coin will be tossed to choose one. A proposal security in the amount of five (5%) percent of the total (five year) lease shall be submitted with the proposal (“Proposal Security”). All site work shall be performed in accordance with the attached specifications and any directives, orders and other requirements by the Town, this Request for Proposals, and the lease. Successful proposers shall have an option to renew for three additional five-year terms.

The Request for Proposals package is available starting June 11, 2025 at 314 Great Road, Bedford, MA 01730 between 8:00 A.M. and 4:00 P.M., local time, or by email to For security reasons, you must enable JavaScript to view this E-mail address. . The proposal deadline is July 24, 2025 at 10:00 A.M., to be submitted to the attention of David Manugian, Director, Department of Public Works, 314 Great Road, Bedford, MA 01730 and at that time and place will be publicly opened and read aloud. The clock in the conference room of the Department of Public Works shall be considered official. No faxed or emailed proposals shall be accepted. No conditional proposals shall be accepted. No late proposals shall be accepted. Proposers requesting paper Contract Documents by mail shall include a non-refundable check payable to the Town of Bedford in the amount of $20.00 per set to cover costs of handling and mailing. Email requests for the Contract Documents have no charge.

Each proposal shall be submitted in accordance with the Request for Proposals (including the Instructions to Proposers) and Massachusetts General Laws Chapter 30B, Section 16, and be accompanied by a Proposal Security in the amount of five (5%) percent of the lease value in the form of a bond, or cash, or a certified check, or a treasurer’s or cashier’s check issued by, a responsible bank or trust company, payable to the Town of Bedford. Where applicable, proposals shall include a Certificate of Non-Collusion (Exhibit D), Certificate of Tax Compliance (Exhibit E), and Acknowledgement of (notice of existing) License Termination (Exhibit G).

The Proposal Security of the four most responsive and responsible Proposers will be returned upon the execution of the Agreement, and, if no award is made, upon the expiration of the time prescribed herein for making an award; except that, if any Proposer fails to perform his/her/its agreement to execute an Agreement or provide insurance certificate(s) as required by this Request for Proposals, his/her/its Proposal Security shall become and be the property of the Town, as liquidated damages; provided that the amount of the Proposal Security which becomes the property of the Town will not, in any event, exceed the difference between his/her/its Proposal price and the Proposal price of the next lowest responsible and eligible Proposer; and provided further that, in case of death, disability, bona fide clerical or mechanical error of a substantial nature as determined by the Town, or other similar unforeseen circumstances affecting a Proposer, his/her/its Proposal Security will be returned to him/her/it.  The Proposal Securities of Proposers other than the four (5) most responsible and eligible Proposers will be returned following award of the lease by the Town. The Town will not reimburse Proposers for any costs incurred in preparing Proposals in response to this Request for Proposals, including but not limited to site visits or preliminary engineering analyses.

Signatures must be handwritten and in ink. Words and figures on the Proposal must be neatly written in ink or typed.

Submission of a Proposal shall be conclusive evidence that the Proposer has examined this Request for Proposals and is familiar with all the conditions of the Contract Documents. Upon finding any omissions or discrepancy in this Request for Proposals, each Proposer shall notify the Town immediately so that any necessary addenda may be issued. Failure of a Proposer to investigate completely this Request for Proposals and/or to be thoroughly familiar with this Request for Proposals shall in no way relieve any such Proposer from any obligation with respect to the Proposal. All addenda shall become part of this Request for Proposals.

By submission of a Proposal, the Proposer agrees that if its Proposal is accepted, then it shall enter into Wireless Lease Agreement with the Town of Bedford which incorporates all of the requirements of this Request for Proposals. By submission of a Proposal, the Proposer further indicates acceptance of all terms and conditions of this Request for Proposals.

Nothing shall compel the Town to award any Wireless Lease Agreement pursuant to this Request for Proposals.

No Proposer may withdraw his/her/its Proposal for a period of thirty (30) days, excluding Saturdays, Sundays, and legal holidays, after the actual date of the opening of the Proposals.

The Wireless Lease Agreement(s) will be awarded, if at all, pursuant to M.G.L. c. 30B, § 16, which is incorporated herein by reference, to (the) responsive and responsible Proposer(s).

Questions regarding this Request for Proposals shall be submitted in writing and shall be delivered to David Manugian, Director, Department of Public Works by the close of business (4:00 P.M. local time) on July 17, 2025. Questions presented after this time shall not be considered. No question shall be considered which is not submitted in writing.  Any questions requiring consideration shall be answered in an addendum delivered to all registered Proposers. Proposers may conduct an inspection of the proposed lease area with prior notice to David Manugian, Director, Department of Public Works.

The Town may cancel this Request for Proposals or reject, wholly or in part, any and all Proposals, if the Town determines that cancellation or rejection is in its best interests. Minor informalities, minor deviations, insignificant mistakes, and matters relating to the form of this Request for Proposals, rather than matters relating to the substance of this Request for Proposals, may be waived by the Town or corrected without prejudice to other Proposers, potential Proposers, or the Town. The Town shall have the sole discretion to make a determination as to the completeness or compliance of a proposal or the eligibility or qualification of any Proposer.  For further information, refer to the succeeding sections, with which each Proposer shall comply in submitting a proposal.
