AIRCRAFT LISTING AND MARKETING AGREEMENT
Notice is hereby given that Health Care District of Palm Beach County (DISTRICT) is seeking
proposals from qualified individuals or firms to provide comprehensive aircraft listing and
marketing services for the sale of the DISTRICT’s two (2) 1999 Sikorsky S-76C+ Helicopters
(serial numbers 760494 and 760503) and associated spare parts.
It is anticipated that one (1) Responder will be selected for an exclusive contract with a term of six
(6) months (180 Days)
The Request for Proposals (RFP) may be downloaded from the DISTRICT’s Purchasing Website
at: www.hcdpbc.org/resources/purchasing, or interested parties may obtain a copy of the RFP for
this solicitation by emailing rgutierr@hcdpbc.org. Include the words Helo BROKER RFP
#2026HELOB01in the subject line of any e-mail regarding this solicitation.
Proposals are due by September 09, 2026 at 2:00 P.M. at the Health Care District of Palm
Beach County, 1515 N. Flagler Dr. #101, West Palm Beach, FL 33401.
Mandatory Pre-Proposal Conference. Respondents must attend a mandatory pre-proposal
conference to be held on August 26, 2026 at 2:00 P.M. at the following location: 1515 N. Flagler
Dr. #101, West Palm Beach, FL 33401. Respondents may attend virtually by contacting
rgutierr@hcdpbc.org no later than August 21, 2026 at 2:00 P.M. to obtain participation details.
The purpose of this conference is for the DISTRICT to receive comments, provide clarifications,
and consider Proposer-requested changes to the RFP requirements. A Respondent’s failure to attend
the Pre-Proposal Conference will result in rejection of that Respondent’s proposal.
Responses will be evaluated based on the selection criteria set out in the RFP.
As part of the proposal submittal document, any Respondent must be properly certified and licensed
in the State of Florida and/or Palm Beach County, as applicable, for the purpose of performing the
specified work.
DISTRICT reserves the right to waive any irregularities or reject any and all proposals.

SECTION 1. GENERAL
A. Project Description
The Health Care District of Palm Beach County (DISTRICT) is an independent special
taxing district created with the intent of maximizing the health and well-being of Palm Beach
County residents by providing comprehensive planning, funding, and coordination of health care
service delivery and serving as the health care “safety net” for residents of Palm Beach County.
As an independent taxing district of the State, the DISTRICT has the authority to make the
determination that assets should be retired and are designated as surplus property. The DISTRICT
can dispose of surplus assets pursuant to Florida Statute 274 and its own disposal procedures. In
summary, these laws and procedures require that surplus assets be presented to the Board for
approval prior to disposal, and once approved, be competitively disposed of to the highest
responsive bidder that meets all applicable legal and District eligibility requirements.
The District determined that the Sikorsky S-76C+ Helicopters (serial numbers 760494 and 760503),
together “Surplus Assets”, should be retired due to the following reasons: the assets were obsolete
and getting near the end of their useful life to the DISTRICT, and it has become more cost
effective/mission critical to replace the assets than repair.
The DISTRICT is seeking proposals from qualified Respondents to provide aviation listing and
marketing services (BROKER) described in this RFP for the disposal of the Surplus Assets. It is
anticipated that one (1) Respondent will be selected for a six (6) month exclusive contract.
Specifically, the Surplus Assets consist of two (2) Sikorsky S-76C+ Helicopters (serial numbers
760494 and 760503) and associated spare parts (collectively, Surplus Assets). These assets are
non-flyable and are not being sold as a flying asset. All surplus assets will be sold "as-is. The
DISTRICT will not make any warranties or guarantees.
B. Mandatory Pre-Proposal Conference.
Respondents must attend a mandatory pre-proposal conference to be held on August 26, 2026 at
2:00 P.M. EST at the following location: 1515 N. Flagler Dr., West Palm Beach, FL 33401. The
purpose of this conference is for the DISTRICT to receive comments, provide clarifications, and
consider Respondent-requested changes to the RFP requirements. Respondents are strongly
encouraged to submit any questions in advance of the Mandatory Pre-Proposal Conference so that
the DISTRICT can be prepared with answers to share during the Mandatory Pre-Proposal
Conference. Respondents may attend virtually by contacting rgutierr@hcdpbc.org no later than
August 21, 2026 at 2:00 P.M. A Respondent’s failure to attend the Pre-Proposal Conference will
result in rejection of that Proposer’s proposal.

SECTION 2. SCOPE OF WORK
General. The DISTRICT is seeking proposals from qualified Respondents to provide
aviation listing and marketing services described in this RFP for the disposal of the Surplus
Assets. The selected BROKER will serve in a marketing and transaction coordination
capacity, responsible for advertising the aircraft, managing inquiries, and facilitating the
sales process. The BROKER will not serve as a representative for the DISTRICT.
The awarded BROKER shall provide reasonable assistance to the DISTRICT in the
preparation and coordination of all documents necessary to complete the transaction,
including, but not limited to, bills of sale, assignments, transfer documents, affidavits, and
other customary or pertinent closing documents. Such assistance shall be provided in a
timely manner and in accordance with applicable law and the requirements of the
DISTRICT. The BROKER shall cooperate with the DISTRICT, legal counsel,
representatives, and other transaction participants to facilitate an orderly closing process.
All final decisions and direction with the sales process remain solely with the DISTRICT.
1) The BROKER’s Scope of Work. The anticipated work may include, but is not limited
to:
a) Asset Review and Due Diligence:
Review maintenance records, logbooks, and current inspection status.
Develop a comprehensive inventory of aircraft, spare parts, and
associated equipment.
Identify documentation gaps and recommend corrective actions.
b) Marketing and Listing Assets:
Conduct valuation and market analysis to determine current market
positioning.
Assist the DISTRICT with a sales process which will maximize revenue
received from the Surplus Assets while maintaining strict compliance
with all statutory and DISTRICT requirements.
Review DISTRICT’s proposed bill of sale and buyer agreement terms
and conditions and offer comments for consideration by the DISTRICT,
prior to advertising the availability of the Surplus Assets.
Collaborate with the DISTRICT to establish a listing strategy and pricing
approach.
Develop and implement marketing strategies, including identification of
appropriate listing platforms and public notice of sale in a local
publication (i.e., Palm Beach Post).
c) Buyer Management:
After consultation with the DISTRICT, respond to questions of
prospective buyers and ensure that all prospective buyers have the
benefit of the same information throughout the sales process.
Coordinate inspections, site visits, and related activities in collaboration
with the DISTRICT.
Maintain and provide detailed records of buyer inquiries,
communications, and engagement activities.
Review all offers received to provide BROKER’s comments on Buyer’s
responsiveness and/or responsibility.
d) Sales/Transaction Support:
Shall cooperate with, provide support, and coordinate the transaction

activities through closing with the DISTRICT, legal counsel,
representatives, and other transaction participants to facilitate an orderly
closing process. Shall provide reasonable assistance to the DISTRICT in
the preparation and coordination of all documents necessary to complete
the transaction, including, but not limited to, bills of sale, assignments,
transfer documents, affidavits, and other customary or pertinent closing
documents. Such assistance shall be provided in a timely manner and in
accordance with applicable law and the requirements of the DISTRICT.
Coordinate and facilitate the timely removal, transfer, and delivery of
sold aircraft and associated assets within seven (7) calendar days
following closing, or as identified in the Terms and Conditions/Buyers
Agreement.
e) General Management/ Coordination
Serve as the DISTRICT’s primary point of contact for all Listing and
Marketing-related activities.
Identify the primary person responsible for this engagement. The
DISTRICT expects continuity in the assigned lead personnel. Any
changes to the lead personnel shall require prior written approval from
the DISTRICT.
Provide regular status updates, including marketing activity, buyer
interest, and transaction progress.
Advise the DISTRICT on market conditions, buyer trends, and strategy
adjustments as appropriate.
f) Perform other related services as requested by the DISTRICT to support the
marketing and sale of the aircraft.
2) Location of Work, DISTRICT Representative and Reimbursable Expenses. The
DISTRICT shall not provide any workspace or office for the BROKER; however, the
BROKER will be permitted escorted access to the DISTRICT’s facilities necessary to
conduct work required by this Contract. The BROKER must email requesting on-site
notice 5 days in advance to perform those work-related tasks/activities or prospective
vetted buyer viewing. The BROKER will be expected to provide their own cell phone,
computer, and vehicle to travel to project site(s) and other project-related site(s). The
DISTRICT will appoint a Project Representative upon Contract execution. The
DISTRICT’s Project Representative will provide the BROKER with the contact
information of other DISTRICT employees, as required for the BROKER to complete
the work. No reimbursable expenses are anticipated under this contract.
3) Restrictions.
a) The DISTRICT is restricted from selling the assets to a buyer that meets any of
the following criteria:
If valued over $50,000 to any DISTRICT employee or family member
(per internal procedure).
To a person or company who has been placed on the convicted vendor
list following a conviction for a public entity crime, or is excluded or
debarred, as provided in Section 287.133, Florida Statutes.
To a third-party who is owned or controlled by the People’s Republic of
China, the Russian Federation, the Islamic Republic of Iran, the
Democratic People’s Republic of Korea, the Republic of Cuba, the
Venezuelan regime of Nicolás Maduro, or the Syrian Arab Republic, as
provided in Section 287.138, Florida Statutes, subject to any regulatory
changes.
