Respondent may submit terms, conditions, options or other considerations that enhance or supplement the
response, but do not restrict or degrade these requirements.
POINT OF CONTACT
Respondent's point of contact: In order to maintain consistent standards of quality work performed across the
City, the City shall be provided with a designated and identified point of contact upon award of the contract to
include contact information. The City's designated representative shall be notified by the Respondent

INTEREST RATE
The interest rate shall be fixed for the full term of the lease/purchase agreement. The Lessor shall furnish the
Lessee with a complete amortization schedule showing each payment date, total payment, principal, interest,

Any origination, documentation, legal, escrow, closing, placement, or other fees and expenses must be clearly
identified in the response and included in the Total Cost shown on the Bid Sheet. Any fee or expense not clearly
identified and mutually agreed upon shall be the sole responsibility of the Lessor.
PAYMENT TERMS / EARLY PAYOFF
The agreement shall permit the City, at its option, to prepay the financing prior to maturity. Respondents shall
clearly disclose the method for determining the outstanding payoff amount and any prepayment penalty,
additional interest, make-whole amount, or other charge associated with early payoff.
DOCUMENTATION / SECURITY
Upon award, the successful Lessor shall prepare all necessary financing documentation. All documentation shall
be mutually satisfactory to the Lessor and Lessee and consistent with the terms of this solicitation. Respondents
shall clearly identify in their response any security, pledge, appropriation, or other repayment provisions
required by their proposed financing documents.
FUNDING SCHEDULE
The successful Respondent shall, in a timely manner, execute any and all proceedings, forms, disclosures, or
other documents necessary and required to complete the financing arrangement described in connection with
this specification.
Funding is anticipated to be required in November or December 2026. The successful Respondent shall be

begin to accrue prior to the actual funding date.
Any and all agreements and supporting documents created as a result of this solicitation shall be governed and
construed according to the laws of the State of Texas.
COSTS
All cost(s) incurred directly or indirectly relating to preparation of a response or any oral or written clarification,
which the City may require, shall be the sole responsibility of the Respondent.
RATE VALIDITY / RATE LOCK
All bids shall remain valid for not less than forty-five (45) days from the bid opening date. Respondents shall
separately state the period through which the proposed fixed interest rate is guaranteed and identify any
conditions under which the rate may change prior to funding. Preference may be given to bids providing a rate

Moody's Ratings: A2
S&P Global Ratings: A+
RIGHT TO FINANCE ELSEWHERE

6 IFB # 2027-300-01

ASSIGNMENT
Lessor may assign its interest in the agreement resulting from this solicitation to an affiliate of Lessor without
the written consent of Lessee provided Lessee is advised of said assignment before such assignment is made. If
the Lessor intends to sell or resell the schedules to a non-affiliate, such intent shall be disclosed in the response
to the solicitation. The City reserves the right to approve or disapprove an assignment to a non-affiliate and such
approval shall not be unreasonably withheld.
NET LEASE
All obligations, costs and responsibilities associated with ownership of the equipment will be borne by the
Lessee, including insurance, maintenance, and applicable taxes.
CLASSIFICATION / LEGAL AUTHORITY
The City intends to enter into the financing pursuant to Section 271.005 of the Texas Local Government Code.
The financing shall constitute an obligation of the City in accordance with applicable law. The City does not
presently intend to pledge a dedicated ad valorem tax levy to repayment of the financing. Respondents shall
clearly identify any security, pledge, appropriation, or other repayment provisions required by their proposed
financing documents.
EQUIPMENT
The equipment to be financed is a new Fire Department mini-pumper, as more particularly described in
Attachment E.
PAYMENT BY CITY
The lease-purchase agreement sought pursuant to this IFB will not constitute a debt of the City. The City does
not intend to create or maintain any sinking, debt service, reserve or similar fund or account to pay any of the
City's obligations under the lease-purchase agreement. Without such a sinking fund, the City does not have the
legal authority to obligate any City moneys from future fiscal years to pay any amounts due under the proposed
agreement.
Accordingly, all payments of any nature under the lease-purchase agreement and each related agreement will
be subject to appropriations. For this reason, any and all such agreements (including, without limitation, the
lease-purchase agreement itself) are subject to all of the following:
a) Each such agreement must expressly provide for the termination of the agreement without penalty to
the City if the governing body of the City does not appropriate money in future fiscal years to make
payments under the agreement. Further, the lease-purchase agreement cannot obligate the City to
make such appropriations in future fiscal years.
b) The City cannot and will not be obligated to pay any penalties.
c) There can be no acceleration of rent or other payments due to Lessor.
d) The City cannot and will not indemnify the Lessor or anyone else for any loss, including without
limitation any loss that may occur if any rents or other proceeds of the lease-purchase agreement are
found to be taxable and any loss that the Lessor or other party may incur due to the City's failure to
appropriate money to make payments in future fiscal periods.
e) The City cannot and will not be obligated to pay any other unbudgeted amounts. Accordingly, any and
all provisions contemplating or requiring the City's payment of any funds not budgeted during the City's
current fiscal year will be subject to appropriation of funds in the applicable future budget. Again, the
lease-purchase agreement cannot obligate the City to make such appropriations in future fiscal years.
