Description

The Department’s Office of the General Counsel (OGC) requires programmatic legal support services to advise and assist OGC on legal aspects of the CHIPS Program. Under this task order, the contractor shall perform the following tasks:



a. Task 1 - Primary CHIPS Forms: The contractor shall render advice concerning and update, revise, and maintain the primary CHIPS forms used in debt transactions, including but not limited to the principal form of Loan Guarantee Agreement, as directed by Office of the Chief Counsel for Semiconductor Incentives (OCCSI). The revisions and updates to the Loan Guarantee Agreement should be drafted in close cooperation with the point of contact from OCCSI.



b. Task 2 - Ancillary Form Transaction Documents: The contractor shall render advice concerning and update, revise, and maintain ancillary form transaction documents for debt transactions, including but not limited to the principal form of the intercreditor agreement, guaranty agreements, security agreements, collateral agency agreements, legal opinions, and disbursement requests.





c. Task 3 – Other Section 9902 Assistance and Advice as Required: The contractor shall render advice and assistance on material, policy, legal and/or Department-specific issues that may arise in the course of the CHIPS Program and such other matters concerning the interpretation or implementation of Section 9902 of the 2021 NDAA and the CHIPS Act of 2022, as may be requested by OGC.
