ORDINANCE 2753-26

PUBLIC NOTICE is hereby given that the following Ordinance was submitted in writing, introduced, read by title and passed on first reading at a meeting of the Township Committee of the Township of Millburn, in the County of Essex on Tuesday, May 19, 2026. The ordinance will be considered for final passage and adoption at the public hearing held at a Township Committee meeting beginning at 7:00 p.m. on Tuesday, June 2, 2026 at the Millburn Library, 2 nd Floor, 200 Glen Avenue, Millburn, New Jersey when and where or at such time and place to which said meeting may be adjourned, all persons interested will be given an opportunity to be heard concerning said ordinance. The 2 nd Floor of the Library will open for this meeting beginning at 6:45PM and details on the meeting and agenda may be located at town hall, on our website https://www.twp.millburn.nj.us/AgendaCenter or by contacting the Municipal Clerk's Office at 973-564-7092. ORDINANCE NO. 2753-26

ORDINANCE OF THE TOWNSHIP COMMITTEE OF THE TOWNSHIP OF MILLBURN, COUNTY OF ESSEX, STATE OF NEW JERSEY AUTHORIZING A PUCHASE AND SALE AGREEMENT WITH COLEMAUR ENTERPRISES FOR THE PURCHASE OF PROPERTY WITHIN THE TOWNSHIP IDENTIFIED AS BLOCK 1212, LOT 24 AND COMMONLY KNOWN BY THE STREET ADDRESS
368 ESSEX STREET

WHEREAS, an affordable housing redevelopment project was previously contemplated to be undertaken in the Township of Millburn, in the County of Essex, New Jersey (the “Township”) on Township-owned property commonly known as the Township Department of Public Works site, identified as Block 1207, Lots 7 and 9 on the Official Tax Maps of the Township (the “DPW Site”); and

WHEREAS, litigation has ensued by and among the Township, Fair Share Housing Center (“FSHC”) and RPM Development, LLC (the “Redeveloper”) related to the development of the DPW Site and the Township’s third and fourth round affordable housing obligations; and

WHEREAS, to resolve the litigation, the Township has identified an alternative location that would better advance the Township’s affordable housing objectives, while allowing the DPW Site to remain available to the Township for municipal DPW purposes; and

WHEREAS, the alternate site identified by the Township includes Block 1212, Lots 4, 24, 25, 26 and 27 (the “Alternate Site”); and

WHEREAS, the Alternative Site, except Block 1212, Lot 24 (the “Property”), is owned by the Township, and

WHEREAS, the Township is engaged in settlement negotiations with FSHC and RPM that will meet the Township’s goals as described above; and

WHEREAS, in connection with such settlement negotiations the Township wishes to acquire the Property and enter into a Purchase and Sale Agreement, substantially in the form attached hereto as Exhibit A (the “Purchase and Sale Agreement”) in furtherance of such acquisition; and

WHEREAS, the Township is authorized pursuant to the Fair Housing Act, N.J.S.A. 52:27D-301 et seq. (the “FHA”), at N.J.S.A.52:27D-325 to purchase, lease, or acquire real property which the Township Committee of the Township of Millburn (the “Governing Body”) determines may be necessary or useful for the construction or rehabilitation of low- and moderate-income housing; and

WHEREAS, in the event the settlement does not move forward, the Township shall use this Property in furtherance of other municipal purposes including but not limited to new municipal building infrastructure, additional parking or event space.

NOW THEREFORE, BE IT ORDAINED BY THE TOWNSHIP COMMITEE OF THE TOWNSHIP OF MILLBURN, NEW JERSEY AS FOLLOWS:

Section 1. The recitals are incorporated herein as though fully set forth at length.

Section 2. The Governing Body approve the Purchase and Sale Agreement in substantially the form attached hereto as Exhibit A, together with any changes, insertions, and omissions, after the Mayor’s consultation with counsel.

Section 3. If any part of this Ordinance shall be deemed invalid, such parts shall be severed and the invalidity thereby shall not affect the remaining parts of this Ordinance.

Section 4. A copy of this Ordinance and the Purchase and Sale Agreement shall be available for public inspection at the office of the City Clerk during regular business hours.

Section 5. This Ordinance shall take effect in accordance with all applicable laws.
