The purpose of this RFP is to fund a VPP or DERMS to be located in the District at site(s) to be identified by the Offeror. The project funded by this RFP should be designed to provide insights and new learnings to assist the Commission in identifying technologies and policies that can be implemented in the District to modernize the distribution energy delivery system for increased sustainability. SECTION I. Questions and Answers
Question 1
In section G: Insurance Requirements, 12-line items of insurance are required and there is
language indicating "The Awardee shall require all of its subcontractors to carry the same
insurance required herein." and "The Awardee shall carry all required insurance until all
contract work is accepted by the District and shall carry listed coverages for 10 years for
construction projects following final acceptance of the work performed under this contract
and two years for non-construction related contracts."
a. Can the Commission clarify if this project is regarded as a construction project
or not?
b. Is it sufficient for the prime contractor to hold a policy that lists
subcontractors as co-insured or otherwise references their participation and
coverage?
c. If generalized coverage of subcontractors under the prime contractor is not
acceptable, would the Commission consider limiting the application of any of
the line items to apply only to firms where it is relevant — i.e., in cases where a
sub-contractor has a minor or primarily advisory role? It seems some of these
line items are intended, rightly so, to address risks to utility infrastructure or
other facilities, and may not need to be applied to a firm advising on other
aspects of the proposal.

Delete in its entirety, Section G: Insurance Requirements
And
Replace with Exhibit A Section G: Insurance Requirements
Question 2
In Section D.4.4.2, it states "Offerors shall return up to three completed Past Performance
Evaluation Forms, Attachment C, to support the experience described in response to Section
D.4.4.1." This Attachment C is nearly identical to Past Performance Evaluation Forms
required by the Commission on other recent solicitations, with the exception that the
solicitation number "25-07" appears on this form and the other solicitation numbers appear
on the other forms. If a past performance evaluation reference is still valid for the applicant,
can their completed past performance evaluation form previously submitted for the prior
solicitation (with the prior contract number in the header) be submitted again and regarded
as acceptable for purposes of this solicitation?
Answer
It is up to the Offeror to determine which past performance references are
relevant to this project.
