SECTION 1 - PROPOSAL OVERVIEW
1.1 BACKGROUND
Pursuant to M.G.L. c. 30B, 16, the City of Marlborough is issuing this Request for Proposals through an open,
fair and competitive process for the non-exclusive lease of designated portions of City-owned property for
wireless communications facilities and related equipment.
This RFP concerns the Sligo Hill Historical Water Tank Site, located at 97 Arnold Street Extension,
Marlborough, Massachusetts (the "Site"). The Site currently accommodates multiple telecommunications users.
The City is soliciting proposals as existing lease terms expire and for other space that may be available for
telecommunications use at the Site.
Existing telecommunications users may submit proposals for the continued use of facilities presently located at
the Site, and other qualified Proposers may submit proposals for available antenna, equipment, ground and
related space in accordance with the requirements of this RFP.
The City's objectives are to obtain fair and reasonable rental revenue; preserve the efficient use and capacity of
City property; maintain compatibility with City operations and other authorized uses; support reliable
communications services; and protect and enhance the City's ability to accommodate municipal and public-safety
communications needs.
Existing occupancy shall not, by itself, create a preference in the evaluation. Likewise, a higher proposed rental
payment shall not, by itself, entitle a Proposer to displace another authorized user or require the relocation or
reconfiguration of another user's facilities.
1.2 LEASE OPPORTUNITY
The lease opportunity offered through this RFP is located at:
SLIGO HILL HISTORICAL WATER TANK
97 Arnold Street Extension
Marlborough, Massachusetts
Assessor's Map 68, Parcel 80
The Site currently accommodates multiple telecommunications users. The City may award one or more non-
exclusive leases under this RFP for the continued use of existing facilities or for other available antenna,
equipment, ground and related space at the Site.
Each Proposer shall identify the facilities and space associated with its proposal. A Proposer seeking continued
use of facilities presently located at the Site shall identify its existing antenna, equipment, ground and related
facilities and shall describe any proposed additions, removals, relocations or other material modifications.
A Proposer seeking space not presently occupied by its facilities shall identify the antenna, equipment, ground
and related space requested with sufficient detail for the City to evaluate the proposed use, including its
compatibility with existing facilities and City operations.
The City does not represent that any particular portion of the Site is available for lease. Any proposed use is
subject to available capacity, existing authorized uses, structural feasibility, interference considerations,
applicable permits and approvals, and City approval.
The Site and available City information concerning the Site are described more fully in Section 4, Site
Information.

updates are posted. Regardless of whether a Proposer receives an electronic notification, each Proposer is
responsible for monitoring the City's procurement website for addenda and other official updates through the
Proposal Submission Deadline.
All questions concerning this RFP must be submitted in writing by email no later than 12:00 Noon on October 21,
2026, to:
Krista I. Holmi, Chief Procurement Officer

Email: kholmi@marlborough-ma.gov
Only the Chief Procurement Officer is authorized to provide official interpretations or clarifications of this RFP.
Any interpretation, correction, modification or clarification that the City determines requires a formal response will
be issued by written addendum and posted on the City's procurement website.
All addenda issued by the City shall become part of this RFP. Proposers shall acknowledge receipt of all addenda
in the Proposal Form.
Information, plans, drawings, equipment information and other records provided by the City are provided for
informational purposes and convenience only. Such information may not reflect subsequent modifications or
current as-built conditions. Each Proposer is responsible for independently investigating and verifying existing
conditions and information relevant to its proposal.
2.2 Proposal Submission
Sealed proposals must be received by the City of Marlborough Procurement Office no later than 1:00 P.M. on October
30, 2026, at:
City of Marlborough
Procurement Office
140 Main Street, Third Floor
Marlborough, MA 01752
Attn: Chief Procurement Officer
Proposals received after the Proposal Submission Deadline will not be considered. Each Proposer is solely responsible
for ensuring that its proposal is received at the designated location before the deadline.
Timely proposals will be publicly opened following the Proposal Submission Deadline.
All proposals shall be submitted in accordance with the requirements of this RFP. Detailed proposal content,
packaging and delivery requirements are set forth in Section 3.

Prior to the Proposal Submission Deadline, a Proposer may correct, modify or withdraw its proposal by written notice
to the Chief Procurement Officer. After the Proposal Submission Deadline, a proposal may not be modified except in
response to a written request by the City and to the extent permitted by law.
Proposals that are incomplete, improperly signed, fail to satisfy the minimum requirements of this RFP, or are
otherwise non-responsive may be rejected by the City.
Prospective Proposers should review Chapter 650-25, Wireless Communications Facilities, of the City of
Marlborough General Code, included as Appendix A.
The City's standard form of Lease is included as Appendix B to provide Proposers with notice of the terms and
conditions anticipated for the lease transaction. Proposers are not required to submit proposed lease revisions or
exceptions with their proposals. Selection of a proposal shall not constitute acceptance by the City of any subsequent
modification requested to the standard Lease. Following selection, the City may consider reasonable modifications
appropriate to the selected proposal, provided that no modification materially alters the selected proposal, the basis
upon which proposals were evaluated, or a material requirement of this RFP. The final Lease shall be subject to all
required City approvals and review as to form by the City Solicitor.
2.3 Minimum Lease Terms
Each proposal must meet or exceed the following minimum lease terms:
SLIGO HILL HISTORICAL WATER TANK
Minimum First-Year Annual Rent: $66,000.00
Annual Rent Increase: 3%
The minimum first-year annual rent is a threshold requirement. A proposal offering less than the stated minimum
first-year annual rent will not be eligible for award.
The initial term of each Lease awarded under this RFP shall be five (5) years, with up to three (3) additional
five-year renewal terms, in accordance with the terms and conditions of the Lease.
Rent shall increase annually during the initial term and any renewal term by three percent (3.0%). Proposed first-
year rent and the resulting financial benefit to the City will be considered in the evaluation of proposals as
provided in Section 2.5.
2.4 SITE REVIEW AND INSPECTIONS
Proposers are responsible for undertaking their own review and analysis of the Site, including physical and
environmental conditions, access, title, utilities, existing facilities, applicable federal, state and local laws
and regulations, required permits and approvals, use potential, and other technical and legal considerations
relevant to the proposed use.
Each Proposer is responsible for determining whether the Site can accommodate its existing or proposed
Facilities. Except as expressly stated in this RFP, the City makes no warranty or representation, express or
implied, concerning the suitability of the Site for a Proposer's intended use. Existing tenants are responsible
for verifying the accuracy of City-provided information concerning their existing Facilities and shall identify
any material discrepancies known to them as part of their proposal.
Interested Proposers may schedule an appointment to inspect the Site by contacting:
Ted Scott, Commissioner
Department of Public Works
Telephone: (508) 624-6910

Email: tscott@marlborough-ma.gov
Access to the Site shall be subject to procedures established by the City and shall be coordinated so as not to
interfere with City operations or existing authorized users.
2.5 Evaluation And Rule For Award
Proposals will be reviewed to determine whether each Proposer is responsive and responsible and whether the
proposal satisfies the minimum requirements of this RFP. In determining the proposal or proposals most
advantageous to the City, the City will consider proposed rent as a significant factor, together with the overall
benefits and impacts of each proposal, including:
*the proposed rent and financial benefit to the City;
*the proposed accommodation of City-owned public-safety, emergency communications, telecommunications, or
other municipal equipment;
*the amount and efficient use of antenna, equipment, shelter, and ground space;
*compatibility with City operations and other authorized uses of the Site;
*preservation of Site capacity for municipal purposes and other existing or future authorized uses; and
*the extent of construction, structural modification, relocation, ground disturbance, or other physical changes
required to accommodate the proposed Facilities.
Existing occupancy shall not, by itself, create a preference in the evaluation. Likewise, a higher proposed rental
payment shall not, by itself, entitle a Proposer to displace another authorized user, select another user's existing
antenna, equipment, or ground location, or require relocation or reconfiguration of facilities outside the lease
opportunity being evaluated. Each proposal will be evaluated based upon the Facilities, space, accommodations,
rent, and other terms proposed.
The City may make one or more awards at the Site where sufficient capacity exists, the proposed uses are
compatible with City operations and other authorized uses, and the City determines that multiple leases are
advantageous. An award to one Proposer shall not obligate the City to make an award to, or preclude an award to,
any other Proposer.
Rule for Award: Subject to all required municipal approvals, the City may select the responsive and responsible
proposal or proposals determined to be most advantageous to the City, taking into consideration proposed rent and
the other factors identified in this Section.
2.6 Notice of Award and Lease Process
Following completion of the evaluation process, the Chief Procurement Officer may issue a written
Notice of Award to the Proposer or Proposers selected in accordance with Section 2.5.
Any Notice of Award shall be contingent upon City Council authorization, successful negotiation and
execution of a Lease acceptable to the City, and satisfaction of any other approvals or requirements
applicable to the proposed transaction. A Notice of Award does not constitute a Lease or create any
right to occupy or use City property.
The City anticipates presenting the conditional award and a draft Lease to the City Council for
consideration. If authorized by the City Council, the Mayor may proceed with and complete lease
negotiations with the selected Proposer consistent with the selected proposal, this RFP, the draft Lease,
and the terms of the City Council authorization.

The selected Proposer shall proceed diligently and in good faith toward completion of the lease
transaction. Upon request by the City, the selected Proposer shall timely provide plans, equipment
schedules, lease exhibits, corporate authorizations, insurance information, and other documentation
reasonably required to complete City review and the Lease; respond to reasonable City requests
concerning the proposed Facilities or lease terms; and pursue any application, permit, regulatory
approval, or other authorization for which the Proposer is responsible.
The selected Proposer shall cooperate with the City in completing the Lease and associated exhibits and
shall timely review and respond to proposed lease documents. The City may establish reasonable
deadlines for submission of required information or completion of actions necessary to advance the
transaction, taking into consideration the nature of the proposed Facilities and any required
governmental approvals.
The City's standard form of Lease included with this RFP shall serve as the basis for lease negotiations.
Reasonable modifications may be negotiated following selection, provided that no modification may
materially alter the selected proposal, the basis upon which proposals were evaluated, or a material
requirement of this RFP.
Nothing in a Notice of Award shall extend, renew, amend, or otherwise modify an existing lease. If a
selected Proposer continues to occupy the Site following expiration of an existing lease while a new
Lease is being authorized, negotiated, or executed, such continued occupancy shall remain subject to
the applicable provisions of the existing lease and any written authorization of the City, including all
applicable rent, escalation, holdover, and other payment provisions. Selection under this RFP shall not
reduce, waive, or otherwise affect any amount due to the City for occupancy occurring prior to the
commencement of the new Lease.
A Notice of Award does not obligate the City to hold or reserve space at the Site indefinitely. Once all
required City approvals have been obtained and the City has provided the selected Proposer with a
Lease in final form for execution, the City may establish a reasonable deadline for execution of the
Lease. If a selected Proposer withdraws its proposal or, after reasonable written notice, fails to provide
required information, respond to proposed lease documents, pursue approvals for which it is
responsible, meet a reasonable deadline established by the City, or otherwise proceed diligently toward
execution of the Lease, the City may withdraw the Notice of Award and may retain the proposal
deposit to the extent permitted by law.
Following withdrawal of a Notice of Award, the City may, to the extent permitted by law, make an
award to another responsive and responsible Proposer in accordance with Section 2.5 or reject the
remaining proposals and resolicit the Site. The City shall not be obligated to make an alternate award.
SECTION 3 PROPOSAL RESPONSE REQUIREMENTS
All proposals shall be submitted in accordance with the requirements of this Section.

in a manner compatible with City operations and other authorized uses and must comply with applicable
