City of Mitchell
Hangar Lease Agreement
THIS AGREEMENT, made effective as of this _______ day of ______________, 20____, by
and between the City of Mitchell, a South Dakota municipal corporation, LESSOR, and
________________________________________, LESSEE.
In mutual consideration of the covenants contained herein, the Lessor agrees to Lease unto the
Lessee, and the Lessee agrees to take, the following described Premises:
City Hangar 2 - Unit #_______ which is approximately, 50' x 54' (2,750 sq ft) as
depicted in Exhibit A.
1. The term of this Lease shall be for five (5) years beginning on the date first listed above
(Effective Date). Continued possession of the Premises by the Lessee and acceptance of rent by
the Lessor after the expiration of said term, or at the expiration of the term implied by law, shall
not constitute a renewal of this Lease; and the Lessee expressly waives the necessity of notice of
termination of the same, except such notice as may be required by law in cases of termination
before the end of the agreed term. This Lease shall not be renewed or extended without written
endorsement thereof hereto attached, duly executed by the Lessor.
2. Lessee agrees to pay the Lessor as rent for said Premises of $450 per month, payable in
advance on each month before the day of the month listed as the Effective Date above. The
lease may be renewed upon mutual agreement. The Lessor reserves the right to raise the
monthly rate at the time of renewal.
3. Lessee agrees to use the leased Premises for the purpose of hangar and for no other
purpose; and in the use of said Premises will comply with all laws and ordinances applicable
thereto, and all provisions and restrictions in the Quit Claim Deed dated March 27, 1947, as
modified by the Supplemental Quit Claim Deed dated September 25, 1950, by the terms of
which instruments the United States of America acting by and through the War Assets
Administrator conveyed said property to the City of Mitchell, both of which instruments are
recorded in full in the office of the Register of Deeds of Davison County, South Dakota; all upon
penalty of forfeiture and termination of this Lease.
The Lessee agrees that no structures will be erected or maintained on the Lease property that
would violate the Standards set forth in Part 77 of the Federal Air Regulations, or the provisions
of the airport operations manual from time to time in effect. The Lessee further agrees that all
necessary notices will be submitted to the Federal Aviation Administration, as required by the
above-mentioned Part 77.
There is hereby reserved to the Lessor, its successors, and assigns for the use and benefit of the
public, the right of flight for the passage of aircraft in the airspace above the surface of the
premises herein leased. The public right of flight shall include the right to cause in said airspace
an noise inherent in the operation of any aircraft used for navigation or flight through the said
airspace or landing at, taking off from, or operation on, the Mitchell Municipal Airport.
The Lessee agrees that it shall not use the Premises herein leased in any way which would
constitute an operation hazardous to the operation of aircraft, i.e., the production of smoke,
glaring light, or electronic interference.

4. Lessee will at all times keep the above-described Premises and every part thereof in a
clean condition and appearance and in good repair. Major repair items, defined as having an
expected cost exceeding $1,000.00, are subject to Section 11(D).
5. The Lessee agrees not to assign this Lease nor sublet the leased Premises or any part
thereof without first obtaining the prior written consent of the Lessor with such consent not to be
unreasonably withheld.
6. The Lessee agrees that it will at the expiration of this Lease quietly yield and surrender
the above-described premises to the Lessor in as good condition and repair as when taken,
reasonable wear and tear and damage by the elements alone expected. All improvements which
have become fixtures to the structure shall become a part of the realty, unless otherwise
specifically provided herein, and shall, upon the termination of this Agreement, become the
property of the Lessor. Lessee shall, upon Lessor request, remove all or part of Lessee's
personal property from the Premises at Lessee's sole expense. If Lessee shall fail to do so
within thirty (30) days, then Lessor may effect such removal or restoration at Lessee's expense,
and Lessee agrees to pay Lessor such expense promptly upon receipt of a proper invoice
therefor.
7. It is agreed that if the Lessee fails to make payment of the rent or any part thereof due or
fails to comply with any of the terms of this Lease, then the Lessor may re-enter and take
possession of the Premises and hold the same without such re-entry causing the forfeiture of the
rents to be paid by the Lessee for the full term of this Lease. Lessee shall have a 10 day grace
period following the due date in which to make full payment before Lessor may take action
under this section.
8. The Lessor shall have access to the Premises at all reasonable times to view, examine,
and show the same and for all purposes as may be necessary to perform and assure performance
of this Lease.
9. Lessor shall maintain fire/extended risk/casualty insurance in relation to the structures on
the Premises in amounts it deems appropriate. Lessee shall maintain such other types of
insurance as are or may be required for Lessee's operations. The Lessor assumes no
responsibility whatsoever for any property placed on said Leased Premises by Lessee or any
other party. Lessor is hereby expressed, released, and discharged, and the Lessee does hereby
agree to indemnify and hold harmless the Lessor, from any and all liability for any loss, injury,
or damage to persons or property that may be sustained by reason of the occupancy of said
leased Premises, or any portion thereof, under this Agreement.
10. The Lessee will not discriminate against any employee or applicant for employment
because of race, creed, color, national origin, nor any other protected characteristic. Such action
shall include, but not be limited to, the following: employment, promotion, demotion, transfer,
recruitment, training, or apprenticeship. The Lessee agrees to post in conspicuous places,
available to employees and applicants for employment, notices to be provided by the Federal
Aviation Administration, setting forth the provisions of this non-discrimination clause.

11. Additional Conditions, if any:
A. There is to be no external placement of storage of any materials or equipment outside of
this structure other than utilities such as for heating or cooling.
B. Lessee may not cause, suffer, or permit any lien, mortgage, security interest, financing
statement, or other encumbrance to be placed on any real property, structure, improvement,
or fixture which is situated on the Premises. If any encumbrance is filed or perfected against
any such property, the Lessee shall promptly cause the discharge, release, or otherwise clear
and remove such encumbrance so that it no longer relates to Lessor's property.
C. The Lessee shall request approval from the Lessor prior to completing a major repair or
any improvement to the building. Lessor shall have sole discretion as to the scope,
sufficiency, and acceptability of all major repairs and improvements. An improvement shall
constitute any modifications to the structure including but not limited to the addition or
removal of equipment, fixtures, utilities, etc. Any improvements shall be provided at the
sole cost of the Lessee.
D. In the event a major repair becomes necessary or the building is damaged to an extent it
is no longer functional, Lessor may terminate this lease if it determines that repair or
restoration of the hangar is not in Lessor's best interests.
