SECTION 1 - Overview and Schedule
A. Goal of this RFQ/Business needs:
The Pease Development Authority ("PDA") and the Division of Ports and Harbors ("DPH")
(collectively "The Authority") is issuing this Requests for Qualifications ("RFQ" or "Request")
seeking responses from qualified Firms or Teams interested in providing On-Call Marine
Engineering and Architectural Services to DPH.
The Authority is an agency of the State of New Hampshire by virtue of the provisions of New
Hampshire RSA chapter 12-G. The purpose of the Authority is to foster and promote the
redevelopment of the former Pease Air Force Base ("Pease") and to promote, oversee and integrate
the development and conversion of Pease to civilian use, in all respects for the benefit of the
economies, environment and quality of life of the City of Portsmouth, the Town of Newington, the
seacoast region, and the State of New Hampshire, and for the improvement of their wealth and
prosperity, including the creation of employment and other business opportunities. In addition,
the Authority oversees Skyhaven Airport in Rochester, New Hampshire. Lastly, the Authority
promotes the ports of New Hampshire for the benefit of the seacoast region and all of the citizens
of New Hampshire, as well as to promote and develop New Hampshire ports that they remain
working ports with due consideration given to the commercial, recreational, and private interests
associated therewith. See N.H. RSA 12-G:1; N.H. RSA 12-G:7; and NH RSA 12-G:43.
The successful Firm will provide the DPH with on-call professional marine engineering and
architectural services.
B. RFQ Schedule
The following table provides a schedule of events for this Request through contract finalization
and approval. The Authority reserves the right to amend this schedule at its sole discretion and at
any time through a published Addendum.

C. Vendor Instructions
As used herein
* "Vendor" means a person or entity who offers products or services for sale. "Contractor",
"Firm" or "Team" as used in this document are synonymous with "Vendor".
* A "request for qualifications" or "RFQ" shall mean a written communication soliciting
information about the qualifications, experience, and capabilities of potential vendors
before those vendors are invited to submit a request for proposal, bid, or informal quote.
* "Selected vendor" means the qualified, responsive, and responsible bidder whose proposal
or bid has been identified and approved by the Authority as being most advantageous to
the Authority.
Interested Firms must read the entire Request and submit the required documents in the manner
specified in the Request. Vendors are responsible for reviewing the most updated information
related to this RFQ before making any submission to the Authority.
By making a submission in response to this RFQ, each Firm irrevocably accepts the Authority's
requirements, terms, and conditions set forth herein.
In order to avoid conflicts of interest, the successful Firm shall agree to obtain PDA-DPH approval
prior to entering into engagements to provide similar services to PDA-DPH tenants and future or
potential tenants going before the PDA Board of Directors for approval.
SECTION 2 - Requirements and Anticipated Scope of Work
This RFQ seeks information about Vendor's qualifications and experience for potential
engagement with respect to On-Call Marine Engineering and Architectural Services. Examples of
the types of projects the PDA may undertake during the term of this Agreement may include but
are not limited to:
* Dock and Pier construction, improvements and repairs
* Geotechnical and structural analysis and designs
* Hydrographic and hydrodynamic analysis
* Inspection and condition surveys of terminal and facility infrastructure
* Facility roads and pavements construction
* Terminal and facility construction, improvements, repairs and expansion
* Improvements to infrastructure related to Maritime Transportation Security Act
facility security requirements (33CFR, Part 105)
Services associated with these projects may include, but are not limited to:
* Scope and schedule development
* Preliminary and final budgeting
* Engineering and Architectural Design
* Bidding
* Permitting

* Cost Estimates
* Construction Administration
* Resident Engineering
* Grant Administration
Firms may choose to respond to providing services for one or any combination of the above
identified types of projects and should set forth clearly in their response the nature of the projects
for which they could provide services. PDA may select one Firm or multiple Firms based on its
determination of the best match for the project types and locations.
The successful Firm(s) must have the capability to provide engineering and architectural services
commensurate with the tasks mentioned above on an as-needed basis and must be licensed to
provide professional engineering and architectural services in the state of New Hampshire. In
addition, the successful Firm(s) shall be well versed in Federal Grant funding, as well as other
funding sources available to seaports and governmental entities.
SECTION 3 -- Contract Terms and Conditions
While this RFQ is focused solely on Vendor qualifications (to be followed by a later competitive
bidding process for pricing by short-listed firms), for informational purposes the Authority
provides the following information about the anticipated ultimate contract with any selected
Vendor.
A. Contract Term
The anticipated Contract term shall be for a three (3) year period from the effective date. The
PDA's reserves the right to extend the contract for two (2) additional one-year renewal periods
under the same terms and conditions, for a maximum possible term of five (5) years.
B. Non-Exclusive Contract
Any resulting contract relating to this RFQ will be a non-exclusive contract. The Authority
reserves the right, at its discretion, to retain other contractors to provide any of the services or
deliverables identified in this procurement or make an award by item, part or portion of an item,
group of items, or total proposal.
C. New Hampshire Law Applies
This Request, the submissions submitted in response to this Request, and any contract relating to
this RFQ shall be governed by the laws of the State of New Hampshire and, to the extent
applicable, federal law. Any and all relevant provisions of law required to appear in this Request
are hereby incorporated by reference. By making a submission in response to this RFQ, the Vendor
irrevocably submits itself to jurisdiction in New Hampshire.
D. Standard Contract Terms

The Authority will require any future selected Vendor to execute a contract using Authority's
terms and conditions attached as Appendix A.2 In no event is a Vendor to submit its own standard
contract terms and conditions as a replacement for the Authority's terms in response to this
Request. Deviation from the Authority's will be very limited as many of the provisions are required
by law or represent longstanding Authority policy and/or practices.
E. Insurance
Any selected Vendor executing a contract with the Authority related to this RFQ will be required
to meet the Authority's minimum insurance requirements as outlined in Appendix B. Any
selected vendor will also be required to provide proof of insurance by way of a certificate of
coverage satisfactory to the Authority outlining all required lines of insurance coverage, required
coverage dollar amounts, that said coverages are primary and noncontributory, and waiver of
subrogation. An example insurance certificate is included within Appendix B.
F. Indemnification
Any future, resulting contract relating to this RFQ shall normally include language consistent with
the following indemnification provision:
The Vendor shall defend and indemnify the Pease Development Authority and the State of
New Hampshire, their officers, board members, agents, and employees (the "Indemnitees")
from and against all losses, suits, claims, liabilities, penalties, fines, judgments, costs, and
expenses, including without limitation attorneys' fees, consultants' fees, and experts' fees
arising out of, or in any manner predicated upon personal/bodily injury, death, or property
damage resulting from, related to, caused by (or which may be claimed to be caused by),
or arising out of (or which may be claimed to arise out of) the Vendor's performance of its
obligations under this Agreement; or which is caused in whole or in part (or which may be
claimed to be caused in whole or in part) by any negligent or willful act or omission of the
Vendor, its subcontractors, anyone directly or indirectly employed by either the Vendor or
its subcontractors, or anyone for whose acts any of the foregoing may be liable. The
agreements contained in the preceding sentence do not extend to claims for damages caused
by gross negligence or willful misconduct of the Indemnitees without contributory fault on
the part of any person, entity, or corporation.
In any and all claims against the Indemnitees or any one of the Indemnitees by any
employee of the Vendor, its subcontractors, anyone directly or indirectly employed by an
employee or subcontractor of the Vendor, or anyone for whose acts of such employees and
subcontractors may be liable, the indemnification obligation shall not be limited in any way
by a limitation on the amount of damages, compensation or benefits payable by or for the
Vendor or any subcontractor under workers' compensation acts, disability benefit acts or
other employee benefits acts.

In the event that any action or proceeding is brought against the Indemnitees or any one of
the Indemnitees by reason of any matter for which the Vendor has hereby agreed to defend
and indemnify, the Vendor, upon notice from the Indemnitees or any one of them,
covenants to resist or defend such action or proceeding with counsel acceptable to the
Indemnitees or any one of them as the case may be.
Notwithstanding the foregoing, nothing herein shall be deemed to constitute a waiver of
the sovereign immunity of the Pease Development Authority or the State of New
Hampshire which is hereby reserved to Pease Development Authority and the State of New
Hampshire.
The provisions of this indemnification shall survive the expiration or termination of this
Agreement, and the Vendor's obligations hereunder shall apply whenever any one of the
Indemnitees incur costs or liabilities described above.
SECTION 4 -Request for Qualifications Process
A. Submission, Deadline, and Location Instructions
Any submission pursuant to this Request, and any questions submitted in response to this Request,
must be received by the Authority no later than the time and date specified in the table of
Procurement Schedule Section above. Vendor submissions may be submitted by U.S. Mail,
Delivery Services, or In Person, and must be addressed to:

and delivered NO later than 2:00 p.m. local time on September 22, 2026. Late submittals will not
be accepted or evaluated except for good cause shown as determined in the Authority's sole
discretion, which good cause will normally involve both absence of fault of the Vendor and no
material bidding advantage gained by the Vendor. The Authority accepts no responsibility for late
mail, mislabeled mail, or mail that is not delivered or is undeliverable for whatever reason. Any
damage that may occur due to shipping shall be Vendor's responsibility.
B. Content of the Vendor's Submission in Response to this RFQ
Firm submissions made in response to this RFQ shall adhere to the following format and provide
all of the required information set forth below:

1. DESCRIPTION OF THE FIRM/TEAM: Provide comprehensive Team profiles that clearly
identifies a Project Manager (PM) and detail each members professional qualifications with
emphasis on the PM's credentials. Include tenure with the Firm, direct contact information
and full professional resumes.
2. EXPERIENCE: Provide a description of the Team's relevant experience with similar types
of projects which would provide valuable insight into carrying out objectives outlined in
Section 2. Include knowledge of applicable local, state and federal regulatory experience.
3. APPROACH TO SCOPE OF SERVICES: Describe the Firm's understanding of the
proposed scope of services, outlining the Firm's approach to providing On-Call Marine
Engineering Services.
4. REFERENCES: Provide a list of at least three (3) clients for projects of similar character
or scope who will provide a reference for the Firm. Include the name, address, telephone
number, and email address of the contact person.
DO NOT provide a cost estimate, fee schedule, or any type of price proposal at this time. The
Authority expects to conduct a follow-on competitive pricing process for short-listed firms.
Qualification packages must consist of one (1) original and six (6) clearly identified paper copies
that shall be enclosed in two (2) envelopes (inner and outer), both of which shall be sealed and
clearly labeled, per the requirements of this section.
C. Agency Point of Contact/Restriction of Contact with Authority Employees
The sole point of contact for this Request, from the Request issue date until the approval of the
resulting contract by the Authority's Board of Directors is:

From the date of release of this Request until an award is made and announced regarding the
selection of a Vendor, all communication with personnel employed by or under contract with the
Authority regarding this Request is prohibited unless first approved by the Request's Sole Point
of Contact. Authority employees have been directed not to hold conferences and/or discussions
concerning this Request with any potential Vendor during the selection process, unless otherwise
authorized by the Request's Sole Point of Contact. Vendors may be disqualified for violating this
restriction on communications.
D. Vendor Inquiries
All informational inquiries concerning this Request, including but not limited to requests for
clarifications or questions, shall be submitted via email to the Authority's Sole Point of Contact
specified above. Inquiries must be received by the end of Vendor inquiry period (see Procurement
Schedule herein).
The Vendor must identify the Request name and the number and include the Vendor's name,
telephone number, and e-mail address.

The Authority may consolidate and/or paraphrase questions for sufficiency and clarity. The
Authority may, at its sole discretion, amend this Request on its own initiative or in response to
issues raised by inquiries as it deems appropriate. Oral statements, representations, clarifications,
or modification concerning the Request shall not be binding on the Authority. Official responses
issued by the Authority will be made only in writing in the form of an Addendum to the Request.
In the event it becomes necessary to respond to inquiries or add to or revise any part of the Request
prior to the scheduled submittal date set forth above, the Authority shall post any Addenda on the
following web site: https://peasedev.org/business-3/bids-and-opportunities. Before your
submission and periodically prior to the Request's submittal date, Vendors are reminded to check
the site for any addenda or other materials that may have been issued affecting the Request.
The Authority will issue responses to properly submitted inquiries on or before the date specified
in the Procurement Schedule; however, this date is subject to change at the Authority's discretion.
The Authority may, at its discretion, amend this Request on its own initiative or in response to
issues raised by inquiries, as it deems appropriate. Questions about or requested exceptions to
the Request and/or any relevant attachments not raised during the inquiry period are
waived. Oral statements, representations, clarifications, or modifications concerning the Request
shall not be binding upon the Authority. Official responses by the Authority will be made only in
writing by the process described above. Vendors shall be responsible for reviewing the most
updated information related to this Request before submitting any response to this RFQ.
SECTION 5 - RFQ Terms and Conditions
The Authority provides below the following information about the RFQ process.
A. Title VI Solicitation Notice
PDA, in accordance with the provisions of Title VI of the Civil Rights Act of 1964 (42 USC
225-24d to 225-24d-4) and the Regulations, hereby notifies all bidders or offerors that it will
affirmatively ensure that for any contract entered into pursuant to this advertisement businesses
will be afforded full and fair opportunity to submit bids in response to this invitation and no
businesses will be discriminated against on the grounds of race, color, national origin (including
limited English proficiency), creed, sex, or age in consideration for an award.
B. Debarment
If any individual or business entity, or any of its subsidiaries, affiliates, or principal officers,
meeting one or more of the circumstances outlined below shall be ineligible for an award under
this Request:
(1) Has, within the past 2 years, been convicted of, or pleaded guilty to, a violation of RSA
356:2, RSA 356:4, or any state or federal law or county or municipal ordinance prohibiting
specified bidding practices, or involving antitrust violations, which has not been annulled;
(2) Has been prohibited, either permanently or temporarily, from participating in any public

works project pursuant to RSA 638:20;
(3) Has previously provided false, deceptive, or fraudulent information on any document
submitted to the state of New Hampshire, which information was not corrected as of the time of
the filing of a bid, proposal, or quotation;
(4) Is currently debarred from performing work on any project of the federal government or the
government of any state;
(5) Has, within the past 2 years, failed to cure a default on any contract with the federal
government or the government of any state;
(6) Is presently subject to any order of the department of labor, the department of employment
security, or any other state department, agency, board, or commission, finding that the applicant
is not in compliance with the requirements of the laws or rules that the department, agency,
board, or commission is charged with implementing;
(7) Is presently subject to any sanction or penalty finally issued by the department of labor, the
department of employment security, or any other state department, agency, board, or
commission, which sanction or penalty has not been fully discharged or fulfilled;
(8) Is currently serving a sentence or is subject to a continuing or unfulfilled penalty for any
crime or violation noted in this section;
(9) Has failed or neglected to advise the Authority of any conviction, plea of guilty, or finding
relative to any crime or violation noted in this section, or of any debarment, within 30 days of
such conviction, plea, finding, or debarment;
(10) Has been convicted of wage theft of its employees within the past 2 years;
(11) Has been convicted of a felony level offense involving worker safety practices within the
past 2 years; or
(12) Has been found guilty, within the last 2 years, of misclassification of workers as
independent contractors, in violation of department of labor standards and the definition of
employee in RSA 281-A:2.
C. Submission Preparation Cost
By making any submission in response to this RFQ, a Vendor agrees that in no event shall the
Authority be either responsible for or held liable for any costs incurred by a Vendor in the
preparation of or in connection with the Vendor's submission, or for work performed prior to the
effective date of a resulting contract.
D. Request Addendum
The Authority reserves the right to amend this Request at its discretion, prior to the submission
deadline. In the event of an addendum to this Request, the Authority, at its sole discretion, may
extend the submission deadline, as the Authority deems appropriate.
E. Non-Collusion
The Vendor's signature on a submission in response to this Request guarantees that nothing in the
submission is false or misleading, and that the submission has been established without collusion
with other Vendors and without effort to preclude the Authority from obtaining the best possible
competitive proposal.
