SCOPE OF WORK AND DELEVERABLES
Right-of-Way Acquisition for US 63 in Spring Valley
1.0 PROJECT MANAGEMENT AND QUALITY CONTROL
1.1 General Project Management
Contractor's management and administration of the project will include communication
(including monthly progress meetings) with State's Project Manager, as well as coordinating
with other governmental agencies, affected property owners, and other required groups. This
also involves updating project schedules and status reports, maintaining the project schedule and
coordinating with subcontractors.
1.2 Project Meetings
Contractor will schedule, prepare for and attend all status and review meetings, as needed.
Contractor will prepare all necessary displays, agendas (sent to all participants one week prior to
scheduled meetings) and meeting minutes (sent to State's Project Manager within three working
days of the meeting). Telephone conference calls may be used for some, but not all meetings.
Also any meetings with State's Central Office personnel, State's Office of Land Management
(OLM), and the Minnesota Office of the Attorney General will be covered under this section.
1.3 Perform Quality Assurance / Quality Control (QA/QC) Functions
The Contractor will perform QA/QC Functions throughout the project duration to ensure
delivery of a quality product in a timely manner.
DELIVERABLES

2.0 PRE-ACQUISITION ACTIVITIES
Contractor will perform all activities necessary for the completion of the Pre-Acquisition phase
of the project including the following major work tasks:
2.1 Field Title Investigation
State's OLM Legal and Real Estate Conveyance Unit will complete Certificates of Title for each
affected tract. Contractor will obtain the County Assessor's estimate of fair market value for
each parcel. Contractor will obtain all tax and special assessment information along with the
agency levying the tax or assessment. Contractor will set up a meeting with State's District Real
Estate Representative to review field title investigation procedures. Contractor will perform a
field title investigation for each parcel, which will be completed by a professional Real Estate
Specialist experienced in the area of title investigations. Contractor's Field Title Investigation

Agent will verify ownership and nature of interest of the fee owner, contract for deed vendee, or
other interests in the property by personal visit for parcels where ownership is local in nature.
Contractor's Field Title Investigation Agent will consult with State's District Real Estate
Representative on how to proceed with field title investigations for non-local ownership.
Contractor will maintain close communication with State's Project Manager, as some
modification of the Right of Way (R/W) work map will be necessary due to landowner's
concerns expressed to Contractor's Field Title Investigation Agent.
2.2 Building Surveys
Contractor will perform a Building Survey for each parcel having one or more buildings or other
structures included in the acquisition area. The Building Survey will consist of the following:
1. Building Sketch Sheet(s)
2. Building Analysis Sheet(s)
3. Photograph Mounting Sheet(s)
4. Well Report(s)
5. Identification of Abandoned or Current Septic Systems and/or Tanks
Contractor will schedule the Building Survey for the same time as Contractor's Field Title
Investigation Agent meets with the affected owner. State's District R/W Office will provide the
Building Sketch forms to Contractor who will complete the Building Sketch forms as set forth in
State's R/W Manual. Contractor will complete a Building Analysis Sheet (State Form TP-
02548) for each building removal. Contractor will take digital photographs of each side of all
principal buildings and at least two views to cover all four sides of any miscellaneous structures
or outbuildings. Contractor will use State's District R/W Office Photo Mounting Template
(Microsoft Word-Form 2551) for assembling the photos. State's District R/W Office will furnish
Well Report forms to Contractor. Contractor will complete a Well Report for all wells located
on the proposed new R/W.
2.3 Develop R/W Work Map
Contractor will meet with State's District R/W Staff to discuss and review R/W layout
procedures. The Contractor will familiarize his/her personnel with the policy and procedures of
State's R/W Manual Section .000 to .600. Contractor will obtain existing project information.
Contractor will place property lines and subdivision plats on drawings. Contractor will place
proposed R/W on drawings using guidelines found in State's R/W Manual, and CADD
Standards Manual with additional information to be supplied by State's District R/W and Survey
Office. Contractor will calculate proposed new R/W boundary corners (B-points) using
GEOPAK COGO based on the work map electronic file.
2.4 Parcel Sketches
Contractor will prepare a colored sketch of each parcel using a clip from the Microstation work
map (.wkm) CADD file following State's District R/W Office guidelines for parcel sketch
preparation.
2.5 Legal Descriptions
Contractor will prepare a legal description for each parcel, using plat reference in State's
approved format. A Licensed Land Surveyor must supervise this work.
2.6 R/W Package
Contractor will prepare a Staff Authorization Map depicting the listed information shown in
State's R/W Manual. Contractor will prepare a cover letter (State Form 25294) and Request for
Authorization Form (signature). District's Land Surveyor will authorize and provide signature
on Request for Authorization form indicating that land ties are correct as indicated on the map.
Contractor's Design Engineer will authorize and provide signature that construction limits are
correct as indicated on the map. Contractor's Project Manager will authorize and provide

signature that R/W limits are in accordance with the map. Contractor will coordinate with
State's Project Manager to obtain State's Transportation District Engineer's signature on the
Request for Authorization form. Contractor will complete the R/W Package.
Contractor will send one copy of all R/W Package items to State's Project Manager as well as
meet with State's Project Manager to review the R/W Package prior to submittal to State's
OLM. Contractor will send the original and one copy of the R/W Package to State's OLM and
will retain one copy for the project file.
2.7 Electronic File Submission
Contractor will submit all electronic data associated with the R/W Work Map and final plats to
State's OLM. Contractor will also send a copy of all electronic files to State's District R/W
Office and retain one copy of all electronic files. All electronic files will be in a format
compatible with State's CADD Data Standards. Contractor will submit a text file describing all
naming conventions Contractor will use in supplying electronic data to State's OLM.
2.8 Appraisals
Contractor will coordinate one meeting with State's Appraisal Supervisor and State's Project
Manager prior to the start of the appraisal work. Contractor will use appraisers who are on the
State's Contract Fee Appraiser list. The OLM Appraisal Supervisor, prior to the start of the
appraisal work, will approve Contractor's appraisal fees. Contractor's Real Estate Appraiser
must hold a valid Minnesota Real Estate Appraiser license and will be governed by the ethics
provision of the Uniform Standards of Professional Appraisal Practice.
State's OLM will convene a meeting four to six weeks before the hearing on petition to
determine which parcels that have not been acquired need a complete before and after appraisal.
The group will consist of Contractor's Eminent Domain Engineer and Direct Purchase Agent,
State's Project Manager and State's OLM Appraisal Supervisor and the Assistant Attorney
General assigned to the eminent domain action. Contractor will be responsible for assigning the
updated appraisal report request on those parcels that are not likely to settle. Contractor will
perform a before and after appraisal on parcels placed into an eminent domain action.
2.9 Relocation Assistance
Contractor will perform all relocation services necessary for the completion of S.P. 2310-22 and
will fully comply with the Uniform Relocation Assistance and Real Property Acquisition
Policies Act of 1970, as amended (42 U.S.C. 4601 et seq) and 49 CFR Part 24 promulgated
thereto. Contractor will submit the Relocation Advisor's experience and qualifications for
review and approval to State's Project Manager prior to performing any relocation work.
Contractor, in the event that a direct purchase involves either a total take or partial take that
results in the displacement of an individual or business, will have Contractor's Relocation
Advisor present when the offer is made. Contractor will furnish the person who is scheduled to
be displaced, a general written description of the relocation program that outlines at least the
following:
1. Informs the person that he or she may be displaced for the project and generally
describes the relocation payment(s) for which the person may be eligible, the basic
conditions of eligibility, and the procedures for obtaining payment(s).
2. Informs the person that he or she will be given reasonable relocation advisory services,
including referrals to replacement properties, help in filing claims and other necessary
assistance to help the person successfully relocate.
3. Informs the person that he or she will not be required to move without at least 90 days
advance written notice and informs any person to be displaced from a dwelling that he
or she cannot be required to move permanently unless at least one comparable
replacement dwelling has been made available.
4. Describes the person's right to appeal State's determination as to a person's application
for assistance for which a person may be eligible.

Contractor will submit all claims for relocation payment to State's District Real Estate Representative.
Contractor will prepare a detailed relocation study and submit it to State's OLM Relocation Manager.
Contractor will work closely with State's OLM to determine the eligibility for replacement housing
payment and compute the amount (price differential) of the replacement housing payment. If an appeal
is filed, the Contractor's Relocation Advisor will prepare, attend, and present testimony at any relocation
appeal, and will maintain a relocation file on each individual parcel involving relocation payments.

3.0 ACQUISITION ACTIVITIES
Contractor will perform all acquisition activities associated with acquiring the R/W necessary
for the T.H. 52 Reconstruction Project including the following major work tasks:
3.1 Direct Purchase
Contractor will submit Direct Purchase Agent's experience and qualification for review and
approval by State's Project Manager prior to performing the direct purchase work. Contractor
will perform direct purchase work using a professional Real Estate Agent who is experienced in
the area of real estate negotiations. Contractor's Project Manager will certify that the Direct
Purchase Agent has no personal interest in properties being acquired. Contractor's Direct
Purchase Agent will meet with State's Project Manager and State's District Real Estate
Representative to review direct purchase procedures prior to starting the direct purchase work.
Contractor will conduct all direct purchases in accordance with State's R/W Manual and the 49
CFR Part 24 - Uniform Relocation Assistance and Real Property Acquisition Regulations.
Contractor's Direct Purchase Agent will contact all property owners and perform all the
functions necessary to acquire the needed R/W by means of direct negotiations. All offers will
be made in person. No offers by mail are acceptable unless approved by State's District Real
Estate Representative. Contractor will allow the property owner a reasonable length of time
(generally 30 days minimum) to consider the direct purchase offer. All completed direct
purchase files will be returned to State's District Real Estate Representative. The eminent
domain process will be initiated at a minimum of six months ahead of the project letting date.
Contractor will have all direct purchase offers made prior to the initiation of the eminent
domain. Contractor will prepare a temporary direct purchase file for all files not yet acquired at
the time of initiation of eminent domain.
Contractor's Direct Purchase Agent may recommend an administrative settlement memorandum
where appropriate. Contractor will attend all meetings with State's Project Manager, Director of
State's OLM and Minnesota Attorney General's Office.
3.2 Design Changes
Contractor will submit any R/W Package revisions to State's Project Manager for approval.
Contractor will perform all necessary work required to submit an amended R/W Package to
State's OLM. Contractor will work with State's Project Manager and Assistant Attorney General
to prepare any revisions.
3.3 Eminent Domain - Condemnation
Contractor will assign a registered professional Civil Engineer for the legal action. Contractor
will provide necessary engineering and technical support for the Attorney General. Contractor
will attend all meetings with Assistant Attorney General. Contractor will assist the Attorney
General in preparing for the hearing on petition. Contractor will be prepared to provide
engineering testimony. After the hearing on petition, Contractor's Direct Purchase Agent may
continue negotiations if there is a possibility of a reasonable settlement with property owners not
included in eminent domain action.
Contractor's Engineer will attend district court's oath of commissioners meeting along with the
Assistant Attorney General. Contractor's Engineer will be prepared to schedule viewings at
oath meeting. Contractor's Engineer will coordinate staking of properties for viewing with
Contractor's Surveyor. Contractor will prepare exhibits for all hearings. Contractor's Engineer
will attend pre-hearing meetings with Assistant Attorney General. Contractor's Engineer will
submit a written report on the hearing to the Director of State's OLM. Contractor's Engineer
will approve and submit commissioner's daily fee reports. Contractor's Engineer will attend all
pre-trial hearings. Contractor's Engineer will prepare a settlement memorandum to the Director
of State's OLM. Contractor will obtain approval of appeal/no appeal recommendation from
State's Project Manager. Contractor will submit the settlement memorandum to the Director of

State's OLM. Contractor's engineer will discuss trial aspects with Assistant Attorney General.
Contractor's Engineer will prepare materials for the trial.
Contractor's Engineer will be prepared to give engineering testimony in court. Contractor's
Engineer will conduct a jury viewing of the property in litigation. Contractor's Engineer will
prepare a summarization memorandum of trial to the Director of State's OLM.

3.3 Eminent Domain - Condemnation

4.0 PROPERTY MANAGEMENT ACTIVITIES
NOTE: If time does not permit these tasks within this section (4.0) of the Scope of Work
and Deliverables to be completed, they will be removed from the Contract and completed
by the Roadway General Contractor.
Contractor will perform property management activities associated with acquiring the R/W
necessary for the T.H. 52 Reconstruction Project including the following work tasks:
4.1 Property Management
Contractor will execute the "Agreement by Owners to Remove Building" (Including Foundation
Removal). Contractor will coordinate owner retained building removals. Contractor will
coordinate building sales with State's Project Manager. Contractor will process the Equipment
Exhibit paperwork. Contractor will submit the check out form for approval. Prior to the sale of
the building, Contractor will perform the following:
1. Secure the building against unauthorized entry.
2. Drain the pipes and water heater, if appropriate, and put anti-freeze solution in the
fixtures.
3. Have water, gas and electric services disconnected and meters removed. Bills for
utilities properly payable by State, covering the period after the former owner moved
out, should be forwarded to State's OLM - Property Management Unit.
4. Notify State's OLM Property Management Unit that the building is vacant and retain
keys for the building.
5. Review the property and consult with State's Project Manager for possible State
maintenance use of some items as set forth in the State's R/W Manual under "Transfer
of Surplus Property to District Maintenance Office" (5-491.505.2).
6. Retain a list of potential bidders of the acquired property (name, address and telephone
number) and forward the list to State's OLM so bid forms can be mailed to them.
7. Notify police or fire department of vacant buildings if conditions warrant.
8. Put "For Sale" signs on the building (as supplied by State's District R/W Office) upon
being notified of pending offering by State's OLM.
9. Open the building for inspection by prospective bidders on predetermined dates.

After the building is sold, Contractor will perform the following items:
1. Check the building removal progress and site clean up. Photograph, as necessary, to
provide documentation of non-compliance.
2. Check temporary fencing around open basement (if applicable).
3. Coordinate basement filling, if applicable, with State's Project Manager (State
Maintenance may perform this work).
Contractor will work with State's Project Manager to determine whether there will be a
preliminary demolition contract or whether the buildings will be included in the prime contract.
Contractor will identify all wells and make sure there are appropriate items for sealing the wells
included in the demolition contract or prime contract. Contractor will coordinate with State's
OLM Property Management Supervisor to determine for each building to be demolished
whether or not asbestos is present.
DELIVERABLES
State's Deliverables:
4.1 Property Management
1. Approve check out form.
2. Approve recommended type of demolition contract.
3. Determine need for asbestos Consultant.
4. Remove asbestos contaminated material before sale or demolition.
Contractor's Deliverables:
4.1 Property Management
1. Executed "Agreement by Owners to Remove Building".
2. Executed "Agreement by Owners to Remove Building (Including Foundation Removal).
3. Coordinate owner retained building removals.
4. Coordinate with State's Project Manger concerning building sales.
5. Completed Equipment Exhibit.
6. Completed check out form for approval.
7. Prior to building sale, confer with State's Project Manager for concurrence on the final
sale documents.
8. After building is sold, confer with State's Project Manager for concurrence on the
closure.
9. Determine type of demolition contract and submit for approval.
10. Identify all wells and that appropriate items are included in demolition contract for
sealing.
11. Coordinate with State's OLM on presence of asbestos.
