Region 20 Purchasing will accept proposals for the purchase of General Supplies, # 24027B as per the attached
specifications, terms and conditions. Proposals will be accepted at the office of Jim Metzger, Education Service Center,
Region 20 until 2:00 p.m. Thursday, March 5, 2026, at which time they will be opened and tabulated for approval by
the Executive Committee of the Region 20 Coop. Proposals must be plainly marked on the outside of the envelope:

Faxed Proposals will not be considered. By submitting a proposal, vendor certifies to the best of his/her knowledge

Proposals must be submitted on the forms provided or proposal may be rejected. Only proposals received by the date
and time specified will be considered. Vendors are invited to be present at the opening of the proposals to be held at
ESC-20, Conference Center Building, 1314 Hines Avenue, on the above date. PRICE, QUALITY, AND
SUITABILITY: It is not the policy of Region 20 Purchasing to purchase on the basis of low price alone, quality and
suitability to purpose are taken into consideration. Quote largest possible discounts after all term discounts have been
deducted.
Vendors who do not quote are requested to submit a "notice of no bid on proposal" to Region 20 Purchasing,
Purchasing Department, in writing if they wish to receive future proposals. Failure to do so may result in their being
deleted from our vendor list. Proposals marked "subject to price change" or "price in effect on date of delivery" will not
be considered.

TERMS AND CONDITIONS OF INVITATIONS FOR PROPOSALS
Read Carefully
1.
GENERAL CONDITIONS
Vendors are required to submit proposals under the following express conditions:
a) All contracts and agreements between vendors and Region 20 Coop participating members shall strictly
adhere to the statutes as set forth in the Uniform Commercial Code as last amended in 1990 by the American
Law Institute in the National Conference of Commissioners on uniform state laws. Reference: Uniform
Commercial Code, 1990 Official Text, 2/Sales.
b) Vendors are advised that Region 20 Coop contracts are subject to all legal requirements provided for in the
Texas Senate Bill 1, Subchapter B, Section 44.031 and/or applicable state and federal statutes. Any proposal
after being awarded becomes subject to the Open Records Act, Article 6252-17a VTCS.
c) All parties agree that venue for any litigation arising from this contract shall lie in San Antonio, Bexar County,
Texas.
d) Region 20 Coop reserves the right to extend purchasing contracts to all qualified school districts including
Regional Service Centers under subchapter B. General Inter-local Contracting Authority 791.011. Definition of
school districts may be found in section 271.003 subsection (9) of the Texas Law Bulletin. Each school district
is responsible for approval of contracting authority by order of a duly authorized resolution adopted by each
participating entity. Vendors will be contacted by the Region 20 Coop as to which school districts or Regional
Service Centers have recently joined the Region 20 Coop. Each vendor is then requested to extend all proposal
prices to the new member(s) on contracts that are currently in force. This will result in additional quantities of
some items.
e) Patented or copyrighted protected items: Vendor agrees to protect Region 20 Coop from recourse and all
claims arising from rights under patent, copyright, trademark or application infringement.
f) Failure of Region 20 Coop to insist upon strict performance of any of the terms and conditions hereof, or failure
or delay to exercise any rights or remedies provided here in or by law or to properly notify successful vendor
in the event of breach, or the acceptance of or payment for any goods hereunder shall not release successful
vendor from any of the warranties or obligations or any purchase order, contract or service agreement, and
shall not be deemed to waiver any right Region 20 Coop to insist upon strict performance hereof or any rights
or remedies as to any such goods, regardless of when shipped, received or accepted, or as to any prior or
subsequent default hereunder; nor shall any purported oral modification or recession of a purchase order,
contract or service agreement by Region 20 Coop operate as a waiver of any of the terms hereof.
g) New products or products in the same class, not covered in the original proposal, may be added to this contract
under equal pricing terms and conditions at the discretion of Region 20 Coop.
h) Substitutions are not acceptable without prior approval of Region 20 Coop. Unauthorized substitutions may
delay payment of invoices and shipper shall be required to pick up correct items. Region 20 Coop shall not
under any circumstances accept outdated materials, old stock, or obsolete products. If items under contract
are discontinued or become unavailable from any manufacturer during the duration of the contract, Region 20
Coop reserves the right to accept or reject substitutes, and in the case of rejections Region 20 Coop may
cancel the item or items in question.
i) Equipment must be new with original manufacturer warranty and packaging. Individual packaging shall be
labeled showing the name of the manufacturer, brand name, name of product, quantity of contents and
complete directions for use. Labels and labeling shall conform to all federal regulatory requirements for goods
in interstate commerce and containers shall meet DOT requirements. Shipping packaging/cases shall be
marked to show name of supplier, name and address of receiving agency and agency purchase order number,
and must be delivered with material safety data sheets where required.
j) It is understood and agreed that Region 20 Coop reserves the right to make minor modifications to conditions
of this proposal due to unforeseen circumstances, by mutual agreement with selected supplier, both at the
time of acceptance of the quotation offer as so modified, and subsequent thereto.
k) Region 20 Coop reserves the option to purchase by other means bulk quantities of any items listed in the
proposal or catalog when determined to be in the purchaser's best interest. Region 20 Coop will be the sole
judge as to both "bulk quantities" and the "purchaser's best interest".

l) The award of this contract will be an award of the vendors entire catalog offerings regardless of the sections
responded to.
m) This proposal is effective for one year with an option to renew.
AWARD TERM – MAY 1, 2026 THROUGH APRIL 30, 2027
RENEWAL TERM – MAY 1, 2027 THROUGH APRIL 30, 2028
n) If product and/or service provided are not satisfactory to Region 20 Coop, this agreement can be terminated at
any time upon a 30-day written notice.
m) TERMINATION FOR CONVENIENCE. Either party to this agreement may terminate this agreement upon 30 days
written notice of such termination.
n) TERMINATION FOR CAUSE. The Member may at its option immediately terminate this agreement by giving 30 day
written notice of termination to the Contractor on the occurrence of any of the following.
The willful breach of this Agreement by the Contractor in the course of engagement, unless by the Member.
The habitual neglect by the Contractor of its duties, unless waived by the Member.
The Contractor may at its option immediately terminate this agreement by giving written notice of termination to the
Member on the occurrence of any of the following.
o) KICKBACKS. It is a breach of ethics for any payment, gratuity or offer of employment to be made by or on behalf of
a subcontractor under a contract to the prime contractor or higher tier subcontractor for any contract of a school district,
or any person associated therewith, as an inducement for the award of a subcontract or order.
p) RIGHTS TO INVENTIONS. The Contractor agrees to be compliant with the Rights to Inventions
Made by Nonprofit Organizations and Small Business Firms Under Government Grants and Contracts.
q) CLEAN AIR ACT AND THE FEDERAL WATER POLLUTION CONTROL ACT. The Contractor agrees to be
compliant with the Clean Air Act and the Federal Water Pollution Control Act and their implementing regulations.
s)
t) ENERGY POLICY AND CONSERVATION ACT. The Contractor agrees to be compliant with the Energy Policy and
Conservation Act pertaining to mandatory standards and policies relating to energy efficiency contained in the state energy
conservation plan.
u) DEBARMENT OR SUSPENSION. The Contractor certifies that neither they nor their subcontractor is debarred
suspended from receiving federal funds.
v) LOBBYING CERTIFICATION AND DISCLOSURE OF LOBBYING (BYRD ANTI- LOBBYING
AMENDMENT). The Contractor certifies that it has not and will not use any federal funds to lobby. If non-
federal funds are used to lobby, the contractor must complete the Disclosure of Lobbying and forward the disclosure to the
next tier, who must forward it through each tier to the federal awarding agency.
w) COPYRIGHT. All contracts paid from state or federal grants administered by TEA must retain copyright for the Texas
Education Agency (TEA) and for the federal government (if a federally funded contract) unless otherwise negotiated in
writing with TEA. Pursuant to the provisions in 2 CFR § 200.315, title to intangible property vests in the Member as long
as such property is used for authorized purposes. However, TEA and the federal awarding agency reserve a royalty-free,
nonexclusive and irrevocable right to reproduce, publish, or otherwise use the work for federal purposes, and to authorize
others to do so.
x) SOLID WASTE DISPOSAL ACT AND ITS IMPLEMENTING REGULATIONS. The Contractor certifies that it is
compliant with section 6002 of the Solid Waste Disposal Act and its implementing regulations. 2 CFR § 200.322.
y) PROFIT AS A SEPARATE ELEMENT OF PRICE. For purchases using federal funds in excess of $150,000, a
Cooperative member may be required to negotiate profit as a separate element of the price; 2 CFR 200.323(b).
