The Community Development Department of the City of San Carlos is requesting proposals from qualified individuals or firms to provide on-call legal services related to economic development and housing. The City intends to enter into contracts with multiple firms based on specific expertise, availability, and cost. Firms need not have expertise in both economic development and housing, but must have substantial experience in at least one of these two areas.

Scope of services includes:

Real Estate

providing assistance with real property transactions concerning disposition and/or development of City lands, including evaluation and advice regarding deal structure and terms, the negotiation and preparation of Development Agreements, Disposition and Development Agreements, Purchase and Sale Agreements, Surplus Land Act disposition, and Ground Leases, and related services as requested by the City

Housing and Land Use

review and drafting of affordable housing agreements, including developer agreements, resale restriction agreements, regulatory agreements, loan and financing documents and related documents; the provision of advice regarding compliance with state and federal law and regulations; review and drafting of updates to City housing policies and ordinances; the review and negotiation of lender and investor documents, assistance with escrow and closing, general assistance to Economic and Community Development Department staff, and related services as requested by the City

Eminent Domain

provision of advice and representation of the City in connection with potential eminent domain actions as requested by the City
