REQUEST FOR BIDS – FOOD SERVICE EQUIPMENT

Hempfield Area School District invites sealed bids for the supply and installation of one (1)
Combination Oven.

The Hempfield Area School District reserves the right to reject any or all bids, assign any or
all proposals, and waive irregularities in this proposal.
GENERAL CONDITIONS
1. TERMS
A. “Owner” shall mean Hempfield Area School District.
B. “Board” shall mean Hempfield Area School Board.
C. “Bidder” shall mean company qualified to bid in accordance with enclosed specifications.
D. “Contractor” shall mean the bidder who has been officially awarded and authorized by the
Board to enter into a contract.
E. “Articles” shall mean all supplies, materials, equipment and associated labor described in
these specifications.
2. Indemnification
A. If awarded the contract, the Bidder agrees to indemnify and hold harmless the Owner, its
Board of School Directors, members, Superintendent, and staff from any lawsuits or claims
arising from any written or verbal contract between the parties. This indemnification
agreement becomes automatically effective upon the award of the contract.
3. All applicable laws shall be deemed to be part of these specifications and shall be read and
enforced as though they were included. This includes the PA Act 1874-159, Worker and
Community Right-To-Know Law (12/1/86).
4. Replacement and Inspection
A. If awarded the contract, the Bidder agrees to deliver the items according to the specified
times, locations, and quantities. All items are subject to the Owner’s inspection and
approval. If any items are rejected as unsuitable or non-compliant, the successful Bidder
must immediately remove them and replace them with items that meet the specifications
at their own expense.
5. Termination for Cause
A. If delivered items do not meet bid specifications, the Contractor must correct them at their
own expense upon notification by the Owner. Failure to comply will result in the forfeiture
of the bid bond, and the Board will purchase the items from the next lowest bidder.
B. If the Contractor fails to deliver the specified items or services, or fails to replace rejected
items, the Owner may purchase conforming goods from another source at the Contractor’s
expense. Alternatively, the Owner may cancel the contract while retaining the right to
pursue damages.

6. Termination for Convenience
A. Termination of contract may be initiated by the Owner based on budgetary changes,
altered priorities, or other factors.
B. The Owner will provide written notice to the Contractor to end the contract without fault
to the Contractor.
C. The Contractor is entitled to payment for all work performed up to the date of termination,
reasonable profit, and termination settlement costs.
7. Equal Employment Opportunity
A. The Contractor must be in accordance with Executive Order 11246, “Equal Employment
Opportunity” (30 FR 12319, 12935, 3 CFR Part 1964-1965 Comp., p. 339), as amended by
Executive Order 11375, “Amending Executive Order 11246 Relating to Equal Employment
Opportunity,” and implementing regulations at 41 CFR Part 60, “Office of Federal Contract
Compliance Programs, Equal Employment Opportunity, Department of Labor”.
8. Davis-Bacon Act
A. The Contractor, if applicable, must comply with the Davis-Bacon Act (40 U.S.C. 3141- 3144
and 3146-3148) as supplemented by Department of Labor regulations (29 CFR Part 5,
“Labor Standards Provisions Applicable to Contracts Covering Federally Financed and
Assisted Construction”).
9. Rights to Inventions
A. The Contractor must comply with the requirements of 37 CFR Part 401, “Rights to
Inventions Made by Nonprofit Organizations and Small Business Firms Under Government
Grants, Contracts and Cooperative Agreements,” and any implementing regulations issued
by the awarding agency. 2 CFR Appendix II to Part 200(F).
10. Debarment and Suspension (Executive Orders 12549 and 12689)
A. The Owner will adhere to the following: A contract award (see 2 CFR 180.220) must not
be made to parties listed on the governmentwide exclusions in the System for Award
Management (SAM), in accordance with the OMB guidelines at 2 CFR 180 that implement
Executive Orders 12549 (3 CFR Part 1986 Comp., p. 189) and 12689 (3 CFR Part 1989
Comp., p. 235), “Debarment and Suspension.” SAM Exclusions contains the names of
parties debarred, suspended, or otherwise excluded by agencies, as well as parties declared
ineligible under statutory or regulatory authority other than Executive Order 12549. 2 CFR
Appendix II to Part 200(H).

11. The Owner and Contractor must comply with section 6002 of the Solid Waste Disposal Act, as
amended by the Resource Conservation and Recovery Act.
12. Telecommunications and Video Surveillance Systems: Public Law 115-232 must be followed.
13. Domestic Preference for Goods
A. To the maximum extent allowed by law, the District prioritizes the acquisition of products
produced within the United States (including but not limited to iron, aluminum, steel,
cement, and other manufactured products). This applies to all Contractors and
Subcontractors under this award.
1) For purposes of this section:
a. “Produced in the United States” means, for iron and steel products, that all
manufacturing processes, from the initial melting stage through the
application of coatings, occurred in the United States.
b. “Manufactured products” means items and construction materials
composed in whole or in part of non-ferrous metals such as aluminum;
plastics and polymer-based products such as polyvinyl chloride pipe;
aggregates such as concrete; glass, including optical fiber; and lumber. 2 CFR
Appendix II to Part 200(L)
14. Buy American Provision
A. The District participates in the National School Lunch Program and School Breakfast
Program and is required to use the nonprofit food service funds, to the maximum extent
practical, to buy domestic commodities or products for Program meals. A "domestic
commodity or product" is defined as one that is either produced in the U.S. or is processed
in the U.S. substantially using agricultural commodities that are produced in the U.S. as
provided in 7 CFR Part 210.21(d).

INSTRUCTIONS TO BIDDERS
1. Mail sealed bids to the Hempfield Area School District Bid Department (4347 Route 136,
Greensburg, PA 15601). Ensure both the inner envelope and the outer delivery packaging are
clearly labeled: "Combination Oven Bid" along with the due date.
2. Bidders must notify the Owner of intent to bid, along with contact information (email a must).
Bidders who fail to do this may not receive addenda and could be disqualified.
3. Bid Documents: Bids will be rejected if the forms listed below are not present and correct at the
bid due date and time.
A. Proposal/Signature Form, completed and signed.
B. Surety Bond or Certified Check in the amount of 10%. If bidding multiple items and/or
alternates, 10% of total bid required.
C. Non-Collusion Affidavit must be notarized, otherwise the bid will be rejected.
4. Bids must be typewritten or written legibly in ink and must be signed by the Bidder on the
enclosed bid form. Unsigned bids will not be considered.
5. Changing Quantities or Specifications: Modifying bid specifications, units, or quantities to align
with the Bidder’s pricing will result in the disqualification of the bid for that item.
6. Where the articles are specified by brand or manufacturer’s name and the Bidder intends to
supply exact article or supply an alternate, Bidder is to specify the brand and include Bidder’s
order number for that item. When brand names or alternate items are not identified on the bid,
the Owner will act on the fact that the Bidder is submitting a price “AS SPECIFIED”.
7. All Bidders must comply with the Right-To-Know Act pertaining to hazardous materials and
provide a Materials Safety Data Sheet for any item for which this should pertain.
8. Pricing
A. Bid figures shall include ALL charges and discounts such as: packaging, handling, shipping,
prepaid delivery, any hazardous material charge, delivery fuel surcharge, etc.; all discounts
except any cash discount.
B. Bids containing 'minimum order' requirements will be disqualified.
C. The Owner is exempt from Federal Excise Tax and State Sales and Use Tax and will execute
Tax Exemption Certificates when requested.
