NOTICE OF INTENT (NOI 6527)
Board management software

Issued: September 18, 2025
The Insurance Corporation of British Columbia (ICBC) hereby gives notice that it intends to direct award a contract to Diligent Canada Inc. with an address of 1000 de la Gauchetiere West, 24th Floor – Montreal, Quebec H3B 4W5 to provide Board Management software.

The contract term is three years, beginning on December 1, 2025, and ending on November 30, 2028, covering 39 users.

ICBC’s Board of Directors requires board management software that provides a secure collaborative online environment to enable real-time collaboration and secure sharing of confidential documents remotely, while maintaining strict data privacy and integrity. The application must support document sharing and editing while complying with ICBC’s information security and privacy policies.

Diligent provides a board management software solution that offers a secure collaborative online environment with demonstrated compliance and operational reliability. Specifically, Diligent meets all the following requirements:
    Hosted as a SaaS solution, here defined as a cloud-based model where users access applications via the internet, typically through a web browser, without local installation. The provider manages hosting, maintenance, updates, and security, while users pay a subscription fee to use the service; Encryption of all data at rest using the Advanced Encryption Standard (AES) algorithm with a 256-bit key; Transport Layer Security (TLS) for all data in transit; Adherence to ISO/IEC 27001 and 27017 (or equivalent) ISMS standards; SOC2 Type 2 compliance for all data centres housing ICBC data; Single Sign-On (SSO) via Azure Active Directory using the Security Assertion Markup Language (SAML) protocol, with ICBC as the Identity Provider (IdP); Support for data archiving, eradication, and deletion; Isolated tenancy for different customers to ensure data segregation and security; and Ability to manage and enforce privileged and administrative access controls for both ICBC and the vendor’s staff, ensuring secure and monitored access to sensitive data and functionalities.

Vendors wishing to object to this decision should send an email to Sourcing@ICBC.com by October 3 rd , 2025 at 12:00 noon PT with specific reasons for their objection and citing “NOI 6527 Board management software” in the email message subject line.

Objections must include specific reasons, with supporting evidence demonstrating that the vendor: Meets all requirements set out in this notice;        Offers a solution with equivalent functionality and compliance at a competitive price; and        Complies with all applicable B.C. laws and ICBC policies.
Vendors who object to this NOI must confirm that they are not a U.S. supplier(1) and provide supporting documentation as requested by ICBC. Objections from any U.S. supplier will not be considered while the BC Government’s purchasing directives, issued in response to the imposition of U.S. tariffs, remain in effect.

(1) A “U.S. supplier” is defined as: A corporation, limited partnership or similar business entity incorporated or otherwise established pursuant to the laws of the United States (including, for clarity, any state or territory thereof); or        An individual (including a sole proprietor) or a general partnership which has as its principal place of business an address in the United States.
