TheCommonwealthreservestheright,uponnoticetotheContractor,toextendanysingletermoftheContractfor
uptothree(3)monthsuponthesametermsandconditions.

The Contractshallnotbealegallybindingcontractuntilthefully-executedContracthasbeensenttothe
Contractor.NoCommonwealthemployeehastheauthoritytoverballydirectthecommencementofanyworkor
deliveryofanysupplyunderthisContractpriortotheEffectiveDate.TheContractorherebywaivesanyclaimor
causeofactionforanyserviceorworkperformedpriortotheEffectiveDate.
TheContractmaybeelectronicallysignedbytheCommonwealth.Theelectronically-printednameofthe
PurchasingAgentrepresentsthesignatureofthatindividualwhohastheauthority,onbehalfoftheCommonwealth,
tobindtheCommonwealthtothetermsoftheContract.IftheContractoutputformdoesnothave"FullyExecuted"
atthetopofthefirstpageanddoesnothavethenameofthePurchasingAgentprintedintheappropriatebox,the
Contracthasnotbeenfullyexecuted.
Thefully-executedContractmaybesenttotheContractorelectronicallyorthroughfacsimileequipment.The
electronictransmissionoftheContractshallrequireacknowledgementofreceiptofthetransmissionbythe
Contractor.ReceiptoftheelectronicorfacsimiletransmissionoftheContractshallconstitutereceiptofthe
fully-executedContract.
TheCommonwealthandtheContractorspecificallyagreeasfollows:
a.NohandwrittensignatureshallberequiredinorderfortheContracttobelegallyenforceable.
b.ThepartiesagreethatnowritingshallberequiredinordertomaketheContractlegallybinding,notwithstanding

contraryrequirementsinanylaw.Thepartiesherebyagreenottocontestthevalidityorenforceabilityofagenuine
Contractoracknowledgementissuedelectronicallyundertheprovisionsofastatuteoffraudsoranyother
applicablelawrelatingtowhethercertainagreementsbeinwritingandsignedbythepartyboundthereby.Any
genuineContractoracknowledgementissuedelectronically,ifintroducedasevidenceonpaperinanyjudicial,
arbitration,mediation,oradministrativeproceedings,willbeadmissibleasbetweenthepartiestothesameextent
andunderthesameconditionsasotherbusinessrecordsoriginatedandmaintainedindocumentaryform.Neither
partyshallcontesttheadmissibilityofcopiesofagenuineContractoracknowledgementsundereitherthebusiness
recordsexceptiontothehearsayruleorthebestevidenceruleonthebasisthattheContractoracknowledgement
werenotinwritingorsignedbytheparties.AContractoracknowledgmentshallbedeemedtobegenuineforall
purposesifitistransmittedtothelocationdesignatedforsuchdocuments.
c.Eachpartywillimmediatelytakestepstoverifyanydocumentthatappearstobeobviouslygarbledin
transmissionorimproperlyformattedtoincludere-transmissionofanysuchdocumentifnecessary.
V.6CONTRACT-004.1aDefinitions(Oct2013)
AsusedinthisContract,thesewordsshallhavethefollowingmeanings:
a. Agency:Thedepartment,board,commissionorotheragencyoftheCommonwealthofPennsylvanialistedas
thePurchasingAgency. IfaCOSTARSentityorexternalprocurementactivityhasissuedanorderagainstthis
contract,thatentityshallalsobeidentifiedas"Agency".
b. ContractingOfficer:ThepersonauthorizedtoadministerthisContractfortheCommonwealthandtomake
writtendeterminationswithrespecttotheContract.
c. Days:Unlessspecificallyindicatedotherwise,daysmeancalendardays.
d. DevelopedWorksorDevelopedMaterials: Alldocuments,sketches,drawings,designs,works,papers,files,
reports,computerprograms,computerdocumentation,data,records,software,samplesoranyothertangible
materialwithoutlimitationauthoredorpreparedbyContractorastheworkproductcoveredinthescopeofworkfor
theProject.
e. Documentation:Allmaterialsrequiredtosupportandconveyinformationabouttheservicesrequiredbythis
Contract.Itincludes,butisnotnecessarilyrestrictedto,writtenreportsandanalyses,diagrams,maps,logicaland
physicaldesigns,systemdesigns,computerprograms,flowcharts,disks,and/orothermachine-readablestorage
media.
f. Services:AllContractoractivitynecessarytosatisfytheContract.
V.7CONTRACT-005.1aPurchaseOrders(July2015)
CommonwealthagenciesmayissuePurchaseOrdersagainsttheContract.TheseordersconstitutetheContractor's
authoritytomakedelivery.AllPurchaseOrdersreceivedbytheContractoruptoandincludingtheexpirationdate
oftheContractareacceptableandmustbeperformedinaccordancewiththeContract.EachPurchaseOrderwillbe
deemedtoincorporatethetermsandconditionssetforthintheContract.
PurchaseOrdersmaybeelectronicallysignedbytheAgency.Theelectronically-printednameofthepurchaser
representsthesignatureofthatindividualwhohastheauthority,onbehalfoftheCommonwealth,toauthorizethe
Contractortoproceed.
PurchaseOrdersmaybeissuedelectronicallyorthroughfacsimileequipment.Theelectronictransmissionofa
purchaseordershallrequireacknowledgementofreceiptofthetransmissionbytheContractor.Receiptofthe
electronicorfacsimiletransmissionofthePurchaseOrdershallconstitutereceiptofanorder.Ordersreceivedbythe
Contractorafter4:00p.m.willbeconsideredreceivedthefollowingbusinessday.
a.NohandwrittensignatureshallberequiredinorderfortheContractorPurchaseOrdertobelegallyenforceable.
b.ThepartiesagreethatnowritingshallberequiredinordertomakethePurchaseOrderlegallybinding.The
partiesherebyagreenottocontestthevalidityorenforceabilityofaPurchaseOrderoracknowledgementissued
electronicallyundertheprovisionsofastatuteoffraudsoranyotherapplicablelawrelatingtowhethercertain

agreementsbeinwritingandsignedbythepartyboundthereby.AnyPurchaseOrderoracknowledgementissued
electronically,ifintroducedasevidenceonpaperinanyjudicial,arbitration,mediation,oradministrative
proceedings,willbeadmissibleasbetweenthepartiestothesameextentandunderthesameconditionsasother
businessrecordsoriginatedandmaintainedindocumentaryform.Neitherpartyshallcontesttheadmissibilityof
copiesofPurchaseOrdersoracknowledgementsundereitherthebusinessrecordsexceptiontothehearsayruleor
thebestevidenceruleonthebasisthatthePurchaseOrderoracknowledgementwerenotinwritingorsignedbythe
parties.APurchaseOrderoracknowledgmentshallbedeemedtobegenuineforallpurposesifitistransmittedto
thelocationdesignatedforsuchdocuments.
c.Eachpartywillimmediatelytakestepstoverifyanydocumentthatappearstobeobviouslygarbledin
transmissionorimproperlyformattedtoincludere-transmissionofanysuchdocumentifnecessary.
Purchase Orders under ten thousand dollars ($10,000) in total amount may also be made in person or by telephone
using a Commonwealth Purchasing Card. When an order is placed by telephone, the Commonwealth agency shall
providetheagencyname,employeename,creditcardnumber,andexpirationdateofthecard.Contractorsagreeto
acceptpaymentthroughtheuseoftheCommonwealthPurchasingCard.
V.8CONTRACT-006.1IndependentPrimeContractor(Oct2006)
InperformingitsobligationsundertheContract,theContractorwillactasanindependentcontractorandnotasan
employeeoragentoftheCommonwealth. TheContractorwillberesponsibleforallservicesinthisContract
whetherornotContractorprovidesthemdirectly.Further,theContractoristhesolepointofcontactwithregardto
allcontractualmatters,includingpaymentofanyandallchargesresultingfromtheContract.
V.9CONTRACT-007.01aSuppliesDelivery(Nov302006)
Allitem(s)shallbedeliveredF.O.B.Destination. TheContractoragreestobeartheriskofloss,injury,or
destructionoftheitem(s)orderedpriortoreceiptoftheitemsbytheCommonwealth. Suchloss,injury,or
destructionshallnotreleasetheContractorfromanycontractualobligations. Exceptasotherwiseprovidedinthis
contract,allitem(s)mustbedeliveredwithinthetimeperiodspecified. Timeisoftheessenceand,inadditionto
anyotherremedies,theContractissubjecttoterminationforfailuretodeliverasspecified. Unlessotherwisestated
inthisContract,deliverymustbemadewithinthirty(30)daysaftertheEffectiveDate.
V.10CONTRACT-007.02EstimatedQuantities(Nov302006)
ItshallbeunderstoodandagreedthatanyquantitieslistedintheContractareestimatedonlyandmaybeincreased
ordecreasedinaccordancewiththeactualrequirementsoftheCommonwealthandthattheCommonwealthin
acceptinganybidorportionthereof,contractsonlyandagreestopurchaseonlythematerialsandservicesinsuch
quantitiesasrepresenttheactualrequirementsoftheCommonwealth. TheCommonwealthreservestherightto
purchasematerialsandservicescoveredundertheContractthroughaseparatecompetitiveprocurementprocedure,
wheneverCommonwealthdeemsittobeinitsbestinterest.
V.11CONTRACT-008.1aWarranty.(Oct2006)
TheContractorwarrantsthatallitemsfurnishedandallservicesperformedbytheContractor,itsagentsand
subcontractorsshallbefreeandclearofanydefectsinworkmanshipormaterials.Unlessotherwisestatedinthe
Contract,allitemsarewarrantedforaperiodofoneyearfollowingdeliverybytheContractorandacceptancebythe
Commonwealth.TheContractorshallrepair,replaceorotherwisecorrectanyproblemwiththedelivereditem.
Whenanitemisreplaced,itshallbereplacedwithanitemofequivalentorsuperiorqualitywithoutanyadditional
costtotheCommonwealth.
V.12CONTRACT-009.1cPatent,Copyright,andTrademarkIndemnity(Oct2013)
TheContractorwarrantsthatitisthesoleownerorauthorof,orhasenteredintoasuitablelegalagreement
concerningeither:a)thedesignofanyproductorprocessprovidedorusedintheperformanceoftheContractwhich

iscoveredbyapatent,copyright,ortrademarkregistrationorotherrightdulyauthorizedbystateorfederallawor
b)anycopyrightedmatterinanyreport,documentorothermaterialprovidedtotheCommonwealthunderthe
contract.
TheContractorshalldefendanysuitorproceedingbroughtagainsttheCommonwealthonaccountofanyalleged
patent,copyrightortrademarkinfringementintheUnitedStatesofanyoftheproductsprovidedorusedinthe
performanceoftheContract.
ThisisuponconditionthattheCommonwealthshallprovidepromptnotificationinwritingofsuchsuitor
proceeding;fullright,authorizationandopportunitytoconductthedefensethereof;andfullinformationandall
reasonablecooperationforthedefenseofsame.
Asprinciplesofgovernmentalorpubliclawareinvolved,theCommonwealthmayparticipateinorchooseto
conduct,initssolediscretion,thedefenseofanysuchaction.
IfinformationandassistancearefurnishedbytheCommonwealthattheContractor'swrittenrequest,itshallbeat
theContractor'sexpense,buttheresponsibilityforsuchexpenseshallbeonlythatwithintheContractor'swritten
authorization.
TheContractorshallindemnifyandholdtheCommonwealthharmlessfromalldamages,costs,andexpenses,
includingattorney'sfeesthattheContractorortheCommonwealthmaypayorincurbyreasonofanyinfringement
orviolationoftherightsoccurringtoanyholderofcopyright,trademark,orpatentinterestsandrightsinany
productsprovidedorusedintheperformanceoftheContract.
IfanyoftheproductsprovidedbytheContractorinsuchsuitorproceedingareheldtoconstituteinfringementand
theuseisenjoined,theContractorshall,atitsownexpenseandatitsoption,eitherprocuretherighttocontinueuse
ofsuchinfringementproducts,replacethemwithnon-infringementequalperformanceproductsormodifythemso
thattheyarenolongerinfringing.
IftheContractorisunabletodoanyofthepreceding,theContractoragreestoremovealltheequipmentorsoftware
whichareobtainedcontemporaneouslywiththeinfringingproduct,or,attheoptionoftheCommonwealth,only
thoseitemsofequipmentorsoftwarewhichareheldtobeinfringing,andtopaytheCommonwealth:1)any
amountspaidbytheCommonwealthtowardsthepurchaseoftheproduct,lessstraightlinedepreciation;2)any
licensefeepaidbytheCommonwealthfortheuseofanysoftware,lessanamountfortheperiodofusage;and3)the
prorataportionofanymaintenancefeerepresentingthetimeremaininginanyperiodofmaintenancepaidfor.The
obligationsoftheContractorunderthisparagraphcontinuewithouttimelimit.Nocostsorexpensesshallbe
incurredfortheaccountoftheContractorwithoutitswrittenconsent.
V.13CONTRACT-009.1dOwnershipRights(Oct2006)
TheCommonwealthshallhaveunrestrictedauthoritytoreproduce,distribute,anduseanysubmittedreport,data,or
material,andanysoftwareormodificationsandanyassociateddocumentationthatisdesignedordevelopedand
deliveredtotheCommonwealthaspartoftheperformanceoftheContract.
V.14CONTRACT-010.1aAcceptance(Oct2006)
Noitem(s)receivedbytheCommonwealthshallbedeemedaccepteduntiltheCommonwealthhashadareasonable
opportunitytoinspecttheitem(s). Anyitem(s)whichisdiscoveredtobedefectiveorfailstoconformtothe
specificationsmayberejecteduponinitialinspectionoratanylatertimeifthedefectscontainedintheitem(s)orthe
noncompliancewiththespecificationswerenotreasonablyascertainableupontheinitialinspection. Itshall
thereuponbecomethedutyoftheContractortoremoverejecteditem(s)fromthepremiseswithoutexpensetothe
Commonwealthwithinfifteen(15)daysafternotification. Rejecteditem(s)leftlongerthanfifteen(15)dayswillbe
regardedasabandoned,andtheCommonwealthshallhavetherighttodisposeofthemasitsownpropertyandshall
retainthatportionoftheproceedsofanysalewhichrepresentstheCommonwealth'scostsandexpensesinregardto
thestorageandsaleoftheitem(s). Uponnoticeofrejection,theContractorshallimmediatelyreplaceallsuch
rejecteditem(s)withothersconformingtothespecificationsandwhicharenotdefective. IftheContractorfails,
neglectsorrefusestodoso,theCommonwealthshallthenhavetherighttoprocureacorrespondingquantityofsuch

item(s),anddeductfromanymoniesdueorthatmaythereafterbecomeduetotheContractor,thedifference
betweenthepricestatedintheContractandthecostthereoftotheCommonwealth.
V.15CONTRACT-010.2ProductConformance(March2012)
TheCommonwealthreservestherighttorequireanyandallContractorsto:
1. ProvidecertifieddatafromlaboratorytestingperformedbytheContractor,orperformedbyanindependent
laboratory,asspecifiedbytheCommonwealth.
2. Supplypublishedmanufacturerproductdocumentation.
3. PermitaCommonwealthrepresentativetowitnesstestingattheContractor'slocationoratanindependent
laboratory.
4. Completeasurvey/questionnairerelatingtothebidrequirementsandspecifications.
5. Providecustomerreferences.
6. ProvideaproductdemonstrationatalocationnearHarrisburgortheusingagencylocation.
V.16CONTRACT-010.3RejectedMaterialNotConsideredAbandoned(March2012)
TheCommonwealthshallhavetherighttonotregardanyrejectedmaterialasabandonedandtodemandthatthe
Contractorremovetherejectedmaterialfromthepremiseswithinthirty(30)daysofnotification. TheContractor
shallberesponsibleforremovaloftherejectedmaterialaswellasproperclean-up. IftheContractorfailsor
refusestoremovetherejectedmaterialasdemandedbytheCommonwealth,theCommonwealthmayseekpayment
from,orset-offfromanypaymentsduetotheContractorunderthisoranyotherContractwiththeCommonwealth,
thecostsofremovalandclean-up. Thisisinadditiontoallotherrightstorecovercostsincurredbythe
Commonwealth.
V.17CONTRACT-011.1aComplianceWithLaw(Oct2006)
TheContractorshallcomplywithallapplicablefederalandstatelawsandregulationsandlocalordinancesinthe
performanceoftheContract.

V.21CONTRACT-015.1Compensation(Oct2006)
The Contractor shall be required to furnish the awarded item(s) at the price(s) quoted in the Purchase Order. All
item(s) shall be delivered within the time period(s) specified in the Purchase Order. The Contractor shall be
compensatedonlyforitem(s)thataredeliveredandacceptedbytheCommonwealth.
V.22CONTRACT-015.2BillingRequirements(July2021)
UnlesstheContractorhasbeenauthorizedbytheCommonwealthforEvaluatedReceiptSettlementorVendor
Self-Invoicing,theContractorshallincludeinallofitsinvoicesthefollowingminimuminformation:
* Vendornameand"Remitto"address,includingSAPVendornumber;
* SAPPurchaseOrdernumber;
* DeliveryAddress,includingnameofCommonwealthagency;
* Descriptionofthesupplies/servicesdeliveredinaccordancewithSAPPurchaseOrder(include
purchaseorderlinenumberifpossible);
* Quantityprovided;
* Unitprice;
* Priceextension;
* Totalprice;and
* Deliverydateofsuppliesorservices.
Ifaninvoicedoesnotcontaintheminimuminformationsetforthinthisparagraph,theCommonwealthmayreturn
theinvoiceasimproper.IftheCommonwealthreturnsaninvoiceasimproper,thetimeforprocessingapayment
willbesuspendeduntiltheCommonwealthreceivesacorrectinvoice. TheContractormaynotreceivepayment
untiltheCommonwealthhasreceivedacorrectinvoice.
Contractorsarerequiredtoestablishseparatebillingaccountswitheachusingagencyandinvoicethemdirectly.
EachinvoiceshallbeitemizedwithadequatedetailandmatchthelineitemonthePurchaseOrder. Innoinstance

V.23CONTRACT-016.1Payment(Oct2006)
a. TheCommonwealthshallputforthreasonableeffortstomakepaymentbytherequiredpaymentdate.The
requiredpaymentdateis:(a)thedateonwhichpaymentisdueunderthetermsoftheContract;(b)thirty(30)
daysafteraproperinvoiceactuallyisreceivedatthe"BillTo"addressifadateonwhichpaymentisdueisnot
specifiedintheContract(a"proper"invoiceisnotreceiveduntiltheCommonwealthacceptstheserviceas
satisfactorilyperformed);or(c)thepaymentdatespecifiedontheinvoiceiflaterthanthedatesestablishedby
(a)and(b)above.Paymentmaybedelayedifthepaymentamountonaninvoiceisnotbasedupontheprice(s)
asstatedintheContract.Ifanypaymentisnotmadewithinfifteen(15)daysaftertherequiredpaymentdate,the
CommonwealthmaypayinterestasdeterminedbytheSecretaryofBudgetinaccordancewithActNo.266of
1982andregulationspromulgatedpursuantthereto.PaymentshouldnotbeconstruedbytheContractoras
acceptanceoftheserviceperformedbytheContractor.TheCommonwealthreservestherighttoconductfurther
testingandinspectionafterpayment,butwithinareasonabletimeafterperformance,andtorejecttheserviceif
suchpostpaymenttestingorinspectiondisclosesadefectorafailuretomeetspecifications.TheContractor
agreesthattheCommonwealthmaysetofftheamountofanystatetaxliabilityorotherobligationofthe
ContractororitssubsidiariestotheCommonwealthagainstanypaymentsduetheContractorunderanycontract
withtheCommonwealth.

b. TheCommonwealthshallhavetheoptionofusingtheCommonwealthpurchasingcardtomakepurchasesunder
theContractorPurchaseOrder.TheCommonwealth'spurchasingcardissimilartoacreditcardinthattherewill
beasmallfeewhichtheContractorwillberequiredtopayandtheContractorwillreceivepaymentdirectlyfrom
thecardissuerratherthantheCommonwealth.Anyandallfeesrelatedtothistypeofpaymentarethe
responsibilityoftheContractor.InnocasewilltheCommonwealthallowincreasesinpricestooffsetcreditcard
feespaidbytheContractororanyotherchargesincurredbytheContractor,unlessspecificallystatedinthe
termsoftheContractorPurchaseOrder.
V.24CONTRACT-016.2Payment-ElectronicFundsTransfer(February2014)
a.TheCommonwealthwillmakecontractpaymentsthroughtheAutomatedClearingHouse(ACH). Within10
daysofawardofthecontractorpurchaseorder,thecontractormustsubmitormusthavealreadysubmittedtheir
ACHinformationwithintheiruserprofileintheCommonwealth'sprocurementsystem(SRM).
b.Thecontractormustsubmitauniqueinvoicenumberwitheachinvoicesubmitted. Theuniqueinvoicenumber
willbelistedontheCommonwealthofPennsylvania'sACHremittanceadvicetoenablethecontractortoproperly
applythestateagency'spaymenttotheinvoicesubmitted.
c.ItistheresponsibilityofthecontractortoensurethattheACHinformationcontainedinSRMisaccurateand
complete. Failuretomaintainaccurateandcompleteinformationmayresultindelaysinpayments.
V.25CONTRACT-017.1Taxes(Dec52006)
TheCommonwealthisexemptfromallexcisetaxesimposedbytheInternalRevenueServiceandhasaccordingly
registeredwiththeInternalRevenueServicetomaketaxfreepurchasesunderRegistrationNo.23-23740001-K.
Withtheexceptionofpurchasesofthefollowingitems,noexemptioncertificatesarerequiredandnonewillbe
issued:undyeddieselfuel,tires,trucks,gasguzzleremergencyvehicles,andsportsfishingequipment.The
Commonwealthisalsoexemptfrom Pennsylvania statesalestax,localsalestax,publictransportationassistance
taxesandfeesandvehiclerentaltax.TheDepartmentofRevenueregulationsprovidethatexemptioncertificatesare
notrequiredforsalesmadetogovernmentalentitiesandnonewillbeissued.Nothinginthisparagraphismeantto
exemptaconstructioncontractorfromthepaymentofanyofthesetaxesorfeeswhicharerequiredtobepaidwith
respecttothepurchase,use,rental,orleaseoftangiblepersonalpropertyortaxableservicesusedortransferredin
connectionwiththeperformanceofaconstructioncontract.
V.26CONTRACT-018.1AssignmentofAntitrustClaims(Oct2006)
TheContractorandtheCommonwealthrecognizethatinactualeconomicpractice,overchargesbytheContractor's
suppliersresultingfromviolationsofstateorfederalantitrustlawsareinfactbornebytheCommonwealth.Aspart
oftheconsiderationfortheawardoftheContract,andintendingtobelegallybound,theContractorassignstothe
Commonwealthallright,titleandinterestinandtoanyclaimstheContractornowhas,ormayacquire,understate
orfederalantitrustlawsrelatingtotheproductsandserviceswhicharethesubjectofthisContract.
V.27CONTRACT-019.1HoldHarmlessProvision(Nov302006)
a. TheContractorshallholdtheCommonwealthharmlessfromandindemnifytheCommonwealthagainstanyand
allthirdpartyclaims,demandsandactionsbaseduponorarisingoutofanyactivitiesperformedbythe
ContractoranditsemployeesandagentsunderthisContract,providedtheCommonwealthgivesContractor
promptnoticeofanysuchclaimofwhichitlearns. PursuanttotheCommonwealthAttorneysAct(71P.S.
Section732-101,etseq.),theOfficeofAttorneyGeneral(OAG)hasthesoleauthoritytorepresentthe
CommonwealthinactionsbroughtagainsttheCommonwealth. TheOAGmay,however,initssolediscretion
andundersuchtermsasitdeemsappropriate,delegateitsrightofdefense. IfOAGdelegatesthedefensetothe
Contractor,theCommonwealthwillcooperatewithallreasonablerequestsofContractormadeinthedefenseof
suchsuits.

b. Notwithstandingtheabove,neitherpartyshallenterintoanysettlementwithouttheotherparty'swrittenconsent,
whichshallnotbeunreasonablywithheld. TheCommonwealthmay,initssolediscretion,allowtheContractor
tocontrolthedefenseandanyrelatedsettlementnegotiations.
V.28CONTRACT-020.1AuditProvisions(Oct2006)
TheCommonwealthshallhavetheright,atreasonabletimesandatasitedesignatedbytheCommonwealth,toaudit
thebooks,documentsandrecordsoftheContractortotheextentthatthebooks,documentsandrecordsrelateto
costsorpricingdatafortheContract.TheContractoragreestomaintainrecordswhichwillsupporttheprices
chargedandcostsincurredfortheContract.TheContractorshallpreservebooks,documents,andrecordsthatrelate
tocostsorpricingdatafortheContractforaperiodofthree(3)yearsfromdateoffinalpayment.TheContractor
shallgivefullandfreeaccesstoallrecordstotheCommonwealthand/ortheirauthorizedrepresentatives.
V.29CONTRACT-021.1Default(Oct2013)
a. TheCommonwealthmay,subjecttotheForceMajeureprovisionsofthisContract,andinadditiontoitsother
rightsundertheContract,declaretheContractorindefaultbywrittennoticethereoftotheContractor,andterminate
(asprovidedintheTerminationProvisionsofthisContract)thewholeoranypartofthisContractoranyPurchase
Orderforanyofthefollowingreasons:
1) FailuretobeginworkwithinthetimespecifiedintheContractorPurchaseOrderorasotherwisespecified;
2) Failuretoperformtheworkwithsufficientlabor,equipment,ormaterialtoensurethecompletionofthe
specifiedworkinaccordancewiththeContractorPurchaseOrderterms;
3) Unsatisfactoryperformanceofthework;
4) Failuretodelivertheawardeditem(s)withinthetimespecifiedintheContractorPurchaseOrderorasotherwise
specified;
5) Improperdelivery;
6) Failuretoprovideanitem(s)whichisinconformancewiththespecificationsreferencedintheContractor
PurchaseOrder;
7) Deliveryofadefectiveitem;
8) Failureorrefusaltoremovematerial,orremoveandreplaceanyworkrejectedasdefectiveorunsatisfactory;
9) Discontinuanceofworkwithoutapproval;
10)Failuretoresumework,whichhasbeendiscontinued,withinareasonabletimeafternoticetodoso;
11)Insolvencyorbankruptcy;
12) Assignmentmadeforthebenefitofcreditors;
13) Failureorrefusalwithin10daysafterwrittennoticebytheContractingOfficer,tomakepaymentorshow
causewhypaymentshouldnotbemade,ofanyamountsdueformaterialsfurnished,laborsuppliedorperformed,
forequipmentrentals,orforutilityservicesrendered;
14) Failuretoprotect,torepair,ortomakegoodanydamageorinjurytoproperty;
15) BreachofanyprovisionoftheContract;

16) Failuretocomplywith representationsmadeintheContractor'sbid/proposal;or
17) Failuretocomplywithapplicableindustrystandards,customs,andpractice.
b. IntheeventthattheCommonwealthterminatesthisContractoranyPurchaseOrderinwholeorinpartas
providedinSubparagrapha.above,theCommonwealthmayprocure,uponsuchtermsandinsuchmannerasit
determines,itemssimilaroridenticaltothosesoterminated,andtheContractorshallbeliabletothe
Commonwealthforanyreasonableexcesscostsforsuchsimilaroridenticalitemsincludedwithintheterminated
partoftheContractorPurchaseOrder.
c. IftheContractoraPurchaseOrderisterminatedasprovidedinSubparagrapha.above,theCommonwealth,in
additiontoanyotherrightsprovidedinthisparagraph,mayrequiretheContractortotransfertitleanddeliver
immediatelytotheCommonwealthinthemannerandtotheextentdirectedbytheContractingOfficer,such
partiallycompleteditems,including,whereapplicable,reports,workingpapersandotherdocumentation,asthe
ContractorhasspecificallyproducedorspecificallyacquiredfortheperformanceofsuchpartoftheContractor
PurchaseOrderashasbeenterminated.Exceptasprovidedbelow,paymentforcompletedworkacceptedbythe
CommonwealthshallbeattheContractprice.Exceptasprovidedbelow,paymentforpartiallycompleteditems
including,whereapplicable,reportsandworkingpapers,deliveredtoandacceptedbytheCommonwealthshallbe
inanamountagreeduponbytheContractorandContractingOfficer.TheCommonwealthmaywithholdfrom
amountsotherwiseduetheContractorforsuchcompletedorpartiallycompletedworks,suchsumastheContracting
OfficerdeterminestobenecessarytoprotecttheCommonwealthagainstloss.
d. TherightsandremediesoftheCommonwealthprovidedinthisparagraphshallnotbeexclusiveandarein
additiontoanyotherrightsandremediesprovidedbylaworunderthisContract.
e. TheCommonwealth'sfailuretoexerciseanyrightsorremediesprovidedinthisparagraphshallnotbeconstrued
tobeawaiverbytheCommonwealthofitsrightsandremediesinregardtotheeventofdefaultoranysucceeding
eventofdefault.
f. FollowingexhaustionoftheContractor'sadministrativeremediesassetforthintheContractControversies
ProvisionoftheContract,theContractor'sexclusiveremedyshallbetoseekdamagesintheBoardofClaims.
V.30CONTRACT-022.1ForceMajeure(Oct2006)
NeitherpartywillincuranyliabilitytotheotherifitsperformanceofanyobligationunderthisContractisprevented
ordelayedbycausesbeyonditscontrolandwithoutthefaultornegligenceofeitherparty.Causesbeyondaparty's
controlmayinclude,butaren'tlimitedto,actsofGodorwar,changesincontrollinglaw,regulations,ordersorthe
requirementsofanygovernmentalentity,severeweatherconditions,civildisorders,naturaldisasters,fire,epidemics
andquarantines,generalstrikesthroughoutthetrade,andfreightembargoes.
TheContractorshallnotifytheCommonwealthorallywithinfive(5)daysandinwritingwithinten(10)daysofthe
dateonwhichtheContractorbecomesaware,orshouldhavereasonablybecomeaware,thatsuchcausewould
preventordelayitsperformance.Suchnotificationshall(i)describefullysuchcause(s)anditseffecton
performance,(ii)statewhetherperformanceunderthecontractispreventedordelayedand(iii)ifperformanceis
delayed,stateareasonableestimateofthedurationofthedelay.TheContractorshallhavetheburdenofproving
thatsuchcause(s)delayedorpreventeditsperformancedespiteitsdiligenteffortstoperformandshallproducesuch
supportingdocumentationastheCommonwealthmayreasonablyrequest.Afterreceiptofsuchnotification,the
CommonwealthmayelecttocanceltheContract,cancelthePurchaseOrder,ortoextendthetimeforperformance
asreasonablynecessarytocompensatefortheContractor'sdelay.
Intheeventofadeclaredemergencybycompetentgovernmentalauthorities,theCommonwealthbynoticetothe
Contractor,maysuspendalloraportionoftheContractorPurchaseOrder.
V.31CONTRACT-023.1aTerminationProvisions(Oct2013)
TheCommonwealthhastherighttoterminatethisContractoranyPurchaseOrderforanyofthefollowingreasons.
TerminationshallbeeffectiveuponwrittennoticetotheContractor.
