1.0 Proposal Invitation
Washtenaw Community College (“College” and/or “WCC”) seeks proposals from qualified Providers of
Professional Auditing Services. The major goal of this project is to provide auditing services for Washtenaw
Community College and its component unit, Washtenaw Community College Foundation. The College
expects to enter into a five-year agreement with the successful supplier from the date of contract execution
through June 30, 2030. The selected supplier will be able to provide all deliverables outlined in the RFP.
Response to this RFP confirms an understanding that this is not a contract or offer of business by the
College. This request for proposal in no manner obligates the College to the eventual purchase of any
products or services described, implied, or which may be proposed, until confirmed by written agreement,
and may be terminated by the College without penalty or obligation at any time prior to the signing of an
agreement, contract, or purchase order. In submitting a proposal, Firm agrees that all materials associated
with, attached to, or referenced by the submitted proposal will become the property of the College and may
be incorporated into a subsequent contractual agreement.
The College is not liable in any manner or to any extent for any cost or expense incurred by the Firm in the
preparation, submission, presentation, or any other action connected with proposing or otherwise
responding to this RFP. Such exemption from liability applies whether such costs are incurred directly by
the Firm or indirectly through the Firm’s agents, employees, assigns, or others, whether related or not to
the Firm.
The College reserves the right to reject any and all proposals and waive any irregularities. Proposals which
fail to comply fully with any provisions of this document may be considered invalid and may not receive
consideration. The College also reserves the right to negotiate terms and conditions of a contract with the
awarded Firm. The College reserves the right to award a contract based on any combination of the
specifications described herein.
The awarded Firm’s proposal response shall be subject to, and governed by the College’s Terms and
Conditions for the Purchase of Products and Services located at
https://www.wccnet.edu/about/purchasing/terms-and-conditions.php as a condition of award, and are
hereby incorporated herein as a substantive part of the solicitation documents. In the event there is any
conflict or inconsistency between the Terms & Conditions referenced in the RFP documents and
those included in a Firm’s Proposal response, Firm’s quote, or listed on the Firm’s website, the
Terms & Conditions of the RFP documents shall govern. Proposal submissions must include all
exceptions to the College’s terms and conditions of purchase. A purchase order signed by an authorized
agent of the College is required to constitute acceptance of Proposal offer and offer terms and conditions
of service. This RFP and any subsequently offered contracts will be governed by the laws of the State of
Michigan. Any and all applicable valid executive orders, Federal, State or local laws, ordinances or rules
or regulations shall apply to any contract if and when offered and are deemed incorporated herein.
As a public institution, the College is subject to the terms and conditions of the Freedom of Information
Act. As required by law, any information submitted in response to this request for proposal could become
public information. Firms responding to this proposal are cautioned not to include any proprietary
information as part of their proposal unless such proprietary information is carefully identified in writing
as such and accepted by the College as proprietary. Any documents submitted may be reviewed and
evaluated by any person at the discretion of the College, including non-allied and independent firms
retained by the College now or in the future.

Proposals must be comprehensive by including all services and costs necessary to meet the business and
technical requirements of the College as outlined in this RFP. In addition, the proposal must specify a
detailed approach/methodology, Firm and College staffing requirements, and any other assumptions to
achieve the goal of this RFP.
2.0 Proposal Evaluation
Proposals may be evaluated in the following areas:
• Accordance with the specifications contained herein
• Scope of services/project capabilities
• Price proposal
• Experience, references, & portfolio samples
Criteria for award of a contract (or disqualification) may include, but are not limited to, numerically
weighted totals in some or all of the aforementioned evaluation categories. Award of a contract will be
based on the highest-rated proposal, contingent on a determination of price reasonableness at the sole
discretion of the College. The College may enter into negotiations with the highest-ranked vendor to
finalize contract terms and pricing. The College reserves the right not to award to the highest-scoring
vendor if pricing is deemed excessive, unbalanced, or outside of market expectations. If negotiations are
unsuccessful, the College may choose to enter negotiations with the next highest-ranked vendor.

4.0 Background of the College and Project
The College is located in central Washtenaw County, between Ann Arbor and Ypsilanti,
Michigan. It was established in 1965 and is a well-respected and well-supported community
college. The College’s academic offerings make WCC a standout among two-year institutions
across the country. WCC’s personal enrichment and professional development courses for
licensing and certificate credentials as well as special classes for seniors help keep one of the
nation’s highest degreed communities in step with trends and technology.
Annually, over 20,000 students enroll in at least one credit course. Also, thousands more enroll
in non-credit and continuing education classes and Workforce Development training offered by
the College’s Division of Economic and Community Development.

• The College has served Washtenaw County and its surrounding communities for 60
years. The 2025-2026 General Fund Budget is approximately $146,000,000. Enrollment
has increased modestly over the past few years, but projections of fewer Michigan high
school graduates in the coming years may present challenges.
• The WCC Foundation’s primary responsibility is to raise funds in accordance with its
mission statement and to set policy for the investments of the Foundation’s endowment,
spending, awarding of grants and scholarships, and acceptance of gifts. Its members are
prominent community leaders committed to WCC and its students.
• The College operates a Health and Fitness Center (HFC), which sells memberships to the
general public as well as to students and staff at a reduced price. The books and records
are maintained by a third-party management company that the College has hired to run
the facility. The activity of the HFC is reflected in an Auxiliary Fund in the College’s
annual report. Monthly activity for this operation is recorded on a summary basis in the
financial software of the College.
• The College handles federal and state funds, which have specific reporting
requirements. The majority of these funds are included in Federal funds reported in the
Single Audit completed in accordance with OMB Uniform Guidance. Due to the OMB
delay in finalizing the Uniform Guidance for 2025, the College’s report for the most
recent fiscal year has yet to be finalized, but once published will reflect Federal awards
totaled approximately $38,000,000. No deficiencies in internal control were
identified. The largest awards, outside of the Student Financial Aid Cluster, which
comprised approximately $31,500,000, came from the Department of Treasury, through
the State of Michigan, for Michigan Reconnect Expansion grants ($1,400,000) and ADN
to BSN Completion Grants ($970,000).
• The College is governed by a seven-member Board of Trustees elected for six-year terms.
The Board meets monthly on the fourth Tuesday of the month.
• The Foundation is governed by a Board of Directors comprised of up to 26-members who
serve a three-year term. The Board meets four times per year.
• Audited financial reports for the fiscal years ended June 30, 2025, 2024 and 2023, are

http://www.wccnet.edu. The Fiscal Year 2025 annual report reflects Total Assets of
approximately $302,000,000; $2,400,000 in bond debt; and net position of $259,500,000,
net of a Pension Liability Fund deficit of $105,200,000. The College’s unrestricted and
unallocated net position was $11,300,000.
• The College’s financial statements are prepared in accordance with generally accepted
accounting principles as applicable to public colleges and universities outlined in
Governmental Accounting Standards Board (GASB) No. 35 and the Manual for Uniform
Financial Reporting – Michigan Public Community Colleges, 2001. The College reports

as a business-type activity, as defined by GASB Statement No. 35. The Foundation is
considered a component unit and is therefore included in the College financial
statements.
• The College participates in the Michigan Public School State Employees Retirement
System, and is subject to the reporting requirements of GASB Statement No. 68 and
Statement No. 75.
• The College uses the Ellucian Banner Financial System for all student and financial
transactions and is currently in the process of transitioning to Banner SaaS. Microsoft
Excel spreadsheets are also used to upload financial data into Banner.
• The Foundation is a separate legal entity established as a 501(c)(3) not-for-profit
corporation and governed by its own Board of Directors. It is also discretely reported in
the College’s annual report. The Foundation has total assets of approximately
$44,300,000 and annual contribution revenue of approximately $1 to $3 million.
• The Foundation books and records are kept separately from the College using The
Raiser’s Edge and Financial Edge software. It uses the Common Fund as its investment
advisor.
5.0 Project Scope / Objective
• Annual Financial Report for Washtenaw Community College
• Single Audit of Federal Awards in accordance with OMB Uniform Guidance
• Annual Financial Report for the Foundation
• Federal Form 990 and 990T for the Foundation
• Federal Form 990T for the College, if applicable
• Financial Reports for other grant-funded projects requiring an external audit on an as-needed
basis.
6.0 Project Specifications / Requirements
A. The proposal should include assembly of the reports, based on the information provided by College
staff. The College will provide the Management Discussion and Analysis as well as the draft
statements, footnotes, and schedule of expenditure of Federal awards, for incorporation into the final
report.
B. It is expected that the audit will be conducted in accordance with generally accepted auditing
standards (GAAS) as published by the American Institute of Certified Public Accountants and shall
include reporting requirements and audit procedures required by:
1. The Single Audit Act of 1984, as amended, and the Uniform Administrative Requirements, Cost
Principles, and Audit Requirements for Federal Awards (Uniform Guidance), 2 CFR Part 200,
Subpart F.
