INVITATION FOR BIDS
The City of Durango (City or COD) and La Plata County (County or LPC) are requesting firm bids for BULK
FUEL in accordance with the terms, conditions, and specifications contained in these documents.
The City reserves the right to extend all of the terms, conditions, specifications, and unit or other prices of
any contract resulting from this bid to any and all public bodies and subdivisions. This is conditioned upon
mutual agreement of all parties pursuant to special requirements which may be appended thereto. The
supplier/contractor agrees to notify the issuing body of those entities that wish to use any contract
resulting from this bid and will also provide usage information, which may be requested.
The City assumes no authority, liability, or obligation, on behalf of any other public or non-public entity that
may use any contract resulting from this bid. All purchases and payment transactions will be made directly
between the contractor and the requesting entity. Any exceptions to this requirement must be specifically
noted in the bid/proposal response. Bidders wishing to participate should ensure they have all addenda prior
to submission of bid. Failure to acknowledge receipt of any addenda applicable to this project could result in
the rejection of your bid.
This Invitation for Bids and any subsequent addenda will be posted to the Rocky Mountain E-Purchasing System
website (www.bidnetdirect.com/colorado) then click on Vendor Login or Vendor Registration if you have not
already registered. Firms are encouraged to register with RMEPS for all City bid opportunities.

Each bidder, before submitting his bid, shall become fully informed as to the extent and character of work
required. All questions must be submitted via Rocky Mountain E-Purchasing System website
(www.bidnetdirect.com/colorado).

It is the sole responsibility of the respondent to see that the bid is received before the submission deadline. Late bids will not be considered.
All bids submitted shall be binding upon the respondent if accepted by the City within sixty (60) calendar days of the submission date.
Negligence upon the part of the respondent in preparing the bid confers no right of withdrawal after the time fixed for the submission of bid.

I. INVITATION TO BID
The City of Durango and La Plata County are requesting sealed bids for the purpose
of establishing a cooperative price agreement with Contractors in order to supply
high-quality bulk fuel, to be delivered and placed in City and County owned tanks
at various field locations.
For purposes of this solicitation the term “Agency” shall refer to the City of
Durango and/or La Plata County, as appropriate.
II. CONTRACTOR REQUIREMENTS
The Selected Contractor shall be qualified to perform the required work under
applicable licensing statutes of the State of Colorado and other applicable
regulatory agencies. The Contractor shall be properly licensed and shall comply
with all applicable federal, state, and local government codes, laws, regulations,
and requirements in the performance of the work described herein.
The Selected Contractor awarded a price agreement under this solicitation, is an
independent contractor and shall perform its obligations under this agreement as
it deems necessary and appropriate. The Agencies will not supervise or regulate
the Contractor in the day-to-day performance of this Agreement. The Successful
Contractor and its officers, directors, agents and employees, are independent
contractors performing services for the Agencies and are not employees of the
Agencies. The Successful Contractor, and its officers, directors, agents, and
employees, shall not accrue leave, retirement, insurance, bonding, use of Agency
vehicles or any other benefits afforded to employees of the Agencies. The
Successful Contractor covenants that it presently has no interest, and shall not
acquire any interest, direct or indirect, financial or otherwise, which would conflict
in any manner or degree with the performance of the required services.
The Contractor(s) awarded a price agreement agrees, as material consideration for
this agreement, to defend, indemnify, and hold harmless the Agencies, its elected
officials, agents, and employees from and against any and all claims arising out of
any asserted negligent act, error or omission of the Contractor, its officers,
directors, employees or agents or arising in any way from this agreement or the
Contractor’s activities hereunder. The indemnity agreed to in this paragraph shall
not extend to liabilities, claims, damages, losses or expenses, including attorney
fees arising out of the preparation or approval of maps, drawings, opinions,
reports, surveys, change orders, designs or specifications by the Agency, or the
agents or employees of the Agencies, or the giving of or the failure to give directions
or instructions by the Agency, or the agents or employees of the Agency, where
such giving or failure to give directions or instructions is the primary cause of bodily
injury to persons or damage to property.

Delivery hours are 7:30 a.m. to 4:00 p.m., Monday through Friday.
The Selected Contractor shall furnish and deliver fuel as soon as
practicable within 24 hours of order, but no later than 48 hours after order is
received. Failure to deliver fuel in a timely manner may be considered a
breach of contract subject to the provisions of Section II(C).
The Selected Contractor shall furnish and deliver the specified grade of
unleaded gasoline or diesel to each location as specified. The Selected
Contractor shall present a delivery ticket at the delivery site, identifying the
number of gallons delivered, and must obtain a signature of receipt from an
authorized Agency individual.
Fuel storage tanks shall be stick-read by Contractor’s delivery drivers before
and after transport truck unloads. The resulting information shall be noted on
each delivery ticket.
Delivery of all products will be made FOB, final destination.
Said fuel shall be unloaded from the Contractor’s tanker, into the Agency-
owned fuel tank, by the Selected Contractor.
B. Price Agreement Term
The primary term of this agreement shall be one (1) year beginning March 1,
estimated, 2026, and ending February 28, 2027. The Agencies reserve the
right to extend the bid for four (4) additional years (Years 2, 3, 4, and 5), by
mutual written consent with the Contractor. The agreement may also be
renewed for a period less than one full year.
Any price agreement awarded as a result of this solicitation shall be
nonexclusive. During the term of the agreement, the Agencies reserve the
right to solicit additional bids or quotations, and purchase fuel from other
sources, when deemed in the best interest of the Agency.
C. Termination of Agreement
In the event of a breach of any provision of the agreement, the Agency shall
notify the Contractor of the fault within a reasonable time. The Contractor
shall have ten (10) days to respond. If the Contractor fails to respond within
ten (10) days and make arrangements satisfactory to the Agency, the
Agency may immediately terminate the agreement or take other steps, as it
deems necessary. The Contractor shall pay the Agency all costs and

expenses including reasonable attorney’s fees incurred by the Agency in
exercising any of its rights or remedies in connection with enforcement of
this agreement.
The Agency reserves the right, in case of vendor default, to procure the
articles or services from other sources and hold the defaulting vendor
responsible for any excess costs occasioned thereby.
Should vendor default be due to a failure to perform or because of a request
for a price increase, the Agency reserves the right to remove the vendor
from the respective bidders list for twelve (12) months.
The Agency may terminate this agreement at any time, without penalty of
any kind, by giving at least thirty (30) days notice in writing to the Contractor.
Note that financial obligations of the Agency, payable after December 31,
2026, pursuant to this contract, shall be contingent upon funds for that
purpose being appropriated, budgeted and otherwise made available.
D. Quantities
Quantities/gallons of fuel listed in each category are based on a 12-month
period and are estimated only. Each Agency reserves the right to purchase
more than or less than the quantity indicated. Fuel shall be purchased on
an as needed, when needed basis.
