SECTION I: GENERAL TERMS AND CONDITIONS
This bid will be awarded to the lowest bidder(s) or best overall bid and Val Verde County reserves the right to
award based on quality, price and availability of services specified; whichever is in the best interest of the county.
In addi(cid:415)on, Val Verde County reserves the right to award a bid to mul(cid:415)ple bidders at their sole discre(cid:415)on. The bid
evalua(cid:415)on will be based on pricing and service as validated through references and other qualita(cid:415)ve considera(cid:415)on
as submi(cid:425)ed through the bidding process.
This bid is ul(cid:415)mately subject to funding.
Val Verde County is exempt from Sales Tax.
Bids are not restricted or limited to any specific service provider or brand. The services on which bids are
submi(cid:425)ed and based should be of such character or quality of design as well as serve the purpose for which it is
to be used. Specifica(cid:415)ons must be provided to Val Verde County and clearly stated on the bid cover sheet in every
instance. Bidder(s) may also provide descrip(cid:415)ve literature with the bid.
Val Verde County reserves the right to waive any informali(cid:415)es, to accept any bid as a whole, split bid and/or accept
any individual item or items within a bid or to reject any and/or all bids of which serves as in the best interest of Val
Verde County.
The quan(cid:415)(cid:415)es provided are approxima(cid:415)ons and may be es(cid:415)mates of annual usage, not ini(cid:415)al purchase quan(cid:415)(cid:415)es.
Quan(cid:415)(cid:415)es provided are best es(cid:415)mates of an(cid:415)cipated order quan(cid:415)(cid:415)es; however, Val Verde County cannot guarantee
fulfillment of annual usage es(cid:415)mates.
All submi(cid:425)ed bids are to be valid for a minimum of 60 days or un(cid:415)l awarded whichever comes first. For all
awarded bids, price structure will be fixed and remain in effect through-out the en(cid:415)re annual contract period.
The awarded bids will be in effect for a period of one (1) year.
Invoices must be reflec(cid:415)ve of original bid price and must include a valid purchase order number to be paid. Val
Verde County will not be responsible for any "added expenses". There shall be absolutely no surcharges. Bidder(s)
must submit the most compe(cid:415)(cid:415)ve "all in bid/cost" in their bid submi(cid:425)al.
Invoices should be emailed directly to the en(cid:415)(cid:415)es A/P email address which is billing@valverdecounty.texas.gov and
all payments will be made directly from Val Verde County. Invoices can be mailed directly to Val Verde County
Auditor, 509 E. Gibbs Street, Del Rio, TX 78840.
The bidder(s) shall abide by and comply with the true intent of the specifica(cid:415)ons and not take advantage of
any uninten(cid:415)onal error or omission but shall fully address the full intent and meaning of each aspect of the
specifica(cid:415)ons.
It is the bidder(s) responsibility to comply with all local, state and federal laws, regula(cid:415)ons, codes, licensing
and other requirements regarding the specifica(cid:415)ons of this project.
Awarded bidder(s) must provide evidence of license (include number, any limita(cid:415)ons on service to be
provided, expira(cid:415)on date) related to this bid.
In the event an awarded bidder fails to perform, Val Verde County reserves the right to award a contract with the
"next lowest bidder" in order to complete the projects or services. In addi(cid:415)on, the bidder may forfeit future
business with Val Verde County.
The desired items must meet or exceed the specifica(cid:415)ons included in the detailed specifica(cid:415)ons
which have been provided as a reference. The products awarded may be any brand that is equal to or meets or
exceeds the specifica(cid:415)ons.

SECTION II: OBLIGATIONS, RIGHTS AND REMEDIES
These terms and condi(cid:415)ons shall be part of the contract. Val Verde County reserves the right to nego(cid:415)ate other terms and
condi(cid:415)ons it deems appropriate and necessary under our circumstances to protect the public's trust.
However, NO individual altera(cid:415)ons, amendments, changes modifica(cid:415)ons or addi(cid:415)ons to this contract shall be
binding on Val Verde County without the prior wri(cid:425)en approval of the Val Verde County Commissioners Court.
In the event no funds are appropriated by Val Verde County for the goods or service in any fiscal year of or
insufficient funds exist to purchase the good and services, then the contract shall expire upon the expenditure of
previously appropriated funds or the end of the current fiscal year, whichever occurs first, with no further
obliga(cid:415)ons owed to or by either party.
Awarded bidder(s) shall not assign or sub-contract this agreement, its obliga(cid:415)ons or rights hereunder to any
party, company, partnership, incorpora(cid:415)on or person without the prior wri(cid:425)en specific consent of Val Verde
County.
Books and records shall be maintained by the awarded bidder(s). All documents, accoun(cid:415)ng records and other
evidence pertaining to the goods and services provided under this contract should be maintained by the
bidder(s) and they shall make such materials available at their offices at all reasonable (cid:415)mes during the contract
period and for four (4) addi(cid:415)onal years from the date of the final payment under this agreement for inspec(cid:415)on
by Val Verde County or by and other governmental en(cid:415)(cid:415)es or agencies par(cid:415)cipa(cid:415)ng in the funding of this
agreement or any authorized agents thereof; copies of said records to be furnished if requested. Such records may
also include those books, documents and accoun(cid:415)ng records that represent the vendor's costs of manufacturing,
acquiring, or delivering the products and service governed by this agreement.
Awarded bidder(s) is assumed to be familiar with and agrees to observe and comply with all federal, state, and
local laws, statutes, ordinances, and regula(cid:415)ons in any manner affec(cid:415)ng the provision of goods and/or services
and all instruc(cid:415)ons and prohibi(cid:415)ve orders issued regarding this work and shall obtain all necessary permits.
If the awarded bidder(s) fails to perform or comply with any provision of this contract or the terms or condi(cid:415)ons
of any documents referenced and made a part hereof: Val Verde County may terminate this contract in whole or in
part and may consider such failure or noncompliance a breach of contract.
Awarded bidder(s) shall indemnify, defend, save and hold harmless, Val Verde County its officers, agents and
employees from all suits, claims ac(cid:415)ons or damages of any nature brought because arising out of or due to reach of
the agreement by contractor, its subcontractors, suppliers, agents or employees or due to any negligent act or
occurrence or any omission or commission of Contractor, its subcontractors, suppliers, agents or employees.
Awarded bidder(s) shall acknowledge that it and its employees serve as independent contractors and that Val
Verde County shall not be responsible for any payment, insurance or incurred liability.
Warranty periods shall not commence un(cid:415)l each site inspects and formally accepts the goods and/or
services. The terms, condi(cid:415)ons and (cid:415)ming of acceptance shall be determined by Val Verde County. Val Verde
County reserves the right to reject any or all items or services not in conformance with applicable specifica(cid:415)ons
and awarded bidder(s) assumes the costs associated with such nonconformance. Acceptance of goods or services
does not cons(cid:415)tute a waiver of latent or hidden defects or defects not readily detectable by a reasonable person
under the circumstances.
In no event shall Val Verde County be liable for any indirect, incidental, consequen(cid:415)al, special or exemplary
damages or lost profits, even if Val Verde County has been advised of the possibility of such damages.
Val Verde County is prohibited from discrimina(cid:415)ng on the basis of race, color, na(cid:415)onal origin, sex

2026 and ending September 30, 2027.

Please provide a list of fees for any service calls to be made throughout the contract.
Current tanks on-site are owned by current contract holder. Please include in your bid, the cost associated to provide Val
Verde County with tanks, if any apply.
All prices are to be F.O.B. Des(cid:415)na(cid:415)on and include all charges that may be incurred in fulfilling the terms of this contract
including delivery.

General Informa(cid:415)on
More than one supplier may be selected.
The (cid:415)me frame for delivery of all bulk fuel should be 48 hours from the (cid:415)me order is placed. We will only accept complete
orders, unless prior arrangements are made with the Purchasing Department or reques(cid:415)ng department.
Deliveries are to be scheduled during Val Verde County's hours of opera(cid:415)on.
Monday through Friday, 8:00 a.m. - 5:00 p.m. Offices are closed between 12:00 p.m. - 1:00 p.m.
Unless prior arrangements have been made with the Purchasing Department or the reques(cid:415)ng department.
Method of payment by Val Verde County will be in a form of a check.
Payment terms are Net 30.
Val Verde County is exempt from the payment of any federal excise or any Texas sales tax. Tax exempt forms are available
upon request.
Purchase orders will be issued from Val Verde County and must be referenced on all invoices, delivery tickets, bill of lading,
packing slips, etc.
The proposed items listed to be supplied shall be accepted upon delivery and inspec(cid:415)on for compliance with the
specifica(cid:415)ons to the sa(cid:415)sfac(cid:415)on of Val Verde County.
The undersigned Bidder hereby declares that he has carefully examined the contract documents pertaining to the services
covered in the above bid, and that the bid prices contained in the proposal have been carefully checked and are submi(cid:425)ed
as correct and final.
The Bidder agrees to provide the items on which he has bid, as specified in the specifica(cid:415)on.
The Bidder agrees that this bid shall be good and may not be withdrawn for a period of sixty (60) calendar days a(cid:332)er the
scheduled closing (cid:415)me for receiving bids.
By signing below the bidder agrees that the owner reserves the right to waive formali(cid:415)es, to reject any or all bids, and to
accept the bid most advantageous to the interest of the owner. The right is also reserved to increase or decrease the total
bid amount by 25%, by increasing or decreasing quan(cid:415)(cid:415)es if the total proposal exceeds or is below the funds available. The
right is also reserved to eliminate any item(s) in the proposal if the total proposal exceeds the funds available.
