1. NOTICE
KIPP Metro Atlanta Schools requests proposals for Teacher Guidance/Curriculum Resource Plans and
Professional Development, RFP #BerryRST07212026, which will be received by the undersigned at KIPP
Metro Atlanta Schools until July 15, 2026, at 12 PM ET. KIPP Metro Atlanta Schools assumes no
responsibility for any supplier's on-time receipt at the designated location for proposal opening.

TERMS AND CONDITIONS & INSTRUCTIONS TO RESPONDENTS
1. Terms and Conditions - General
1. Purpose: The purpose of these specifications is to require the furnishing of the highest quality
equipment, supplies, material and/or service in accordance with the specifications. These documents,
and any subsequent addenda, constitute the complete set of specification requirements and proposal
response forms.
2. Governing Laws and Regulations: Any contract issued as a result of this RFP shall be construed
according to the laws of the State of Georgia, the supplier shall comply with all local, state, and federal
laws and regulations related to the performance of the contract to the extent that the same may be
applicable.
3. Taxes: The supplier shall assume and pay all taxes and contributions including, but not limited to, State,
Federal and Municipal which are payable by virtue of the furnishing and delivery of item(s) specified
herein. Materials and services furnished to KIPP Metro Atlanta Schools are not subject to either Federal
Excise Taxes or Georgia Sales Tax.
4. Sovereign Immunity: KIPP Metro Atlanta Schools, due to its status as a public charter school and its
entitlement to sovereign immunity, is unable to accept contract provisions, which require KIPP Metro
Atlanta Schools to indemnify another party. Any indemnity language in proposed terms and conditions
will be modified to conform to language that KIPP Metro Atlanta Schools is able to accept.
5. Appropriation: KIPP Metro Atlanta Schools is a public corporation and, as such, cannot create
indebtedness in any one year (the fiscal year beginning July 1 to June 30) above what they can pay out
of the annual income of said year. Therefore, KIPP Metro Atlanta Schools received adequate
appropriations, budget allocations or income to enable it to meet the terms of this contract, KIPP Metro
Atlanta Schools reserves the right to cancel this contract with 30 days' notice.
6. Equal Opportunity and Non-Discrimination: In connection with the furnishing of equipment, supplies,
and/or services under the contract, the contractor and all subcontractors shall agree not to discriminate
against any recipients of services, or employees or applicants for employment on the basis of race, color,
religion, national origin, sex, age, disability, or veteran status. The contractor shall comply with federal
laws, rules, and regulations applicable to subcontractors of government contracts including those
relating to equal employment of minorities, women, persons with disabilities, and certain veterans.
Contract clauses required by the United States Government in such circumstances are incorporated
herein by reference.
7. Minority, Women, and Small Business: KIPP Metro Atlanta Schools is committed to and supports
minority, women, and small businesses as an essential part of our mission and core values.
8. Compliance with CDC Guidelines: (If Applicable)
Due to the changing nature of the COVID-19 pandemic, successful Supplier will monitor and comply
with CDC and other federal, state, and local guidance; modifications to KIPP Metro Atlanta Schools
procedures; and directives KIPP Metro Atlanta Schools to protection of the health and safety of the

school community.
NOTIFICATION TO KIPP METRO ATLANTA SCHOOLS IN EVENT OF POSITIVE COVID-19 CASE:
In the event any of the successful Contractor's personnel who have or are presently performing services
for KIPP Metro Atlanta Schools at any of its sites in-person, (a) tests positive for COVID-19, or (b) has
been in close contact with someone that tests positive for COVID-19, the successful Contractor shall
immediately notify KIPP Metro Atlanta Schools' designated contact, and take immediate action to
quarantine such person and any other Contractor Personnel who may have come in contact with the
person testing positive for COVID-19, and assist KIPP Metro Atlanta Schools in identifying any other
persons at school sites who may have come in contact with such person.
9. Inventions, Patents, and Copyrights: The Contractor shall pay for all royalties, license fees, patent or
invention rights, or copyrights and defend all suits or claims for infringements of any patent or invention
right or copyrights involved in the items furnished hereunder. The Contractor shall defend, protect, and
hold harmless KIPP Metro Atlanta Schools, its officers, agents, servants, and employees against all suits
of law or in equity resulting from patent and or copyright infringement concerning the contractor's
performance or products produced under the terms of the contract.
Copyrights for any item developed for KIPP Metro Atlanta Schools shall be the property of KIPP Metro
Atlanta Schools and inure to its benefit and the Contractor shall execute such documents as KIPP Metro
Atlanta Schools may require for the perfection thereof.
10. Contractor Gifts: The contractor shall refrain from offering any offers of gifts or gratuities of value over
a cumulative annual amount of $50 to individual employees of KIPP Metro Atlanta Schools, which might
influence the purchase of supplies, equipment, and/or services, in accordance with KIPP Metro Atlanta
Schools Supplier Policy.
11. KIPP Policies: KIPP shall have the exclusive right and obligation to set standards or policies for KIPP's
operations. Policies include those regarding student transportation in general, and in particular as to the
school calendar, beginning and ending time of schools, walking distances to school, the establishment of
bus stops, bus arrivals and departure times, current route descriptions, discipline, and all other
pertinent policies relating to transportation. All KIPP policies can be viewed at

KIPP shall designate the scholars for whom Contractor shall provide service. The Contractor shall provide
service for such scholars for each day that school is in session during the term of the Agreement and shall
provide other services for scholars and authorized KIPP personnel as KIPP may require.
12. Independent Contractor: Contractor is an Independent Contractor responsible for furnishing
transportation services only, pursuant to the Agreement, and neither Contractor nor any agent, officer
or employee of Contractor shall be held or deemed in any way to be an agent, employee, officer, or
official of KIPP. None of the benefits provided by KIPP to its employees is available from KIPP to the
employees, agents, or servants of the Contractor. Contractor shall be solely responsible for Contractor's
acts and for the acts of Contractor's agents, officers, and employees during the performance of the
Agreement, and at all other times, and KIPP shall have no power or control pertinent to the acts of any
said persons.

13. Hazardous Materials. Contractor shall notify KIPP before using products containing hazardous materials
to which KIPP employees, scholars and members of the public may be exposed. Upon request, the
Contractor will provide KIPP with a Material Safety Data Sheet for such materials.
14. Insurance: The Contractor, at its sole expense, shall procure and furnish KIPP with a Certificate of Insurance
naming KIPP Metro Atlanta Collaborative, Inc, Atlanta Independent School System, and Fulton County
Schools as additional insured. The Certificate of Insurance shall be provided annually on July 1 of each
contract year and maintained on file continuously, for the term of the Agreement. It is the obligation of the
Contractor to obtain and furnish KIPP certificates for any subcontractor subject to the above terms and
conditions.
No Contractor or Subcontractor shall commence any work of any kind under a contract until all insurance
requirements contained within the solicitation have been complied with, and until evidence of all insurance
requirements in each contract, with each and every Subcontractor of any tier, and shall require the same to
comply with all such requirements.
Each and every agent shall warrant when signing the Certificate of Insurance that he is acting as an
authorized representative on behalf of the companies affording insurance coverage under the contract and
that he is licensed by the State of Georgia and is currently in good standing with the Commissioner of
Insurance for the State of Georgia.
Any and all companies providing insurance required by this Contract must meet the minimum financial
security requirements as set forth below. The rating for each company must be indicated on the Certificate
of Insurance. For all contracts, regardless of risk, companies providing insurance under this Contract must
have a current:
i. Best's Rating not less than A, and
ii. Best's Financial Size Category not less than size VII.
In the event the Contractor neglects, refuses, or fails to provide the insurance required by this Contract, or if
such insurance is canceled for any reason, KIPP shall have (a) the right, but not the duty, to procure the
same, and the cost thereof shall be deducted from monies then due or thereafter to become due to the
Contractor or (b) the right to terminate the Contract.
The insurance minimums satisfactory to KIPP shall be as set forth below and is subject to change with a
30-day written notice to Contractor. The insurance shall be kept current during the Agreement and KIPP
requires 30 days written notification prior to any cancellation of the required insurance should a change in
insurance carriers take place.
The Contractor shall provide general liability and automobile liability insurance, protecting KIPP Metro

Atlanta Collaborative, Inc., Schools, Atlanta Independent School System, and Fulton County Schools, as
an additional insured, its agents and employees acting in their official capacities as such, the Contractor
as a named insured, drivers and other related personnel from any claim for damages for personal injury
or death and from damage to property which may arise from operations of the Contractor under the
Contract.
Workers' Compensation. Workers' compensation insurance shall be maintained as required by law. The
Contractor shall procure and maintain Workers' Compensation in the following limits. Such insurance is
to cover each and every employee who is or may be engaged in work under this Contract.
Workers' Compensation Statutory
Employer's Liability
Bodily Injury by Accident $100,000 each accident
Bodily Injury by Disease $100,000 each employee
Bodily Injury by Disease $500,000 policy limit
This requirement does not apply to any business that has regularly in service less than three employees in
the same business within the state of Georgia.
Comprehensive General Liability Insurance. The Contractor shall procure and maintain Comprehensive
Insurance in an amount not less than $5,000,000 for bodily injury and property damage combined single
limit and $7,000,000 annual aggregate. The following specific extensions of coverage shall be provided
and indicated on the certificate of insurance:
(1) Comprehensive Form
(2) Contractual Insurance
(3) Personal Injury
(4) Broad Form Property Damage
(5) Premises-Operations
(6) Completed Operations
This coverage shall cover the use of all equipment, hoists, and vehicles on the site(s) not covered by
Automobile Liability under this Contract.
Automobile Liability Insurance. The Contractor shall procure and maintain Automobile Liability Insurance in
an amount not less than $6,000,000 for bodily injury and property damage combined single limit and
$7,000,000 general aggregate. The following extensions of coverage shall be provided and indicated on the
certificate of insurance:
(1) Comprehensive Form
(2) Owned, Hired, Leased and non-owned vehicles to be covered
If the Contractor does not own any vehicles in the corporate name, non-owned vehicles coverage shall
apply and must be endorsed on either the Contractor's personal automobile policy or the Comprehensive
General Liability coverage required under this Contract.
Sexual Abuse/Molestation Insurance. The Contractor must procure Sexual Abuse and Sexual Molestation
insurance in an amount not less than $2,000,000 per occurrence and $3,000,000 aggregate each claim,
incident, or occurrence must be provided to KIPP in the form of a certificate of insurance and must be

approved by KIPP prior to the execution of the Agreement.
15. Child Abuse Prevention. When the contract requires the Contractor or Contractor's employees to have
contact with scholars. Contractor agrees to train employees annually in the prevention, identification
and reporting of child abuse and sexual conduct per Georgia's Mandated Reporter Law - O.C.G.A.
19-7-5 (2016). KIPP can provide access to a short on-line training for contractors and subcontractors to
use with their employees. This training must be complete and documentation verifying employees have
completed the training provided to KIPP prior to the contracted employee having direct contact with
any KIPP scholars.
Mandated Reporter Training is available through Care Solutions, Inc. This valuable online training is available
for free any time or day that you may want to use it and includes courses that provide instruction on how to
better recognize the indicators of abuse and neglect, understand your role in responsible reporting, and
identify the groups of children that may be at a higher risk of being abused or neglected.
The Contract can register employees for the online training by visiting this link to register. Prevent Child
Abuse (PCA) of GA also offers in-person training. For in-person training, please contact PCA Georgia at
PreventChildAbuseGA@gsu.edu.
16. Compliance with Sexual Conduct and Staff Boundaries Requirement. All contractors, subcontractors
and their employees are prohibited from engaging in sexual conduct with scholars. Sexual conduct is
defined as: any verbal or physical or other conduct that is sexual in nature; directed toward a
kindergarten through 12 scholars; unreasonably interferes with a scholar's educational performance;
and creates an intimidating, hostile or offensive educational environment.
Contractors and/or subcontractors are required to certify in writing to KIPP that it has informed all
employees what conduct is prohibited, what reporting responsibilities employees have and who the
contact is for reporting prohibited conduct.
All contracted employees who will be at work sites where kindergarten up to 12th grade scholars may
be present, will be required to take an informational training on student sexual conduct requirements.
KIPP can provide access to a short on-line training for contractors and subcontractors to use with their
employees. To access the Virtual Staff Boundaries Training Module, visit this link via Joffe Security
Services. Individuals will need to register for an account, select KIPP as the "District" and successfully
complete the online training.
If a contractor, subcontractor and/or their employees observe conduct he/she believes is prohibited
they are to report the information immediately to the building administrator.
If KIPP is made aware of a contractor, subcontractor and/or their employees engaging in prohibited
contact, KIPP will conduct an investigation. At the sole discretion of KIPP, the Contractor shall
immediately remove the employee from providing services to the school pending the conclusion of the
investigation. If the KIPP determines the contractor, subcontractor and/or their employees engaged in
sexual conduct with scholars, KIPP will have the option to: (a) terminate the contract and/or (b) remove
permanently the subcontractor and/or employee from the worksite. Contractor will cooperate in any
investigation being conducted by KIPP, law enforcement, DHS, and other agencies.

17. Hold Harmless. In addition to the insurance requirements included as part of the Agreement, the
Contractor shall also defend, indemnify and hold harmless KIPP Metro Atlanta Collaborative, Inc.,
Schools, Atlanta Independent School System, and Fulton County Schools, and its agents and employees
acting in their official capacities as such from and against any and all claims, suits, judgments and
demands whatsoever, including without limitation, costs, litigation expenses, counsel fees and liabilities
with respect to injury to, or death of, any person or persons whosoever, or damage to property of any
kind whomsoever owned, arising out of or caused or claimed to have been caused in whole or in part by
the acts or omissions of the Contractor, any subcontractor, or any other person directly or indirectly
employed by them or any of them, while engaged in the performance of the work or any activity
associated therewith, or related thereto.
18. Venue & Governing Law. Venue of any action brought under this Contract shall lie exclusively in the City
of Atlanta, Fulton County, State of Georgia, or in the United States District Court for the Northern
District of Georgia, Atlanta Division, without giving effect to its choice of law principles. Contractor
hereby waives any and all objections to the exercise of personal jurisdiction and venue in these courts.
All matters giving arise under or relating to this Contract shall be governed and construed by the laws of
the State of Georgia now in force and as hereafter amended from time to time. This paragraph
represents the entire agreement between the parties regarding venue and governing law and replaces
any other references to governing law or venue in the Contract Documents or Exhibits.
19. Assignment of Contract. Contractor may not assign this Agreement nor any interest herein to any other
party or parties without the prior written consent of KIPP. In the event of any attempt to transfer
interest without the KIPP's permission, KIPP may terminate the Agreement with a notice period of its
own choosing.
20. Funding. The Contractor recognizes that revenue needed to fund the Agreement must be approved by
KIPP's established budget procedures. The Contractor also recognizes that the revenue received by KIPP
is sometimes affected by circumstances outside the control of KIPP. The Agreement, therefore, will be
entered into contingent upon the ability of KIPP to fund the Agreement. Should KIPP experience an
unexpected shortfall, which would affect KIPP's ability to fund the Agreement, the compensation for any
partial periods shall be prorated, based upon a daily basis consistent with the compensation terms of
the Agreement. If funding inadequacies require a reduction in payments, corresponding reductions in
service shall be negotiated between KIPP and the Contractor.
21. Taxes. KIPP is tax-exempt and any tax liability that might be incurred by the Contractor for personal or
real property is the sole responsibility of the Contractor.
22. Severability. In the event any provision or any portion of any provision of this Contract, or application
thereof to any person or circumstances shall to any extent be held invalid or unenforceable, the
remainder of this Contract or the application of such remaining provisions or remaining portion of said
provision to any other person or circumstances shall not be affected thereby. Said remainder shall
continue in full force and effect and shall be valid and enforceable to the fullest extent permitted by law.
If any provision of this Contract is held to be invalid, illegal, or unenforceable for any reason, the validity,
legality, and enforceability of the remaining provisions of this contract will not be adversely affected.

23. Multiple Counterparts. The Contract may be executed in multiple counterparts, each of which shall be
deemed an original instrument, and such counterparts together shall constitute one and the same
instrument.
24. Relationship Among Parties. This Agreement creates no relationship of joint venture, partnership,
limited partnership, agency, or employer-employee between the Parties, and the Parties acknowledge
that no other facts or relations exist that would create any such relationship between them. Neither
Party has any right or authority to assume or to create any obligation or responsibility on behalf of the
other Party except as provided by written instrument signed by both Parties.
25. Georgia Security and Immigration Compliance Act. Contractor's full compliance with all applicable
federal and state security and immigration laws, including without limitation O.C.G.A. 13-10-90, et
seq. as amended and Georgia Department of Labor Rule 300-10-1, et seq. is required. Contractor is
required to affirm compliance by completing the appropriate Georgia Security and Immigration
Compliance documents contained in Exhibit B and/or Exhibit C, as applicable. Any Contractor,
subcontractor, or sub-subcontractor of such Contractor or subcontractor, shall also be required to satisfy
the requirements set forth herein.
26. Confidentiality. KIPP and Contractor agree to comply with applicable laws relating to protected health
information (HIPPA) and protected student information (FERPA). Both parties shall ensure that its
personnel, employees, affiliates, and agents maintain the individual confidentiality of all persons served
by the Agreement as well as each entity's business information.
27. Cyber Security. KIPP and Contractor acknowledge that it may be necessary to electronically transfer
data regarding scholars, staff, and general business information to ensure Contractor is able to provide
the services required by the Agreement. It is the expectation of KIPP that the Contractor has taken
industry accepted and appropriate steps to ensure the security and confidentiality of electronic data.
KIPP is not responsible for any third-party injury(ies) and/or claim(s) that may arise in connection with
Contractor's actions or inactions in this area.
28. Notices. Except as otherwise expressly provided, any notice, instruction, or other written
communication required or permitted to be given under this Agreement shall be deemed to have been
delivered or received:
Upon personal delivery to Contractor or its authorized representative, which delivery may be
accomplished by in person hand delivery, or via bona fide overnight express services; or
Five (5) days after depositing in the United States mail a letter, which is either certified or registered,
addressed to Contractor or KIPP at its official address, for use under this Agreement, as the case may be.
