BLACKWATER RIVERWALK SOUTH EXTENSION PROJECT

SECTION 1 - AUTHORITY

The City of Milton (“City”) issues this Invitation to Bid (“ITB”) pursuant to Article VIII,

Section 2(b) of the Florida Constitution; Chapter 166, F.S., including §166.021, F.S.;

Chapter 255, F.S., including §255.20, F.S.; and the City of Milton Purchasing Policy

9.0, as may be amended.

This ITB solicits sealed bids from qualified and properly licensed contractors to

furnish all labor, materials, equipment, supervision, and services necessary to

complete the Work described in the Contract Documents (the “Work”).

The Work constitutes public construction subject to the bidding thresholds of

§255.20, F.S., and the payment and performance bond requirements of §255.05,

F.S.

Bidders shall hold all licenses required under Chapter 489, F.S., in the appropriate

classification at the time of bid submission and shall maintain such licensure

throughout the term of the Contract.

Award, if made, shall be to the lowest responsive and responsible Bidder in

accordance with applicable Florida law, the City’s Purchasing Policy, and the

terms and conditions of this ITB. The City reserves the right to reject any or all

bids, to waive minor irregularities, and to accept the bid determined to be in the

best interest of the City.

SECTION 2 – DEFINITIONS

For purposes of this Invitation to Bid and the resulting Contract, the following

terms shall have the meanings set forth below:

2.1 “ITB” or “Solicitation” means this Invitation to Bid and all addenda issued by

the City prior to Bid opening.

2.2 “Addendum” means a written clarification, modification, or revision to the

ITB issued by the City prior to Bid opening.

2.3 “Bid” means the written offer submitted by a Bidder in response to this ITB to

perform the Work described in the Contract Documents for the price(s) stated

therein.

2.4 “Bidder” means a firm, partnership, corporation, or other legal entity

properly licensed under Chapter 489, F.S., that submits a Bid in response to the

ITB and is legally authorized to perform public construction in the State of

Florida.

2.5 “Base Bid” means the Bidder's total price for performing the Work described

in the ITB, calculated as the sum of the extended unit prices (estimated

quantity multiplied by unit price) for all line items in each applicable Bid

Schedule (Bid Schedule A and Bid Schedule B, respectively), exclusive of any

Add Alternates.

2.6 “Add Alternate” or “Alternative Bid Item” means a separately identified

portion of the Work described in the ITB for which the Bidder provides a

separate price, to be added to or deducted from the Base Bid at the City’s

sole discretion in determining award.

2.7 “Responsive Bid” means a Bid that conforms in all material respects to the

requirements of this ITB and the Contract Documents, including submission of

all required forms, pricing, acknowledgments, bonds, certifications, and other

required documentation, without material deviation, reservation, or irregularity.

2.8 “Responsible Bidder” means a Bidder who has the capability, integrity,

financial capacity, experience, equipment, and personnel necessary to fully

perform the Contract requirements and to assure good faith performance.

2.9 “Bid Bond” means the security submitted with a Bid to guarantee that the

Bidder will enter into the Contract and furnish required Performance and

Payment Bonds if awarded.

2.10 “Performance and Payment Bonds” means the bonds required under

§255.05, F.S., to secure faithful performance of the Contract and payment to

subcontractors and suppliers.

2.11 “Notice of Award” means the written notice issued by the City informing

the successful Bidder that it has been selected for award of the Contract.

2.12 “Agreement” or “Contract” means the written agreement executed

between the City and the successful Bidder, including all Contract Documents

incorporated therein.

2.13 “City” means the City of Milton, Florida.

2.14 “Contractor” means the Bidder to whom the Contract is awarded and

who executes the Agreement with the City.

2.15 “Work” means all labor, materials, equipment, supervision, services, and

other items necessary to construct and complete the Project in accordance

with the Contract Documents.

2.16 “Contract Documents” means the documents that form the binding

agreement between the City and the Contractor, including the Agreement,

this ITB and all addenda, the Bid Form, required bonds, General and

Supplementary Conditions, Technical Specifications, Drawings, Notice to

Proceed, and properly executed Change Orders.

2.17 “Contract Time” means the number of calendar days stated in the

Contract Documents within which the Work must achieve Substantial

Completion and Final Completion.

2.18 “Notice to Proceed” means the written authorization issued by the City

directing the Contractor to commence the Work and establishing the Contract

Time.

2.19 “Substantial Completion” means the stage in the progress of the Work

when the Work, or a designated portion thereof, is sufficiently complete in

accordance with the Contract Documents so that the City can occupy or

utilize the Work for its intended purpose.

2.20 “Final Completion” means the point at which the Work has been fully

completed in accordance with the Contract Documents, all punch list items

have been corrected, all required closeout documentation has been

submitted and accepted, and the City has issued written final acceptance.

2.21 “Liquidated Damages” means the predetermined amount stated in the

Contract Documents that the Contractor shall pay to the City for each

Calendar Day the Work remains incomplete beyond the time required for

Substantial Completion or Final Completion, as applicable, representing the

parties’ reasonable estimate of damages that would be difficult to ascertain at

the time of contracting.

2.22 “Lump Sum” means a single fixed price stated in the Bid for completion of

a defined portion of the Work, regardless of the actual quantities required,

except as adjusted by Change Order.

2.23 “Change Order” means a written amendment to the Contract executed

by the City and the Contractor authorizing a change in the Work, Contract

Price, Contract Time, or any combination thereof.

2.24 “Field Order” means a written order issued by the City or Engineer that

clarifies or interprets the Contract Documents or orders minor changes in the

Work that do not change the Contract Price or Contract Time.

2.25 “Subcontractor” means an individual or entity having a direct contract

with the Contractor to perform a portion of the Work at the Project site.

2.26 “Engineer” means the professional engineer or engineering firm identified

in the Contract Documents that prepared the plans and specifications for the
