1. Introduction
The Johnstown Downtown Development Authority (“JDDA” or “Authority”) is seeking written
proposals from qualified law firms to provide legal services under contract. The selected firm
will serve as legal counsel to the JDDA and provide legal guidance, advice, document review,
and representation as needed to support the Authority’s operations, programs, and initiatives.
The JDDA seeks a firm with experience in Colorado public entity law, downtown development
authorities, economic development organizations, land use, real estate transactions, public
finance tools, contracts, governance, and other legal matters relevant to the operation of a
Downtown Development Authority.
The selected firm will provide responsive legal services to the JDDA Board of Directors,
Executive Director, and staff, as needed. The selected attorney is not expected to attend every
JDDA Board meeting but shall be available to attend meetings, provide legal opinions, and
advise the Authority when requested.
2. Background
The JDDA was established to support the revitalization, redevelopment, and continued economic
growth of Downtown Johnstown. The JDDA was created following a voter-approved Downtown
Development Authority municipal election held in April 2026.
The Authority operates pursuant to the Colorado Downtown Development Authority Act and
serves as a public entity focused on implementing projects, programs, and initiatives that
enhance downtown vitality, encourage private investment, improve public infrastructure, support
local businesses, and create a more vibrant and connected downtown district.
The JDDA’s boundaries encompass the historic downtown area of Parish Avenue with future
inclusion areas identified for development opportunities. The Authority’s work is guided by its
adopted Plan of Development (expected adoption in late August), which identifies strategies
related to downtown improvements, business support, redevelopment, placemaking, public
improvements, and economic development.
The JDDA operates with a volunteer Board of Directors and a paid full-time Executive Director
responsible for managing the day-to-day operations of the Authority. Currently Town Staff are
• General Counsel and Governance: Advise the JDDA Board and staff regarding the
Authority’s powers, duties, responsibilities, and limitations; governance, ethics, conflicts
of interest, fiduciary responsibilities, and other legal obligations; and review or draft
bylaws, policies, resolutions, agreements, notices, and other legal documents.
• Statutory and Regulatory Compliance: Provide guidance regarding applicable
Colorado laws and regulations, including the Colorado Open Meetings Law (COML),
Colorado Open Records Act (CORA), records retention, JDDA elections and
appointments, and other statutory requirements. Advise the JDDA regarding relevant
changes in legislation, regulations, and case law.
• Tax Increment Financing and Public Finance: Provide legal advice regarding Tax
Increment Financing (TIF), the use of tax increment revenues, financing agreements, and
other public finance tools available to the JDDA. Review financing documents and
coordinate with bond counsel, financial advisors, accountants, and other professionals as
appropriate.
• Real Estate and Development: Provide legal counsel regarding the acquisition,
disposition, lease, use, and development of JDDA property, including due diligence, title
and easement matters, purchase and sale agreements, leases, development agreements,
licenses, and public-private partnerships.
• Contracts and Risk Management: Review and advise on contracts and agreements,
including provisions related to indemnification, insurance, liability, default, termination,
and other legal or risk considerations.
• Claims and Litigation: Advise regarding threatened or pending claims, disputes, and
litigation involving the JDDA and, when appropriate, represent the JDDA or coordinate
with specialized outside counsel.
• Town and Intergovernmental Coordination: Advise regarding the legal relationship
between the JDDA, the Town of Johnstown, and other governmental or quasi-
governmental entities.
The JDDA does not anticipate requiring the selected attorney to attend every regular Board
meeting. Attendance will be requested on an as-needed basis depending on the complexity and
legal nature of matters before the Board. The selected firm should be reasonably accessible to the
Executive Director and Board Chair for routine legal questions and provide timely legal advice
and document review as requested. The firm may also be asked to participate in Board
orientation, training, or special meetings when appropriate.
5. Qualifications
Responding firms are expected to demonstrate:
• At least five (5) years of experience providing legal services to Colorado municipalities,
downtown development authorities, urban renewal authorities, or similar public entities.
• Experience with downtown development authorities, urban renewal, Tax Increment
Financing (TIF), public-private partnerships, and other public development tools.
• Demonstrated expertise in Colorado municipal law, real estate and land use law, public
finance, and economic or community development.
• An individual attorney or team with sufficient capacity to provide responsive and timely
legal services to the JDDA. If the firm proposes a team, please identify the attorney who
will serve as the JDDA’s primary point of contact and the roles of other attorneys who
may support the engagement.
6. Proposal Requirements & Submission Instructions
Proposals must be no more than 15 pages and submitted in PDF format. The following must be
included:
1. Cover letter summary of the firms interest.
2. Firm qualifications and experience, please include:
a. Description of relevant experience.
b. Identification of attorney(s) who will serve the JDDA with resume.
3. Approach to Service Delivery
a. Availability for meetings and consultation.
b. Proposed communication protocols.
c. Expectations related to response times for routine and urgent matters as requested.
d. Describe your philosophy regarding risk management, litigation, and practical
problem solving.
e. Conflict-of-interest checks and procedures.
4. Fee Structure
a. Proposed hourly rates for Attorneys and Staff.
i. If billing rates are separate for in-house work vs. external (billback) work,
please indicate rates separately.
b. Billing policies (increments, travel, meeting attendance, etc.).
5. Professional Liability and Insurance
a. Provide the name of your professional liability, insurance carriers, and insurance
limits on each policy.
