Outdoor Warning System RFP
(Joint request for the City of Midland & County of Midland)
The County of Midland requests your participation in submitting a proposal for a joint
project including the City of Midland and The County of Midland, (reference as Entity or
Entities) for replacement of our current outdoor warning system. All submissions
must be in accordance with the attached specifications.
Proposals are due no later than 2:00 pm, Thursday, January 29, 2026 to Haley
Greene, Procurement and Contracts Administrator, 3rd Floor County Services Building,
220 W. Ellsworth St., Midland, MI 48640-5194. It will be the contractor’s responsibility to
ensure delivery of proposal is received by the Procurement and Contracts Office in a
complete and timely manner. All proposals must be sealed and marked "Outdoor
Warning System Proposal RFP" with date and hour of opening, name and
address of bidder.
The Entities reserves the right to accept, reject or negotiate any or all proposals, to waive
or not waive informalities or irregularities in proposals or bidding procedures, and to
accept any proposal determined by the Entities Representatives to be in the best interest
of the Entities, whether the proposal is lowest or not. The Entities assumes no liability for
any costs incurred in preparing a proposal.

PROPOSAL INSTRUCTIONS
Outdoor Warning System RFP
(Joint including the City of Midland & County of Midland)
The enclosed specifications and bid sheets comprise a cooperative proposal package
for the Outdoor Warning System requirements. This package has been designed to
accommodate contractors wishing to provide a proposal on any or all required materials
as well as those offering quantity and/or freight price breaks. Your participation in this
proposal is encouraged and your attendance at the bid opening is welcomed.
1. All proposals must be sealed and clearly marked on the outside of the envelope
“Outdoor Warning System RFP" with date and hour of opening, name and
address of contractor, and must be received by 2:00 p.m. on Thursday,
January 29, 2026 at:

Proposals will be publicly opened by the Midland County Procurement and
Contracts Office at 2:15 p.m. on Thursday, January 29, 2026:

2. Any proposal received after the advertised deadline shall be disqualified and will
be returned to the contractor unopened. This applies to proposals sent by mail
as well as those delivered.
3. All questions or clarifications concerning this request must be in writing and
directed to Haley Greene, Procurement & Contracts Administrator at
hgreene@co.midland.mi.us.
4. There may be one or more amendments to this Request for Proposal. These
amendments will be posted on the Midland County website at
http://co.midland.mi.us. It is be the responsibility of the contractor to check for
these amendments.
5. Any contractor may withdraw their proposal by written request at any time prior to
the advertised time for opening.
6. Telegraphic and email proposals are not acceptable and telephone, telegraphic
and electronic amendments or withdraws will not be accepted under any
circumstances.
7. Negligence or errors on the part of the contractor in preparing the proposal
confers no rights for withdraw of the proposal after it has been opened.
8. Proposals received prior to the deadline will be securely kept and unopened. No
responsibility will be attached to an officer or person for the premature opening of
a proposal not properly addressed and identified.
9. Proposals must be submitted on printed forms furnished by Midland County.
Voluntary alternatives or additional product information may be attached to the
proposal form if necessary.
10. Unless otherwise specified, no proposal may be withdrawn, changed, or modified
in any way for a period of sixty (60) calendar days from the date of the bid
opening.
11. Proposals must contain contractor’s complete legal name, address, telephone
number and email address. The proposal must be signed in ink by an authorized
representative of your company.
12. The Anti-Collusion Certification provided herein must be completed and returned
with the submittal.
13. In case of a discrepancy between unit prices and their extensions, the unit price
bid shall govern.
14. All erasures or corrections to pricing information must be initialed in ink.
15. Contractors must include one (1) original and four (4) copies of the entire
submittal.
Taxes: The Entities are exempt from State and Federal taxes.
Non-Appropriations: The Entities shall be bound, hereunder, only to the extent that
funds shall have been appropriated and budgeted or are otherwise available for the
purpose of this contract. In the event that no funds or insufficient funds are appropriated
and budgeted, or are otherwise unavailable by any means whatsoever in any fiscal
period of payments due under this contract, then the Entity shall immediately notify the
Contractor of such occurrence and this contract shall terminate the last day of the fiscal
period for which appropriations were received without penalty or expense to the Entity
of any kind, whatsoever.
Delivery: Proposals shall include all delivery charges with terms of Freight Prepay -
FOB Midland, MI.
Laws: The laws of the State of Michigan shall govern the rights, obligations, and
remedies of the Parties under this proposal request and any agreement reached
through this process.
Disclosure: All of the information included in your proposal response is subject to the
“Freedom of Information Act” and may be disclosed in its entirety after the formal, public
bid opening has been completed.
Independent Price Determination: By submission of this proposal, the contractor
certifies that the pricing structure offered has been arrived at independently without
consultation, communication, or agreement of such prices for the purpose of restricting
competition with any other contractor or competitor.
Acceptance of Materials: All components used in the manufacture or construction of
materials, supplies, and equipment, and all finished goods, shall be new, the latest
make/model, of the best quality, and highest-grade workmanship. In the event the
delivered material is found to be defective or does not conform to specifications, the
Entity reserves the right to cancel the order upon written notice to the contractor and
return the materials to the contractor at the contractor’s expense.
Incurred Costs/Disclaimer:
The Entities included in this RFP will not be liable in any way for any costs incurred by
contractors in replying to this proposal request.

The Entities included in this proposal reserve the right:
To waive minor technical deficiencies and irregularities, or both in the
requests for proposals, the process of requesting or receiving the
proposals, or the proposals received from submitters.
To request clarification of all or any portion of a proposal from any or all of
the submittals received in response to a request for qualification or
