THIS IS A REQUEST FOR SEALED BIDS ONLY. This is not an order. Please note the RFx number
and bid opening date on the outside of your bid envelope.
Scope of work includes labor, materials, and services required to produce Asphaltic Mixture for Cold
Application, High Performance, which is acceptable to the Department of Transportation and
Development. Contract is to begin July 1, 2026 through December 31, 2026 for the Departments
various Districts in the State as requested in accordance with provisions set forth as specified herein
with an option to renew for the second 6 months.

SPECIFICATIONS:
All Asphaltic Mixture for Cold Application, Type HP (High Performance) furnished under this contract
must be in accordance with DOTD Specification No. MS 164-003, Revised 3/10/22 and an approved
product listed on the Approved Materials List (AML) for High Performance Cold Mix for Patch Matl.
GUARANTEE AND LIABILITY:
The contractor accepts the following guarantees:
(1) Guarantee that the supplies delivered are free from defects in design and construction.
(2) Guarantee that the supplies are the manufacturers standard design in construction and that no
changes or substitutions have been made in the items listed in this contract.
The Contractor holds and saves the State, its officers, agents, and employees harmless from liability
of any kind, including cost and expenses on account of any patented or unpatented invention, articles,
devices or appliances manufactured or used in the performance of this contract, including use by the
government.
The Contractor agrees to replace free of charge all defective equipment, materials or supplies
delivered under this contract. All transportation charges covering return and replacement shall be paid
by the contractor.
SPECIAL INSTRUCTIONS:
Line items with quantity of "1" is listed to require a bid price if needed, however estimated quantity is 0.
Please see Estimated Quantity Per District attachment for anticipated needs.
This is not an order to deliver. The quantity listed is estimated usage only. No specific quantities are
given or guaranteed. Material will be ordered as needed.
The successful bidder(s) must supply at bid price actual quantities as ordered whether the total of
such quantities are more or less than the quantities shown in the bid document. The department
reserves the right to increase or decrease quantities at the same price, terms and conditions for the
period of the contract.
Prices quoted shall include all costs incidental to any license or patent that may be held by any
company processing the materials bid on and the dealer agrees to hold the Department of
Transportation and Development harmless from any claims, suits, costs or penalties for infringement
or use of licensed or patented products.
Unit price bid must not exceed two digits to right of decimal. Unit price submitted beyond two digits
will be rounded off to the nearest second digit.
Must be bid in correct unit of measure shown to be considered for award. Quote submitted in any
other unit of measure will not be considered.
Materials Producer/Supplier Code must be on the Approved Materials List (AML) for High
Performance Cold Mix for Patch Matl prior to bid opening to be considered for award.
Prior to award, bidder may be required to supply a test report(s) on their most recent batch of product
that lists the aggregates and other materials used in the mix design and the results of the assessment.
If requested, report(s) must be supplied within ten (10) days of request.

Material is subject to laboratory test before final acceptance.
BASIS OF AWARD:
Bids submitted for lines 1-61 is for delivery in BULK per ton by dump truck. These lines will be
awarded by lowest price per ton. Bids for bagged cold mix for lines 1-61 will be rejected.
For lines 62 - 70 for bagged cold mix, in the event bids are submitted for cold mix bags that vary in
size, for the same location, the bagged mix (Product ID 11510) will be awarded by price per pound.
The unit price bid must be equal to the total cost of one (1) bag of cold mix. The price per pound will
be determined by dividing by the unit price (cost per bag) by the number of pounds per bag. The
vendor with the lowest price per pound, meeting the specifications and all other bid requirements will
be awarded. If the bids submitted for the same location are of the same size bag, a calculation of the
price per pound will not be necessary; the award will issued to the lowest bidder meeting the
requirements of the solicitation.
The award of the contract will be made separately at each location to the lowest responsible bidder
complying with all details of this bid document as determined by the DOTD Procurement Director.
Bidders quoting all or none may not be considered for award.
Discounts will be accepted, but will not be considered in determining low bidder.
After contract award, the department will work with the awardee and/or the Louisiana DEQ to ensure
all applicable permits, exemptions, and/or documentation is on file prior to issuance of delivery. This
varies for each bidder depending on what materials are manufactured or simply stored, what quantity,
and the location, among other criteria.
MATERIAL AVAILABILITY:
The successful bidder(s) will be required to have on hand or immediately available an adequate supply
of Asphaltic Mixture for Cold Application in order to meet the Departments requirements, as ordered,
where ordered, during the life of the contract.
Vendors accepting the Cooperative Purchase Agreement understand and agree that deliveries to
other State Agencies, Political Subdivisions or Quasi Agencies will be on a statewide basis.
PURCHASE ORDERS:
Purchase orders will be issued by the Department of Transportation and Development. Each
Purchase order will state an actual or estimated quantity that is required and all other pertinent data
necessary to assist the Contractor to make proper delivery. In no event shall delivery be made without
proper authorization.
INVOICES:
At the time of delivery, the Contractor is to make a delivery receipt on his own form showing at a
minimum a complete description of the product supplied and the exact quantity delivered. Such
delivery ticket must make reference to the Purchase Order Number.
Upon delivery and its acceptance by the Department, the Contractor shall bill the Department by
means of an invoice and such invoice shall make reference to the Purchase Order Number on which
delivery was made.
Invoices shall be submitted by the contractor directly to the address shown on the Purchase Order.

Invoices will be paid by the Department within the discount period or within thirty (30) calendar days
from receipt of correct invoice. If contractor proposes a discount, discount period will start from receipt
of correct invoice.
PAYMENT:
In an effort to increase efficiencies and effectiveness as well as be strategic in utilizing technology and
resources, DOTD strongly encourages vendors to participate in accepting Electronic Funds Transfer
(EFT) payments.
EFT payments are sent from the State's bank directly to the payee's bank each weekday. The only
requirement is that you have an active checking or savings account at a financial institution that can
accept Automated Clearing House (ACH) credit files and remittance information electronically.

CONTINUATION OF CONTRACT:
At the option of the Department of Transportation and Development and acceptance by the contractor,
this contract may be extended for one (1) additional six (6) month period at the same prices, terms and
conditions.
Prior to exercising the Departments option to extend the contract, the Department will determine if an
extension is in the best interest of the Department, taking into consideration current market trends,
cost factors, price comparison with similar service in other states and various other factors as
determined by the DOTD Procurement Director.
TERMINATION OF CONTRACT:
The continuation of this contract is contingent upon the appropriation of funds to fulfill the requirements
of the contract by the Legislature. If the Legislature fails to appropriate sufficient monies to provide for
the continuation of a contract, or if such appropriation is reduced by the veto of the Governor or by any
means provided in the Appropriations Act or Title 39 of the La. Revised Statutes of 1950 to prevent the
total appropriation for the year from exceeding revenues for that year, or for any other lawful purpose,
and the effect of such reductions is to provide insufficient monies for the continuation of the contract,
the contract shall terminate on the date of the beginning of the first Fiscal Year for which funds are not
appropriated.
The Department reserves the right to terminate this contract prior to the end of the contract period
upon giving a ten (10) day written notice to the contractor for unsatisfactory performance,
unsatisfactory delivery, unsatisfactory service, failure to meet specifications, misrepresentation by the
contractor, fraud, collusion, conspiracy, or other unlawful means of obtaining any contract with the
State, conflict of contract provisions with constitutional or statutory provisions of State or Federal Law,
and/or any breach of contract.
The Department reserves the right to terminate this contract prior to the end of the contract period
upon giving thirty (30) day written notice to the contractor if it is considered in the best interest of the
Department.
Successful contractor may request cancellation of this contract upon giving a thirty (30) day written
notice to the DOTD Procurement Director.
Should the product supplied fail to meet performance standards as indicated in the specification, the
Department, at its sole discretion, may remove the product from the Approved Materials List (AML) for
High Performance Cold Mix for Patch Matl. Product removal from the AML, at any point during the
contractual period, will constitute full and immediate cancellation of the contract.

All orders delivered prior to the effective date of such termination shall be paid for by the Department
in accordance with the terms of the contract, whereupon all obligations of both parties to the contract
shall cease.
APPLICABLE LAW:
All contracts shall be construed in accordance with and governed by the Laws of the State of
Louisiana, including but not limited to DOTD Purchasing Rules & Regulations, Special Instructions &
Conditions and specifications listed in this bid document.
