In accordance with the advertisement of the County, inviting proposals for the delivery of materials
and/or equipment hereinbefore named, and in conformity with the Contract, Plans, Specifications and
Special Provisions pertaining thereto;

1 INSTRUCTIONS TO BIDDERS
1.1 SEALED BIDS FOR PARK GROVE LIBRARY: FURNISHINGS AND INSTALLATION will be received until 2:00
p.m., on Tuesday, September 22, 2026 at the Washington County Office of Administration Department,
14949 62nd Street North, Stillwater, Minnesota 55082.
1.2 Bids will be opened and read publicly at 2:00 pm CST on the aforesaid date at the Washington County
Government Center. Contracts are not net until Washington County awards the contract at a public
meeting. The Washington County Building Services Division (herein referred to as the County) will
administer the contract for this project.
1.3 All proposals shall be submitted on the forms provided. All blank spaces for each proposal must be filled
in, in ink or typewritten, and the bid form must be fully completed and signed when submitted. All
proposals by corporations shall bear the official seal of the corporation, if applicable, along with the
signature of a duly authorized officer of the corporation
1.4 All proposal envelops must bear the inscription "Park Grove Library: Furnishings and Installation" and
the name and address of the corporation.
1.5 Bid envelopes shall be addressed to Washington County Office of Administration Department, 14949
62nd Street North, Stillwater, Minnesota 55082.
1.6 Intent of Documents. It is the intent of this document for the successful Bidder to provide the
equipment, labor and materials for PARK GROVE LIBRARY: FURNISHINGS AND INSTALLATION.
1.7 In case of a difference between written words and figures in a proposal, the amount stated in figures
shall govern.
1.8 In case of unit price difference from extended figure, the unit price shall govern.
1.9 This bid is partitioned by manufacturer. There is no requirement to bid on all
manufacturers. You may bid on any number of manufacturers. Washington County will
award this bid to the lowest bidder by manufacturer and may award this bid to multiple
vendors or may choose to award to overall lowest bidder for all Manufacturer categories.
1.10 Revisions or interpretations made by the County shall be by addendum issued prior to the date set for
bid opening. Any explanation desired by Bidders must be requested from the County's authorized
representative in writing, and if explanation is necessary, a reply will be made in the form of an
addendum, to be disseminated in the same manner as the bid document. Information obtained from an
unauthorized officer, agent, or employee of Washington County or any other person shall not affect the
obligations assured by the Bidder nor relieve him from fulfilling any of the conditions therein. For the
purpose of this bid, the County's authorized representative is Christina Mastro,
christina.mastro@washingtoncountymn.gov.
1.11 All bids must comply with and not deviate from the provisions of the contract documents.

1.13 The County reserves the right to accept or reject any or all bids and to waive any defects or technicalities
or to advertise for new bids where the acceptance, rejection, waiving, or advertising of such would be in
the best interest of the County.
1.14 In addition to the base bid price, the bid award shall be based on, but not necessarily limited to the
Bidder's adherence to all bid requirements.
1.15 Bids will only be considered from businesses who have an established reputation in the field of furniture
design, installation, repair and maintenance. Each bidder will furnish satisfactory evidence of their
ability to service Washington County in a timely and responsible manner.
1.16 The County reserves the right to determine, in its sole and absolute discretion, whether the Bidder is
both a responsive and a responsible Bidder, and satisfactorily meets criteria established in this invitation
to bid.
1.17 The County reserves the right to disqualify any bid, before or after opening, if there is evidence of
collusion with intent to defraud, or other illegal practices upon the part of the Bidders, or for
noncompliance with the requirements of these documents.
Any modifications, insertions, deletions, or changes, except as caused by a County addendum, made on
any material contained on the proposal sheets may be cause for the rejection of the proposal. Should
any Bidder wish to submit amplifying data with this proposal, it should make a statement on the bottom
of the proposal that such amplifying material is a part of the bid and attach said material to the proposal
form.
1.18 The County is not responsible for locating or securing any information which is not identified on the
proposal and is reasonably available to the Bidder. Accordingly, to ensure that sufficient information is
available, the Bidder must furnish as a part of its proposal all descriptive material necessary for the
County to 1.) determine whether the service offered meets the requirements of the contract
documents, and 2.) establish exactly what the Bidder proposes to furnish as to supplies, equipment, and
services.
1.19 The evaluation of bid proposals and the determination as to the quality of the equipment and services
offered shall be the responsibility of the County and will be based on information furnished by the
Bidder, or identified in its proposal, as well as other information reasonably available to the County
1.20 Bids received prior to the time of opening will be securely kept unopened. The officer whose duty it is to
open them will decide when the specified time has arrived, and no proposal received thereafter will be
considered. Bids received after the time set for opening will be returned to the bidder unopened. No
responsibility will attach to an officer for the premature opening of a proposal not properly addressed
and identified.

1.21 The County shall not physically release or return to the Bidder any proposal for the purpose of
modification, withdrawal, or any other purpose whatsoever, until after the proposals are officially
opened and acknowledged, and no proposal may be withdrawn for a period of thirty (30) days from the
official opening thereof. However, a proposal may be withdrawn any time prior to the bid opening date.
1.22 NON-EXCLUSION OF REMEDIES: Any right or remedy on behalf of the County or on behalf of any entity
possessing the right or permission to buy under these specifications, including, but not limited to, any
guaranty or warranty or any remedy for Contractor's non-performance, shall be in addition to, not a
limitation of, any right or remedy otherwise available by law, equity, or statute.
1.23 All questions should be written and submitted via email to Christina Mastro,
Christina.Mastro@washingtoncountymn.gov with the subject line "Park Grove Library: Furniture." All
written questions sent by September 2, 2026, will be answered via an Addenda to the Washington
County website.
2 GENERAL REQUIREMENTS
2.1 By submitting a proposal, the Bidder certifies that it is the only party interested in its proposal, and that
its proposal is made and submitted without fraud or collusion with any other person, firm, or
corporation whatsoever.
2.2 The prices quoted on the proposal form shall not increase throughout the contract period. The Bidder
certifies that any and all prices which it may charge under the terms of the contract do not, and will not
violate any existing federal, state, County, or municipal law or regulation concerning price discrimination
and/or price fixing.
2.3 This shall not be an exclusive contract and the County reserves the right to apportion furniture services
to be performed by other contractors.
2.4 INDEPENDENT CONTRACTOR: Nothing within the Contract is intended or should be construed in any
manner as creating or establishing the relationship of co-partners between the parties or as constituting
the Contractor as the agent, representative, or employee of the County for any purpose or in any
manner whatsoever. The Contractor is to be and shall remain an independent Contractor with respect to
all services performed under this agreement.
2.5 The Contractor will secure, at its own expense, all personnel required in performing services under the
Contract. Any and all personnel of the Contractor or other persons, while engaged in the performance of
any work or services required by the Contractor under this Contract shall have no Contractual
relationship with the County and shall not be considered employees of the County.
2.6 STANDARDS: The Contractor shall comply with all applicable Federal law, State statutes, Federal and
State regulations, and local ordinances now in effect or adopted during the performance of the services
herein until completion of said services.
Failure to meet the requirements of the above shall be a substantial breach of the agreement and will
be cause for cancellation of this contract.
2.7 DATA PRACTICES: All data collected, created, received, maintained, or disseminated for any purpose by
the activities of the Contractor, because of this Contract shall be governed by the Minnesota

Government Data Practices Act, Minnesota Statutes Chapter 13 (Act), as amended and the Rules
implementing the Act now in force or as amended. The Contractor is subject to the requirements of the
Act and Rules and must comply with those requirements as if it is a governmental entity. The remedies
contained in section 13.08 of the Act shall apply to the Contractor.
2.8 POSSESSION OF FIREARMS ON COUNTY PREMISES: Unless specifically required by the terms of this
contract or the person it is subject to an exception provided by 18 USC 926B or 926BC (LEOSA) no
provider of services pursuant to this contract or subcontractors shall carry or possess a firearm on
County premises or while acting on behalf of Washington County pursuant to the terms of this Contract.
Violation of this provision is grounds for immediate suspension or termination of this Contract.
2.9 AUDITS, REPORTS, RECORDS, AND MONITORING PROCEDURES/RECORDS AVAILABILITY & RETENTION:
Contractor's books, records, documents, and accounting procedures and practices, and other evidence
relevant to this audit clause are subject to the examination, duplication, transcription and audit by the
County and either the Legislative or State Auditor, pursuant to Minn. Stat. 16C.05. The Contractor
agrees to maintain books, records, documents, accounting procedures and practices, and other
evidence relevant to this audit clause for a period of six (6) years from the date services or payment
were last provided or made or longer if any audit in progress requires a longer retention period.
2.10 EXAMINATION OF SPECIFICATIONS: Before submitting a proposal, each Bidder shall familiarize
themselves with all ordinances and statutes pertaining to the work and shall carefully examine the
entire contents of the specifications prepared for the work so as to be thoroughly familiar with all the
requirements. The successful Contractor shall not be allowed any extra compensation by reason of any
unforeseen difficulties or obstacles which the Bidder could have discovered or reasonably anticipated
prior to the bidding.
2.11 INDEMNIFICATION: The Contractor agrees it will defend, indemnify and hold harmless the County, its
officers and employees against any and all liability, loss, costs, damages, and expenses which the County
and its officers, or employees may hereafter sustain, incur, or be required to pay arising out of the
negligent or willful acts or omissions of the Contractor in the performance of this Contract.
2.12 INSURANCE: The Contractor agrees that it will at all times during the term of this contract, keep in force
the following insurance protection in the limits specified:
1. Commercial General Liability with Contractual liability coverage in the amount of
$1,500,000 per occurrence with a $3,000,000 aggregate. An excess or umbrella liability
policy may be used in conjunction with primary coverage limits to meet the minimum limit
requirements.
2. Automobile coverage in the amount of $1,500,000 on a combined single limit bases and
include hired and non-owned.
3. Worker's Compensation in statutory amount (if applicable) of bodily injury by accident in the
amount of $500,000 each accident, bodily injury by disease in the amount of $500,000 each
employee, and bodily injury by disease in the amount of $500,000 policy limit.
Washington County shall be listed as additional insured as it relates to Commercial General Liability and
Automobile Liability.
Prior to the effective date of this Contract, the Contractor will furnish the County with a current and
valid proof of insurance certificate indicating insurance coverage in the amounts required by this

contract. This certificate of insurance shall be on file with the County throughout the term of the
Contract. As a condition subsequent to this contract, Contractor shall ensure that the certificate of
insurance provided to the County will at all times be current. The parties agree that failure by the
Contractor to maintain a current certificate of insurance with the County shall be a substantial breach of
the contract and payments on the contract shall be withheld by the County until a certificate of
insurance showing current insurance coverage in amounts required by the contract is provided to the
County.
Any policy obtained and maintained under this clause shall provide that it shall not be cancelled,
materially changed, or not renewed without thirty days' notice thereof to the County.
2.13 PERFORMANCE AND PAYMENT BONDS: The Contractor shall furnish a Performance Bond, and Payment
Bond if subcontractors are used. The contract will not be signed until the owner has received the proper
bonds specified under this Article, issued by a bonding company licensed to do business in the State
where the work will take place, and on the current list of Company's Holding Certificates of Authority as
acceptable sureties on Federal Bonds and as acceptable reinsuring companies as published in Circular
570 (Amended) by the Audit Staff Bureau of Accounts, U.S. Treasury Department. A certified copy of the
authority to act must accompany all bonds signed by an agent.
The performance bond and payment bond shall each be in the amount of 100% of the contract price.
Cost of bond to be incorporated in Contractor's bid.
Duly executed, notarized and updated Acknowledgments of both the Principal and Surety and the
Surety's Power of Attorney must be attached to the required bond.
Bond amounts shall not exceed the single bond limit for the Contractor's bonding company as set forth
in the Federal Register current as of the bid date.
2.14 DAMAGE BY CONTRACTOR: Any damage to the County's property, building or equipment caused by the
Contractor will be the Contractor's responsibility to repair or pay for repairs/replacement of damaged
items within a reasonable time frame established by the County.
2.15 AMENDMENTS: An amendment is a written order to the Contractor signed by the County, issued after
execution of the contract, authorizing a change in the terms of the contract, a change in the work or an
adjustment in the contract sum or the contract time. The contract sum, the contract terms, and the
contract time may be changed only by amendment. A change order signed by the Contractor indicates
its agreement therewith, including the adjustment in the contract sum, the contract terms or the
contract time.
2.16 SUBCONTRACTING AND ASSIGNMENT: The Contractor shall not enter into any subcontract for
performance of any services contemplated under this Contract; nor novate or assign any interest in the
Contract, without the prior written approval of the County. Any assignment or novation may be made
subject to such conditions and provisions as the County may impose. If the Contractor subcontracts the
obligations under this Contract, the Contractor shall be responsible for the performance of all
obligations by the subcontractors.
2.17 SUBCONTRACTOR PROMPT PAYMENT: Pursuant to Minnesota Statute 471.425 subd. 4a., Contractor
shall pay any subcontractors within 10 days of the Contractor's receipt of payment from the County for
undisputed services provided by the subcontractor. The Contractor shall pay interest of 112 percent per

month, or any part of a month, to the subcontractor on any undisputed amount not paid on time to the
subcontractor. The minimum monthly interest penalty payment for an unpaid balance of $100 or more
is $10. For an unpaid balance of less than $100, the Contractor shall pay the actual penalty due to the
subcontractor. The subcontractor shall have third party rights under this Contract to enforce this
provision.
2.18 CONTRACTOR DEBARMENT, SUSPENSION AND RESPONSIBILITY CERTIFICATION: Federal Regulation 45
CFR 92.35 prohibits the County from purchasing goods or services with federal money from vendors
who have been suspended or debarred by the federal government. Similarly, Minnesota Statutes,
Section 16C.03, subdivision 2, provides the Commissioner of Administration with the authority to debar
and suspend vendors who seek to Contract with the County. Contractors may be suspended or debarred
when it is determined through a duly authorized hearing process, that they have abused the public trust
in a serious manner.
By signing this Contract, the Contractor certifies that it and its principals* and employees:
A. Are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily
excluded from transacting business by or with any federal, state, or local governmental department
or agency; and
B. Have not within a three year-period preceding this Contract: 1) been convicted of or had a civil
judgment rendered against them for commission of fraud or a criminal offense in connection with
obtaining, attempting to obtain or performing a public (federal, state, or local government)
transaction or Contract, 2) violated any federal or state antitrust statutes, or 3) committed
embezzlement, theft, forgery, bribery, falsification or destruction of records, making false
statements or receiving stolen property; and are not presently indicted or otherwise criminally or
civilly charged by a governmental entity for:
i. commission of fraud or a criminal offense in connection with obtaining, attempting
to obtain or performing a public (federal, state, or local government) transaction,
ii. violating any federal or state antitrust statutes, or
iii. committing embezzlement, theft, forgery, bribery, falsification, or destruction of
records, making false statements or receiving stolen property; and
C. Are not aware of any information and possess no knowledge that any subcontractor(s), that will
perform work pursuant to this Contract, are in violation of any of the certifications set forth above;
and
D. Shall immediately give written notice to the Contract manager should the Contractor come under
investigation for allegations of fraud or a criminal offense in connection with obtaining or
performing a public (federal, state, or local government) transaction, violating any federal or state
antitrust statute, or committing embezzlement, theft, forgery, bribery, falsification of records,
making false statements, or receiving stolen property.
*Principals, for the purpose of this certification, means officers, directors, owners, partners, and persons
having primary management or supervisory responsibilities within a business entity (e.g., general
manager, plant manager, head of subsidiary division or business segment, and similar positions).
2.19 NONDISCRIMINATION: The Contractor agrees to comply with the nondiscrimination provision set forth
in Minnesota Statute 181.59 and not discriminate on the basis of race, creed, color, or national origin.
The Contractor's failure to comply with this requirement may result in cancellation or termination of the

Contract, and all money due or to become due under the Contract may be forfeited for a second or any
subsequent violation of the terms or conditions of this Contract.
2.20 CONFLICT OF INTEREST: Contractor affirms that, to the best of its knowledge, this Contract does not
present a conflict of interest with any party or entity, which may be affected by the terms of this
Contract. The Contractor agrees that, should any conflict or potential conflict of interest become known,
it will immediately notify the County of the conflict or potential conflict, and will advise the County
whether it will or will not resign from the other engagement or representation. Unless waived by the
County, a conflict or potential conflict may, in the County's discretion, be cause for cancellation or
termination of this contract.
2.21 TERMINATION BY COUNTY FOR CONVENIENCE: The County may terminate the Contract at any time and
for any reason by providing the Contractor written notice of such termination. Upon such termination
the Contractor shall be entitled to compensation for work activities in accordance with the Contract
which were incurred prior to termination.
2.22 TERMINATION BY COUNTY FOR CAUSE: The County may immediately terminate the Contract if the
County determines that the Contractor has failed to comply with any of the provisions of the Contract,
for breach or default. Termination will be in writing setting forth the way the Contractor is in default.
The County in its sole discretion may, allow the Contractor a reasonable period of time not to exceed
ten (10) days, in which to cure the defect. In such case, the notice of termination will state the time
period in which cure is permitted and other appropriate conditions. If Contractor fails to remedy to the
County's satisfaction the breach or default of any of the terms, covenants, or conditions of this Contract
within ten (10) days after receipt by Contractor of written notice from County setting forth the nature of
said breach or default, County shall have the right to terminate the Contract without any further
obligation to Contractor. Any such termination for default shall not in any way operate to preclude
County from also pursuing all available remedies against Contractor and its sureties for said breach or
default.
2.23 RESPONSIBLE CONTRACTOR VERIFICATION AND CERTIFICATION OF COMPLIANCE
The provisions of Minn. Stat. 16C.285 Responsible Contractor are imposed as a requirement of this
contract. A false statement under oath verifying compliance with any of the minimum criteria shall
make the prime Contractor or subcontractor that makes the false statement ineligible to be awarded a
construction project and may result in termination of a contract awarded to a prime Contractor or
subcontractor that submits a false statement.
The Contractor hereby acknowledges that as a condition subsequent to this agreement, should they not
meet the minimum criteria in subdivision 3 or fails to verify that it meets those criteria is not a
responsible Contractor and is not eligible to be awarded a construction contract for the project or to
perform work on the project.
The Responsible Contractor Verification and Certification of Compliance is hereto attached and made a
part the specifications as Attachments A, A-1, and A-2.
2.24 WITHHOLDING: Minn. Stat. 270C.66 requires the County make no final settlement with any Contractor
under a contract requiring the employment of employees for wages by said Contractor and by
subcontractors until the Contractor provides a certificate from the Commissioner of Revenue showing
