the State of Alabama. Out of State limited liability companies shall furnish proof of
registration to transact business in this state. Alabama law requires that a successful

TERM OF AGREEMENT:
1. Tetm of this Agteement shall cointnence on the date of written Notice to Ptoceed, issued by
the County and endiiig on September 30, 2029.
COMPENSATION:
1. Monthly Fee: Tlie Ser'vice Conuactor agi:ees to chatge, and the County agrees to pay the
monthly fee as determined by the agteed at'nount pticing as ptesent on the Bid Foi:m foi: the
term of the conttact, for the required monthly janitorial seiices. Serv'ce Contractor shall bill
monthly foi: services i:endered the preceding month. All invoices submitted shall consist of an
original and clearly reference the Bid Number and a sufficient description to identify services
for which payment is requested.
2. Under Consti'uction: When a toom(s) or atea(s) is uiidei: consttuction, being temodeled, ot
othei'wise taken out of ser'vice, for more than Tl'iitty (30) continuous calendat days, Sei'vice
Conttactot shall be telieved of an or part of the conttact obligations for the atea designated.
As the Seivice Conttactor will not be perforining full sei'vice on those areas, the monthly
payments win be reduced by the actual numbei: of square footage that is taken out of sersrice.
3. Present Billing Rates: Any work not coveted by the Scope of Wotk of the conttact shall be
billed at the Sersrice Contractor's Additional Rates as described in the Bid Form, all additional
services will be invoiced separately from the monthly invoice.
4. Special and Emergency Event Seivices: At the tequest of the Mobile County Coininission's
Sei'vice Contract Adininistrator, Special Event Seiices and Emergency Event Services will be
invoiced pet the Additional Rates as desctibed in the attached Bid Fotm. All Invoices fot
special and emergency seivices slian include the fonowing attachments: Synopsis of hours
worked, list of employees names (last names only), Name and Date(s) of event, Location, and
attach email authorization. No claii'n for Woi:k futnished by the Sei'vice Contractot not
specifically provided for herein shan be paid by Mobile County Commission.

INOUIRIES:

Responses to questions may be liandled as an addendum if the response provides claiification to

FAMILIARITY WITH THE WORK
1. The Seivice Conttactor, by submitt'ng a bid, acknowledges full undetstanding of the extent and
character of the work tequited and the conditions surrounding the perfoimance thei:eof. The
County will not be i:esponsible fot any inisundetstanding of the woi:k to be fiii:i'iished ot
completed, or any of the conditions surroundiiig the petfoimance thei:eof. It is undei:stood that
execution of the Agreement by the Seivice Contractoi: serves as the stated coininitment
to fulfill all requitements and condit'ons refetted to in this Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. All prospect've bidders shall have a i:epi:esentative pi:esent at a MANDATORY Pre-bid
Confetence that will be held on Tuesday, July 07, 2026 at 9:00 a,m. on site at the Mobile
Corinty Revenue Coininission and Mobile County License Comi'nission location at the Eight
IS/Iile Sliopping Centei:, 4557 St. Stepliens Rd., Eight Mile, AL 36613, and then at 11:00 a.m.
meet at the Mobile County Revenue Coininission and Mobile County License Coininission
locations at the Theodore Oaks Shopping Center, 5808 US Highway 90 West, Suite D,
Theodore, AL 36582. Any Service Contractors not having a representative at is meeting will
be disqualified fi:om bidding on tl'ffls ptoject.
INSURANCE REoUIREMENTS
1. Setvice Contractor, at its sole expense, shall obtain and maintain in full force the following
insutance to protect the Service Conttactot and tlie Mobile County Cominission (MCC) at
li+nits and covei:ages specified l'ierein. These liinits and coverages specified are the ininitnum to
be maintained and ate not iiitended to tepresent the cottect insurance needed to fully and
adequately protect the Service Contractor. If requested by MCC, Service Conttactor sliall
provide copies of policies within 10 days of request.
2. All insui:ance shall be pi:ovided by insui:ers licensed to conduct business in the State of
Alabama and shall have a ininii'num A.M. Best rating of A- VII and must be acceptable to
MCC. Self-insured plans and/ot gi:oup :Eunds not having an A.M. Best rating must be
subinitted to MCC for prior approval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Coini'nercial General Liability policy, sl'ian name MCC as Additional Insured for
claii'ns arising out of the Service Contractors and/or any Subconttactoi:s wotk. The
ISO Forms CG 20 07 04 and CG 20 37007 04 or a comparable form that is no more
resttictive shall be i:equired. The additional Insuted fotm MUST include the curi:ent
Operations and Products/Completed Operations of each conttactoi:. The naming of
the additional insui:ed does not obligate the additional insuted to pay any premiums
due.

c. Automobile Liability
Coveting all Owned, Non-Owned, and Hited vehicles with a Combined single limit
(body ii'ijui7 and propem' rdamage combined) of $1,000,000 each accident .The
policy shall name MCC as an Additional Insuted.
d. Certificate of Insurance
A Certificate of Insurance evidenciiig the above minii'num tequii:ements tnust be
provided to and accepted by MCC, PRIOR to cotninencement of any work on the
contract. Each policy shall be endoi:sed to provide Thitty (30) days pi:ior written notice
of cancellation to the MCC.
CANCELLATION PROCEDURE
1. The Serice Conttactor shall be notified in writing of any pi:oblems pettaining to the
pei:foi:mance of the janitorial sersrices .This notification will be written by the Count5r's
Sei'vice Conti:act Administrator as specified in the Agreement. A follow up lettet will come
fi:om the Ditectot of Facilities and Maintenance. If no satisfactoi7 coi:rections are made by
the Sei'vice Contractor witbin Ten (10) woi:king days, Mobile County Commission may, at its
discretion, cancel the Agreement ii'nmediately. If teri'ninated, the Service Conttactot will be

removed from the bid list. Cancellation ptocedui:es will be strictly enforced.
2 . The Sei"ice Conttactoi: arid/or the Corinty may cancel the conttact by giving wtitten notice
of such, no less than Tl'iirty (30) calendai: days, notice of intent to cancel the contract. If the
Sei'vice Conti:actoi: ii'iitiates the cancelation, the Seiice Contractor must also forfeit Fifty
Petcent (50o/o) of the charge for janitorial set-vice for their last complete month of seiice. In
the event of cancellation by either party, ptotation of the custodial charge will be based on a
Thirty (30) day month.
MISCELLANEOUS PROVISIONS
1. Indeinnify: To the fullest extent perinitted by law, the Sei'vice Conttactot shall indeinnify
and hold hai:inless the County, and its agents and employees fi:om and against all claiz'ns,
damages, losses and expenses, including, but not liinited to, attotneys' t-ees arising out of
or tesulting from die performance of tlie Work.
2. Subconttactots: The Se.i'vice Conttactor shan not employ Subconttactors without the
express witten perinission of the County.
3. Uniforms: Ser-vice Conti:actot's employees are required to wear a uniform or some type
garment that will identify employees wotking for the company while on the pi:emises.
4. Conduct: The Set-vice Contractor shall require employees to comply with any and all
insttuctions pertaining to conduct and building regulations issued by Service Conttact
Adininistrator and Coutt Police Officers, if applicable. The Sei.-vice Contractot shall
prohibit theit employees from the following: disturbing papers on desks; opening desk
di:awers; opening file drawers or on any fui:niture; using telephones or office equipment;
stealing/taking County property or personal property; using illegal dtugs or alcohol or
othet ptohibited substances; being undet the influence of illegal dtugs ot alcohol while on
County ptopei:ty; carrying or using guns, knives, or other dangerous weapons; and/or
unplugging computers, or other equipment. Due to the security nature of Mobile County
Revenue Comi'nission and Mobile County License Coininission at Various Locations,
Seivice Contractot's employees will be issued County issued ident'fication security cards, if
applicable. The County sliall teserve die tiglit to have any Service Conttactot's petsonnel
removed, telocated, and/or barred ftom access to Mobile County Revenue Comtnission and
Mobile County License Cominission at Various Locations at any tii'ne. Seiice Contractor
will replace the employee iintnediately upon notification by the Service Contract
Adininistrator. The Sei'vice Contractor's personnel shall iini'nediately retutn the County
issued identification secui:ity card, if applicable.
5. Criminal Record Check: Service Contractor shall obtain criminal background checks, at its
expense, on all petsonnel at the statt of this contract or upon employment. The criminal
background check is to include federal, state, and local including any location that the
employee has resided within the past Five (5) years. Ten (10) days ptior to the statt of
work, Service Contractor shall provide Service Conttact Adtninisti:atot with
documentation illustrating backgtound checks have been successfully completed. No
employee will be allowed to wotk at the Mobile County Revenue Coinmission and Mobile
County License Coini'nission at Various Locations that has a criminal recotd/istoi7 for
the past Five (5) years, if applicable.
6. Qualifications of Employees: A fully qualified, and ttained fot theii: specific duties,
woi:kfoi:ce shall be on-board by the end of the first Thirty (30) days of the conttact, and
shall be maintained oughout the petiod of the conti:act.

7. All employees assigned by tlie Service Conttactot to petform the work undei: this contract
shan be physically able to do tlieir assigned WOI:k, and sliall be in good liealth. It shall be
the Setvice Contractor's responsibility to insure tliat all employees meet the physical
standai'ds needed to petfoi:m tlie work assigned. An personnel employed by the Service
Conii:actor shall be ttained and experienced, qualified in this type of work.
8. An personnel assigned and/ot beginning work on this Agteement shall be trained and
fully awai:e of theit tesponsibilities and duties.
9. Supersrision of Employees: The Seiice Contractor's site superv'sot shall be readily
available at an tii'nes when the work is being perfoi:med. The Ser'vice Contractor's
supei'visors shan be fully and adequately ttained, with a rninii'num of Two (2) years of
expeiience in cleaning superision, sufficient in scope to meet tlie apptoval of the Seiice
Contract Administrator.
10. Conuactor Qualifications: Ser'vice Conttactot must have been in business at least Two (2)
consecutive years. Seiv'ce Conii:actor shall provide refetences to tecent janitoiial service
expetience in buildings equivalent to apptoxiinately 15,872 sq. ft. (Eight Mile) and
approxiinately 12,663 sq. ft. (Tlieodote Oaks). Failure to provide evidence of at least Two (2)
consecutive years in business or refei:ences will be cause to reject bid.
