TERM OF AGREEMENT:
1. Tei:m of this Agi:eement sliall coi'i'u'nence on the date of written Notice to Proceed, issued by
the County and endiiig on September 30, 2029.
COMPENSATION:
1. Monthly Fee: The Sei-vice Conti:actor agrees to charge, and the County agrees to pay the
montl'ily fee as detei:inined by the ageed amount ptic'mg as present on the Bid Form for the
term of the contract, for the tequii:ed monthly janitotial sersrices. Seivice Conttactor shall bill
montMy for sei'vices tendei:ed the precediiig month. All invoices subinitted shall consist of an
original and shall cleatly teference the Bid Numbei: and a sufficient description to identify
seiices foi: which payment is tequested.
2. Undei: Construction: When a room(s) or atea(s) is undei: construction, being temodeled, or
otheiw'se taken out of seivice, fot more than Tty (30) contiiiuous calendar days, Seivice
Conti:actor shall be i:elieved of all oi: pai:t of the conti:act obligations foi: the ai:ea designated.
As the Ser'vice Contractoi: will not be perforining full ser-vice in those a.teas, the monthly
payments will be reduced by the actual numbei: of square footage that is taken out of seivice.
3. Present Billing Rates: Any work not covered by the Scope of Work of the contract shall be
billed at the Serv'ce Contractoi:'s Additional Rates as desctibed in the Bid Form, all additional
seiices will be invoiced sepatately from the montl'ily iiwoice.
4. Special and Emei:gency Event Seiices: At the request of the Mobile County Commission's
Seiice Contract Adininistratoi:, Special Event Services and Emei:gency Event Services will be
ii'ivoiced per the Additional Rates as described in the attached Bid Form. An Invoices fot
special and emei:gency services shall include the fonowing attachments: Synopsis of houts
woi:ked, list of employee's names (last names only), Nat'ne and Date(s) of event, Location, and
attach email authoi:izat'on. No daii'n foi: Work furnished by the Sei'vice Contractot not
specifically provided foi: herein shall be paid by Mobile County Corninission.
INOUIRIES:
1. Questions i:egarding this project should be directed to the Seivice Contract Adtninisttator at
jamila.cartet@mobilecountyal.g onvo later than Three (3 )busines sday spr'ior to the bid opening.
Responses to questions may be handled as an addendui'n if the tesponse provides claiification to
the tequii:ements of the bid. All such addenda sl'iall become part of the conttact docutnents.
FAMILIARITY WITH THE WORK
1. The Service Contractor, by subinitting a bid, acknowledges full undei:standing of the extent and
chai:actet of the work required and the conditions surrounding the pei:formance theteof. The
County will not be tesponsible for any inisunderstanding of the work to be futnished or
completed ,or any of the conditions suti:oun% tlie pei:formance thereof .It is undei'stood that
execution of the Agreement by tlie Ser'vice Contractor sei'ves as the stated cominiti'nent
to fulfill all requii:ements and conditions tefetred to in this Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. AI1 prospective bidders shall have a representative pi:esent at a MANDATORY Pre-bid
Confei:ence that will be held on Monday, July 05 ,2026 ,at lO:OOam ,on site at the Jon
Archer Agricultural Centet, 1070 Schilliiiger Road Notth, Mobile, AL 36695. Any Seiv'ce
Contractots not having a representative at this meeting will be disqualified fi:om bidding on
is pi:oject.
INSURANCE REOUIREMENTS
1. Sei'vice Conttactot, at its sole expense, shall obtain and maintain in full force the following
insurance to pi:otect tlie Service Contractor and the Mobile County Cornrnission (MCC) at
liinits and coverages specified lierein. These limits and covei:ages specified ai:e the um to
be maintained and are not intended to rep.tesent tlie cottect insui:ance needed to fully and
adequately protect the Service Conttactoi:. If tequested by MCC, Service Contractor will
provide copies of policies within 10 days of request.
2. All insurance shall be provided by insurei:s licensed to conduct business in the State of
Alabama and shall liave a ininii'num A.M. Best rating of A- VII and must be acceptable to
MCC. Self-insuted plans and/or group funds not liaving an AJ. Best rating must be
submitted to MCC for pi:ior approval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INS'URANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Cotninetcial Genetal Liability policy shall name MCC as Additional Insured for
claii'ns atising out of tlie Seiv'ce Conttactors and/or any Subconttactors' work. The
ISO Forms CG 20 07 04 and CG 20 37007 04 ot a compatable form that is no
longei: restrictive sliall be required. The additional Insuted form MUST include the
current Operations and Pi:oducts/Completed Opei:ations of each conttactor. The
naining of the additional insuted does not obligate the additional insui:ed to pay any
preiniums due.
Aggregate liinits to be on a "per project" basis.
c. Automobile Liability
Covering all Owned, Non-Owned, and Hited vehicles with a Combined single litnit
(bodily injur7 and pi:opei:ty damage combined) of $1,000,000 for each accident. The
policy shall name MCC as Additioi'ial Insured.
d. Certificate of Insurance
A Cert'ficate of Insutance evidencing the above ininii'num requirements must be
provided to and accepted by MCC, PRIOR to commencement of any work on the
conttact. Each policy shall be endorsed to provide Tty (30) days prior written notice
of cancellation to tl'ie MCC. A sample Certificate of Insutance is attached, see
Exhibit C.
CANCELLATION PROCEDURE
1. The Ser'vice Contractot shall be notified in writing of any problems pertaining to the
petfoti'nance of the janitorial services. This notification will be written by the County's
Service Contract Adininisti:ator as specified in the Agreement. A follow-up lettet will come
from the Directot of Facilities and Maintenance .If no satisfactoi7 corrections ate made by
the Service Contractot within Ten (10) working days, Mobile County Commission may, at its
disctetion, cancel the Agreement iini'nediately. If teri'ninated, the Service Conttactor will be
removed from the bid list. Cancellation procedures will be strictly enforced.
2 . The Seivice Conttactoi: and/ot the County may cancel the contract by giving written notice
of such, no less than Thitty (30) calendar days, notice of intent to cancel the contract. If the
Sei'vice Conttactor initiates the cancelation, the Ser'vice Conttactoi: must also foi:feit Fifty
Percent (50o/o) of the chatge for janitotial seivice foi: theii: last complete month of seivice. In
the event of cancellation by either party, proration of the custodial charge will be based on a
Thii:t7 (30 )day month.
MISCELLANEOUS PROVISIONS
1. Indemnify: To the fullest extent perinitted by law, the Seivice Contractor sliall indeinnif5r
and hold harinless the County, and its agents and employees from and against all claims,
damages, losses, and expenses, including, but not liinited to, attorneys' fees arising out of
ot tesulting frot'n the performance of the Work.
2. Subconttactors: The Sei'vice Conttactor shall not employ Subconttactors without the
exptess written pertnission of the County.
3. Uniforms: Set-vice Contractor's et'nployees are requited to wear a uniform or some type of
gatment that will ident'fy employees wotking for the company while on the ptemises.
4. Conduct: Tlie Service Conttactot shall requii:e employees to comply with all instructions
pettaining to conduct and building regulations issued by Service Conttact Adininistrator
and Court Police Officets, if applicable. The Service Conttactor shall pi:ohibit theit
employees froi'n the following: disturbing papei:s on desks; opening desk drawers; opening
file drawers or Oil any furniture; using telepliones or office equipment; stealing/taking
County p.toperty or personal property; using illegal drugs, alcohol, oi: other prohibited
substances; being under the influence of illegal drugs oi: alcohol while on County
ptopetty; carrying or using guns, knives, or other dangerous weapons; and/oi: unplugging
computers or othet equipment. Due to the security natute of the Jon Ai:chet Agricultural
Center, Seivice Contractoi:'s employees shan be issued County issued identification securit5r
catds, if applicable. Tlie County shall resei've the right to liave any Service Conttactor's
personnel i:emoved, telocated, and/ oi: barred from acces sto the Jon Atchei: Agricultural
Center at any time. Ser'vice Conttactoi: shall replace the employee im+'nediately upon
notification by the Seiv'ce Conttact Adininistrator. The Service Conttactor's personnel shall
iininediately i:eturn tlie County issued identification secutit5 rcard, if applicable.
5. Ctiininal Recotd Check: Ser-vice Conttactot shall obtain criininal background checks, at its
expense, on all personnel at the start of this conttact ot upon employment. The ctirninal
background check is to include federal, state, and local including any location that the
employee has resided witlffi the past Five (5) years. Ten (10) days prior to the start of
work, the Service Conttactor shall provide the Seivice Conuact Adtninisttator with
documentation illusttating backgtound cliecks liave been successfully completed. No
employee will be allowed to work at the Jon Archer Agricultui:al Center that has a ci:irninal
i:ecord/histoi'y for the past Five (5) years ,if applicable.
6. Qualifications of Employees: A funy qualified, and trained fot theit specific duties,
workforce shall be on board by the end of the fitst Thirty (30 )days of the contract and
shan be maintained tl'u:ougliout the period of the contract.
7. An employees assigned by the Sei'vice Conti:actor to perfotm the WOI:k undet: this conti:act
shall be physically able to do theit assigned work and shall be in good health. It shall be
the Sei:vice Contractor's responsibility to ensute that all employees t'neet the physical
standatds needed to petform the wotk assigned. All pei:sonnel employed by the Service
Conti:actoi: shall be trained and experienced, qualified in this type of work, fully aware of
their tesponsibilities and duties.
8. Supei'vision of Employees: Ser'vice Contractor shau at all tii'nes ptovide adequate on-site
supei'vision (ininiinum of One (1) supervisor/lead custodian pet shift) of employees to
ensute complete and satisfactoi7 pei:formance of all woi:k in accotdance with the
Agreement. The Seiice Contractoi:'s site superisoi: shall always be available on-site when
the woi:k is being performed. Tlie Sei'vice Conttactor's supei'visoi:s shan be fully and
adequately trained, with a minii'num of Two (2) yeats of expetience in cleaning supervision,
sufficient in scope to meet the appi:oval of the Set-vice Contract Adininisttator.
9. Conii:actor Qualifications: Serice Contractot must have been in business at least Thtee (3)
consecutive yeats. Service Contractor shall ptovide references to recent janitotial serice
expetience in buildings equivalent to appi:oximately 15,025 sq. ft. Failure to ptovide evidence
of at least Three (3) consecutive years in business or refetences will be cause to teject bid.
