TERM OF AGREEMENT:
1. Tei:m of this Agteement sliall coininence on the date of written Notice to Pi:oceed, issued by
the County and ending on September 30, 2029.
COMPENSATION:
1. Quarterly Fee: The Service Contractor agtees to cliarge, and the County agrees to pay the
quartetly as detetinined by the agreed amount pticiiig as pi:esent on the Bid Fortn fot the tetm
of tlie conti:act, for the required quartei:ly seivices. Sei'vice Contractor shall bill quattei:ly for
sei'vices tendered the preceding month. All invoices submitted shan consist of an orig'nal and
clear i:eference foi: the Ptoject Number and a sufficient desctiption to identi$ seiv'ces foi:
whicli payment is reqriested.
2. Ptesent Billing Rates: Any work not coveted by the Scope of WOI:k of the conttact shan be
billed at the Service Conti:actot's Additional Rates as described in the Bid Form, all additional
seivices will be invoiced sepai:ately fi:om the monthly invoice.
INOUIRIES:
1. Questions regatding tl'ffs project should be du'ected to the Sei'vice Conti:act Adininisttator at
jamila.cartet@,mobilecountyal.gov 110 latet than Three (3) busiiiess days piior to the bid opening.
Responses to questions may be liandled as an addendui'n if the response provides clarification to
the i:equitements of the bid. All such addenda shan become patt of the contract docui'nents.
FAMILIARITY WITH THE WORK:
1. The Sei'vice Contractor, by subinitting a bid, acknowledges full understanding of the extent and
character of the wotk requii:ed and tlie conditions surrounding the perfoi:mance thei:eof. The
County tvill not be responsible fot any inisunderstanding of the work to be furnished or
completed, or any of the conditions surrounding the perfot'inance thereof. It is understood that
execution of the %eement by the Service Contractor sei've sas the stated coinmitinent to
fulfill all requitements and conditions i:efei:i:ed to in this Agreement. All work shall be in
accordance with National Fire Ptotection Association (NFPA) Code sections as listed in the
Scope of Work, the State of Alabama Fire Code, an City of Mobile Regulations, and all Mobile
County Regulations. Service Conttactot shall be cettified and hold a valid permit ftom
the State of Alabama Fite 'Matshall, (a copy of a valid petmit must be included in the
bid documents'. The work shall be performed by qr'ialified technicians that have met
the training requitements established by the State of Alabama Fite Matshall and the
City of Mobile Fite Rescue Department.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT:
1. All ptospective bidders shall have a repi:esentative present at a MANDATORY Pre-bid
Conference that tvill be held on Monday, August 10, 2026, at lO:OOam, local tii'ne, on site at
Mobile County Building Maintenance Complex, 554 South Royal St. Mobile, AL
36603. Any Service Conttactots not having a representative at tl'iis meeting will be
disqualified ftom bidding on this ptoject.
INSURANCE REOUIREMENTS:
1. Sei:vice Conttactoi:, at its sole expense, sliall obtain and maintain in full force the following
insurance to ptotect the Service Contractor and tlie Mobile County Cominission (MCC) at
liinits and coverages specified lierein. These liinits and covetages specified ate the tninitnum to
be maintained and ai:e not intended to reptesent the correct insurance needed to protect the
Sei:vice Conttactoi: fully and adequately. If tequested by MCC, Seivice Contractor will ptovide
copies of policies witl'ffn 10 days of i:equest.
2. An insurance shall be provided by iiisui:ers licensed to conduct busiiiess in the State of
Alabama and shan liave a ininimum A.M. Best tating of A- VII and must be acceptable to
MCC. Self-insuted plans and/or gtoup funds not having an A.M. Best rating must be
subinitted to MCC for prior approval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Coininercial General Liability policy shall name MCC as Additional Insured fot
claii'ns arising out of tlie Sei'vice Contractors and/or any Subcontractors 'work. The
ISO Forms CG 20 07 04 and CG 20 37007 04 or a comparable foi:m that is no
longer testtictive shall be tequiied. The additional Insured form MUST include the
curi:ent Operations and Itoducts/Completed Opei:ations of each conttactot. The
naining of the additional insured does not obligate the additional insured to pay any
pi'einiums due.
c. Automobile Liability
Covering all Owned, Non-Owned, and Hii:ed vel'iicles with a Combined single liinit
(bodily injui7 and property damage combined) of $1,000,000 fot each accident .The
policy shall name MCC as Additional Insured.
d. Cettificate of Insutance
A Certificate of Insurance evidencing the above tninii'num tequitements must be
provided to and accepted by MCC, PRIOR to coini'nenceinent of any work on the
conttact. Each policy shan be endorsed to provide Thirty (30) days prior written notice
of cancellat'on to tlie MCC. A sample Certificate of Insurance is attached, see
Exhibit C.
CANCELATION PROCEDURE
1. Tl'ie Ser'vice Conttactor sliall be notified in writing of any problems pettaining to the
pei:formance of the ser'vices. Tl'ffs notification will be written by the County's Seivice
Conttact Adininistiatot as specified in the Agi:eement. A follow-up letter will coine ttom the
Ditectot of Facilities and Maintenance .If no satisfactor7 cottections ate tnade by the Ser'vice
Contractot within Ten (10) working days, Mobile County Coininission may, at its disctetion
cancel the Agreement iini'nediately. If terininated, the Service Contractot will be removed
ftom the bid list. Cancelation pi:ocedures will be strictly enforced.
2 . Tlie Seivice Conttactor and/ or tlie Count-3 mr ay cance ltlie contract by giving written notice
of such, no less tlian Tl'iirty (30) calendar days, notice of intent to cancel the contract. If the
Ser'vice Conttactor initiates tlie cancelation, the Set-vice Conttactot must also forfeit Fifty
Pei:cent (50'!/o) of the cliarge for service for their last complete month of sersrice. In the event
of cancelation by either party, proi:ation of the custodial charge will be based on a Tty (30)
day month.
MISCELLANEOUS PROVISION
1. Indeini'iify: To the illest extent perinitted by law, the Sei'vice Contractor shall indemnify
and hold hai:mless the County, and its agents and employees fi:om and against all claii'ns,
damages, losses, and expenses, including, but not limited to, attorneys' fees atising out of
or resulting from the perfoi:mance of the Wotk.
2. Subcontractors: Tlie Service Conttactot sliall not employ Subconttactoi:s without the
express written pei:mission of the County.
3. Uniforms: Service Contractor's employees ate requited to weai: a uniform or some type of
gatment tliat will identif5 remployees working for the company while on the premises.
4. Conduct: The Service Conttactor slian requii:e employees to comply with all insti:uctions
pertaining to conduct and building regulations issued by Setvice Conttact Adininistrator
and Court Police Officets, if applicable. The Service Conti:actor shall ptoibit their
employees from the following: using telephones ot office equipment; stealing/taking
County property or personal property; using illegal drugs, alcohol, ot other prohibited
substances; being under tlie influence of illegal drugs or alcohol while on County
propei:ty; carrying or using guns, knives, or othei: dangerous weapons; and/ or unplugging
computets oi: otlier equipment. Due to tlie security nature of Mobile County Facilities,
Service Conti:actor's employees shall be subject to background cliecks and if approved, they
will be issued County identification secutity catds, if applicable. Tlie County shall resei.'ve
the tight to liave any Service Contractoi:'s petsonnel removed, relocated ,and/or bai:red from
access to Mobile County Facilities at any tii'ne. Set-vice Conti:actor sliall teplace the employee
ii'ni'nediately upon notification by the Service Contract Adininisttatoi:. The Sei'vice
Conti:actor's personnel sliall iininediately reiirn tlie Count5 rissued identification secui:ity
cai:d, if applicable.
5. Contractor Qualifications: Service Conttactot must liave been in business at least Five (5)
consecutive years. Ser'vice Contractor shall provide references to tecent life safety testing and
inspections experience in multi-story buildings. Failui:e to provide evidence of at least Five
(5) consecutive yeats in business or refetences will be cause to reject bid.
6. Sei'v'ce Conttact must provide ovetsiglit on all NFPA cei:tified tests on these vai:ious life
safety systems and must use approved NFPA annual test and inspection forms. Serice
Conttactot shall be responsible for all aspects of each test for each location(s) listed below.
Careful consideration foi: the planning and ii'nplementation as to not intei:nipt the daily
operation of each facility is a priority. Tests and inspect'ons for the Metto Jail and Bari:acks
can be performed during normal houts.

Woi:k will be perfotmed by Ser-vice Contractor under tl'ffs Agreement sliall consist of furnishing all
labor, materials, tools, equipment and supplies, and all associated travel time and expenses requited
foi: the inspection, testing, maintenance, and service of all fii:e sprinkler systems at vai:ious Mobile
County facilities as listed under locations.
All work shall be iii accordance with the National Fire Protection Associat'on (NFPA) Code
