1.0 STATEMENT OF PURPOSE
Foothill Municipal Water District (FMWD or District) is requesting proposals from
qualified firms to provide engineering technical support for the preparation, field
verification, and documentation of a condition assessment, geotechnical evaluation, and
seismic analysis of three partially buried welded steel reservoirs in the District's water
system that were installed in 1954. The selected consulting engineer will evaluate the
current condition and remaining service life of the reservoirs and develop supporting
data related to site-specific seismic and geotechnical conditions. The resulting report
will inform District decision-making regarding the timing and prioritization of reservoir
replacement and may also be used to support applications for federal and state grant
funding.
2.0 BACKGROUND
FMWD is a public, wholesale water provider, created under the laws of the State of
California. The District purchases imported treated, drinking water from the
Metropolitan Water District of Southern California (MWD) and pumps it to seven (7)
retail water agencies with primarily residential customers in the foothills of the San
Gabriel Mountains in the Altadena - La Canada Flintridge - La Crescenta geographical
region (north of Pasadena and Glendale). This 22 square-mile region has a population
of approximately 80,000 and the District meets approximately half of its water demand,
delivering an average of about 9,000 acre-feet per year.
The FMWD system receives its water at MWD service connection FM-01 in Pasadena.
The distribution facilities consist of two major pumping plants (10-pump Main Booster
Station [P-1], 4-pump Berkshire Station [P-2]); three (3) reservoir sites with two (2)
tanks each totaling 6.8 million gallons of water storage; 16 metered service
connections; approximately 50,000 feet of pipelines in sizes ranging from 10 to 39-inch
diameter; ancillary service connections, meters, valves, etc.; two (2) diesel generators
for emergency power backup; and an Administration & Operations Center (OC) complex
housing staff, vehicles, equipment, supplies, and the existing central SCADA computer
control station.
The requested scope includes a condition assessment, geotechnical evaluation, and
seismic analysis of three partially buried, circular welded steel reservoirs installed in
1954. The facilities include the La Canada East Reservoir and the La Crescenta East and
West Reservoirs located at two separate sites. Each reservoir has a capacity of
approximately 1.0-million-gallon (MG) and measures approximately 100 feet in diameter
and 18 feet in height. The reservoirs are integral components of the District's water
storage system and are critical to maintaining system reliability and emergency
response capabilities.

3.0 SCOPE OF SERVICES
The goal of the work associated with this RFP is for the District to have a condition
assessment, geotechnical evaluation, and seismic analysis completed of three of its
welded steel reservoirs constructed in 1954. The objective of the report is to provide
the District with a professional evaluation of the current physical condition, seismic
performance, and foundation support characteristics of the reservoirs. The evaluation is
intended to support informed decision-making regarding continued service,
rehabilitation, seismic retrofit, and capital planning. The work will assess both existing
conditions in accordance with current codes and standards and expected performance
under seismic loading.
The Consultant shall determine the most appropriate methods and level of effort to
achieve the project objectives, consistent with applicable codes, standards, and
professional engineering judgment. This may include, but is not limited to the following:
- Review available background information.
- Evaluate the physical condition of the tank and its primary structural tank
elements through visual inspections.
Assess corrosion, deterioration, and coating conditions of the wall, roof,
o
roof framing, columns, foundation, and anchorage.
Review of foundation interface and visible settlement indicators.
o
Perform nondestructive testing or thickness measurements where
o
warranted.
Identify deficiencies that may influence seismic performance.
o
- Evaluate the geotechnical site and subsurface conditions.
Review regional geology and seismicity.
o
Perform subsurface exploration that includes field borings.
o
Assess liquefaction potential and associated seismic ground deformation.
o
Evaluate foundation support conditions under static and seismic loading.
o
- Perform a seismic and structural analysis.
Define governing load combinations and performance objectives.
o
Evaluate tank-liquid interaction effects, including freeboard/slosh wave
o
effects.
Assess wall shell stresses, stability, and uplift potential.
o
Evaluate roof and appurtenance seismic demands.
o
Evaluate foundation stability under seismic loading.
o

- Report findings, recommendations, and prioritization of the tasks described
above, and include:
Identify deficiencies affecting structural integrity, seismic performance, or
o
serviceability.
Provide a technical assessment of remaining service life.

4.0 PROPOSAL REQUIREMENTS
1) Scope of Work - No specified format is required but the proposal shall contain in
some manner an easy-to-read and logical description of the work to be
performed, including the project approach, tasks, planning considerations, and
work products cited above.
2) Fee Schedule - The proposal shall outline all applicable hourly rates and costs for
services. The proposal shall provide a detailed breakdown of hours and fees
associated with the various project tasks.
3) Project Schedule - The proposal shall also include a schedule depicting an
estimated time of completion for all major components or tasks presented in the
Scope of Work and their sequential relationship in the project's critical path.
4) Consultant Information and Qualifications - Interested firms should be able to
demonstrate the necessary expertise to provide a condition and hydraulic
assessment. The proposal should include the information required below:
a. Basic Company Information - Include type (corporation, partnership, sole
proprietor, etc.), contact information, address, name of owners & officers,
% ownership, years in business, etc.
b. Resumes of Relevant Staff
c. Statement of Experience - A summary of firm's general expertise,
experience (minimum 5 years), and other useful information. References
should be included.
d. List of Relevant Completed Projects - Include project details (description,
price, changes, etc.) and current & verifiable client contacts information.
5) Meetings and Field Work - The proposal shall specify and list the nature and
number of meetings and field work days by Consultant in general conformance
with the information supplied in this RFP.

5.0 ADDITIONAL INFORMATION
1) Selection of Consultant - FMWD will make a selection based on the merits of the
overall proposal including the elements:
a. Scope of Work
b. Project Approach
c. Relevant Experience
d. Project Schedule
e. Team Qualifications
f. Cost
No particular weighting scheme will be used in evaluation of the proposals. No
interviews of prospective Consultants are anticipated at this time. Upon review
of proposals, FMWD staff will recommend a final selection to its Engineering &
Operations Committee and thereafter the Board of Directors. Award of a
consulting agreement for this project is anticipated in September 2026.
2) Deliverables - A digital version of the Draft and Final Condition and Seismic
Assessment Report shall be supplied by the selected Consultant.
3) Project Agreement - The selected Consultant will enter into an agreement with
FMWD based upon the services described in the accepted proposal. The
accepted proposal will constitute the scope of work and will be included as the
primary exhibit. This agreement shall be in the form of FMWD's standard
"Consultant Agreement" which will be prepared by FMWD. A draft copy of the
agreement is provided as Attachment A.
4) Insurance Requirements - Please see the attached Professional Services
Agreement in Attachment A.
5) Detailed invoices shall be submitted on a monthly basis and shall report the
number of hours and percent completed for each task at applicable rates. All
outside and other reasonable expenses should be sufficiently itemized on the
invoice. FMWD will remit payment in a timely manner but no later than 30 days
after receipt of invoice.
6) District Responsibilities - To assist with the project, the District will provide to
the selected Consultant with copies of any pertinent reports, plans, drawings,
records, data, or other technical information that it may have readily available.

PROFESSIONAL SERVICES AGREEMENT
This Professional Services Agreement ("Agreement") is entered into this [Day] of
[Month] [Year] by and between [Name of Agency], ("Agency") and [Name of
Consultant] ("Consultant"). Agency and Consultant are sometimes individually referred
to as "Party" and collectively as "Parties."
1. PURPOSE.
1.1 Project.
Consultant desires to perform and assume responsibility for the provision of certain
professional services required by the Agency on the terms and conditions set forth in
this Agreement and Agency desires to engage Consultant to render such services for
Condition and Seismic Assessment of the La Canada East and La Crescenta East
and West Reservoirs ("Project") as set forth in this Agreement and its attached
exhibits.
Now therefore, in consideration of the mutual covenants and agreements set
forth herein, the Parties do contract and agree as follows:
2. TERMS.
2.1 Scope of Services.
2.1.1 General Scope of Services. Consultant promises and agrees to
furnish to the Agency all labor, materials, tools, equipment, services, and incidental and
customary work necessary to fully and adequately supply the professional services
necessary for the Project ("Services"). The Services are more particularly described in
the attached Exhibit "A" ("Scope of Services"). All Services shall be subject to, and
performed in accordance with, this Agreement, the exhibits attached hereto and
incorporated herein by reference, and all applicable local, state and federal laws, rules,
and regulations.
2.1.2 Term. [This Agreement shall commence on the date above
written and shall continue until completion of the Services described above.]
2.2 Consideration.
2.2.1 Compensation. Consultant shall receive compensation, including
authorized reimbursements, for all Services rendered under this Agreement at the rates
set forth in Exhibit "B" ("Fee Schedule"). The total compensation shall not exceed
[Amount] Dollars ($00.00) without written approval by Agency. Extra Work may be
authorized, as described below, and if authorized, will be compensated at the rates and
manner set forth in this Agreement.
2.2.2 Payment. Consultant shall submit to Agency a monthly itemized
statement which indicates work completed and hours of Services rendered by

Consultant. The statement shall describe the Services and supplies provided since the
initial commencement date, or since the start of the subsequent billing periods, as
appropriate, through the date of the statement. Agency shall pay all approved charges
within forty-five (45) days of receiving such statement.
2.2.3 Extra Work. At any time during the term of this Agreement,
Agency may request that Consultant perform Extra Work. As used herein, "Extra Work"
means any work which is determined by Agency to be necessary for the proper
completion of the Project, but which the Parties did not reasonably anticipate would be
necessary at the execution of this Agreement. Consultant shall not perform, nor be
compensated for, Extra Work without written authorization by Agency.
2.3 Responsibilities of Consultant.
2.3.1 Independent Contractor. The Services shall be performed by
Consultant or under its supervision. Consultant will determine the means, methods and
details of performing the Services subject to the requirements of this Agreement.
Consultant is an independent contractor and not an employee of Agency. Except as
Agency may specify in writing, Consultant shall have no authority, expressed or implied,
to act on behalf of Agency in any capacity whatsoever as an agent. Any additional
personnel performing the Services under this Agreement on behalf of Consultant shall
also not be employees of Agency and shall at all times be under Consultant's exclusive
direction and control.
2.3.2 Payment of Subordinates. Consultant shall pay all wages,
salaries, and other amounts due such personnel in connection with their performance of
Services under this Agreement and as required by law. Consultant shall be responsible
for all reports and obligations respecting such additional personnel, including, but not
limited to: social security taxes, income tax withholding, unemployment insurance,
disability insurance, and workers' compensation insurance.
2.3.3 Standard of Care. Consultant shall perform all Services under this
Agreement in a skillful and competent manner, consistent with the standards generally
recognized as being employed by professionals in the same discipline in the State of
California. Consultant represents and maintains that it is skilled in the professional
calling necessary to perform the Services. Consultant warrants that all employees and
subconsultants shall have sufficient skill and experience to perform the Services
assigned to them.
2.3.4 Licensing. Consultant represents that it, its employees and
subconsultants have all licenses, permits, qualifications, and approvals of whatever
nature that are legally required to perform the Services, and that such licenses and
approvals shall be maintained throughout the term of this Agreement.
2.3.5 Conformance to Applicable Requirements. All work prepared by
Consultant shall be subject to the approval of Agency.
