The Logistics Division of the Fire District at 5160 NW Milner Drive, will receive sealed bids until

GENERAL CONDITIONS
A. GENERAL INSTRUCTIONS
1. INSTRUCTIONS, FORMS, AND SPECIFICATIONS:
1.1 Instructions, forms, and specifications may be downloaded from our website
www.slcfd.com or www.demandstar.com
1.2 All bids are to be submitted on and in accordance with forms for this
purpose which are available at the websites listed above. Additional supplementary
documentation when requested shall be submitted on the Bidder's letterhead.
1.3 All bids are to be submitted in a sealed, plainly marked envelope labeled with the ITB #26-
0602.
1.4 All bids must be signed by an authorized officer or agent of the company submitting the bid
and delivered in sealed envelopes to the Logistics Division, 5160 NW Milner Drive, Port St.
Lucie, Florida, 34983, no later than the time and date indicated above. Bids received after
the time and date indicated above will not be considered.
1.5 Additional information or clarification of any of the instructions or information contained
herein may be obtained from the Logistics Division.
1.6 Any Bidder who finds a discrepancy in, or omission from the specifications, or is in doubt as
to their meaning, or feels that the specifications are discriminatory, shall notify the Logistics
Division Chief in writing not later than ten (10) days prior to the scheduled opening of the
bids. Exceptions taken do not obligate the District to change the specifications. The
Logistics Division Chief will notify all Bidders in writing, by addendum duly issued, of any
interpretations made of specifications or instructions.
1.7 The District will assume no responsibility for oral instruction or suggestion.
All official correspondence in regard to the specifications should be directed to, and will be
issued by, the Logistics Division Chief Mike Walker.

2. AWARD OF CONTRACTS:
3.1 The Logistics Division Chief shall recommend award of the contract to the Fire Board after
the public opening of the bids.
3.2 Any other considerations for the award will be stated in the specifications.
3. RESERVATIONS:
4.1 The District reserves the right to reject any bid, any portion of a bid, or all bids whenever, in
the District's reasoned judgment, such action is in the best interest of the District.
4.2 The Logistics Division Chief, with the approval of the Fire Board of Commissioners, may
waive formalities or technicalities in bids as the interest of the District may require.
4.3 The District reserves the right to add or remove service locations during the contract term in
accordance with the pricing provisions of this solicitation.
4.4 The District may waive minor differences in specifications provided these differences do not
violate the specification intent nor materially affect the operation for which the item or items
are being purchased, nor increase estimated maintenance and repair cost to the District.
4. DELIVERY:
5.1 Bidders shall guarantee delivery of services in accordance with such delivery schedule as
provided in the specifications and bid.
5. COMPETITION:
To better ensure fair competition and permit determination of the lowest responsive and
responsible Bidder, bids which show any omission, irregularity, alteration of forms, additions not
called for, conditional or otherwise unresponsive bids, or bids obviously unbalanced may be
rejected.
6. PROTEST:
Any actual or prospective Bidder who believes it is aggrieved in connection with this solicitation
or proposed award may file a protest with the Logistics Division Chief in accordance with the St.
Lucie County Fire District Procurement Policy and Procedure Manual.
Protests shall be submitted in writing within three (3) business days after the Notice of Intent to
Award is posted. The protest shall include:
1. The name, postal address, email address, and telephone number of the Protestor;
2. The solicitation title and number;
3. A concise statement of the grounds and supporting evidence for the protest, including
applicable facts, rules, regulations, statutes, or other legal authority;
4. A statement of the specific ruling or relief requested; and
5. Signature of the Protestor or authorized representative.

The Logistics Division Chief shall investigate the protest and attempt to resolve the matter
informally. If the protest is not resolved informally, the Logistics Division Chief shall issue a
written decision in accordance with the Procurement Policy and Procedure Manual.
Any appeal of the protest decision must be filed in accordance with Section 12.02 of the
Procurement Policy and Procedure Manual.
Failure to comply with the protest procedures and timelines established in the Procurement
Policy and Procedure Manual may result in rejection of the protest.
7. DISPUTES:
Claims or disputes arising from a fully executed contract shall be handled in accordance with
Section 16.08 of the St. Lucie County Fire District Procurement Policy and Procedure Manual.
Prior to filing a formal claim or dispute, the parties shall first attempt to resolve the matter
informally. If informal resolution is unsuccessful, the supplier may submit a formal written claim
or dispute to the Logistics Division Chief within thirty (30) calendar days after notice that the
matter cannot be resolved informally.
The formal claim or dispute shall include all information and supporting documentation required
by the Procurement Policy and Procedure Manual.
Pending final resolution of any dispute or claim, the supplier shall continue performance of the
contract unless otherwise agreed in writing by the Fire District.
The Logistics Division Chief shall issue a written determination regarding the claim or dispute in
accordance with the Procurement Policy and Procedure Manual.
8. AUTHORITY:
Instructions, specifications, and bids are issued, and all bids, quotations, orders, and purchases
are made pursuant and subject to the provision of the St. Lucie County Fire District Purchasing
Manual as prescribed by the District.
9. EXCEPTIONS:
The submission of a bid shall be considered an agreement to all the terms, conditions, and
specifications provided herein and in the various bid documents, unless specifically noted
otherwise in the bid.
10. NON-WAIVER:
Any waiver or any breach of covenants herein contained to be kept and performed by the Bidder
shall not be deemed or considered as a continuing waiver and shall not operate to bar or prevent
the St. Lucie County Fire District from declaring a forfeiture for any succeeding breach either of
the same condition of covenant or otherwise.

B. BID APPLICATION
1. APPLICATION:
The work shall be performed at the locations identified in the solicitation documents.
2. CONTRACT ADMINISTRATION:
Questions concerning this request for bid should be submitted in writing and addressed to
Division Chief Michael Walker via email at mwalker@slcfd.org.
3. BID DEPOSIT: NOT REQUIRED
4. PERFORMANCE BOND: NOT REQUIRED
5. LABOR AND MATERIAL BOND: NOT REQUIRED
6. PRE-BID CONFERENCE/SITE VISIT:
Attendance at the mandatory pre-bid site visit is required, which will take place on Monday, July
20, 2026 at 10:00 AM. Failure to attend and sign the attendance roster shall render the Bidder non-
responsive.
7. BIDDER'S QUALIFICATIONS:
7.1 Bidders shall demonstrate a minimum of three (3) years of experience providing services
similar in scope and nature to those specified herein. Experience may include that of the
business entity, principal owner, or key personnel.
7.2 All Bidders must complete Exhibit D, Bidder's Qualification Information Sheet.
7.3 The District reserves the right to perform such investigation as may be deemed necessary to
ensure that competent personnel and management will be utilized in the performance of the
contract.
7.4 The St. Lucie County Fire District reserves the right to check all references furnished and
consider the response received in determining the award of this contract. Respondent is
hereby notified that Section 287.05701, Florida Statutes, requires that the District may not
request documentation of or consider a Bidder's social, political, or ideological interests
when determining if the Bidder is a responsible Bidder.
7.5 No contract will be awarded except to responsible Bidders capable of performing the
specified services.

7.6 The successful Bidder shall comply with all personnel screening and background check
requirements identified in Exhibit A.
8. INDEMNITY:
8.1 If a contract is awarded, the successful Bidder will be required to indemnify and hold the
District harmless from and against all liability and expenses, including attorney's fees,
howsoever arising or incurred, alleging damage to property or injury to, or death of, any
person, arising out of or attributable to the Bidder's performance of the contract awarded.
8.2 Any property or work to be provided by the Bidder under this contract will remain at the
Bidder's risk until written acceptance by the District; and the Bidder will replace, at Bidder's
expense all property or work damaged or destroyed by any cause whatsoever.
9. INSURANCE:
9.1 A Certificate of Insurance must be provided to compliance@slcfd.org for approval prior to
commencement of work or deliveries on Fire District property. Requiring the Contractor to
provide evidence of insurance shall not be construed as a waiver of the Contractor's
obligation to procure and maintain the required insurance coverage.
9.2 Proof of the following insurance shall be furnished by the Contractor by Certificate of
Insurance naming the Saint Lucie County Fire Board and the Saint Lucie County Fire District
as Additional Insureds and Certificate Holders. The insurance limits specified in items 1
through 4 below are minimum requirements only. If the Contractor maintains insurance
coverage with limits greater than the specified minimums, the District shall be entitled to
coverage up to the full extent of the policy limits as an Additional Insured.
The Certificate of Insurance shall contain a provision requiring ten (10) days advance written
notice to the Fire Board of any material change or cancellation. Waiver of subrogation shall
apply to General Liability, Commercial Automobile Liability, and Workers' Compensation
coverage in favor of the Additional Insureds.
9.3 Insurance shall be underwritten by an insurance company with a minimum "A" rating as
defined by A.M. Best. The Saint Lucie County Fire District and the Saint Lucie County Fire
Board shall be named as Additional Insureds on the Contractor's insurance policies and
reflected on the Certificate of Insurance. Required insurance shall include the following:
1. Commercial General Liability insurance covering the indemnification
obligations set forth herein, with bodily injury limits of not less than $1,000,000
per occurrence and $2,000,000 aggregate. Coverage shall be primary and non-
contributory with respect to any insurance maintained by the District.
2. Automobile Liability insurance covering any auto, including owned, hired, and
non-owned vehicles, with limits of not less than $1,000,000 combined single
limit per occurrence for bodily injury and property damage. Coverage shall be
primary and non-contributory with respect to any insurance maintained by the
District.

3. Workers' Compensation insurance with limits of not less than $1,000,000 each
accident, $1,000,000 each employee, and $1,000,000 policy limit.
4. Umbrella or Excess Liability insurance with limits of not less than $1,000,000
per occurrence.
10. SUBMISSION OF BID DOCUMENTS:
10.1 Bidders shall complete and submit the following documents with their bid:
Exhibit C - Pricing Bid Form
Exhibit D - Bidder Qualification Information Sheet
Exhibit E - Affidavit and Signature Page
A completed and signed IRS Form W-9 (Request for Taxpayer Identification
Number and Certification).
Failure to submit any required form may be cause for rejection of the bid as non-responsive.
10.2 Bid submissions shall consist of one (1) signed original hard copy bid. Bids shall be submitted
to the St. Lucie County Fire District Logistics Division, 5160 N.W. Milner Drive, Port St.
Lucie, Florida 34983, no later than 10:00 a.m., Monday, July 27, 2026.
10.3 The original hard copy bid shall be organized in the order of the solicitation requirements and
submitted in a manner that permits the pages to be easily removed for scanning and record
retention. Bids shall not be spiral bound, comb bound, permanently bound, stapled, or
otherwise fastened in a manner that prevents the pages from being readily separated.
Acceptable methods of securing the bid include binder clips, paper clips, or placement within
a three-ring binder or presentation folder.
10.4 Bids shall be submitted in a sealed package clearly marked with the solicitation number and
title (ITB# 26-0602, Janitorial Services Contract).
10.5 The hard copy bid shall govern in the event of any discrepancy between the hard copy and the
electronic copy.
10.6 Bids received after the specified submission deadline may be deemed non-responsive and may
not be opened or considered by the District. Late submissions may be retained by the District
as part of the procurement record.
11. METHOD OF AWARD:
Award shall be made to the lowest responsive and responsible Bidder meeting the specifications
and requirements of this solicitation.

12. BILLING AND PAYMENT:
12.1 Upon completion of the work specified herein, the Bidder shall submit an invoice to:

12.2 Payment shall be made after performance of service and upon receipt of a proper invoice
from the Bidder within 45 days of invoice submission.
12.3 Contractor shall submit one monthly invoice for janitorial services provided during the
applicable billing period.
12.4 No Implied Waiver: No payment, partial payment, acceptance, or partial acceptance by
SLCFD shall operate as a waiver on the part of SLCFD of any of its rights under this
Contract.
12.5 The District may temporarily suspend janitorial services due to hurricanes, natural disasters,
emergency operations, facility closures, or other circumstances beyond the District's control.
Temporary suspensions of five (5) consecutive business days or less shall not result in an
adjustment to the Contractor's monthly compensation.
For suspensions exceeding five (5) consecutive business days, the District reserves the right
to negotiate an equitable adjustment to compensation based upon the duration and scope of
the suspension.
13. EXCEPTIONS:
The Bidder shall furnish a statement on company letterhead giving a complete description of all
exceptions to the terms, conditions, and specifications. Failure to furnish the statement will
mean that the Bidder agrees to meet all requirements of the terms, conditions, and specifications.
14. TERMINATION:
14.1 The St. Lucie County Fire District may terminate this Contract, in whole or in part,
whenever it determines that such termination is in the best interest of the District. The
District shall provide the Contractor with not less than thirty (30) calendar days' prior
written notice of termination. During the notice period, the Contractor shall continue to
perform all services in accordance with the terms and conditions of this Contract. Upon the
effective date of termination, the Contractor shall be entitled to payment only for services
satisfactorily performed through the effective date of termination. The Contractor shall not
be entitled to anticipated profits, consequential damages, or compensation for services not
yet performed.
14.2 The Contractor may terminate this Contract for its convenience by providing the St. Lucie
County Fire District with not less than thirty (30) calendar days' prior written notice.

During the notice period, the Contractor shall continue to perform all services required
under the Contract in accordance with its terms and conditions. The Contractor shall
cooperate with the District to facilitate an orderly transition of services. The District shall
compensate the Contractor for all satisfactory services performed through the effective date
of termination.
14.3 Termination for Default: If the Contractor fails to perform, or fails to satisfactorily
perform, any obligation required under this Contract, the St. Lucie County Fire District
may terminate the Contract, in whole or in part, for default by providing written notice to
the Contractor. Upon termination for default, the District may withhold payment for
unsatisfactory or incomplete work and shall be entitled to recover any excess costs incurred
in procuring replacement services, together with any other remedies available under this
Contract or applicable law. The Contractor shall be entitled to payment only for services
satisfactorily performed and accepted by the District prior to the effective date of
termination, less any damages incurred by the District. The District may, but is not
obligated to, provide the Contractor with an opportunity to cure prior to terminating this
Contract for default.
14.4 Scrutinized Companies: The St. Lucie County Fire District may immediately terminate a
contract without cause at any time upon ascertaining that pursuant to 287.135, Florida
statutes, a company is ineligible to, and may not, bid on, submit a bid for, or enter into or
renew a contract with an agency or local government entity for goods or services if at the
time of bidding or submitting a bid for a new contract or renewal of an existing contract, or
at any time thereafter, the company: (1) is on the Scrutinized Companies that Boycott Israel
List, created pursuant to 215.4725, Florida Statutes, or is engaged in a boycott of Israel;
(2) is on the Scrutinized Companies with Activities in Sudan List or the Scrutinized
Companies with Activities in the Iran Petroleum Energy Sector List, created pursuant to
215.473, Florida Statutes; or (3) is engaged in business operations in Cuba or Syria.
Furthermore, the District may immediately terminate the contract if it is determined that the
company submitted a false certification stating that it was not (1) on the Scrutinized
Companies that Boycott Israel List or engaged in a boycott of Israel; (2) was not on the
Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with
Activities in the Iran Petroleum Energy Sector List; (3) or was not engaged in business
operations in Cuba or Syria when in fact the company was engaged in such activities at the
time of the bid or bid, or at the time of entering into or renewing the contract.
15. AFFIDAVIT AND SIGNATURE:
The attached affidavit and signature page is provided in Exhibit C to facilitate compliance with
the applicable law.
16. AVAILABILITY OF FUNDS:
The contractual obligation of the District under this contract is contingent upon the availability of
appropriated funds from which payment for this contract can be made.

17. NON-ASSIGNMENT OF CONTRACT:
The Bidder shall not assign the contract, or any portion thereof, except upon the written approval
of the District.
18. WORK SCHEDULE:
The successful Bidder shall coordinate a service schedule with the District following contract
award.
19. WARRANTY:
Bidder shall warrant that all services performed under this contract will be completed in a
professional and workmanlike manner consistent with industry standards. Any deficiencies
identified by the District shall be corrected within twenty-four (24) hours of notification at no
additional cost to the District.
20. COMPLIANCE WITH FLORIDA LAW:
It is the intent of the parties that the indemnity provisions and insurance requirements fully
comply with Florida law, including any amendments thereto, in all respects. If any word, clause
or provisions determined not to be in compliance with Florida law, including any amendments
thereto, then the parties agree that this contract and all Addendums and Exhibits will survive,
striking only that portion that a court determines does not comply.
21. COMPLIANCE WITH LAWS:
Contractor agrees that it will comply with all federal, state and local laws, ordinances,
regulations and orders that affect those engaged or employed under this Contract, any materials
used in Contractor's performance under this Contract, or the performance of services in
completing the work.
22. GOVERNING LAW
This contract shall be governed by the laws of the state of Florida. In the event of any dispute
arising hereunder, venue shall be in Saint Lucie County, Florida, 19th Judicial Circuit. The
prevailing party in such action shall be entitled to recover its reasonable attorney's fees.
Contractor hereby waives the right to a trial by jury.
23. E-VERIFY:
Bidder/Contractor and its subcontractors shall comply with all applicable requirements of
Section 448.095, Florida Statutes, regarding E-Verify. Failure to comply with such requirements
shall constitute a material breach of this Contract and may result in termination of the Contract
by the St. Lucie County Fire District.
