1.0 BID INVITATION
Douglas County School District 0001 (“Omaha Public Schools”) (“OPS”) invites qualified suppliers to submit
bids to furnish OPS with “OPS Branded” Plastic T-Shirt Bags (collectively referred to herein as “Products”
and may also be referred to individually as a “Product”) that comply with the Product Specifications and
Minimum Product Requirements stated in the Bid Documents (as defined below). The bid price quoted in
the bid shall include a single price per item for the Products. Bids must be completed and submitted in
accordance with the requirements stated in these Bid Documents. For purposes of this Bid, the term “Bid
Documents” include the following documents: Bid Invitation, the Product Specifications, the Minimum
Product Requirements, the Bid Submission Instructions, the General Terms and Conditions, the Bid Form,
the Signature Page, Exhibit A -- the Lobbying Certification, Exhibit B -- Delivery Locations and Duty Hours,
and Exhibit C -- OPS Nutrition Services Logo . The Bid Documents are not complete unless all of these
documents are included. Bidders should review all the Bid Documents carefully before submitting a bid
proposal since these Bid Documents, along with other documents that are referred to in the Bid Documents,
will be incorporated into and will become a part of any Purchase Order or Contract (as hereinafter defined)
between OPS and a successful bidder for the Products.
2.0 PRODUCT SPECIFICATIONS
The bidder awarded the Contract will be expected to furnish the awarded Products to OPS that comply with
the following Product Specifications, as well as the Minimum Product Requirements in Section 3.0 and the
successful bidder’s bid for those Products. The term “Contractor” as used in the Bid Documents, means
the bidder that is awarded the bid and that contracts with OPS to supply the Product or Products.
2.1 PRODUCTS TO BE FURNISHED
Contractor agrees that, upon the execution of an Agreement with OPS, or the issuance by OPS of
one or more Purchase Orders, throughout the entire Contract Term (as defined in 2.2 below), it will
supply OPS with the Products listed in Contractor’s bid response as awarded by OPS to Contractor
and in the quantities ordered by OPS. Each Purchase Order shall specify the quantities of Products
ordered by OPS and the specific dates and location or locations for delivery of the Products to
OPS. All Products provided by Contractor shall be new, unused, in the original packaging,
unopened and undamaged and free of defects. The Products provided by Contractor shall have all
warranties and certifications required by the Bid Documents or otherwise provided by the
Contractor and manufacturer. Any manufacturer’s warranty will be assigned to OPS at the time the
warrantied Product is delivered to OPS and accepted by an authorized OPS representative.
Contractor’s bid price per case of Product shall be the total amount to be paid by OPS for the
Product or Products to be supplied, and the bid price shall include the cost of all of the Product to
be supplied, all warranties, delivery of all of the Product to the OPS delivery sites as designated in
the Purchase Order, and shall also include the cost of providing all necessary insurance coverage,
duties, tariffs, licenses, and brokerage charges necessary to supply all of the Product ordered by
OPS and to complete delivery to OPS.
2.1.1 SAMPLES REQUIRED
Bidders shall submit a sample of the Product it proposes to provide (an unbranded sample
demonstrating size and material of the Product is acceptable and the Product does not
have to include the artwork displayed in Exhibit C). Please see Section 4.12 below.
2.2 PRODUCT QUANTITIES
Listed in the Minimum Product Requirements in Section 3.0 of the Bid Documents are the specific
Product or Products being bid, Product Specifications, and the actual or estimated quantities for
the Products to be acquired by OPS. The Product quantities in Section 3.0 refer to the quantity of
each Product that OPS intends to acquire. The Contractor will be expected to supply those
quantities of Products that were awarded by OPS to Contractor. Quantities of Products requested
in the Bid Documents are a good faith estimate by OPS of the anticipated Product quantities OPS
will need for the Initial Contract Term. The good faith estimate is based on the District’s prior
experience ordering such Products for delivery to OPS school sites. However, such estimated
quantities are not guaranteed, and the total quantities ordered may be more or less than the
estimated quantities shown. The prices in the bidder’s bid proposal shall remain in effect as to any
additional purchases of the Products that may be made by OPS until the end of the Contract Term
(as defined below.)
2.3 CONTRACT TERM
The Initial Contract Term will commence upon approval and execution of an Agreement with
Contractor by the Board of Education and will end at the close of business of OPS (5:00 pm CT)
exactly one (1) year from the commencement date (the “Initial Contract Term”) unless the Contract
Term is extended as hereinafter provided. The Initial Contract Term may be extended by OPS for
up to two (2) additional one (1) year terms at the sole discretion of OPS by a written election to
exercise one or both options given by OPS to the Contractor on or before the expiration of the then
current Contract Term (each an “Extension Term.”) The Initial Contract Term and each Extension
Term elected by OPS shall be referred to collectively as the “Contract Term.” Failure to extend the
Contract for the first Extension Term shall also terminate the second Extension Term without further
action by either Party. Prices for the Products will be the prices set forth in the Contract for the
Initial Contract Term or for the applicable Extension Term or Terms elected by OPS.
2.3 ORDERING AND DELIVERY
Delivery shall be made to OPS only after an Agreement with Contractor is approved and executed
by OPS or after a valid Purchase Order has been issued by OPS to Contractor. In the event that
multiple orders of a Product are specified, a valid Purchase Order will need to be issued for each
order. Products ordered by OPS will be delivered directly to the individual location specified by
OPS in the Purchase Order for the Product with the initial order being delivered on the date
specified in the Agreement or Purchase Order, as further explained later in this document. OPS
anticipates issuing monthly Purchase Orders for Products at least 14 days prior to the delivery date.
All bid prices are to be quoted F.O.B. at the specified OPS delivery site in Omaha, Nebraska. No
additional shipping charges, duty fees, tariffs, etc. will be charged to OPS. The specific delivery site
will be stated in the Contract Documents (defined in Section 5.1 below) or Purchase Order. If not
stated, then the delivery site shall be the OPS Warehouse at 4515 South 68th Street, Omaha,
Nebraska 68117. All deliveries must be made between the hours of 8:00 am and 2:30 pm Central
time on those days when OPS is open for the conduct of business. Contractor must adhere to any
delivery date specified in the Contract Documents or Purchase Order, if so indicated. Products
shall not be left on a loading dock but should be delivered in person to an authorized OPS
representative. Ownership of all Products shipped to OPS passes to OPS at the time delivered and
accepted by an authorized OPS representative at the specified delivery point.
2.3.1 LEAD TIME BETWEEN ORDERING AND DELIVERY. Bidders will indicate in an
attachment to their bid response the Lead Time that the bidder will need for each order of
Products, which must 14 days or fewer. For purposes of these Bid Documents, Lead Time
means the number of days from the date on which OPS submits a Purchase Order to
Contractor for its needed quantity of Products to be delivered to one or more of the OPS
delivery sites and the date on which those Products will be delivered to the designated
OPS school sites. The length of Lead Times may be considered in making the bid award.
The bidder’s Lead Time will be incorporated into the Agreement with the successful bidder
and will be a part of the requirements for delivery deadlines.
2.4 SAFETY DATA SHEETS
4
Contractor shall furnish OPS with at least one hard copy of safety data sheets (SDS) as stated in
29 CFR 1910.1200 or under the GHS, for each Product, chemical substance, mixture, preparation,
including any treated materials or fabric used in the construction of manufacture of this Products or
material requiring an SDS directly to the OPS Environmental Division, 4041 N. 72nd Street, Omaha,
Nebraska 68134. Electronic submittals are also acceptable and should be sent to
safetydatasheets@ops.org. Contact Environmental at 531-299-0180 for further directions.
2.5 RISK OF LOSS AND DAMAGE
Title to any Products supplied by Contractor to OPS will not pass to OPS until the Products are
delivered at the designated OPS facility(ies) and accepted in writing by authorized OPS personnel.
Title to a Product will pass to OPS, free and clear of any adverse claim or encumbrance, upon
acceptance of that Product by OPS. All risk of loss or damage to any Product supplied by Contractor
will remain with the Contractor until accepted in writing by an authorized OPS representative after
delivery to OPS. Any Product to be supplied by Contractor that is lost, stolen, or damaged prior to
such acceptance in writing by authorized OPS personnel will be promptly replaced by Contractor
at its cost. The Contractor shall be solely responsible for repairing any damage to the OPS’s
buildings and other real or personal property caused by Contractor during the delivery, setting in
place, and assembly of the Product and during removal of any shipping, packing and crating
materials. If any such damage occurs, it shall be first reported to the OPS contract administrator.
Any repairs to the facility caused by such damage will be performed by the construction contractor
designated by OPS at Contractor’s cost. Products when accepted by OPS representatives at the
designated location shall be free of defects, including, without limitation, dirt, dust, marks, dents,
scratches, tape, packaging, or other foreign substances. The Products shall be inspected by
representatives of OPS and the Contractor for compliance with the Contract requirements prior to
final acceptance in writing by OPS. In the event any Product delivered by Contractor fails to
conform to Product Specifications in the Bid Documents, Contractor shall remove the item and
immediately replace the item with an acceptable Product conforming to the Project Specifications
at no additional cost to OPS.
2.6 SUBSTITUTE PRODUCTS OR PRODUCT OBSOLECENSE
In the event that OPS orders any Product that Contractor has agreed to supply and the model or
type of Product specified in the Contract or Purchase Order has been: 1) Discontinued, replaced,
or is no longer manufactured; 2) The features of the Product that Contractor agreed to furnish have
been changed or eliminated; or 3) A more current version or model of the Product becomes
available; or 4) The Product is no longer available to Contractor for any reason, Contractor shall so
advise OPS and shall propose a substitute Product that is reasonably acceptable to OPS and that
meets or exceeds all of the Product specifications in the Contract Documents for the type of Product
ordered by OPS. If approved by OPS, such Product shall be furnished to OPS by Contractor at a
price that is the lesser of the price provided in the Contract Documents for the Product that it
replaces or the price quoted by the Contractor publicly for the replacement Product. The term
“Contract Documents” as used herein and in the other Bid Documents, is defined in the General
Terms and Conditions at Section 5.1 hereof.
3.0 MINIMUM PRODUCT REQUIREMENTS
3.1 PRODUCT DESCRIPTIONS AND MINIMUM REQUIREMENTS
The Products to be provided by Contractor must comply with at least the following minimum
specifications in the table below. The Products to be furnished must be, at the time of delivery to OPS,
