In accordance with the provisions of the Municipal Code of the City of Redding, sealed
proposals must be submitted to the City Clerk's 3rd floor office located at City Hall, 777 Cypress
Avenue, Redding, California 96001 prior to 3:00 p.m. PT, Thursday, August 27, 2026, for
furnishing the City of Redding a proposal to lease, provide programming, and operational
management for the Redding Civic Auditorium, per the scope and general conditions provided
herein.

The said proposals will be opened at 3:00 p.m. PT, on Thursday, August 27, 2026, in the
designated City Hall Conference Room as posted in the main lobby of City Hall, 777 Cypress
Avenue, Redding, California.
The proposer shall provide the original (unbound) proposal, three (3) bound copies and a
USB drive with a PDF copy of the proposal. Electronic submission of proposals will not be allowed.
The City will award any resulting contract in a manner consistent with the City Purchasing
Ordinance.
The cut-off date and time for receiving questions regarding this RFP is 5:00 p.m. PT, on
Friday, August 7, 2026. All inquiries must be made in writing and may be submitted to the email

AND OPERATIONAL MANAGEMENT FOR THE
REDDING CIVIC AUDITORIUM
RFP SCHEDULE NUMBER 5723
I. INTRODUCTION AND GENERAL BACKGROUND
The City of Redding ("City"), a California municipal corporation is soliciting proposals from
qualified and experienced firms (each a "Proposer") to lease, program, operate, manage and
maintain the Redding Civic Auditorium ("Civic") located at 700 Auditorium Drive, Redding CA
96001.
The Civic is a City-owned public facility historically used for entertainment, commercial, and
performing arts events. City holds fee title to the Civic.
City seeks to enter into a lease and operating agreement ("Civic Agreement") for the Civic with
an experienced and qualified firm to continue and grow these community events, while
maximizing community benefit and utilizing the Civic to enhance cultural, artistic, and economic
activity. City will be the lessor under the Civic Agreement, and the selected Proposer will be the
lessee.
A. CIVIC OVERVIEW
Approximately 40,000 square feet of interior space
Flexible seating configurations
Over 2,000 reserved seats
Up to 2,400 capacity with standing configuration
Able to be scaled down to approximately 1,200 seats
Indoor Stage dimensions of approximately 82' x 44'
Full commercial kitchen
Outdoor lawn capacity for approximately 5,000-7,000 attendees
No outdoor stage
Parking for approximately 700 paved, lighted spaces
Access to City-owned equipment inventory (see Exhibit F)
Annual utility cost of approximately $250,000
Currently part of a master planning process for the Redding Riverfront
Specific Plan
B. SITE INSPECTION
A walk-through of the Civic is scheduled on:
Wednesday, August 5, at 9:00 am
700 Auditorium Drive, Redding, California 96001.
Proposers should meet in the main lobby of the Civic, and attendance is strongly
recommended.

C. TERM OF CIVIC AGREEMENT; EXTENSION TERM
The initial term of the Civic Agreement will be five (5) years, beginning
approximately July 1, 2026, and continuing through June 30, 2031.
The Civic Agreement may be extended on the same terms and conditions as the
original agreement by mutual written consent of the parties for up to five (5)
additional one-year terms continuing through June 30, 2036.
D. MAINTENANCE OBLIGATIONS
1. City Obligations
City owns the Civic in fee title and will be the lessor under the Civic Agreement.
Maintenance obligations of City under the Civic Agreement will include the
following, subject to the terms and conditions of the Civic Agreement:
a. HVAC systems;
b. Elevator;
c. Windows;
d. Landscaping;
e. Parking lot; and
f. Access roads.
2. Lessee Obligations
All other repair and maintenance obligations related to the Civic shall be
undertaken by Proposer, as lessee, at its sole costs and expense, to the reasonable
satisfaction of City.
II. SCOPE OF WORK
The selected Proposer will lease and operate the Civic pursuant to the Civic Agreement and assume
full responsibility for programming, management and day-to-day operations of the Civic. Material
terms and conditions of the Civic Agreement with respect to such operations are outlined below.
The terms described below are not a complete list of terms and conditions to be included in the
Civic Agreement.
A. PERMITTED USE
Proposer and sublessees approved by City may use the Civic for the following uses:
1. Artistic and cultural programming;
2. Community and educational events;
3. Performing arts;
4. Conventions and trade shows; and
5. City required events ("Special Events") as described below.

B. CIVIC OPERATIONS AND MANAGEMENT
1. Lessee Responsibilities
The selected Proposer shall perform, to the reasonable satisfaction of City,
comprehensive facility operations, management and maintenance services,
including but not limited to:
a. Event Programming and Booking:
i. Attract, finance, book, schedule and manage events at the
Civic;
ii. Provide a minimum of 120 use days during each year of the
Civic Agreement; and
iii. Hold a minimum of seven (7) Special Events during each
year of the Civic Agreement as defined in the lease
agreement.
b. Operations Management:
i. Unless an operating budget is requested and approved per
section II.B.2.a, Lessee shall operate and manage the Civic
at its sole cost and expense;
ii. Subject to advance written approval of City, sublease
portions of the Civic for uses permitted by the Civic
Agreement;
iii. Cause the Civic to be event-ready at all times;
iv. Maintain all equipment available for use at the Civic,
including the regular performance of preventive
maintenance on such equipment;
v. Arrange for and oversee daily, weekly and monthly cleaning
of the Civic;
vi. Undertake year-round Civic operations;
vii. Implement health and safety procedures applicable to the
Civic and its staff, patrons and invitees; and
viii. Recruit and hire qualified and experienced personnel to staff
the Civic for the permitted uses.
c. Financial and Administrative Responsibilities:

i. Develop and monitor an annual operating budget;
ii. Optimize revenue and profitability; and
iii. Communicate and coordinate in good faith with City to plan
maintenance projects and handle inventory control.
d. Vendor and Service Coordination:
i. Engage concession operators and manage such operators;
ii. Provide ticketing services or engage a third-party to handle
such ticketing services and oversee the provider; and
iii. Engage, manage and coordinate all other third-party vendors
for the Civic.
e. Maintenance for the Civic:
i. Maintain the Civic in the condition received (or better),
reasonable wear and tear excepted; and
ii. Comply with all maintenance schedules and operational
standards provided by City, as such may be updated by City
from time-to-time.
2. City Responsibilities:
a. City will provide each of the following, which may be updated by City
from time-to-time during the term of the Civic Agreement:
i. Equipment maintenance schedule;
ii. Maintenance compliance sheet;
iii. Inventory of City owned equipment for the Civic; and
iv. Mandatory operational criteria.
City will consider, in its sole discretion, a request from Proposer for a
reasonable operations and management subsidy, provided that City in no
way guarantees Proposer that any such subsidy in any amount will be
provided by City. Each Proposer shall state the annual subsidy amount (if
any) it requires, expressed as a not-to-exceed annual figure, and shall
identify the specific programming commitments, service levels, and any
capital contribution that the requested subsidy supports. Proposers
requesting no subsidy shall so state. Should any subsidy be provided, it will
be disbursed in monthly installments or as negotiated.
C. REPORTING REQUIREMENTS
Proposer shall provide the following to City, the form and substance of which shall be
reasonably acceptable to City:
1. Quarterly financial reports;
2. Quarterly financial and marketing campaign summaries; and
3. Additional reports may be requested by City from time-to-time.

III. PROPOSAL SUBMITTALS
A. Proposal Submission
Proposals must be submitted in the manner set forth in this RFP. Proposers are responsible
for ensuring timely delivery of the proposal.
B. Page Limit
Proposers shall not exceed forty (40) typed pages, excluding cover, index sheet, blank
pages, and table of contents.
C. Submission Package
All interested and qualified Proposers are invited to submit a proposal for consideration. In
a sealed box or envelope, clearly marked with Proposer's company name and proposal
schedule number. Proposer shall provide one (1) unbound original and three (3) bound
copies of the proposal package. Proposal packages shall include the prepared proposal, any
supplemental documentation and all required attachments, etc. Proposer shall also include
an exact PDF copy of the proposal on a USB/Flash drive included in the submission
envelope or box.
1. Acknowledgement of RFP Requirements
Submission of a proposal indicates that the Proposer has read and fully understands
this RFP, including all appendices, attachments, exhibits, schedules, and addenda
(as applicable) and agrees that all requirements of this RFP have been satisfied.
2. Proposal Format and Presentation
Proposals must be submitted in the format described in this Section. Proposals are
to be prepared in such a way as to provide a straightforward and concise description
of capabilities able to satisfy the requirements of this RFP. Expensive bindings or
colored displays are not necessary or desired. Emphasis should be concentrated on
conformance to the RFP instructions, responsiveness to the RFP requirements, and
completeness and clarity of content.
3. Completeness
Proposals must be complete in all respects as required in this Section. A proposal
may not be considered if it is conditional or incomplete.
4. Delivery Deadline
Proposals must be received at the City Clerk's office no later than the date and time
specified in the RFP cover letter. All proposals and materials submitted become the
property of City.

A. PROPOSAL FORMAT
The proposal shall include the following information in the order listed below:
1. Cover/Transmittal Letter
The cover letter is to be signed in ink by a member of the organization having the
authority to negotiate and execute contracts on behalf of the firm. The cover letter
must acknowledge receipt of any and all addenda, by number, if any were issued
(if in doubt, visit the Purchasing Department's website or contact Michelle
Kempley, Purchasing Officer at (mkempley@cityofredding.gov).
2. Proposers Qualifications and Experience
Please describe Proposer's experience in performing the work described in this
RFP. Please use an example(s) most similar to the Civic venue. Include brief
company history/background, and the company's accomplishments. At a
minimum, Proposer should:
a. Be legally capable (i.e. have all required permits, licenses, and
approvals) of operating within the State of California and City; and
b. Have at least five (5) consecutive years of successful experience
managing and operating public assembly facilities similar to the
Civic; and
c. Evidence of experience in operating such a facility on behalf of a
public entity, such as a City or County government, or public
building authority is desirable.
In addition, Proposer should provide the following additional information:
d. State if Proposer's entity is a stand-alone firm or a division of a
larger firm, and if a division, please provide a list of the other
locations or divisions/services Proposer provides.
e. Provide a detailed history of Proposer's organization's facility
management experience for the last five (5) years. The information
provided should include a description of services provided and
examples of successful operational strategies. Include examples of
creative thinking with regards to event booking, revenue generation,
and cost savings.
f. Specifically describe Proposer's experience in sponsor, advertising,
and premium seating sales.
g. Provide the location of Proposer's nearest office/administrative
facility and the geographical area this facility serves. If outside the
Redding area, indicate location of nearest facility.
h. Provide company brochure/marketing materials and any other
information may be of interest.
i. Cite past, actual examples from other similar work experiences.

j. Describe Proposer's approach to booking/scheduling, promoting,
advertising, and marketing events at the Civic.
k. Describe past experiences in working with a similar facility in
addition to marketing and booking such events.
3. Business Plan
a. Financial - Provide an explanation of the overall financial plan for the
Civic including:
i. Summarize Proposer's proposed strategy and approach for
minimizing operating expenses and maximizing operating
revenues, including capital investment amount, development
budget, phasing costs, source of funds, timeline of capital
deployment.
ii. Recognizing that City will have final approval of capital
improvement projects, please provide a description of
Proposer's role with respect to identifying and prioritizing
capital improvement projects, justifications for such
recommendations, and the ability (or not) to identify or
suggest funding mechanisms.
iii. Identify any cost(s) to City or any other compensation
(beyond any base management fee and any incentive fee(s)),
rebate or financial remuneration Proposer would receive
under the contract, whether from a vendor or other entity.
iv. If the Proposer is requesting an operations and management
subsidy, clearly identify the requested annual subsidy
amount, expressed as a not-to-exceed annual amount. The
Proposal shall also describe the specific programming
commitments, service levels, and capital contribution(s) that
the requested subsidy will support. If the Proposer is not
requesting a subsidy, the Proposal shall explicitly state that
no subsidy is being requested.
v. Include proof of the entity's financial viability in the form of
a bank statement, audit finding or annual report. If this item
is confidential, please include this item as a separate
attachment labeled "CONFIDENTIAL".
vi. Proposer team's structure and management approach.
b. Management & Philosophy - Provide an explanation of the overall
strategy of how Proposer would manage and operate the Civic. This
should include:
i. An overview of the timeline of critical milestones and a
description of roles and responsibilities.
