1. PURPOSE AND INTENT
The City of Winooski is soliciting competitive bids from qualified bulk carbon dioxide suppliers to provide reliable bulk
CO2 supply, delivery, monitoring/service support, and associated inspection services for Myers Memorial Pool at 62
Pine Street, Winooski, Vermont. CO2 is used for pool-water pH control.
The City intends to select a supplier based on total delivered cost, service reliability, responsiveness, qualifications,
ability to service the existing City-owned equipment, and the completeness of the bidder's proposal. Award will not
necessarily be made solely on the lowest stated price per pound.
2. EXISTING FACILITY AND EQUIPMENT
Myers Memorial Pool and its associated mechanical systems are approximately five years old.
The existing bulk CO2 tank is owned by the City of Winooski. This solicitation does not contemplate tank rental or
automatic replacement of the City's existing tank.
The mechanical room includes an automated ventilation system adjacent to the bulk CO2 installation.
The City will provide reasonable access for bidders to inspect the existing installation before bidding. A pre-bid
site visit is not mandatory, but is strongly encouraged.
The successful bidder shall inspect the existing tank, fill connection, regulator(s), valves, piping, fittings,
supports/anchorage, pressure-relief devices and related components before assuming service and shall provide
the City with a written initial condition/acceptance report.
Any bidder that believes modifications, repairs, equipment replacement or additional equipment are necessary to
provide service shall clearly identify and separately price those items in its bid. No modification or replacement
may be performed without prior written City authorization.
3. BID SUBMISSION
Bids shall be submitted in a sealed envelope to the City of Winooski, 27 West Allen Street, Winooski, VT 05404. The
outside of the envelope shall be clearly marked:
"BULK CO2 - MYERS MEMORIAL POOL"
Bids must be received by the City no later than the date and time stated on the cover page. Late bids may be
rejected. Electronic or faxed bids will not be accepted unless the City issues a written addendum authorizing an
alternate submission method.
4. SCOPE OF SERVICE
1. Supply and deliver bulk CO2 suitable for the City's pool pH-control application.
2. Provide dependable routine deliveries sufficient to avoid interruption of pool operations.
3. Provide delivery tickets identifying the date, quantity delivered, unit price and all applicable charges.
4. Provide any telemetry, remote monitoring or automatic delivery scheduling proposed by the bidder, with all
associated costs fully disclosed.
5. Provide qualified personnel and equipment appropriate for safe transfer into the existing City-owned bulk tank.
6. Maintain an emergency service/contact procedure and identify response times for urgent delivery needs.
7. Coordinate deliveries with City staff and comply with reasonable facility access requirements.
8. Provide an initial documented inspection before assuming service and any recurring inspection/service included
in the proposal.
9. Provide applicable Safety Data Sheets and other routine product/safety documentation.
5. HISTORICAL USAGE INFORMATION
Historical invoices are available to assist bidders in understanding the City's general delivery pattern. They are
informational only and do not establish a guaranteed minimum or maximum purchase quantity.

Historical records show individual bulk deliveries commonly ranging from approximately 300 to 750 pounds, with a
number of recent normal deliveries in the approximately 600-700 pound range. The City's historical records also
contain supplemental or emergency deliveries associated with prior delivery/service problems. Accordingly, raw
invoice totals should not be interpreted as precise normal annual consumption.
The City makes no guarantee regarding annual pounds purchased, number of deliveries, delivery interval, seasonal
demand, or future operating conditions. The successful vendor will be paid for actual authorized product and services
supplied.
6. DELIVERY RELIABILITY AND VENDOR-CAUSED SERVICE CALLS
Vendor-caused supplemental or emergency deliveries: No emergency delivery fee, expedited delivery charge,
delivery surcharge, minimum delivery charge or similar fee may be assessed when an additional delivery is required
because of an incomplete or deficient delivery, delivery error, inaccurate vendor monitoring, vendor equipment
malfunction, failure to make a scheduled/necessary delivery, or another condition within the vendor's control.
If CO2 service is interrupted because of contractor error or failure to deliver, the contractor shall provide
corrective/emergency service as promptly as reasonably possible and at no additional delivery or emergency-service
cost to the City.
The bidder shall state its normal delivery lead time, emergency response capability, after-hours contact method, and
the method used to prevent run-outs.
7. INSPECTION AND CITY-OWNED EQUIPMENT
The successful bidder's initial written inspection shall, at a minimum, address the observable condition and
serviceability of the tank and data plate, fill circuit/connection, valves, pressure-relief devices, regulators, piping,
fittings, supports/anchorage, visible corrosion or leakage, delivery access, and other equipment directly relevant to
safe CO2 delivery and supplier service.
The inspection requirement is not authorization to replace City-owned equipment. Any deficiency or recommended
work shall be documented and separately quoted for City review. The City reserves the right to obtain independent
review or competitive pricing for corrective work.
8. PRICING REQUIREMENTS
All pricing shall be fully disclosed on the Bid Form. The City is specifically seeking transparent delivered-cost pricing.
Any fee, surcharge, assessment, administrative charge, monitoring fee, minimum, environmental fee, delivery charge
or other cost not specifically disclosed on the Bid Form shall be considered included in the bidder's quoted CO2 unit
price and may not subsequently be charged without a written contract amendment authorized by the City.
Bidders shall identify whether the CO2 unit price is fixed, indexed, or otherwise adjustable and shall describe the
proposed adjustment mechanism. The City strongly prefers predictable pricing and reserves the right to negotiate or
reject escalation provisions that do not provide adequate cost control.
9. CONTRACT TERM AND PRICE CHANGES
The anticipated contract term is three (3) years from the effective date, with two (2) additional one-year extensions
available solely at the City's option. Bidders shall state pricing for the initial term and any proposed annual escalation
methodology.
No price increase or new surcharge shall take effect unless permitted by the executed contract and supported by the
required advance written notice. The City may reject a proposed increase that is inconsistent with the agreed pricing
mechanism and may exercise applicable termination rights.

10. VENDOR QUALIFICATIONS
Demonstrated experience supplying bulk CO2 to commercial, institutional, municipal, aquatic, industrial or
comparable facilities.
Ability to routinely service Winooski, Vermont.
Qualified delivery/service personnel and appropriate insurance.
Ability to service and fill a customer-owned bulk tank without requiring proprietary tank rental, unless the bidder
clearly identifies a technical reason otherwise.
Established customer-service and emergency-response capability.
Ability to provide municipal invoicing and Net 30 payment terms. The City of Winooski is tax exempt.
11. INSURANCE, SAFETY AND COMPLIANCE
The successful bidder shall comply with applicable federal, state and local requirements governing transportation,
handling and delivery of carbon dioxide and shall maintain insurance appropriate to the work. Evidence of insurance
shall be provided upon request and prior to commencement of service if required by the City.
12. AWARD AND RESERVATION OF RIGHTS
The City reserves the right to reject any or all bids; waive minor informalities; request clarification; verify bidder
qualifications and information; negotiate with the apparent successful bidder; and make an award determined to be in
the City's best interests. In evaluating bids, the City may consider total estimated delivered cost, disclosed fees,
service coverage, delivery reliability, emergency response, qualifications, inspection/service provisions, pricing
stability, and exceptions to the RFB. Award will be based upon the proposal determined to provide the best overall
value to the City and will not necessarily be based solely upon the lowest quoted CO2 price.
