Notice is hereby given for Requests for Proposals for the purpose of entering into a License
Agreement for:
The Operation of The Gulf Beach Concession Stand, A True Waterfront Concession
Facility Located at Gulf Beach in Milford, Connecticut.
All proposals will be received in the Purchasing Agent's Office until
3:00 p.m., Tuesday, April 14, 2026
There shall be no public proposal opening and proposals submitted will not be subject to
public inspection until an Agreement is awarded. Proposals will be evaluated and Proposers
may be requested to provide a presentation of their proposed services.

2.2 Proposal Instructions
2.2.1 Proposals should be submitted as a document set, containing one (1) clearly
marked "ORIGINAL," one (1) additional copy marked "COPY". Submit Proposals in a
sealed envelope clearly marked "GULF BEACH CONCESSION STAND LICENSE
ARFP", with Proposer's name and address appearing in the upper left-hand corner and the
name of the bid appearing in the lower left-hand corner of the envelope, and either mail or
hand deliver to the City at the following address:

2.2.2 No telephone, electronic or facsimile Proposals will be considered. Proposers
assume the risk of the method of delivery chosen. The City assumes no responsibility for
delays caused by the US Postal Service or other delivery services. Postmarking by the due
date will not substitute for receipt of actual Proposal. Proposals received after the time and
date for closing will not be accepted.
2.2.3 The Proposal Form shall be detached from the proposal package and completed by
typewriter or in ink - pencil entries will not be accepted.
2.2.4 Prior to the deadline for receipt of Proposals, all communications between the City
and Prospective proposers regarding this Request for Proposals (hereinafter referred to as
"RFP") shall be in writing. Any inquires, requests for interpretation, technical questions,
clarification, notifications or additional information shall be in writing and directed to Fred
Bialka, Purchasing Agent by emailing fbialka@milfordct.gov or faxing (203) 876-1960. All
questions concerning this RFP shall reference the section number and page. Questions and
responses affecting the specifications of the RFP will be provided by issuance of an
Addendum. It is each Proposer's sole responsibility to monitor the website:
https://www.milfordct.us/863/Current-Bids. Addenda will not be mailed, emailed or faxed out. It
is the Proposer's responsibility to ensure they have all current information. Verbal requests
for information via phone or other means will not be accepted. Failure to comply with the

conditions will result in the Proposer waiving all rights to dispute any specification or condition
contained in this RFP with no exceptions. Any contact about this RFP between a Proposer and
any other City official and/or department manager and/or City employee, other than as set forth
above, may be grounds for disqualification of that Proposer. No questions or clarifications
shall be answered by phone, in person or in any other manner than specified above. All
questions shall be received no later than 4:00 P.M., EST on Thursday, April 2, 2026.
2.2.5 Should a Proposer find discrepancies in, or omissions from, the documents, or
should he/she be in doubt as to their meaning, he/she should at once notify the City, and a
written Addendum shall be issued if necessary. The City will not be responsible for any oral
instructions. In closing of an Agreement, any Addenda issued shall become a part thereof.
2.2.6 The deadline for receipt of all Proposals is Tuesday, April 14, 2026 at 3:00 P.M.,
EST. Any Proposals received after the scheduled closing time for the receipt of Proposals will
not be accepted.
2.2.7 The City of Milford reserves the right to allow or disallow minor deviations or
technicalities from the Agreement should the City deem it to be in the best interest of the City.
The City of Milford shall be the sole judge of what is to be considered a minor deviation or
technicality.
2.2.8 The City reserves the right to conduct discussions with Proposers, to seek
clarification of any proposal or to seek additional information concerning any proposal and to
seek best and final pricing from all proposers. During this period of discussion, the City will
not disclose any information derived from Proposals submitted, or from discussions with other
Proposers. Price is to include all labor, materials, tools, equipment, plans, mobilization,
permits, insurances, etc., required to properly complete these services.
2.2.9 Proposals may be withdrawn or withdrawn and resubmitted at any time prior to the
closing time for receipt of Proposals. NO Proposal may be withdrawn after the scheduled
closing time for receipt of Proposals for a period of ninety (90) days.
2.2.10 Any Agreement(s) issued as a result of this RFP, if at all, shall be governed in
accordance with the laws of the State of Connecticut.
2.2.11 Fee Schedules - All Proposers must propose pricing based on an initial one (1) year
term with four (4) potential additional one (1) year renewals at the City's option.
2.2.12 The City is exempt from State sales tax and from Federal excise tax - do not include
these taxes in your proposal.
2.2.13 As a result of the selection of a request to supply products and/or services to the
City, the City is neither endorsing nor suggesting that the Successful Proposer's products or
services are the best or only solutions. The Successful Proposer agrees to make no reference
to the City in any literature, promotional material, brochures, sales presentations, or the like
without the express written consent of the City.

2.2.14 Proposals must be signed by an authorized individual of Prospective Proposer's
firm. Proposals that are not signed will be rejected.
2.2.15 The City reserves the right to reject any or all Proposals or any part thereof, or to
accept any Proposal, or any part thereof.
2.2.16 Proposers must participate in this procurement process and negotiations and
prepare the required materials and submittals and any subsequent materials and submittals, at
their own expense, and with the express understanding that there may be no claims whatsoever
for reimbursement from the City or any of its agents, employees or representatives for any
costs associated with this process.
2.2.17 Proposer shall fully and completely disclose to the City any known conflicts of
interest that might be prejudicial or adverse to the City's interests. Furthermore, Proposer shall
not illegally combine, collude or conspire with respect to the services to be provided to the
City if the purpose or effect of such action is either to lessen competition among Prospective
Proposers, or cause the City to pay a higher price for procured services, or cause, inhibit,
preclude or prejudice other Prospective Proposers from submitting a Proposal in response to
the City's RFP.
2.2.18 Any person, firm, corporation, or association submitting a Proposal shall be deemed
to have read and understood all the terms, conditions, and requirements in the specifications
and/or scope of work. Any sizes or estimate of quantities are approximate and are not
guaranteed in any respect. The City reserves the right at all times to increase or decrease the
amount of work and/or services if deemed in its best interest.
2.2.19 All Proposals and accompanying documentation will become the property of the
City of Milford at the time the Proposals are received.
2.2.20 The Successful Proposer's products, equipment, service and facilities shall be in
full compliance with any and all applicable state, federal, local, environmental and safety laws,
regulations, ordinances and standards or any standards adopted by nationally recognized
testing facilities regardless of whether or not they are referred to in the Proposal documents.
2.2.21 Failure to comply with the provisions contained herein or any provisions of the
General Statutes of Connecticut will result in rejection of Proposal, in whole or in part if
applying for multiple options.
2.2.22 The RFP does not, by itself, obligate The City of Milford. The City's obligation
will commence following approval of the Board of Aldermen, if required, and thereafter, upon
full execution of any Agreements by the City and a duly authorized officer of the Successful
Proposer's firm. Upon written notice to the Successful Proposer, the City may set a different
starting date for the Agreement. The City will not be responsible for any work done by the
Successful Proposer, even done in good faith, if it occurs before the Agreement start date set
by the City.

2.2.23 A Form of License Agreement (the "Agreement") is attached to this Proposal. The
City reserves the right to make modifications to the Agreement as it determines necessary to
incorporate and conform the Successful Proposer's proposal into the Agreement. To the extent
the Proposer takes exceptions to any of the terms of the Agreement, Proposer shall state with
particularity which section it objects to and explain why.
2.3 Insurance Requirements.
2.3.1. Proposers shall provide evidence of required insurance, through a representative
copy of a certificate of insurance as part of its Proposal.
2.3.2 The Successful Proposer shall maintain, at its own expense, insurance coverage
issued by companies licensed to conduct business in the State of Connecticut, each with an
A.M. Best rating of no less than A-VII and otherwise acceptable to the City of Milford. Such
insurance shall remain in full force and effect until all work required under the Agreement has
been fully completed, except that Products and Completed Operations coverage shall be
maintained for a period of five (5) years following completion. Insurance coverage shall cover
the scope of work for any and all awarded RFP Agreements, if Successful Proposer was
awarded more than one. The types and minimum limits of coverage required are as follows:
2.3.3 Certificates, Endorsements, and Notice of Cancellation. Original, completed
Certificates of Insurance evidencing the required coverage must be presented to the Licensor
at the time that this license is entered into and annually thereafter before the Licensee takes
possession of the Premises. The Licensee agrees to provide replacement/ renewal certificates
at least sixty (60) days prior to the expiration of the policy. Certificates shall indicate the type,
amount, and class of operations covered, effective date and expiration date of all policies, and
the certificate and endorsement shall contain the following statement: "The insurance covered
by this certificate will not be canceled or materially altered, except after thirty (30) days written
notice has been received by the City." With respect to insurance maintained after final payment
in compliance with requirements, an additional certificate(s) and endorsements evidencing
such coverage shall be provided to the City thereafter upon renewal or replacement of such
insurance until the expiration of the period for which such insurance must be maintained. The
City reserves the right to reject insurance companies, if approved insurance policies cannot be
provided the Agreement shall be terminated.
The Certificates of Insurance and policy endorsement shall name the City of Milford, its
officers, officials, agents and employees as additional insureds on a primary/non-contributory
basis on all policies except for workers compensation and shall provide waiver of subrogation
in favor of the City on all policies and shall be further evidenced by actual endorsements
furnished to the City from the insurer prior to the signing of the Agreement between the
Successful Proposer and the City. Any failure to comply with reporting provisions of the
policies shall not affect coverage provided to the City of Milford, its officers, officials, agents
or employees.

Successful Proposer shall include all subcontractors as insureds under its policies or shall
furnish separate certificates and endorsements for each subcontractors. All coverage for
subcontractors shall be subject to all of the requirements stated herein, including the City of
Milford and its officers, officials, agents and employees as additional insureds on a primary/non-
contributory basis. CGL coverage shall include independent subcontractors' coverage, and
Successful Proposer shall be responsible for assuring that all subcontractors are properly
insured.
To the fullest extent allowed by law, the Successful Proposer shall at all times indemnify,
defend and hold harmless the City of Milford, its officers, officials, agents or employees
thereof on account of and from any and all claims, damages, losses judgements, workers
compensation payments, litigation expenses and counsel fees arising out of injuries to the
person (including death) or damage to property, or financial loss alleged to have been sustained
by officers, agents and employees of the City, or the Successful Proposer, its employees,
agents, subcontractors or materialmen or any other person or entity, to the extent any such
injuries or damages are caused or are alleged to have been caused in whole or in part by the
acts, omissions, neglect, or breach of Agreement of the Successful Proposer, its employees,
agents, subcontractors or materialmen. The Successful Proposer further undertakes to
reimburse the City, for damage to its properties (both real and personal) caused by the
Successful Proposer or the Proposer's employees, agents, subcontractors or materialmen or by
faulty, defective or unsuitable material or equipment used by the Successful Proposer or its
employees, agents, subcontractors or materialmen. The existence of insurance shall in no way
limit the scope of this indemnification.
2.3.4 Deductibles and Self-Insured Retentions. Any deductibles or self-insured
retentions must be declared to the City. At the option of the City, the Successful Proposer shall
procure a bond guaranteeing payment of deductibles or self-insured retentions. Any loss not
reimbursed as a result thereof shall be borne solely by the Successful Proposer.
2.3.5 Workers Compensation Insurance. Covering all of the Contractor's employees
to be engaged in the work under this contract, providing the required statutory benefits under
Connecticut Workers Compensation Law.
2.3.6 Commercial General Liability. Including coverage for independent
subcontractor operations, subcontractor liability assumed under the provisions of this
Agreement, products/completed operations liability and broad form property damage liability
insurance coverage. Exclusions applicable to explosion, collapse and underground hazards are
to be deleted when the work involves these exposures. The policy shall provide liability limits
at least in the amount of $1,000,000 per occurrence, $2,000,000 general aggregate and another
$2,000,000 products/completed operations aggregate. This policy shall also include coverage
of damage to premises rented to tenant in the amount of $300,000 and $5,000 for medical
expenses.
2.3.7 Automobile Liability Insurance. Covering all owned, leased, non-owned and
hired vehicles, providing liability limits at least in the amount of $1,000,000 per occurrence,
$2,000,000 aggregate, combined single limits applicable to claims due to bodily injury and/or

property damage. This insurance shall include coverage for owned, non-owned, leased and/or
hired vehicles. The policy shall include the MCS-90 endorsement.
2.3.8 Employers Liability:
i. EL Each Accident: $100,000.00
ii. EL Disease Each Employee: $100,000.00
iii. EL Disease Policy Limit: $500,000.00
2.3.9 Umbrella Liability. Successful Proposer shall maintain Excess or Umbrella
Liability Insurance with a limit of not less than $5,000,000, covering Commercial General
Liability, Pollution Legal Liability, Employers Liability and Automobile Liability.
2.3.10 Additional Insureds. The "The City of Milford, its Governing Board, Officials,
Agents and Employees" shall be named as Additional Insureds on the General Subcontractors'
and Subcontractors' Commercial General Liability, Automobile, and Umbrella. Coverage shall
be primary and non-contributory with and shall contain no special limitations on the scope of
protection afforded to the City.
2.3.11 Waiver of Subrogation Insurance policies purchased as required above and by
subcontractors, shall be endorsed with a waiver of subrogation in favor of the City of Milford,
its officers, officials, agents and employees and their respective insurers. The City of Milford,
its officers, officials, agents and employees and their respective insurers retain all rights of
subrogation.
2.3.12 Subcontractors. Successful Proposer shall include all subcontractors as insureds
under its policies and shall furnish separate certificates and policy endorsements from each
subcontractor. All coverage for subcontractors shall be subject to all of the requirements stated
herein, including the Additional Insured requirement, types and limits of insurance. Commercial
General Liability coverage shall include independent subcontractors' coverage.
2.6 Miscellaneous Proposal Information
2.6.1 Proposals shall not be assigned or transferred without the express written consent
of the City. A Successful Proposer who is, or may be, purchased by or merged with any other
corporate entity during any stage of the Proposal process, prior to the execution of the
Agreement, is subject to having its Proposal disqualified as a result of such transaction. The
City shall determine whether a Proposal is to be disqualified in such instances and the City's
decision shall be final.
2.6.2 Awarding of an Agreement, either partial or in its entirety, is contingent upon
funding approval and allocation by the Board of Aldermen.
2.6.3 Upon Award, all RFP documents shall constitute a legal Agreement including, but
not limited to, the following; RFP Package, its Appendices, Exhibits, the Form Lease
Agreement, Non-Collusion Affidavit of Proposers, Drug Free Workplace Certificate,
Addendum(s), Notice to Award, Proposal Page and Agreement. In the event of any conflict

among the Agreement documents, the higher standard, more expensive, more time consuming,
more onerous, better quality, and higher level of service and/or work shall prevail as
determined by the City in its sole discretion.
