PROPOSAL INSTRUCTIONS
Receipt and Opening of Proposals:
All proposals must be received on or before 10:45am Monday, June 15, 2026. All
proposals must be delivered to Haley Greene, Midland County Procurement & Contract
Administrator, 3rd Floor, Finance Department, Midland County Services Building, 220
West Ellsworth Street, Midland MI 48640-5194. It will be the responsibility of the
vendor/bidder that the bid submitted is received in a timely and proper manner. All
proposals will be publicly opened on Monday, June 15, 2026 at 11:00am in the Third
Floor Conference Room at the address listed above. Mandatory site visit is required
before bid can be submitted. Mandatory Prebid Site Visit will be held June 9th
between 10AM and 11:30AM at Station Eleven, 1884 N 7. Mile Road, Sanford, MI
48858.
Submission of Proposals:
Bid proposals must be submitted in a sealed and clearly marked envelope with the
name and address of vendor/bidder, date and hour of opening and name of project
on the envelope.
Any proposal received after the advertised deadline shall be made ineligible for this
bid. This applies to bids sent by mail as well as those delivered.
Any vendor/bidder may withdraw his bid by written request at any time prior to the
advertised time for opening.
Telegraphic and email proposals are not acceptable and telephone, telegraphic
and electronic amendments or withdraws will not be accepted under any
circumstances.
Negligence on the part of the bidder/vendor in preparing the proposal confers no
rights for withdraw of the bid after it has been opened.
Proposals received prior to the deadline will be securely kept unopened. No
responsibility will attach to an officer or person for the premature opening of a
proposal not properly addressed and identified.
There may be one or more amendments to this Request for Proposal. These
amendments will be posted on the Midland County website at
midlandcountymi.gov. It will be the responsibility of the vendor to check for these
amendments.

Contents of Bid Package:
Proposals must be submitted on printed forms furnished by Midland County.
Voluntary alternatives or additional product information may be attached to the bid
form if necessary.
Please include one (1) original and four (2) copies of your bid proposal.
Proposals must contain bidder's complete name, address, telephone, email
address, and facsimile numbers. The proposals must be signed in ink and stated
by an authorized representative of your company.
All questions on the bid response questionnaire must be answered in detail.
All erasures or corrections to pricing information must be initialed in ink.
Incurred Costs/Disclaimer:
The County of Midland will not be liable in any way for any costs incurred by
respondents in replying to this proposal request. The County of Midland does not
guarantee an award of this project as a result of this Request for Proposal.
Award:
The Midland County Board of Commissioners may make award to the responsible
submitter whose proposal is the most advantageous to the County of Midland
based upon the recommendations of staff and/or representatives reviewing the
proposal.
Taxes:
The County of Midland is exempt from Federal Excise and Michigan State Sales
Taxes by law and such taxes shall not be included in bid prices. The County will
provide documentation of exemption upon request.
Owner's Rights:
The County of Midland reserves the right:
o To waive minor technical deficiencies and irregularities, or both in the requests for
proposals, the process of requesting or receiving the proposals, or the proposals
received from submitters.
o To request clarification of all or any portion of a proposal from any or all of the
submittals received in response to a request for qualification or proposal, or both,
from any or all of the submitters.
o To accept or reject any or all proposals as determined by the County, in its sole
discretion, for any reason including but not limited to the rejection and
disqualification from consideration any or all submissions that the County may, in
its sole discretion, deem inaccurate, misleading, exaggerated or unresponsive to
the information requested.
o To accept the firm that, in its sole judgment, meet the needs of the County, and
best serve its overall interests.

Insurance Requirements:
The contractor, and any and all of their subcontractors, shall not commence work under this
contract until they have obtained the insurance required under this paragraph. All coverage
shall be with insurance companies licensed and admitted to do business in the State of
Michigan. All coverage's shall be with insurance carriers acceptable to County of Midland.
The limits required below do not limit the liability of the Contractor. All deductibles and SIRs
are the responsibility of the Contractor.
1. Workers' Compensation Insurance: The Contractor shall procure and maintain
during the life of this contract, Workers' Compensation Insurance, including Employers'
Liability Coverage, in accordance with all applicable statutes of the State of Michigan.
2. Commercial General Liability Insurance: The Contractor shall procure and
maintain during the life of this contract, Commercial General Liability Insurance on an
"Occurrence Basis" with limits of liability not less than $1,000,000 per occurrence and
aggregate. Coverage shall include the following extensions: (A) Contractual Liability; (B)
Products and Completed Operations; (C) Independent Contractors Coverage; (D) Broad
Form General Liability Extensions or equivalent, if not already included; (E) Deletion of all
Explosion, Collapse, and Underground (XCU) Exclusions, if applicable.
3. Motor Vehicle Liability: The Contractor shall procure and maintain during the life
of this contract Motor Vehicle Liability Insurance, including Michigan No-Fault Coverages,
with limits of liability not less than $1,000,000 per occurrence combined single limit for
Bodily Injury, and Property Damage. Coverage shall include all owned vehicles, all non-
owned vehicles, and all hired vehicles.
4. Additional Insured: Commercial General Liability and Motor Vehicle Liability, as
described above, shall include an endorsement stating that the following shall be
Additional Insureds: The County of Midland, all elected and appointed officials, all
employees and volunteers, all boards, commissions, and/or authorities and board
members, including employees and volunteers thereof. It is understood and agreed by
naming the County of Midland as additional insured, coverage afforded is considered to be
primary and any other insurance the County of Midland may have in effect shall be
considered secondary and/or excess.
5. Cancellation Notice: Workers' Compensation Insurance, Commercial General
Liability Insurance, and Motor Vehicle Liability Insurance, as described above, shall include
an endorsement stating the following: "It is understood and agreed that Thirty (30) days,
Ten (10) days for non-payment of premium, Advance Written Notice of Cancellation, Non-
Renewal, Reduction, and/or Material Change shall be sent to: (Ms. Bridgette M. Gransden,
County of Midland, 220 West Ellsworth Street, Midland, MI 48640-5194).

6. Proof of Insurance Coverage: The Contractor shall provide the County of Midland
at the time that the contracts are returned by him/her for execution, certificates and policies
as listed below:
a. Two (2) copies of Certificate of Insurance for Workers' Compensation
Insurance;
b. Two (2) copies of Certificate of Insurance for Commercial General Liability
Insurance;
c. Two (2) copies of Certificate of Insurance for Vehicle Liability Insurance;
d. Original Policy, or original Binder pending issuance of policy, for Owners' &
Contractors' Protective Liability Insurance.
e. If so requested, Certified Copies of all policies mentioned above will be
furnished.
7. If any of the above coverage's expire during the term of this contract, the Contractor
shall deliver renewal certificates and/or policies to County of Midland at least ten (10) days
prior to the expiration date.
Hold Harmless Clause:
Company shall indemnify and hold harmless Midland County (County), its commissioners,
officials, employees and agents or others working on behalf of the County, and its
partners, directors, agents, employees, as the case may be (Indemnitee), against any
losses, claims, damages, or liabilities to any such person in connection with any matter
referred to in this Agreement, including without limitation the performance of the services
that are the subject of this Agreement, except to the extent that any such loss, claim,
damages, or liability are finally judicially determined to have resulted from the gross
negligence, bad faith, willful misfeasance, or reckless disregard by Indemnitee of its
obligations or duties.

STATION 11 ROOF REPLACEMENT
INVITATION TO BID
Midland County is requesting proposals to replace shingled roofing on two
pole building structures with standing seam metal roofs based on the
attached specifications.
* Tear off all existing shingles.
* Haul away all trash and debris.
* Install ice/water shield over entire roof.
* Install slip shield as per specifications.
* Include all trims associated with the metal roof.
* Owner to select roof and trim from manufacturers base colors.
* Any and all permit fees by bidder.
* Include unit pricing to replace decking (if needed and pre-approved).
* Work cannot begin until all materials arrive on-site.
* Contractors must be insured and must name Midland County as an additional
insured party.
* Include number of days to complete the job.
* Include estimated start date based on scheduling.
* Include signed proposal with pricing.

Part 1: General
1.01 Work Included:
Provide all labor, materials, equipment, and services necessary to furnish and install a
complete standing seam metal roof system, including underlayment, clips, flashing, trim,
and accessories.
1.02 Quality Assurance:
* Installer Qualifications: Minimum of 5 years of documented experience in
installing standing seam metal roofing systems.
* Manufacturer Qualifications: Metal panel system must be manufactured by a
company with a minimum of 10 years of experience producing standing seam roof
panels.
1.03 Performance Requirements:
* Wind Uplift: System must meet UL 580 Class 90 and ASTM E1592 wind uplift
requirements, designed to withstand local high-wind speeds.
* Air Infiltration: Tested in accordance with ASTM E1680. Leakage rate must not
exceed 0.01 cfm/sq. ft. at 1.57 psf air pressure differential.
* Water Infiltration: Tested in accordance with ASTM E1646. No uncontrolled water
penetration at a static pressure of 6.24 psf for 15 minutes.
* Thermal Movement: System must accommodate a temperature differential of
200 degreesF (from expansion and contraction) without buckling, oil-canning, or fastener
failure.
Part 2: Products
2.01 Metal Roof Panels:
* Panel Profile: Standing seam with vertical legs and a broad flat area. Concealed
fastener system.
* Material: 24-Gauge (minimum) Galvalume(R) steel, conforming to ASTM A792,
Grade 50.
* Seam Type: Snap-Lock
* Seam Height: Minimum 1.5-inch or 2-inch vertical rib.
* Finish: Factory-applied Kynar 500 / PVDF coating in standard color as selected by
the owner.

2.02 Underlayment:
* Primary: High-temperature, self-adhering, rubberized asphalt underlayment
(minimum 36 mils thick), such as Grace Ice & Water Shield HT.
* Slip Sheet: Synthetic or rosin paper slip sheet to prevent the metal from bonding
directly to the underlayment adhesive.
2.03 Fasteners & Clips:
* Clips: Two-piece floating clips to allow for thermal expansion/contraction. Material
shall be minimum 18-gauge, G-90 galvanized steel or stainless steel.
* Screws: Corrosion-resistant, manufacturer-recommended pancake head
fasteners.
Part 3: Execution
3.01 Examination:
* Verify that the roof deck is structurally sound, clean, dry, and in-plane. Limit in-
plane variance to no more than 1/4 inch in any 10-foot span.
* Do not proceed with installation until all deficient substructure conditions are
corrected.
3.02 Underlayment Installation:
* Install self-adhering underlayment over the entire roof deck, shingle fashion.
Ensure end laps are a minimum of 6 inches, and side laps are a minimum of 3
inches.
* Install slip sheet over the underlayment prior to laying metal panels.
3.03 Panel Installation:
* Install metal roof panels plumb, level, and true to lines. Provide continuous panel
lengths from eave to ridge wherever possible to eliminate horizontal lap joints.
* Fasten panels to the roof deck using concealed clips and screws per the
manufacturer's spacing requirements.
* Seam snap-lock panels in strict accordance with the manufacturer's written
instructions.
3.04 Flashing and Trim:
* Install all valley, eave, rake, and ridge flashings as detailed by SMACNA and the
roof panel manufacturer.

* Provide for thermal movement of flashing; space movement joints a maximum of
10 feet on center with no joints within 24 inches of a corner. [1, 2]
3.05 Cleanup and Protection:
* Remove temporary protective films and strippable coatings as panels are installed.
* Clean finished surfaces removing all metal shavings, debris, and oil. Repair or
replace any scratched, dented, or damaged panels prior to final acceptance
Part 4: Warranty Requirements
* Finish Warranty: 20-Year manufacturer warranty covering fade, chalk, and film
integrity of the Kynar/PVDF paint.
* Workmanship Warranty: 2-Year minimum contractor warranty on installation and
flashing integrity, effective upon date of substantial completion.
