Request for Proposal: GLENDALE UNIFIED SCHOOL DISTRICT
SECURITY GUARD SERVICES DISTRICTWIDE
RFP 015-25/26
This addendum forms part of the contract documents and may modify the original bidding
documents. Any revision, clarifications, deletions and/or additions shall be made to the bid
documents for RFP 015-25/26. It is mandatory to acknowledge receipt of this addendum by
inserting its number in the location provided on the Bid Form Schedule page 8 of the original bid
package.
RESPONSE TO REQUESTS FOR CLARIFICATION/QUESTIONS:
1.​ Question: INFORMATION FOR BIDDERS Section 25 provides, “Services Needed The
District has five (5) high schools and four (4) middle schools, one (1) education center, and
various sites." Additionally, Section 26 provides, “Services Needed The District twenty-one
(21) school sites and various sites” Page 25 – 26, Section A. Representative Assignment
Locations, lists 21 elementary schools. Please advise if this scope of work is exclusively for
the 21 elementary schools.
Response: Section 25 - Services needed at five (5) high Schools and four (4) middle
schools, twenty-one (21) elementary Schools, and one (1) education center. Section 26 -
thirty (30) School Sites, one (1) education center, and various sites as needed.
In addition to the Elementary Schools identified in the original RFP, the following four (4)
Middle Schools, five (5) High Schools, and one (1) Education Center shall also require
security services under this contract:

Rosemont Middle School
Eleanor J. Toll Middle School
Woodrow Wilson Middle School
High Schools
Anderson W. Clark Magnet High School
Crescenta Valley High School
Glendale High School
Herbert Hoover High School
Allan F. Daily High School
Education Center
Pacific Avenue Preschool Programs
2.​ Question: Regarding Section 13 of the sample contract, can the Agreement be revised to
give the Contractor the reciprocal right to terminate the Contract for convenience subject to
90 calendar days’ prior written notice to the District?
Response: Proposal should be submitted based on RFP bid document. At the District’s
discretion, this request may be discussed with the awarded bidder.
3.​ Question: Our company stands by our security services and regularly accepts the obligation
to indemnify clients for the comparative portion of any losses, costs or damages that are
caused by the negligent acts or omissions of our personnel in the performance of security
services under client agreements. Will the District revise the indemnification provision to
limit coverage of indemnified claims to the proportionate extent of the Contractor’s
negligence?
Response: Please refer to Section 9 of General Contract. Vendor agrees to defend, indemnify
and hold harmless the District, its Governing Board, employees and agents from any and all
liability or loss arising in any way out of Vendor's performance of this agreement,
including but not limited to any claim due to injury and/or damage sustained by Vendor,
and/or Vendor's employees or agents. The contract terms will remain as written in the RFP.
4.​ Question: Our company stands behind our security services, however, the pricing presented
does not take into account infinite liability. Is the District willing to add a replace Article 6
mutual a limitation on liability such as the following? “NOTWITHSTANDING ANY
OTHER PROVISION OF THIS AGREEMENT, AND TO THE FULLEST EXTENT
PERMITTED BY LAW NEITHER PARTY SHALL BE LIABLE TO EACH OTHER FOR
ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL
DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS OR REVENUE,
LOSS OF USE, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, GOODS OR
SERVICES, COST OF CAPITAL, GOVERNMENTAL AND REGULATORY
SANCTIONS, AND CLAIMS OF CUSTOMERS FOR SUCH DAMAGES. THE TOTAL
CUMULATIVE LIABILITY OF EITHER PARTY FOR ALL CLAIMS, LOSSES,
DAMAGES, AND EXPENSES RESULTING IN ANY WAY FROM THE
PERFORMANCE OF THIS AGREEMENT, SHALL NOT BE GREATER THAN THE
COMPENSATION RECEIVED UNDER THIS AGREEMENT.”
Response: All bidders are expected to price their services based on the terms and conditions
provided in the original RFP. Please ensure your proposal reflects the ability to meet the
insurance and indemnification requirements as stated.
