MOBILE COUNTY INSPECTION SERVICES
PROJECT LOCATION: MOBILE COUNTY INSPECTION SERVICES

MOBILE, AL 36608
BID NUMBER: BID N0. 88-26
TERM OF AGREEMENT:
1. Term of this Agteement shan commence on the date of written Notice to Proceed, issued by
the County and ending on Septembei' 30, 2029.
COMPENSATION:
1. Monthly Fee: The Seiv'ce Conttactoi: agtees to charge, and the County agtees to pay the
monthly fee as determined by tlie agteed amount pi:icing as pi:esent on the Bid Form foi: the
term of the contract, for the tequited i'nonthly janitoi:ial services. Service Contractor shan bill
monthly for serv'ces i:endei:ed the preceding month. All invoices submitted shall consist of an
original and shall clearly teference the Bid Number and a sufficient desctiption to identify
services foi: wl'fflch payment is reqr'iested.
2. Undet Construction: When a toom(s) oi: area(s) is under consttuction, being remodeled, ot
otherwise taken out of seiice, for more than Thirty (30) continuous calendar days, Seivice
Contractor shall be i:elieved of an oi: pai:t of the conti:act obligations for the area designated.
As the Service Conttactor will not be perfori'ning in sersrice in those ateas, the monthly
payments will be teduced by the actual numbet of squate footage that is taken out of service.
3. Pi:esent Billing Rates: Any work not covei:ed by the Scope of Work of the contract shall be
billed at the Seiv'ce Contractor's Additional Rates as described in the Bid Form, an additional
ser'vices will be invoiced separately fi:om the monthly invoice.
4. Special and Emei:gency Event Services: At the tequest of the Mobile County Commission's
Sei'vice Contract Adininisttator, Special Event Ser'vices and Emergency Event Sei'vices will be
iiwoiced pet the Additional Rates as described in the attached Bid Form. All Invoices for
special and emergency services shall include the fonowing attachments: Synopsis of hours
worked, list of employees' names (last names only), Name and Date(s) of event, Location, and
attach email authorization. No daii'n foi: Wotk furnished by the Seivice Conttactot not
specifically provided foi: herein shall be paid by Mobile County Commission.

Responses to questions may be handled as an addendum if the tesponse provides clatification to
the tequirements of the bid. All such addenda shall become part of the conttact documents.
FAMILIARITY WITH THE WORK
1. The Service Contractor, by submitting a bid, acknowledges full understanding of the extent and
character of the woi:k requii:ed and the conditions sutrounding the perfoimance thereof. The
County will not be tesponsible fot any inisundei:standing of the wotk to be furnished or
completed, oi: any of the conditions surtounding the pei:fottnance thereof. It is undei:stood that
execution of the Agteement by the Service Conttactoi: serves as the stated cornmitment
to fulfill all tequirements and conditions refei:red to in this Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. An prospective bidders shall have a representative present at a MANDATORY Pte-bid
Conference that will be held on Tuesday, June 23, 2026 ,at IO:OOam ,Local Time, on site
at Mobile County Inspection Sei'vices, 1110 Schillinger Road Notth, Mobile, AL 36608. Any
Service Contractors not having a representative at tl'ffs meeting will be disqualified from
bidding on tbis project.
INSURANCE REOUIREMENTS
1. Sersrice Conti:actot, at its sole expense, shall obtain and maintain in fun fotce the following
insurance to protect the Service Conuactor and the Mobile County Commission (MCC) at
Ilimits and coverages specified herein. The limits and covetages specified are the minitnum to
be maintained and are not intended to reptesent the correct insurance needed to protect the
Sei:vice Contractor funy and adequately. If .tequested by MCC, Sei'vice Contractor will provide
copies of policies within 10 days of request.
2. All insurance shall be ptovided by insurers licensed to conduct business in the State of
Alabama and shan have a i'ninii'num A.M. Best rating of A- VII and must be acceptable to
MCC. Self-insured plans and/oi: gi:oup funds not having an A.M. Best rating must be
submitted to MCC for prioi: apptoval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Comi'netcial General Liability policy shan name MCC as Additional Insuted for
claims atising out of the Sei.'vice Conttactors and/or any Subconttactots' work. The
ISO Foi:ms CG 20 07 04 and CG 20 37007 04 oi: a comparable form that is no mote
restrictive shall be required. The additional Insured form MUST include the ciu:rent
Operations and Products/Completed Operations of each contractor. The narning of
the additional insui:ed does not obligate the additional insuted to pay any pterniums
due.
Aggi:egate liinits to be on a "per project" basis.
c. Automobile Liability
Covei:ing all Owned, Non-Owned, and Hited vehicles with a Combined single li+nit
(bodily injur7 and propei:ty damage combined) of $1,000,000 fot each accident. The
policy shall name MCC as Additional Insui:ed.
d. Certificate of Insutance
A Certificate of Insurance evidencing the above rninii'num tequitements must be
provided to and accepted by MCC, PRIOR to cornrnencement of any work on the
contract. Each policy shall be endotsed to provide Thirty (30) days priot written notice
of cancellation to the MCC. A sample Certificate of Insurance is attached, see
Exhibit C.
CANCELLATION PROCEDURE
1. The Service Conti:actot shall be notified in writing of any problems pertaining to the
performance of the janitotial set-vices. This notification will be wtitten by the County's
Service Contract Adtninistrator as specified in the Agteement. A fonow-up lettei: will come
&om the Dii:ectoi: of Facilities and Maintenance. If no satisfactoi7 coi:i:ections ai:e made by
the Seivice Contractor within Ten (10) working days, Mobile County Commission may, at its
discretion, cancel the Agreement immediately. If terminated, the Serice Conttactor will be
removed fi:om the bid list. Cancellation procedures will be strictly enforced.
2 . The Sei'vice Contractor and/or the County may cancel the conttact by giving written notice
of such, no less than Thirty (30) calendar days, notice of intent to cancel the contract. If the
Seiice Conttactot initiates the cancelation, the Service Conti:actot must also forfeit Fifty
Percent (50'!/o) of the charge fot janitorial sei.'vice for their last complete month of service. In
the event of cancellation by either pai:ty, proration of the custodial chatge will be based on a
Thitty (30) day month.
MISCELLANEOUS PROVISIONS
1. Indemnify: To the fullest extent permitted by law, the Seiv'ce Contractor shal lindemni$
and hold harinless the County, and its agents and employees from and against all claims,
damages, losses, and expenses, including, but not limited to, attorneys' fees ai:ising out of
or tesulting from the petformance of the Work.
2. Subcontractoi:s: The Service Conttactor shan not employ Subcontractors without the
express written permission of the County.
3. Uniforms: Service Conttactot's employees are required to wear a unifoi:m or some type
garment that will identify employees working for the company while on the premises.
4. Conduct: The Sei'vice Contractor shall require employees to comply with any and all
insti:uctions pettaining to conduct and building regulations issued by Service Conttact
Administratot and Court Police Officers, if applicable. The Service Conttactoi: shall
ptohibit theit employees from the following: disturbing papers on desks; opening desk
drawers; opening file drawei:s or on any fui:niture; using telephones oi: office equipment;
stealing/taking County pi:operty or petsonal property; using illegal dtugs, alcohol, ot
othet prohibited substances; being under the influence of illegal di:ugs or alcohol while on
County pi:opei:ty; cari7ing or using guns, knives, or other dangerous weapons a;nd/or
unplugging computers or otliei: equipment. Due to the seciii:it-5 rnature of Mobile County
Inspection Seivices, Service Conttactor's employees shall be issued County issued
identification security cards, if applicable. The County shall resei've the right to have any
Serv'ce Contractor's petsonnel removed, telocated, and/or batted from access to Mobile
County Inspection Sei'vices at any time. Service Contractor shall teplace the employee
immediately upon notification by the Sei'vice Conuact Administi:atot. The Set'vice
Contracto.t's personnel shall immediately return the County issued identification secui:ity
card, if applicable.
5. Criminal Record Check: Seivice Conttactor shall obtain ci:iminal backgtound checks, at its
expense, on all personnel at the statt of this conttact or upon employment. The criminal
background check is to include federal, state, and local including any location that the
employee has resided witbin the past Five (5) yeai:s. Ten (10) days ptioi: to the start of
wotk, Setvice Contractor shall provide Service Conttact Administratoi: with
documentation illustrating background checks have been successfully completed. No
employee will be allowed to wotk at Mobile County Inspection Ser'vices that has a criminal
record/histoi.7 for the past Five (5) yeai:s, if applicable.
6. Qualifications of Employees: A fully qualified, and ttained foi: theit specific duties,
workfoi:ce shall be on board by the end of the first Thii:ty (30) days of the conttact, and
shall be maintained throughout the pei:iod of the contract.
7. An employees assigned by the Service Conti:actoi: to perform the work under this contract
shall be physically able to do their assigned woi:k and shall be in good health. It shall be
the Service Contractor's responsibility to ensure that all employees meet the physical
standards needed to perfoi:m the work assigned. All personnel employed by the Service
Conttactoi: shall be trained and experienced, qualified in this type of work, funy aware of
their responsibilities and duties.
8. Supervision of Employees: Seivice Conttactoi: shall at all times provide adequate on-site
supeiision (ininimum of One (1) supei'visoi:/lead custodian pet shift) of employees to
ensure complete and satisfactory performance of all work in accotdance with the
Agteement. The Seiice Conttactor's site supei'visor shall be available on-site at all times
when the work is being petfotmed. The Seivice Contractor's supervisors shall be fully and
adequately trained, with a ininimum of Two (2) yeats of expetience in cleaning supei-vision,
sufficient ii'i scope to meet the approval of the Seiv'ce Contract Administtatot.
9. Contractoi: Qualifications: Seivice Conti:actor must liave been in business at least Five (5)
consecutive years. Service Conti:actoi: shall provide references to recent janitotial seiv'ce
expetienc ein mult'-stor7 buildings equivalen tto approxiinately 9,600 sq .ft. Failure to
provide evidence of at least Five (5) consecutive yeats in business oi: teferences will be cause
to reject bid.
