TERM OF AGREEMENT:
1. Term of this Agreement shan cornrnence on the date of written Notice to Proceed, issued by
the County and ending on September 30, 2029.
COMPENSATION:
1. Monthly Fee: The Sei'vice Conttactot agrees to charge, and the County agrees to pay the
monthly fee as detertnined by the agreed amount pricing as ptesent on the Bid Fotm for the
term of the contract, fot the required monthly janitotial sei'vices. Setvice Conti:actor shan bill
monthly fot sei'vices i:endei:ed the preceding month. All iiivoices submitted shan consist of an
otiginal and clearly i:eference the Bid Nuinber and a sufficient description to identify seiices
for which payment is requested.
2. Under Construction: When a room(s) or ai:ea(s) is under consti-uction, being remodeled, or
otherwise taken out of set-vice, fot more than Thirt-5r (30 )continuous calenda i:days ,Service
Conttactot shall be i:elieved of all oi: patt of the conti:act obligations for the ai:ea designated.
As the Sei'vice Contractor will not be pei:foi:ining full service in those ateas, the monthly
payments will be teduced by the actual numbet of square footage that is taken out of service.
3. Pi:esent Billing Rates: Any work not covered by the Scope of Wotk of the contract shan be
billed at the Ser'vice Conti:actot's Additional Rates as described in the Bid Form, all additional
serices will be invoiced separately from the monthly invoice.
4. Special and Emergency Event Services: At the i:equest of the Mobile County Cornrnission's
Seivice Conti'act Administratoi:, Special Event Seiices and Emergency Event Sei'vices will be
invoiced per the Additional Rates as described in the attached Bid Form. All Invoices for
special and emergency seiv'ces shan include the following attachments: Synopsis of hours
worked, list of employees' names (last names only), Name and Date(s) of event, Location, and
attach email authoi:ization. No claim foi: Woi:k futnished by the Service Contractor not
specifically provided for hei:ein shan be paid by Mobile County Corni'nission.
INOUIRIES:

Responses to questions may be handled as an addendum if the response ptovides clatification to
the tequitements of the bid. All such addenda shall become part of the contract docui'nents.

FAMILIARITY WITH THE WORK
1. The Seiice Contractoi:, by submitting a bid, acknowledges full understanding of the extent and
charactei' of the work required and the conditions surrounding the pei:foimance thereof. The
County will not be tesponsible foi' any misunderstanding of the woi:k to be ffii:nished ot
completed, ot any of the conditions surtounding the petfori'nance tbereof. It is understood that
execution of the Agteement by the Seivice Conttactor sei'ves as the stated comtnitment
to fulfill all requirements and conditions referred to in this Agreement.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. All ptospective biddets shan havea representative present ata MANDATORY Pre-bid
Conference that will be held on Tuesday, June 23, 2026, at I:OOpm ,Local Time, on site at
the Mobile County License Coinmission and Mobile County Revenue Commission location at
the Citronelle Municipal Complex, 19135 S Main Stteet #2406, Citronelle, AL 36522. Any
Sei'vice Conttactoi:s not having a representative at t's meeting will be disqualified from
bidding on this project.
INSURANCE REoUIREMENTS
1. Setvice Conttactot, at its sole expense, shall obtain and maintain in full force the following
insurance to protect the Service Conttactor and tlie Mobile County Commission (MCC) at
liinits and coverages specified herein. These limits and covei:ages specified are the minimum to
be maintained and are not intended to reptesent the cottect insutance needed to p.totect the
Sei:vice Contractor fully and adequately. If tequested by MCC, Ser'vice Contractor will ptovide
copies of policies within 10 days of request.
2. All insurance shall be ptovided by insurers licensed to conduct business in the State of
Alabama and shall have a ininii'num A.M. Best rating of A- VII and must be acceptable to
MCC. Self-insured plans and/or group funds not having an A.M. Best i:ating must be
subinitted to MCC foi: pi:ioi: approval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Corni'nercial Genei:al Liability policy shall name MCC as Additional Insured for
claii'ns arising out of the Service Conttactors and/or any Subconttactors' work. The
ISO Fotms CG 20 07 04 and CG 20 37007 04 or a compai:able form that is no more
restrictive shall be tequii:ed. The additional Ins'iu:ed form MUST include the curtent
Operations and Ptoducts/Completed Opei:at'ons of each contractoi:. The naming of
the additional insui:ed does not obligate the additional insured to pay any preiniums
due.
Aggregate liinits to be on a "pet ptoject" basis.
c. Automobile Liability
Coveting all Owned, Non-Owned, and Hii:ed vehicles with a Combined single limit
(bodily injui'y and ptopetty damage combined) of $1,000,000 for each accident. The
policy shan name MCC as Additional Insuted.
d. Certificate of Insutance
A Certificate of Insurance evidencing the above um tequirements must be
ptovided to and accepted by MCC, PRIOR to cominencement of any work on the
conttact. Each policy shall be endotsed to provide Thirt-5 r(30 )days prior written notice
of cancellation to the MCC. A sample Certificate of Insutance is attached, see
Exhibit C.
CANCELLATION PROCEDURE
1. The Service Conttactot shall be notified in writing of any pi:oblems pettaining to the
pe.tfotmance of the janitotial services. This notification will be written by the County's
Sei'vice Contract Administtatoi: as specified in the Agreement. A follow-up letter will come
from the Dii:ector of Facilities and Maintenance. If no satisfactory corrections ate made by
the Service Conuactor within Ten (10) working days, Mobile County Commission may, at its
discretion, cancel the Agreement imi'nediately. If terminated, the Sei'vice Conttactot will be
removed from the bid list. Cancellat'on procedui:es will be strictly enforced.
2. The Sersrice Conttactot and/ot the County may cancel the contract by giving written notice
of such, no less than Thirty (30) calendat days, notice of intent to cancel the conttact. If the
Service Contractor initiates the cancelation, the Service Conttacto.t must also forfeit Fift5r
Percent (50'/o) of the chatge for janitorial set-vice for theii: last complete month of seiice. In
the event of cancenation by eithei: party, pi:otation of the custodial charge will be based on a
Thirty (30) day month.

MISCELLANEOUS PROVISIONS
1. Indeinnify: To the fullest extent permitted by law, the Service Conttactot shall indemnify
and hold hatinless the County, and its agents and employees from and against all claii'ns,
damages, losses, and expenses, including, but not limited to, attotneys' fees arising out of
or tesulting ftom the pei:fotmance of the Woi:k.
2. Subcontractoi:s: The Service Conti:actoi: sliall not employ Subcontractots without the
express wtitten petmission of the County.
3. Unifotms: Ser'vice Contractoi"s employees ate tequii:ed to wear a unifotm or some type of
garment that will identify employees working fot the company while on the preinises.
4. Conduct: The Service Contractoi: shall require employees to comply with all instructions
pertaining to conduct and building regulations issued by Service Conti'act Administtatot
and Court Police Officets, if applicable. The Service Contractor shall prohibit theit
employees from the following: distutbing papers on desks; opening desk di:awers; opening
file di:awets oi: on any furniture; using telephones ot office equipment; stealing/taking
County property or personal property; using illegal *ugs, alcohol, or other prohibited
substances; being under the influence of illegal drugs or alcohol while on County
propetty; catryying ot using guns, knives, oi: other dangerous weapons; and/or unplugging
computers or other equipment. Due to the security natute of the Mobile County License
Cotnrnission and Mobile County Revenue Coinrnission at the Cittonelle Municipal Complex,
Service Contractor's employees shall be issued County issued identification securit5r cards ,if
applicable. The County shall reserve the right to have any Service Conttactot's personnel
temoved, relocated, and/or barted f'tom access to the Mobile County License Commission
and Mobile County Revenue Commission at the Citronelle Municipal Complex at any time.
Service Contractor shall teplace the employee immediately upon notification by the Seivice
Contract Adrr'misttatot. The Service Contractor's personnel shall immediately retui:n the
County issued identification secutity card, if applicable.
5. Criininal Recoi:d Check: Service Conttactor shan obtain criminal backgtound checks, at its
expense, on an personnel at the start of this contract or upon employment. The criminal
backgi'ound check is to include fedei:al, state, and local including any location that the
employee has i:esided within the past Five (5) years. Ten (10) days priot to the statt of
wotk, Sersrice Contractor shall provide Seiice Conttact Adr'ninisttator with
documentation illusttating backgi:ound checks have been successfully completed. No
employee will be allowed to work at the Mobile County License Commission and Mobile
County Revenue Commission at the Citronelle Municipal Complex that has a criminal
record/histoi7 for the past Five (5) years ,if applicable.
6. Qualifications of Employees: A ffilly qualified, and ti:ained for their specific dut'es,
wotkfotce shall be on board by the end of the fitst Tl'ffity (30) days of the conttact and
shall be maintained throughout the peiiod of the contract.
7. All employees assigned by the Service Contractoi: to petfoi:m the wotk under this conti:act
shall be physically able to do their assigned work and shall be in good health. It shall be
the Service Contractor's tesponsibility to ensute that all employees meet the physical
standards needed to perform the vvotk assigned. All personnel employed by the Service
Conttactot shall be trained and experienced, qualified in this type of wotk, fully awate of
their responsibilities and duties.

8. Supervision of Employees: Set-vice Contractor shall at all times p.tovide adequate on-site
super'vision (ininimum of One (1 )supervisor/lead custodian per shift) of employee sto
ensure complete and sat'sfactoi7 performance of all woi:k in accordance with the
Agreement. The Ser'vice Contractor's site supervisot shall be available on-site at an times
when the work is being perfotmed. The Serice Conttactor's supeiv'sots shall be y and
adequately trained, with a minimum of Two (2) years of expetience in cleaning supervision,
sufficient in scope to meet the approval of the Seivice Contract Adtninisttatot.
9. Contractor Qualifications: Service Conti:actoi: must have been in business at least Five (5)
consecutive years. Ser'vice Conti:actor shall provide references to recent janitoiial service
experience in multi-stoi7 buildings equivalent to approximately 2,747 sq .ft. Failure to
provide eiridence of at least Five (5) consecutive years in business or references will be cause
to reject bid.
10 . The Revenue Commissionet's Office area will be closed from April to October evet7 year.
