SECTION I Overview
Background
The Raleigh-Durham Airport Authority ("Authority") owns and operates the Raleigh-
Durham International Airport ("Airport" or "RDU"). The Raleigh-Durham Airport Authority
is a municipal corporation created by the General Assembly of North Carolina. There are
two air carrier passenger terminals at RDU, Terminals 1 and 2.
In 2025, more than 15.5 million passengers traveled through RDU. That translates to
about 42,000 travelers every day connecting to the people and places that matter most;
for business, vacation or both. With twenty airlines and 86 nonstop destinations, the
Airport is proud to connect central and eastern North Carolina to the world. Each day,
more than 400 daily flights head to destinations across the U.S. and international cities
such as London, Paris, Mexico City and Vancouver. Because we offer such a diverse
portfolio of airlines operating from the Airport, RDU offers the lowest average fare of any
major North Carolina airport (with multiple air carriers).
RDU is classified as a medium-size hub airport. In fiscal year 2024-25, the top three
carriers by market share included Delta, Southwest and American, comprising about 73
percent of total passengers at the Airport. During that same time, 97 percent of travelers
boarded domestic flights, while 3 percent headed to international destinations.
Terminal 1 is the easternly most passenger terminal. It consists of approximately 153,025
square feet of space and provides nine aircraft gates. Southwest Airlines, Breeze and
other low cost or non-legacy carriers operate from Terminal 1. Approximately 1.243
million passengers enplaned in Terminal 1 in 2024, representing 19 percent of the total
enplaned passengers at the Airport.
Terminal 2 is the westerly most passenger terminal. It consists of approximately 920,000
square feet of space and has 32 aircraft gates. The dominant airlines operating from
Terminal 2 are American, Delta, and United. Approximately 5.174 million passengers
enplaned in Terminal 2 in 2024, representing 81 percent of the total enplaned passengers
at the Airport.
Figure 1 shows the locations of each Terminal.

The Authority is seeking Proposals from experienced Proposers of centralized receiving
and distribution centers (CRDC Proposer) operating at airports who desire to design,
construct, operate, and manage an onsite CRDC facility to receive goods, materials,
merchandise and supplies from multiple vendors and to transport concessions, airlines,
and RDU products and materials to Terminal 1 and Terminal 2. This facility is located on
airport and will house two tenants; existing contracted inflight caterer and the CRDC
operation. The facility may require building modifications which the CRDC Proposer will
be responsible to fund and construct. A short term and long-term operation should be
considered as the opportunity with the expectation to begin CRDC operations upon award
and approval of the CRDC Logistics Services Agreement (Agreement).
The final design must comply with all of the regulatory requirements of the local authorities
having jurisdiction, to meet applicable building codes. A general building assessment will
be performed by the Authority. Pertinent information will be shared with Proposers in the
form of an Addendum. The following information will require additional field
investigation/documentation of the existing conditions by the Proposer's design team
including: building envelope, building HVAC, roof, plumbing, overhead roll-up doors,
loading dock, electrical/lighting, fire alarm, sprinkler system and restrooms.
It is the goal of the Authority to select the Proposer that best meets the requirements of
this Request for Proposal (hereinafter referred to as "RFP") to provide quality service to
the tenants operating at the Airport during the Term of the
Agreement to be awarded.

The following definitions apply to this RFP
A. Addendum - Written or graphic instrument issued prior to Proposal opening, which
clarifies, corrects or changes the RFP or the CRDC logistics services agreement
documents.
B. Airport Concessions Disadvantaged Business Enterprise ("ACDBE") - A concession
Proposer that has been certified by the Authority as an airport concession
disadvantaged business enterprise as defined in 49 CFR Part 23.
C. Authority - The Raleigh-Durham Airport Authority, a municipal corporation, created by
the General Assembly of North Carolina, and existing under and by virtue of Chapter
168 of the Public-Local Laws of 1939, as amended. The Authority enters into
agreements for services to be provided at the Airport.
D. Centralized Receiving and Distribution (CRDC) Logistics Services Agreement
("Agreement") - Refers to the document set forth in Appendix 1, which serves as the
basis for the final agreement between the Selected Proposer and the Authority, and
which governs the leasing of premises located at the Airport and the required services
to be provided by the Proposer. Proposer shall meet the requirements set forth in
Agreement. Portions of the Agreement shall incorporate language and provision
directly from the Selected Proposer's Proposal.
E. Concessions Program - an Authority approved plan to allow businesses to operate at
the Airport that engage in the sale of consumer goods and/or services to the public
under an agreement with the Authority.
F. Proposer Deadline - The deadline to submit proposals is March 9, 2026 at 3:00 p.m.
ET.
G. Proposer Notice of Award - The written notice by the Authority to the Selected
Proposer stating that, upon compliance with the conditions stated therein, the
Proposer shall be offered the right to operate the CRDC.
H. Notice of Commencement - A written notice by the Authority to the CRDC Proposer
establishing the date on which the Term of the Agreement will commence and CRDC
Proposer shall start to perform its obligations under the Agreement.
I. Percentage Rent -The percentage of Proposer's monthly gross receipts Proposer
agrees to pay under the Agreement.
J. Pre-Proposal Conference - An online or in person meeting that will be held February
13, at 8:30 am E.T. for the purpose of presenting the solicitation and receiving
Proposer's questions. The Pre-Proposal Conference will be immediately followed by
an optional tour of the location at 10:00 a.m.
K. Proposal - The documents submitted by each Proposer pursuant to the terms of this
RFP.

L. Proposal Expiration Date - Proposals must remain in effect until the Agreement is
executed with the Selected Proposer or one hundred eighty (180) days after the
Deadline for Proposal submission, whichever comes first.
M. Proposer - The individual, company, or joint venture submitting a response to this RFP
that incorporates all the elements of a valid Proposal for the opportunity to operate the
CRDC at RDU.
N. Raleigh-Durham International Airport ("Airport" or "RDU") The medium hub,
commercial airport located in Wake County, North Carolina serving central and
eastern North Carolina, northern South Carolina and southern Virginia.
O. Selected Proposer - The individual or company that provided the Proposal determined
by the evaluation process to best fulfill the Authority's goals and objectives.
P. Term - The Agreement will have an initial term of eight (8) years. Authority may at its
sole option extend the Term of the Agreement thereafter for one additional period of
two years. The effective date of the Agreement shall be negotiated between the
Authority and the Selected Proposer and is expected to be June 2026. The term may
be negotiated by the Authority and Selected Proposer pending reasonableness of the
business proposal.
Q. Terminal 1 - The easterly of two air carrier passenger terminals located at RDU.
R. Terminal 2 - The westerly of two air carrier passenger terminals located at RDU.
SECTION II GENERAL RFP INFORMATION
A. Proposer Minimum Qualifications
To qualify for award of the CRDC, Proposers must demonstrate a minimum of five (5)
years of successful, continuous, and recent experience in the operation of a CRDC facility
at a minimum of two (2) airports within the last eight (8) years. Such prior experience
must be with operations of similar complexity generating a sales volume of similar size to
the CRDC at RDU.
B. Exhibits
The exhibits listed below are furnished for information purposes only and shall not be
construed as a guarantee of business to be generated. Data provided to Proposers
shall in no way relieve a Selected Proposer from the responsibility of determining for
itself the business potential of the CRDC Opportunity.

1. Exhibit A provides a space layout for the Flight Kitchen which will serve as the
CRDC. In addition, maps including support space, concourse layouts and airport
lounges are provided.

D. Proposal Guarantee
A Proposal Guarantee of $10,000 shall be required for all Proposals and shall be a
guarantee that the Proposal will not be withdrawn prior to the Proposal expiration date,
except as provided herein, and that, if the Proposer is selected, Proposer shall within
fifteen (15) days of written notice of such selection:
1. Execute and deliver to the Authority the Agreement in substantially the form
included herein subject only to minor changes agreed to by the Authority and the
Selected Proposer, and
2. Provide the proof of insurance required under the Agreement.
The Selected Proposer shall comply with the insurance and indemnification requirements
specified in the Agreement (Sample CRDC Logistics Services Agreement document --
Appendix 1) and submit evidence of insurance at the time the executed CRDC Logistics
Services Agreement is delivered to the Authority. In the event Proposer fails to meet
these requirements, Proposer shall forfeit its Proposal Guarantee, unless the Proposer
and the Authority agree otherwise.

The Proposal Guarantee will be returned without interest to the unsuccessful Proposers
immediately following execution of a CRDC Logistics Services Agreement by the
Authority and the Selected Proposer. The Proposal Guarantee of the Selected Proposer
shall not be released until after the Agreement has been fully executed and the CRDC
Logistics Services Agreement payment security has been received by the Authority.
E. ACDBE Participation
Proposer shall take all necessary and reasonable steps to comply with the requirements
of the Raleigh-Durham Airport Authority Airport Concessions Disadvantaged Business
Enterprise ("ACDBE") Plan and US Department of Transportation regulations 49 CFR
Parts 23 and 26 (www.tinyurl.com/acdberules). Agreements between a Proposer and an
ACDBE or non-ACDBE firm in which the ACDBE or non-ACDBE firm promises NOT to
provide Proposals to other Proposers are prohibited.
The ACDBE Goal for this solicitation is Zero Percent (0%).
ACDBE participation may be achieved through the purchase of goods and services, joint
ventures, partnerships, or other legal arrangements meeting the eligibility standards in 49
CFR Parts 23 and 26. In the event that the Proposer qualifies as an ACDBE, the goal
shall be deemed met. Each ACDBE included in the Proposal must be certified as an
ACDBE firm by the Authority and must be identified by name, address, ACDBE category,
type of work, and dollar amount of proposed participation. All certification applications
must be submitted prior to the submittal of the Proposal. ACDBE firms must be certified
by the Authority at the time of contract award. If a Proposer will be unable to achieve the
ACDBE goal stated herein, the Proposer will be required to provide documentation in its
Proposal demonstrating that all necessary and reasonable steps (good faith effort) were
taken in attempting to do so. The requirements of this paragraph are not intended to force
the Proposer to change its business structure. A Proposal that fails to adequately address
the foregoing requirements will be considered non-responsive and will be rejected.
SECTION III PRE-PROPOSAL CONFERENCE
A. Pre-Proposal Conference & Tour
The Authority has scheduled a Pre-Proposal Conference on February 13, 2026 at 8:30
am ET. The Pre-Proposal Conference must be attended in person. The purpose of this
conference will be to discuss the requirements and objectives of this RFP and answer
questions. Proposers planning to participate in the Pre-Proposal Conference must
complete and return the Pre-Proposal Conference Notice and Tour Form, Appendix 2
of this RFP, by February 6, 2026.
An optional tour of the proposed CRDC facility will take place on February 13, 2026
immediately following the Pre-Proposal Conference at approximately 10 am ET. The tour

is limited to three (3) persons per Proposer. Tours must be requested in advance using
the Pre-Proposal Conference Notice and Tour Form in Appendix 2 of this RFP.
B. Questions
The Authority encourages all potential Proposers to review the RFP prior to the Pre-
Proposal Conference. Proposers that have questions concerning the RFP and/or
Agreement may submit these questions electronically no later than February 17, 2026 at
3:00 p.m. local time. During the Pre-Proposal Conference, the Authority shall attempt to
answer all questions received prior to and during the conference. A written summary of
the questions and answers, as well as a list of attendees, shall be posted as an addendum
to the RFP on the Authority's website. Responses to questions are not official until they
are confirmed in the written addendum.
C. Changes to the RFP
Any changes in the requirements of this RFP or any of the attachments or exhibits thereto
shall be made by addendum to the RFP. Questions will be answered in writing in an
addendum. All addenda will be posted on the Authority's website. Proposers shall not
rely upon any oral instructions given by the Authority. If there is a conflict between oral
statements or responses made by the Authority and written statements or responses, the
written statements or responses shall control. All addenda must be acknowledged by the
Proposer in its Proposal.
SECTION IV INSTRUCTIONS TO PROPOSERS
It is essential that the information and requirements of this RFP be carefully studied and
adhered to in the preparation and submission of Proposals. All Proposers must submit
written Proposals in accordance with the instructions contained in this RFP. Failure to
comply with the instructions of the RFP may be cause for rejection of Proposer's Proposal.
Substantial deviations from the requirements of this RFP, including material alterations to
the CRDC Logistics Services Agreement; and/or performance requirements of the RFP,
shall not be accepted.
A. Number of Proposals
One original and (1) bound copy of the Proposal (for a total of 2 complete sets) along with
one (1) electronic copy of the entire Proposal in portable document (.pdf) format via USB
thumb drive and one electronic copy of the required Pro Forma in Excel format must be
prepared and submitted in the manner and detail specified in this RFP, signed by an
authorized official of Proposer, enclosed in a sealed envelope or package, and mailed or
hand delivered so as to be received no later than March 9, 2026 at 3:00 p.m. local time
at the address shown below.
The original must be designated as such and must contain all original Proposal forms and
the required Proposal Guarantee. Proposals or modifications received after the above
