PART 1 - GENERAL INFORMATION
1.1 New Britain Housing Authority
The New Britain Housing Authority ("NBHA" or the "Authority") was established in 1941 and operates as a public
housing agency under the U.S. Housing Act of 1937, as amended. NBHA provides affordable housing
opportunities to low- and moderate-income households within the City of New Britain, Connecticut. NBHA owns
and manages a diverse housing portfolio that includes public housing, Housing Choice Voucher programs, and
mixed-finance developments.
NBHA is engaged in ongoing and future development, redevelopment, preservation, recapitalization,
modernization, acquisition, rehabilitation, RAD, Section 18, mixed-finance, tax-credit, and other affordable
housing initiatives. The Authority may issue bonds and other obligations, as permitted by applicable law, to
support affordable and mixed-income housing development, capital improvements, preservation, and long-term
financial sustainability.
NBHA seeks to retain a qualified Bond Financial Advisor to support the Authority on an agency-wide basis for
existing and future financing activities. The engagement is not limited to the Mount Pleasant Redevelopment or
any single phase, development, financing, or bond issue.
1.2 Solicitation Purpose
NBHA seeks proposals from qualified firms to provide Bond Financial Advisory Services to the Authority on an
agency-wide basis. The Board of Commissioners may select one or more firms to provide services for all bond
and related financing matters, or may establish a pool of qualified firms eligible for assignments on a
transaction-by-transaction basis.
The selected firm(s) may be called upon to assist NBHA with financings undertaken for NBHA-owned projects,
affiliate or instrumentality projects, mixed-finance developments, third-party affordable housing transactions for
which NBHA may serve as issuer, and other projects or programs authorized by the Authority.
The initial contract term shall be three (3) years. At NBHA's sole option, the contract may be extended for up to
two (2) additional one-year terms, for a maximum potential term of five (5) years.

1.4 Communications
All questions and requests for clarification shall be submitted in writing to Laura Woodie, Executive Project
Manager, Censere Consulting LLC, on behalf of the New Britain Housing Authority, at
laurawoodie@censereconsultingllc.com. Respondents shall not communicate concerning this procurement with
other NBHA staff, Commissioners, or consultants except as expressly authorized by this RFP.
PART 2 - SCOPE OF WORK
2.1 Agency-Wide Scope of Work and Specific Requirements
The Bond Financial Advisor shall provide all financial advisory services necessary or advisable to assist NBHA
in evaluating, structuring, issuing, closing, administering, and monitoring bonds and other debt obligations for
current and future Authority initiatives. Services may include, without limitation:

Evaluate financing alternatives and recommend appropriate debt structures for NBHA projects and
programs.
Advise NBHA regarding tax-exempt and taxable bonds, private activity bonds, direct placements, public
offerings, private sales, recycled bonds, refundings, and other financing structures, as applicable.
Assist with applications for State of Connecticut bond volume cap and other governmental approvals.
Develop and review financial models, sources and uses, debt-service schedules, cash flows, sizing
analyses, and financing scenarios.
Advise NBHA concerning the need for credit enhancement and assist with related negotiations.
Assist in selecting and coordinating financing participants, including lenders, underwriters, placement
agents, trustees, bond counsel, disclosure counsel, verification agents, and other professionals, as
applicable.
Assist NBHA in evaluating proposals and pricing from financing participants and in determining whether
proposed terms are reasonable and competitive.
Assist with rating agency presentations and investor or lender information, when applicable.
Assist in closing details and post-closing duties, including closing memoranda, cost-of-issuance reviews,
and reports required by oversight or review agencies.
Advise the Authority regarding investment of bond proceeds, arbitrage considerations, continuing
disclosure, and ongoing debt administration.
Provide advice concerning developments in the municipal bond and affordable housing finance markets that
may affect NBHA.
Provide financial advisory assistance for NBHA-owned developments, affiliates, instrumentalities, joint
ventures, mixed-finance developments, and third-party transactions in which NBHA may serve as conduit
issuer.
Provide other financial advisory services necessary or incidental to the issuance, administration,
restructuring, or monitoring of debt obligations.
The Authority will determine the scope and allocation of assignments during the contract term. We anticipate
that the authority will issue approximately sixty-three million dollars in bond over the next five (5) years. No
minimum number or dollar amount of transactions is guaranteed.
Consistent with applicable Municipal Securities Rulemaking Board requirements, a financial advisor shall not act
in an incompatible underwriting role on an issue for which the firm is serving as NBHA's municipal advisor.
PART 3 - PROPOSAL SUBMISSION
3.1 Proposal Structure and Content
A. Transmittal Letter and Executive Summary
Provide a signed transmittal letter identifying the person authorized to bind the firm, confirming the accuracy of
the proposal, and summarizing the firm's understanding of NBHA's agency-wide financial advisory needs.
B. Firm Background and Experience
Describe the firm's public finance practice, ownership, offices, staffing, and experience providing municipal
advisory services to public housing authorities, housing finance agencies, municipalities, and affordable housing
issuers.
C. Qualifications and Relevant Transactions
Provide relevant experience since 2021, including multifamily housing revenue bonds, public housing authority
financings, RAD/mixed-finance transactions, private placements/direct purchases, public offerings, and
Connecticut transactions. Identify at least three representative transactions and explain the firm's role.

D. Assigned Team and Résumés
Identify the team proposed for NBHA, primary day-to-day contact, office location, roles, relevant licenses, years
of experience, and specific public housing, multifamily affordable housing, and Connecticut experience.
E. Analytical Resources
Describe financial modeling, debt structuring, market information, pricing, and analytical resources that will be
available to NBHA.
F. Business Practices and Diversity
Describe MBE/WBE/Section 3 participation and the firm's approach to working with co-financial advisors or
other participating firms.
G. Conflicts, Regulatory Matters, and Litigation
Disclose actual or potential conflicts of interest, material litigation, regulatory proceedings, investigations, or
disciplinary matters relevant to the proposed engagement.
H. References
Provide at least three references for comparable financial advisory engagements performed during the past five
years.
I. Fee Proposal
Provide an agency-wide fee schedule that identifies hourly rates by professional, proposed transaction-based or
fixed fees where applicable, reimbursable expenses, and any other charges. Explain whether rates will remain
fixed during the initial three-year term and how, if at all, rates may change during option years.
3.2 Submission of Proposals
Completed proposals shall be submitted electronically in PDF format by the proposal due date and time
specified by NBHA. Submission instructions and the applicable procurement number shall be included in the
final solicitation notice.
PART 4 - PROPOSAL EVALUATION
NBHA intends to award based on the best overall combination of qualifications, experience, approach, team
capacity, and price, and not necessarily to the lowest-priced Respondent.

PART 6 - ADMINISTRATIVE TERMS AND CONDITIONS
6.1 Contract Period
The initial contract period shall be three (3) years from the effective date of the contract.
6.2 Option to Extend
At NBHA's sole option, the contract may be extended for two (2) additional one-year terms. The total contract
period shall not exceed five (5) years.
6.3 No Guaranteed Assignments
Award of an agency-wide contract does not guarantee any minimum amount of work, fees, financing volume, or
number of bond transactions. NBHA may issue assignments as needs arise.
6.4 Multiple Awards
NBHA reserves the right to award to one or more firms and to allocate assignments among selected firms in the
Authority's best interest.
6.5 Compliance with Law
The Contractor shall comply with all applicable federal, State of Connecticut, and local laws, regulations,
ordinances, HUD requirements, and professional standards applicable to the services.
6.6 Insurance
The selected Contractor shall maintain insurance required by NBHA and shall provide evidence of coverage
prior to contract execution and at the beginning of each option term.
6.7 Conflicts of Interest
The selected firm shall promptly disclose actual or potential conflicts and shall comply with applicable municipal
advisor fiduciary, disclosure, and professional obligations.
6.8 Termination
NBHA reserves the right to terminate the contract in accordance with the final agreement and applicable HUD
and procurement requirements.
