OVERVIEW OF REQUIREMENTS
The Cupertino Union School District (hereinafter "the District") seeks to retain a qualified
Vendor to provide fresh bread products, as specified herein, for the Cupertino Union School
District Nutrition Services Department.
Below are the details of the expectations upon receiving the award of contract. Successful
Bidder must understand and agree to the following levels of service if they are to enter into
an agreement with Cupertino Union School District.
The initial term of this Request for Quote shall be for a period of one (1) year beginning July
1, 2026, through June 30, 2027, with the possibility of two (2) one (1) year extensions.
1. The Vendor will furnish and deliver fresh bread products.
2. Failure to meet these specifications shall entitle the District to cancel the contract
with 30 days' notice.
3. Bidders' prices shall remain firm for a period of ninety (90) days from the Date Due,
unless otherwise specified.
4. It is the intention of Cupertino Union School District to encourage and promote to
the maximum extent practicable the purchase of agricultural food products and
commodities grown, raised or manufactured in California.
5. Cases and packages shall be so constructed as to insure safe and sanitary
transportation to the point of delivery. Damaged cases and packages may be rejected
and returned for credit or immediate replacement to the original site at no cost to
the District for the item or freight.
6. The Distributor shall follow appropriate handling and storage practices. The
Distributor shall provide products from manufacturers with a Hazard Analysis
Critical Control Point (HACCP) system in place. Additionally, the Distributor shall
ensure that all products received under this contract shall be prepared, handled, and
are stored in accordance with the health and sanitation standards for the County of
Santa Clara or local city/county agency in which the product was produced, State of
California, and/or federal government, whichever is higher.
7. In the event of a product contamination issue, the Distributor shall provide trace
back capabilities for all products to the point of origin.
8. During all stages of processing, distribution, storage and delivery, products shall be
kept in an environment to maintain freshness, quality, shelf life and nutritional value
and in accordance with the current U.S. Department of Agriculture guidelines and
food handling practices.

9. The District reserves the right to discontinue service of any or all portion of any
contract resulting from this quote for any reason determined by the District to be
detrimental to the health and welfare of the students and school personnel, or
failure to meet contract specifications or wholesomeness standards, and to hold the
vendor in default.
10. Advanced approval by the Director of Nutrition Services must be obtained prior to
substitutions being made. Items substituted must be priced as the same as the item
the District would normally receive.
11. No delivery charges, fuel charges or taxes will be paid by Cupertino Union School
District.
12. All invoices and statements shall be sent to: Cupertino Union School District, 10301
Vista Drive, Cupertino, CA 95014, and Attention: Nutrition Services.
PLACING ORDERS
District staff may place orders via paper order form, telephone, email or online ordering
system.
1. All orders will be processed as ordered.
2. Orders will be subject to adjustment.
3. All order discrepancies will be handled between the Nutrition Services and
Vendor.
4. Credit memos will be included and must have all the information from the
original order.
DELIVERY
1. All goods will be delivered Monday through Friday in accordance with the delivery
schedule listed below.
2. All goods must be delivered in good condition.
3. All deliveries will be at minimum one time per week to the locations listed below.
Vendors must be available to make additional deliveries in the week.
4. Sufficient time must be allowed at the time of delivery for adequate inspections of
the product for quantity and quality. The District reserves the right to reject
products delivered in error, not delivered according to specifications, or
sub-standard quality or past peak ripeness.
5. A duplicate of the signed invoice shall be left at the location at the time of the
delivery. An itemized monthly statement showing each delivery must be sent to the
District's Nutrition Services Department. Quantities, item descriptions, unit prices
and extended amounts must be shown on each invoice; this shall apply to all credits.
6. Deliveries shall be required at the location listed below.

INSTRUCTIONS TO BIDDERS
Deadline for Receipt of Quote - Quotes will be received prior to 1:00 p.m. PST on April 30,
2026. The above required documents shall be mailed or emailed to the Director of Business

Itemized Bid Sheet -
Prices must be submitted on the "Itemized Bid Sheet" supplied by the District.
Bidders are not required to bid on all items. The District may award to multiple
bidders. Please enter "NO BID" for items you are not bidding on.
A hard copy of the "Itemized Bid Sheet" document must be submitted with the RFP.
A soft copy of the "Itemized Bid Sheet" document must be saved on a data storage
device and submitted with the RFP.
The soft copy must be in Excel format only, no other file types will be accepted.
This data storage device will not be returned.
Nutritional Analysis - Upon contract award, the Vendor will provide the nutritional
analysis and CN or manufacturer's documentation that verifies product's contribution to
the school breakfast and/or lunch pattern for each line item bid after the award.
The information must contain the following:

Prices - Price and notations must be typed as instructed on the "Itemized Bid Sheet" Excel

Prices shall be stated in units and quotations made separately on each item. Where there is
a conflict between unit prices and extended prices, unit prices will govern. Where there is a
conflict between words and figures, words will govern.

If during the contract period there should be a decrease in prices of the items bid, a
corresponding decrease in prices on the balance of the deliveries shall be made to the
District for as long as the lower prices are in effect, but at no time shall the prices charged
the District exceed the prices bid. The District shall be given the benefit of any lower prices
which may, for comparable quality and delivery be given by the Vendor to any other school
district or any other state, county, municipal, or local governmental agency in Santa Clara
County for products listed herein.

Award - The District intends to award a one (1) year contract with the possibility of two
(2) one (1) year extensions to the lowest, responsive and responsible Bidder.
Each Quote will be evaluated on criteria and priorities defined by the District, with specific
attention to those features, functional, and technical aspects notes for each section. The
District will award the contract based on the prospective Vendor submission that best
meets the needs of the District with regard to the Request for Quote specifications
contained herein.
The District will issue a purchase order upon receipt of the required documents pertaining
to this Request for Quote. The Vendor, by accepting the District purchase order, agrees to
comply with all the Terms and Conditions as stated on the back of the Purchase Order.
The District reserves the right of determination that items bid meet or do not meet Request
for Quote specifications. Further, the District reserves the right to accept or reject any or all
Request for Quotes and to waive any informality in the bidding.

TERMS AND CONDITIONS
AGREEMENT -Submission of a signed quote will be interpreted to mean Proposer hereby
agrees to all the terms and conditions set forth in all the pages of this quote. Proposer's
signed quote and District's written acceptance or purchase order shall constitute a
contract.
ASSIGNMENT OF RIGHTS OR OBLIGATIONS - Successful Proposer may not assign,
transfer, or sell any rights or obligations resulting from this RFP without first obtaining the
specific written consent of the Cupertino Union School District.
ATTORNEY FEES - In the event a suit or action is instituted in connection with any
controversy arising out of this contract, the prevailing party shall be entitled to receive, in
addition to it costs, such sum as the court may adjudge reasonable as to attorney's fees and
costs.
AUTHORITY OF THE CUPERTINO UNION SCHOOL DISTRICT - Subject to the power and
authority of the Cupertino Union School District as provided by law in this contract, the
Cupertino Union School District shall in all cases determine the quantity, quality, and
acceptability of the materials and supplies for which payment is to be made under this
contract. The Cupertino Union School District shall decide the questions that may arise
relative to the fulfillment of the contract or the obligations of the Vendor hereunder.
AUTHORIZED DISTRIBUTOR - Successful Proposer must be an Authorized Distributor for
the product offered, or with Proposer's quote, Proposer must submit documentation from
an authorized distributor from whom Proposer has purchased the specified materials or
equipment. Said documentation must state that the distributor will honor all
manufacturers' warranties.
BUY AMERICAN PROVISION - (7 CFR, sections 210.21d and 220.16d; U.S.
Department of Agriculture Policy Memorandum SP 23-2024)
Section 104(d) of the William F. Goodling Child Nutrition Reauthorization Act of 1998
Public Law 105-336 added a provision, Section 12(n), to the National School Lunch Act
(NSLA) (42 United States Code Section 1760n), that requires all school food authorities, the
District, to purchase, to the maximum extent practical, domestic commodities or products.
This Buy American provision supports the mission of the school nutrition programs, which
is to serve children nutritious meals and support American agriculture.
Using food products from local sources supports local farmers and provides healthy choices
for children in the school meal programs while supporting the local economy. Requiring
compliance with the Buy American provision also supports the District working with local,
or small, minority, and women-owned businesses as required by Federal regulations (see 2
CFR 200.321). The USDA Food Services Department (CNS) also encourages purchasing food
products from local and regional sources when expanding farm to school efforts.

The Buy American provision applies to the District located in the forty-eight contiguous
United States and is one of the procurement standards the District's Program Operators
must comply with when purchasing commercial food products served in the school meals
programs.
Section 12(n) of the NSLA defines "domestic commodity or product" as an agricultural
commodity that is produced in the U.S. and a food product that is processed in the U.S.
substantially using agricultural commodities produced in the U.S. As codified in the final
rule for the Buy American provision update, effective July 1, 2024, "substantially using
agriculture commodities that are produced in the United States" means over 51 percent of a
food product must consist of agricultural commodities that were grown domestically.
Therefore, over 51 percent of the final processed product (by weight or volume) must
consist of agricultural commodities that were grown domestically. Thus, for foods that are
unprocessed, agricultural commodities must be domestic, and for foods that are processed,
they must be processed domestically using domestic agricultural food components that are
comprised of over 51 percent domestically grown items, by weight or volume as
determined by the District.
For products procured by the District for use in the school nutrition programs using
nonprofit food service account funds, the product's food component is considered the
agricultural commodity. FNS defines food component as one of the food groups which
comprises reimbursable meals. The food components are:
Meats and meat alternates
Grains
Vegetables
Fruits
Fluid milk

Any product processed by a winning vendor must contain over 51 percent of the product's
food component, by weight or volume, from U.S. origin. This definition of domestic product
serves both the needs of schools and American agriculture. Products from Guam, American
Samoa, Virgin Islands, Puerto Rico, and the Northern Mariana Islands are considered
domestic products under this provision as these products are from the territories of the U.S.
For all procurement transactions for food when funds are used from the nonprofit food
service account, whether directly by the District or on its behalf, procurement transactions
must comply with the Buy American provision. Implementation of the Buy American
provision should be done by: including Buy American in documented procurement
procedures, state agency prototypes documents, and all procurement solicitations and
contracts; including domestic requirements in bid specifications; contract monitoring; and
verifying cost and availability of domestic and nondomestic foods using data in the USDA
Agricultural Marketing Service's (AMS) weekly market report
(https://www.ams.usda.gov/market-news).
