PROPOSAL
ZSCALER INTERNET ACCESS (ZIA) SUBSCRIPTION RENEWAL
To be submitted in a sealed envelope, properly marked “BID FOR ZSCALER INTERNET ACCESS
SUBSCRIPTION RENEWAL” to the Auditor, of the City of Lima, Ohio, attention Purchasing Department,
Lima Municipal Center, 50 Town Square, Lima, Ohio 45801 before 10:00 AM, Lima Time, On February 10,
2026. Outside of envelope not being properly marked may result in bid not being received by the
Purchasing Department before the deadline and could result in the bid being disqualified. Please
complete all forms included in the bid specifications. Forms not being filled out correctly and/or
completely may result in bid being disqualified.
The City of Lima, OH is seeking bids for Zscaler Internet Access (ZIA) subscription renewal. No
Substitutions accepted. The term of the annual Zscaler Internet Access (ZIA) is stated in the
specifications of this bid. The Zscaler Internet Access (ZIA) Includes: (1) Zscaler Premium Support
Services, (2) ZIA Essentials Edition. To be a responsive bidder, bidder shall certify that they are a Zscaler
Registered Partner as of the date of the submission of their bid, and that they have the
certification/specialization level required by Zscaler to support both the product sale and product
pricing. The bidder confirms to have sourced all Manufacturer products submitted in this o7er from
Manufacturer or through Manufacturer Authorized Channels only, in accordance with all applicable laws
and policies at the time of purchase. Bidder shall provide Buyer with a copy of the End User license
agreement, and shall warrant that all manufacturer software is licensed originally to Buyer as the original
licensee authorized to use the Manufacturer Software. Bidder shall further warrant that Zscaler Internet
Access (ZIA) Premium Support coverage is sourced solely from Zscaler.

It is understood that this bid may not be withdrawn for a period of thirty (30) days after the opening
thereof. The City of Lima reserves the right to waive any bid or bid process irregularities which the City
determines in its sole discretion to be in its favor, to reject any or all bids for any reason determined to be
appropriate in the sole discretion of the City, and to award the bid to the lowest and best bidder meeting
the City’s needs as determined by the City at the City’s sole discretion. It is further understood that this
proposal is made with the full knowledge of and in compliance with the Ohio Revised Code and the

Charter of the City of Lima, Ohio, relative to the bidder having no interest in said City’s contracts and
supplies.
Responses to this RFP shall be submitted in a sealed package addressed as noted and clearly identifying
the vendor making the submission.
Please review the RFP fully, complete all responses and submit the package so it is received no later than
10:00AM on February 10, 2026. Responses received after this date/time will not be considered. Postmark
date will not constitute timely delivery. Vendors are solely responsible for ensuring timely receipt of their
responses. Delivery by fax is not acceptable.

GENERAL INFORMATION
A. PROPOSALS SUBJECT TO PUBLIC RECORDS LAW
The City of Lima will consider all bid/RFP submissions to be public records, subject to disclosure
under Ohio’s Public Records laws. If any vendor believes any part of its submission is confidential or
otherwise not covered by the public records laws, the vendor must also submit a redacted electronic
version of its submission in pdf format only. Failure to submit a redacted version will be considered to
mean the Vendor acquiesces in the City’s determination that the submission is a public record.
B. REJECTION OF PROPOSALS AND CANCELLATION OF RFP; REISSUE OF
RFP
Issuance of this RFP does not constitute a commitment on the part of the City to award or execute a
Contract. The City retains the right, in its sole discretion, at any time to reject any or all Proposals, in
whole or in part, and to cancel or cancel and reissue this RFP, before or after receipt and opening of
Proposals in response thereto, or take any other actions, if it considers it to be in the best interests of
the City.
C. PROPOSAL VALIDITY; INCURRED EXPENSES
All Proposals shall remain valid for ninety (90) calendar days (The “Proposal O7er Period”) after the
RFP Due Date. A Proposal constitutes an o7er by the Potential Contractor to contract with the City in
accordance with the terms of this Proposal and this RFP, which o7er is irrevocable for the duration of
the Proposal O7er Period and may not be withdrawn or amended during the Proposal O7er Period
without the written consent of the City. The City shall not be liable or responsible for any costs,
expenses, reimbursements or fees incurred by a potential contractor in preparing and submitting a
proposal or in performing any other action in connection with this procurement.
D. RIGHT TO USE INFORMATION IN THE PROPOSAL
Upon submission, all materials submitted to the City by Potential Contractors shall become the City’s
property and may be used as the City deems appropriate.

GENERAL TERMS AND CONDITIONS
A. GOVERNING LAW
This Procurement and any Contract resulting from this RFP shall be governed by and constructed
in accordance with the laws of the State of Ohio. Any and all claims or disputes arising under on in
connection with this RFP or the Contract shall be exclusively governed by the laws of the State of
Ohio, and venue shall be exclusively within the City of Lima, Ohio.
B. TRANSFER, ASSIGMENT OR SUBCONTRACT
The covenants and agreements contained within the awarded proposal are specifically binding
and the City will not allow the awarded proposal to be transferred, assigned or subcontracted to
any other party or parties without the express written consent from the City.
C. CERFICIATION OF INDEPENDENT PRICE DETERMINATION
By submission of this Proposal, the Potential Contractor certifies and in the cast of a joint
Proposal, each party thereto certifies as to its own organization, that in connection with this
Procurement:
A. The price in this Proposal has been arrived at independently, without consultation,
communication, or agreement for the purpose of restricting competition as to any
matter relating to such prices with any other Potential Contractor or with any
competitor;
B. Unless otherwise required by law, the process which have been quoted in this Proposal
have not and will not be knowingly disclosed by the Potential Contractor prior to the
Proposal opening, directly or indirectly, to any other Potential Contractor or to any
competition; and
C. No attempt has been made or will be made by the Potential Contractor to induce any
other person or firm to submit or not submit a Proposal for the purpose of restricting
competition.
D. E-VERIFY COMPLIANCE
By submission of this Proposal, the Potential Contractor certifies that it and any subcontractors
complies with the requirements of (articles and general statutes.)
