REQUEST FOR PROPOSAL (RFP)
Bond Counsel Services
Agency-Wide Services
Tax-Exempt and/or Taxable Bond Financing
Including TEFRA Hearing Support
I. INTRODUCTION
Censere Consulting LLC, on behalf of the New Britain Housing Authority
(NBHA), is soliciting qualifications from qualified Bond Counsel firms to
provide agency-wide bond counsel and related legal services in
connection with current and future financing transactions undertaken or
facilitated by the Authority during the contract term. Services may include
tax-exempt and/or taxable bond financings, private activity bonds,
multifamily housing revenue bonds, direct placements, public offerings,
refundings, and all legal services associated with TEFRA compliance and
bond closings.
II. AUTHORITY-WIDE ENGAGEMENT
The Authority anticipates undertaking multiple affordable housing, public
housing redevelopment, preservation, acquisition/rehabilitation, new
construction, mixed-finance, RAD, LIHTC, and other housing-related
transactions during the term of this engagement. The selected Bond
Counsel will serve the Authority on an as-needed, agency-wide basis and
may be assigned to one or more transactions. We anticipate that the
authority will issue approximately sixty-three million dollars in bond over the next
five (5) years. No minimum number or dollar amount of transactions is
guaranteed.
No minimum number, size, or value of transactions is guaranteed. Each
financing may involve tax-exempt bonds, taxable bonds, LIHTC equity,
HUD programs, CHFA and State of Connecticut resources, and other
public or private financing sources.
III. MINIMUM REQUIREMENTS
The firm must:
• Have served as Bond Counsel on at least three tax exempt private
activity bonds within the past 5 years
• Have experience with representing housing authorities, housing
finance agencies, or other public issuers in multifamily housing
finance
• Be duly authorized to practice law in the State of Connecticut or
demonstrate ability to obtain required local authority immediately
upon award
• Firm must provide proof of professional liability insurance of at least
$5,000,000
IV.SCOPE OF SERVICES
The Bond Counsel shall provide the necessary materials, supplies, staff,
and equipment required to the Services outlined below.
A. Bond Structuring, Federal Tax Compliance & Regulatory Guidance
• Advise NBHA and its consultants on structuring tax-exempt, taxable,
or multi-series bond issuances.
• Provide analysis regarding compliance with IRC rules including PAB
rules, volume cap, good/bad costs, replacement proceeds, 25%
test, and remedial actions.
• Advise the Authority regarding appropriate bond sizing, financing
structures, private activity bond volume cap requirements, and
other transaction-specific considerations.
• Evaluate multi-series structures and confirm compliance with HUD,
CHFA, and State regulations.
B. TEFRA Compliance
• Draft TEFRA notice, hearing script, and certifications.
• Coordinate with City of New Britain for hearing logistics.
• Attend TEFRA hearings, as required, and prepare applicable
Authority, municipal, and elected-official approval documents.
C. Documentation Preparation, Review & Negotiation
• Draft and negotiate bond documents including Indenture, Loan
Agreement, Tax Regulatory Agreement, and supplemental
agreements.
• Prepare Direct Purchase Agreement or Bond Purchase Agreement.
• Review offering materials (POS/OS/PPM) and coordinate with
lender’s counsel.
D. Legal Opinions
• Issue validity opinions for taxable and tax-exempt bonds.
• Issue tax-exempt opinion under IRC §103.
E. Coordination with Project Team
• Coordinate, as applicable, with NBHA, developers, lenders, CHFA,
tax credit investors, trustees, financial advisors, HUD, State agencies,
underwriters, and other transaction participants.
F. Closing, Post-Closing & Transcript Preparation
• Prepare closing agenda and attend closing.
• Prepare applicable IRS filings, including Form 8038 series filings, and
advise the Authority regarding post-closing tax and bond
compliance requirements.
V. SUBMISSION REQUIREMENTS
Respondents must submit the following:
• TAB A: Each respondent shall submit a Letter of Interest on firm
letterhead signed by an authorized representative. The LOI must
clearly express the firm’s interest in serving as Bond Counsel of the
NBHA. The LOI must include contact information:
o Firm name and address
o Primary contact name and title
o Phone number and email address
• TAB B: The respondent must demonstrate the possess the
experience, capacity, and specialized legal expertise to represent
the NBHA in connection with the issuance of tax-exempt or taxable
multiple family housing revenue bonds.
• TAB C: The respondent must submit resumes for all attorneys and
professional staff who will be assigned to the engagement. At a
minimum, each resume must include the following:
o Name, title, and office location
o Years of experience in public financed
o Detailed list of representative bond transactions
o Education and bar admissions
o Professional membership
• TAB D: Respondents must provide a comprehensive narrative
describing their methodology, work plan, and approach to
delivering the Bond Counsel services outlined in this RFP. Firm’s
approach to providing service and a work plan
• TAB E: A detailed fee proposal (including separate fees for tax-
exempt and taxable bonds), and three references.
VI. EVALUATION CRITERIA
Evaluation factors include experience with tax-exempt and taxable
bonds, TEFRA experience, PHA and HUD experience, qualifications of
assigned staff, quality of the work plan, and fee competitiveness.
• Firm’s Qualifications and Experience - Maximum 30 points
• Proposed Team and Resumes – Maximum 20 points
• Approach, Methodology and Work Plan – Maximum 15 points
• Past Performance and References – Maximum 10 points
• MBE/WBE Participation – Maximum 5 points
• Price Proposal – Maximum 20 points
VII. CONTRACT TERM
The initial contract term shall be three (3) years. At the sole option of the
Authority, the contract may be extended for up to two (2) additional one-
year terms, for a maximum potential contract period of five (5) years. Any
extension shall be subject to satisfactory performance, continued need
for the services, availability of funding, and any required Authority
approvals. The award does not guarantee any minimum amount of work
or compensation.
