Contract of Supply (COS) - MicroFocus Content Manager

This is a re-tender of ITT 8025110-25.

This document highlights required clarifications in relation to the requirement to provide a percentage discount from list price on proposals.

Proponents who previously submitted under 8025110-25 are required to resubmit no later than the submission deadline posted on NBON to be considered. Submission for the previous tender, or submissions received after the deadline will not be considered.

Service New Brunswick will not be splitting the contract; the intent is to award based on the highest percentage discount from the current Manufacturer's Published Price List, in Canadian dollars guaranteeing the lowest gross total to SNB and fulfilling all other tender requirements.

SNB reserves the right to request proof to verify re-seller authorization prior to contract execution.
Tender to establish a Contract of Supply for "Micro Focus Content Manager" Software Licenses, Support, SaaS & Implementation products for a term of three (3) years commencing upon award and applicable to all "new" and "renewal" requirements. Initial contract pricing will be FIRM and discount structures are to remain FIRM for the duration of the contract period.

SNB may renew this Agreement, upon mutual agreement of SNB and the successful Proponent, for up to two (2) additional one (1) year extension periods. Option years may be renewed in one (1) year increments for up to two (2) years which will not exceed a total contract length of five (5) years in total.

Prior to the commencement of any renewal period, an exception may be executed for the review of the discount rate. The negotiation of a satisfactory discount rate shall not be reduced lower than the awarded tendered discount. If the proponent requests to reduce this rate, valid supporting rationale must accompany the decreasing request for SNB review.

Proposal estimation should be calculated utilizing an approximate requirement for approximately seven hundred (700) users across GNB.

Product requirements are for all "On-premise" solutions; no hosting is required (this includes all new licensing request and yearly renewal of licensing requirements.)

All pricing/price list(s) must be provided in Canadian dollars.

Proponent responses are to be completed in full. Should a bid response be received without a completed value provided in the _______% off list price this value will be assumed entered as zero (0) % for evaluation purposes.

Any and/or all additional Micro Focus discount(s) are to be reflected in the Proponent's bid submission and be applicable throughout the entire life cycle of the contract.

Following award, the successful Proponent shall be responsible for and to:

- Monitor for volume purchase opportunities and provide further discounts where possible to provide value to GNB/SNB.
- Co-Terminate license maintenance renewals where possible.
- Provide Micro Focus Price List updates to Strategic Procurement for validation of discount.
