COMPENSATION:
1. Monthly Fee: Tlie Sei'vice Contractot agi:ees to charge, and the County agrees to pay the

tetm of the contract, for the required monthly services. Service Contractor shall bill monthly

2. Present Billing Rates: Any woi:k not covei:ed by the Scope of Work of the conti'act shan be
billed at tlie Sei'vice Contractor's Additional Rates as described in the Bid Form, all additional
services ivill be invoiced sepatately fi:om the monthly iiwoice.

FAMILIARITY WITH THE WORK
1. Tlie Seiice Conttactor, by subinitting a bid, ackiiowledges 'Effl understanding of the extent and
chai:actei: of the work i:equited and the conditions surrounding the pei:foimance theteof. The
County will not be responsible for any inisundei:standing of the woi:k to be fiirnished or
completed, ot any of the conditions suttounding the perfori'nance thei:eof. It is understood that
execut'on of the Agreement by the Seiice Conttactor sei'ves as the stated corninitrnent to
ilfill an requirements and conditions i:efei:red to in this Agreement. All wotk shall be in
accotdance witli ASSE Certification sections as listed in the Scope of Work, all Mobile County
Regulations.
MANDATORY PRE-BID CONFERENCE AND SITE VISIT
1. All prospective biddei:s sliall have a reptesentative ptesent at a MANDATORY Pie-bid
Confei:ence that will be lield on August 11, 2026 at lO:OOam, local time, on site in the Atrium,
Goverru'nent Plaza, 205 Governi'nent Sti:eet, Mobile, AL 36644. Any Service Conttactors not
having a i:epresentative at this meeting will be disqualified fi:ot'n bidding on this project.
INSURANCE REOUIREMENTS
1. Service Contractor, at its sole expense, sliall obtain and maintain in full foi:ce the following
insurance to pi:otect the Setvice Conttactot and the Mobile County Coi'ninission (MCC) at
liinits and covetage specified herein. These liinits and covetages specified are the i'niniinum to
be maintained and ate not intended to teptesent the coti:ect insutance needed to protect the
Service Conttactoi: fully and adequately. If requested by MCC, Sersrice Conti:actor will provide
copies of policies witl'iin 10 days of i:equest.
2. All insutance shall be pi:ovided by insutets licensed to conduct business in the State of
Alabama and shall have a ininii'num A.M. Best tating of A- VII and must be acceptable to
MCC. Self-insured plans and/or gtoup funds not liaving an A.M. Best rating must be
subinitted to MCC for priot appi:oval.
NO WORK IS TO BE PERFORMED UNTIL PROOF OF COMPLIANCE WITH
THE INSURANCE REQUIREMENTS HAS BEEN RECEIVED BY MCC.

The Coininercial General Liability policy shall name MCC as Additional Insuted for
claii'ns ai:ising out of the Sei'vice Conttactors and/oi: any Subcontractoi:s' work. The
ISO Forms 9001-2015 and ISO14001-2015 or a comparable form that is no longer
restrictive shan be tequired. Tlie additional Insui:ed form MUST include the current
Opei:ations and Itoducts/Completed Operations of each conti:actor. Tlie narning of
the additional insured does not obligate the additional insured to pay any ptemiums
due.
c. Automobile Liability
Covering all Owned, Non-Owned, and Hired vehicles with a Combined single liinit
(bodily injur7 and pi:opei:ty damag ecombined )of $1,000,00 0for each accident .The
policy shall name MCC as Additional Insui:ed.
d. Certificate of Insurance
A Certificate of Insurance evidencing the above minii'num requirements must be
provided to and accepted by MCC, PRIOR to coininence any woi:k on the conti:act.
Each policy shall be endorsed to ptovide Thitty (30) days p.tior written notice of
cancellation to the MCC. A sample Cettificate of Insutance is attached, see Exhibit
C.

CANCELATION PROCEDURE
1. The Seivice Contractor shall be notified iii wtiting of any problems pertaining to the
pei:foi:mance of tlie set-vices. This not'fication will be wtitten by tlie County's Serice
Contract Adininistrator as specified iii the Agi:eement. A follow-up letter will come from the
Directot of Facilit'es and Maintenance. If no satisfactor'y cotrections ate made by the Sersrice
Contractoi: witbjn Ten (10) working days, Mobile County Coininission may, at its disctetion,
cancel the Agreement ii'nmediately. If terininated, tlie Serice Contractoi: will be temoved
from the bid list. Cancelation ptocedutes will be sttictly enfotced.
2. The Service Contractor and/ot the County may cancel tlie contract by giving written notice
of such, no less than Tl'ffity (30) calendai: days, notice of intent to cancel the contract. If the
Ser'vice Conuaactoi: initiates the cancelation, the Sei'vice Conttactor must also forfeit Fifty
Percent (50'!/o) of the cliarge for serv'ce for theit last complete tnonth of service. In the event
of cancelation by either pai:ty, pro.tation of the custodial chai:ge will be based on a Thirty (30)
day month.
MISCELLANEOUS PROVISIONS
1. Indeinnify: To the fullest extent perinitted by law, the Service Conti:actoi: sliall indeini'ff$
and hold harinless the County, and its agents and einployees from and against all claii'ns,
damages, losses, and expenses, including, but not limited to, attoi:neys' fees atising out of
or i:esulting from the performance of the Work.
2. Subconttactors: The Seiice Conti:actor sl'iall not employ Subcontractors without the
express written petinission of the County.
3. Uniforms: Sei'vice Contiactor's employees ai:e required to weai: a unifoi:m or some type of
garment that will identify employees working foi: the company while on the pi:emises.
4. Conduct: Tlie Service Contractoi: shall tequire employees to comply witli all insti:uctions
pertainiiig to conduct and building tegulations issued by Service Conti:act Administrator
and Court Police Officets, if applicable. The Service Contractor shall ptohibit their
employees from the following: using telephones oi: office equipment; stealing/taking
County property oi: personal pi:operty; using illegal dtugs, alcohol, or other prohibited
substances; being under the influence of illegal dtugs oi: alcohol while on County
pi:operty; cattying oi: usiiig guns, knives, or othei: dangetous weapons; and/ or unplugging
computers or other equipment. Due to the security nature of Mobile County Facilities,
Service Contractor's employees shall be subject to backgtound checks and if apptoved,
issued County identification security cards, if applicable. The County shall reserve the tight
to have any Seiv'ce Contractor's petsonnel temoved, relocated, and/or bai:ted from access
to Mobile County Facilities at any t'me. Set-vice Contractoi: shall i:eplace the employee
imineiately upon notification by the Seivice Contract Administrator. The Service
Contractor's personnel sliall iini'nediately retutn the County issued identification security
card, if applicable.
5. Conttactoi: Qualifications: Sei'vice Conttactor must liave been in business at least Five (5)
consecutive years. Service Contractor shall ptovide references to tecent life safety testing and
inspections experience in multi-stoi-y )xidings. Failure to pi:ovide evidence of at least Five
(5) consecutive yeai:s in business or tefei:ences will be caused to teject bid.

6. Seiv'ce Contract must provide oversight on all Ametican Society of Sanitar7 Engineering
(ASSE) cettified tests on these various watet tteati'nent systems and must use approved
ASSE annual test and inspection forms. Sersrice Contractot shall be responsible fot an
aspects of eacli test for eacli location(s) Ilisted below. Careful consideration for the planning
and implementation as to not interr'upt the daily operation of each facility is a priority.
