A. Purpose
The Napa County Planning, Building, and Environmental Services (PBES) Department is
issuing this Request for Qualifications (RFQ) in order to solicit Statements of Qualifications
(SOQ) for consideration to be tested and placed on a list of Pre-Qualified Professionals to
prepare and submit erosion control plans for Track II vineyard replant projects.
In accordance with the Napa County Conservation Regulations (Section 18.108.080(D)(2)(a)(ii)
of the County Code) and Resolution No. 94-19, erosion control plans for vineyard replant
projects may be prepared by a person selected from a pre-qualified list of professionals made
available by the County.
The types of plans prepared by individuals from the list are referred to as Track II Vineyard
Erosion Control Plans (or Track II plans). Track II Plan decisions are ministerial pursuant to
Napa County’s CEQA Guidelines, Section 501 and Section 15268 of the California
Environmental Quality Act, and receive no technical review by the County and/or the County’s
consultants. The Track II process requires the consultant to provide oversight of the installation
and monitoring of the erosion control measures as proposed in accordance with Chapter
18.108.135 of the Napa County Code.
Napa County wishes to select multiple qualified professionals for inclusion on the list of pre-
qualified professionals. If multiple professionals apply who are employed by the same firm, each
consultant must apply individually. The qualification applies to an individual and not the firm
of employment. If you are currently on the list of pre-qualified professionals, you must re-apply,
test, and be selected to continue to be on the revised and updated list. The number of
consultants ultimately selected will be determined during the selection process based upon
several factors, including qualifications of the applicant pool, relevant experience preparing the
submittal of successful agricultural erosion control plans, and demonstrated ability to prepare
agricultural erosion control plans in conformance with applicable County regulations, and
references.
B. Term of List
The list of pre-qualified professionals to prepare Track II erosion control plans shall be valid for
five years from the date that the list resulting from this RFQ is approved by the Director of PBES.

Responses received in the PBES Department after March 15, 2024, at 4:00 p.m. PST shall not be
considered under any circumstances.
Responses may be delivered in person, U.S. Mail, or Common Currier. No electronic or
facsimile copies will be accepted. It is the responsibility of the submitting party to insure timely
delivery.
It is recommended that responses be submitted on paper that contains at least 30% recycled
content and printed on both sides (duplex).
Responses must be submitted following the format provided in this RFQ. RFQs not submitted in
the manner prescribed herein shall not be considered.
E. General Conditions
By submitting a response, the Respondent represents and warrants that:
(a) The information provided is genuine and not a sham, collusive, or made in the interest or
in behalf of any party not therein named, and that the Respondent has not directly or
indirectly induced or solicited any other respondent to put in a sham proposal, or any
other respondent to refrain from presenting information and that the prospective provider
has not in any manner sought by collusion to secure an advantage; and
(b) The Respondent has not paid or agreed to pay any fee or commission, or any other thing
of value contingent upon their listing, to any employee, official, or existing consultant
under contract with Napa County.

Napa County does not guarantee the accuracy of information posted on or obtained from third
party organizations.
All responses become the property of the County. The County reserves the right to reject any and
all submittals; to request clarification of information submitted; to request additional information
from competitors; and to waive any irregularity in the submission and review process. None of
the materials submitted will be returned to the Respondent unless they are not submitted in a
timely manner.
Proposals will become a public record and available for release to the public upon selection of a
successful Respondent and an Intent to Accept Qualifications Notification is distributed.
Respondents should not include proprietary, trade secret, or other confidential information in their

Proposals, and do so at their own risk. If such information is included, Respondents must clearly
identify it as confidential, proprietary, or trade secret within the Proposal. The County will
consider information so identified as a request to withhold it, but the County may nonetheless
release, redact or withhold such information in its sole discretion. If the County redacts or
withholds such information, the Respondent shall indemnity the County and defend, at its own
expense, any legal actions or challenges seeking to obtain the redacted or withheld information
from the County. Nothing in this RFQ creates any obligation for the County to notify the
Respondent or obtain the Respondent’s approval or consent before releasing information subject
to disclosure under the California Public Records Act. Submitting a Proposal in response to this
RFQ shall constitute the Respondent’s acknowledgement and acceptance of these provisions
regarding the Public Records Act.
The County reserves the right to award an agreement or agreements without further competition
based on the responses received to this RFQ.
The County reserves the right to request additional information not included in this RFQ from
any or all Respondents after proposal due date.
The County reserves the right to contact references not provided in the submittals.
The County reserves the right to reject any and all responses or any part of a response if it is
determined it is not in the best interest of the County.
The County reserves the right to reject the response of any submitter who previously failed to
perform properly, or complete on time, Track II Plans of a similar nature, or to reject the response
of a respondent who is not in a position to perform such a Track II Plan satisfactorily. The
County may reject the response of any respondent who is in default of the payment of taxes, or
other monies due to Napa County.
The Respondent seeking to be listed shall sign the response. The signature must indicate the title
or position that the individual holds in the firm. An unsigned response shall be rejected.

G. Modification or Withdrawal
Any modification, amendment, addition or alteration to any submission must be presented, in
writing, executed by an authorized person or persons, and submitted prior to the final date for
submissions. An unsigned modification amendment, addition, or alteration shall be rejected.
NO AMENDMENTS, ADDITIONS OR ALTERATIONS SHALL BE ACCEPTED AFTER
THE TIME AND DATE SPECIFIED AS THE SUBMISSION DEADLINE UNLESS
REQUESTED BY THE COUNTY.
At any time prior to the specified time and date set for the response due date, a designated
representative of the Respondent may withdraw the submission provided that such person
provides acceptable proof of their identity and such person signs a receipt. No submissions may
be withdrawn or returned after the date and time set for final submission.
H. Information Resource

Questions will not be answered that would tend to constitute an evaluation of a response being
prepared or that might give an unfair advantage to a potential respondent. Except for the above
named, potential respondents should not contact Napa County officials or staff regarding any
aspect of this RFQ. If such contact is made, the County reserves the right to reject the Proposal.
No prior, current, or post award verbal conversations or agreements with any officer, agent, or
employee of the County or any other person or entity shall affect or modify any terms or
obligations of this RFQ or any agreement resulting from this process.
I. Organization of Proposal
Responses shall contain the following information and shall be organized in the same order as
provided herein. Each of these section headers shall be listed in the submitted proposal with
pertinent information provided under the specific header:
Interested professionals should review Attachment A (Company History, Experience, and
Qualifications) in consideration of response.
1. Cover Page. Cover page shall state Title: Request for Qualifications for Placement on the
County’s List of Pre-qualified Professionals to Prepare and Submit Erosion Control Plans for
Track II Vineyard Replant Projects; RFQ number: PBES020724;date of submission; and
name and signature of the person who is responding to this RFQ.
2. Personal Information. This section shall state:
a. The legal name of the company which is submitting the SOQ and any alternate names for
which the company is known (D.B.A.);
b. Mailing, and physical address(es);
c. Remit-to billing address;
d. Phone, fax, and website (if applicable);
e. Organization type;
f. Federal I.D. number
g. Federal Unique Entity ID, if applicable
h. List of owners;
i. List of corporate officers with titles (if applicable); and
j. Name (first and last), title, mailing address, phone number, fax and email of the person to
receive notices and who is authorized to make decisions or represent the company with
respect to this RFQ
3. Professional History, Experience, Qualifications and Approach to Scope of Work. See
Attachment A. This section shall consist of the information requested in Attachment A to allow
for review of experience, qualifications, and description of offered services. Each
question/information request should be copied into proposal with answers following each request.
4. References. Provide three references (company, contact, phone number, date(s), project
name, description of service(s) provided, and current status of the project). References should
be entities for which Track II vineyard replant projects have been completed. Please note that
additional supporting documentation and materials may be requested to be used during the
interview process.
