On behalf of the Greenville Transit Authority (GTA), the City of Greenville is requesting bids from qualified contractors for the sale of three parcels of Real Property (and the improvements thereon) located at 106 Augusta Street, Greenville, SC (Tax Map # 0088.00-01-012.00) and 154 Augusta Street, Greenville, SC (Tax Map # 0088.00-01-013.01).

There will be two non-mandatory site visits set for viewing the real property, including the improvements. The dates for the site visits are as follows: 10/17/2023 starting promptly at 9:00 am Eastern Time and 10/18/2023 starting promptly at 2:00 pm Eastern Time.

Bids will be received until 2:00 P.M. ET, November 1, 2023. Promptly thereafter, via Microsoft Teams teleconference, all bids that have been duly received will be opened and read aloud. The deadline for questions is 2:00 p.m., October 25, 2023.

Subject to the conditions, provisions and the enclosed specifications, sealed bids will be received at this office
until the stated date and time and then publicly opened. Any bid received after the scheduled deadline, will be
immediately disqualified.

NOTICE TO BIDDERS: There will be two non-mandatory site visits set for viewing the real property, including
the improvements. The dates for the site visits are as follows: 10/17/2023 starting promptly at 9:00 am Eastern
Time and 10/18/2023 starting promptly at 2:00 pm Eastern Time.
Due to the importance of all Bidders having a clear understanding of the scope and requirements for this invitation
for bids (“IFB”), it is highly recommended that interested parties attend one of the above-listed site visits. Any
changes that may be agreed upon as a result of the above-referenced site visits will be noted in an addendum to the
Invitation for Bids and posted https://www.greenvillesc.gov/Bids.aspx. All amendments to and interpretations of
the IFB shall be in writing and issued by Rod Gray, City of Greenville Purchasing Administrator on behalf of GTA.
GTA and the City of Greenville shall not be legally bound by any amendment or interpretation that is not in writing.
Each Bidder shall fully acquaint itself with conditions, provisions and the enclosed specifications, including, without
limitation, the IFB, including, without limitation, the purchase and sale of the real property and the lease back
requirement. The failure or omission of a Bidder to acquaint itself with existing conditions shall in no way relieve
such Bidder of any obligation with respect to this bid or to the contract.

GENERAL INFORMATION, INSTRUCTIONS & CONDITIONS
1) DEFINITIONS:
a) The Greenville Transit Authority is referred to as “GTA.”
b) The City of Greenville is referred to as the “City” or the “City of Greenville.”
c) The “City’s Purchasing Website” shall mean https://www.greenvillesc.gov/Bids.aspx.
d) “Bidder” shall be any entity or individual submitting a bid for the IFB.
e) All references to “days” in this IFB shall mean calendar days, unless otherwise stated.
f) All references to time in this IFB shall mean Eastern time.
g) All references to “shall,” “must,” and “will” are to be interpreted as mandatory language.
h) Invitation for Bids is a procurement method selected for this pending solicitation and will be
referred to as the “IFB.”
i) The “Contract” shall be the Contract for Purchase and Sale of Real Property entered into by and
between the Successful Bidder and GTA, which shall be in the form attached as Schedule E.
j) “Successful Bidder” shall be the successful Bidder with whom the Contract for Sale and Purchase
of Real Property is entered by GTA.
k) “Purchasing Administrator” shall mean Rod Gray, City of Greenville Purchasing Administrator.
2) PURPOSE:
a) GTA seeks bids from qualified organizations or individuals to purchase three parcels of real
property (and the improvements thereon) located in downtown Greenville, South Carolina at 106
Augusta Street, Greenville, SC (Tax Map # 0088.00-01-012.00) and 154 Augusta Street, Greenville, SC
(Tax Map # 0088.00-01-013.01) and more specifically described in Schedule A (the “Real Property”).
i) The Real Property is offered “AS IS, WHERE IS”, with no guarantees or warranties.
ii) The Real Property, including the interior of any improvements thereon can be viewed at the
two non-mandatory site visits.
b) In determining whether an organization or individual is qualified, GTA desires to ensure that the
organization or individual has the financial capability to purchase the Real Property.
c) GTA is a regional transit authority organized under State law and is governed by a seven-member
board of directors appointed by Greenville County Council, Greenville City Council, and the
Greenville County Legislative Delegation. GTA is the designated recipient of Federal Transit
Administration (FTA) funding for the Greenville area.
d) The Real Property was purchased by GTA incrementally from 1983 to 1986 with FTA funding
(previously UMTA). Given the investment by the FTA, the site disposition has certain requirements.
One of those requirements is that the site is to be appraised and have an appraisal review performed
in accordance with 49 CFR § 24. The scope of work for the appraisal can be found in the appendix of
FTA Circular 5010.1E. The site must sell at no less than the appraised value.
e) GTA has outgrown the current site and currently has a replacement facility under construction at
205 Arcadia Drive, Greenville, SC (the “New Facility”). The New Facility is anticipated to be completed
in June 2024. Under the Contract, the successful Bidder will be required to lease the Property back to
GTA, after closing the transaction contemplated by the Contract, and until construction of the New
Purchase of 106 Augusta Street and 154 Augusta Street, Greenville, SC IFB No. 24-3859

Facility is complete. Further, GTA will have the right to remove all equipment related to bus repair and
operation after closing, including, but not limited to, four (4) bus charging stations.
f) This IFB has been compiled for the purpose of providing information, requirements, guidelines,
specifications, and other data that can be used by Bidders who wish to submit a bid for consideration.
g) This IFB is being made available by electronic means. By responding to this IFB, each Bidder
acknowledges and accepts full responsibility to ensure that it is responding to the correct form of IFB,
including any addenda issued by GTA, the City, or the Purchasing Administrator. Bidder
acknowledges and agrees that in the event of a conflict between the IFB in the Bidder's possession and
the version maintained by GTA, the version maintained by GTA shall govern. The IFB document is
available at https://www.greenvillesc.gov/Bids.aspx.
3) INSTRUCTIONS
a) The Bidder shall submit an original bid and other requested information, online at the following
link: https://www.greenvillesc.gov/FormCenter/Purchasing-26/Purchasing-Document-Upload-384 on
or before 2:00 pm Eastern Time on 11/1/2023. Where appropriate, the Bidder shall clearly mark and
display the Bidder’s name and address, the IFB number. GTA and the City shall not be responsible for
unidentified bids.
b) The Bidder shall submit a completed and signed bid form, a completed and signed Ethics in Public
Contracting Affidavit, a completed and signed Certificate of Familiarity and Non-Collusion, on the
forms provided in this IFB. All documents requiring notarization shall be completely executed. Failure
to comply with this subsection may be cause for rejection of the bid. GTA and the City are not
responsible for improperly executed or submitted bids.
c) All bids shall be submitted by and opened at 2:00 pm Eastern Time on 11/1/2023. It is the Bidder’s
sole responsibility to ensure that all required documents are properly submitted. Bids, amendments
thereto, or withdrawal requests received later than the deadline will not be considered and will be
returned.
d) This IFB does not constitute an offer by GTA to enter into an agreement and cannot be accepted by
any Bidder to form an agreement. This procurement is only an invitation for offers from interested
Bidders and no offer, bid or proposal shall bind GTA. However, Bidder’s offer is a firm offer to GTA
for a period of two hundred ten (210) calendar days from the bid opening date and may not be
withdrawn during such two hundred ten (210) day time period.
e) GTA and the City shall not be liable for any costs associated with the preparation of responses to
this IFB; therefore, all costs shall be borne by the Bidder.
f) There will be two non-mandatory site visits set for viewing the real property, including the
improvements. The dates are as follows: 10/17/2023 starting promptly at 9:00 am and 10/18/2023
starting promptly at 2:00 pm. Due to the importance of all Bidders having a clear understanding of the
scope and requirements for the IFB, it is highly recommended that all Bidders attend this meeting.
g) All Bidders (and any representative thereof) are strictly prohibited from contacting any employee
of GTA, any employee of the City, or any member of the GTA Board of Directors on any matter having
to do with this IFB. All communications by any Bidder must be made exclusively with the Purchasing
Administrator. Any response as to this IFB will be provided in writing to all Bidders by posting an
addendum on the City’s Purchasing Website. It is the responsibility of each Bidder to obtain a copy of
all responses and/or any addenda issued for this IFB by monitoring City’s website. No Bidder may rely
on any verbal statement or response to any question concerning this IFB, including, without limitation,
any verbal response or statement made during any of the site visits. All communications by any Bidder
must be made with the Purchasing Administrator.

h) It is the intent and purpose of GTA that this IFB promote competition. It shall be the Bidder’s
responsibility to advise the Purchasing Administrator, in writing, if any language or requirements, or
any combination thereof, inadvertently restricts or limits this IFB to a single source. Prior to submitting
a bid, each Bidder shall carefully examine the IFB document, study and thoroughly familiarize itself
with the specifications/requirements of the IFB and the Contract Documents and notify the Purchasing
Administrator of any conflicts, errors, or discrepancies. Such notifications shall be submitted in writing,
and must be received by the Purchasing Administrator by the question deadline for this project. A
review of any such notification shall be made by the Purchasing Administrator.
i) Bidder (or an entity comprising any Bidder) must not submit more than one bid under the same or
different names or as part of multiple organizations. Any bidder or entity comprising bidder that
submits more than one (1) bid in response to this IFB shall be deemed non‐responsive.
j) Failure to submit all required information may be determined as a non-responsive bid.
k) EXPLANATION TO PROSPECTIVE BIDDERS, INTERPRETATIONS OR ADDENDA.
i)
Every effort has been made to ensure that all information needed is included in this IFB.
If the Bidder finds that it cannot complete a response without additional information, he/she may
submit written questions to the issuing office by the question deadline for this project. No further
questions will be accepted after that date. Any prospective
ii)
Oral explanations and/or instructions given by GTA, the City, or the Purchasing
Administrator before the award of the contract shall not be binding.
iii) All amendments, changes to specifications, and interpretations of the IFB shall be provided
in writing to all Bidders by posting an addendum on the City’s Purchasing Website. Any
amendments, changes to specifications, or interpretations that are not posted in writing as an
addendum on the City’s Purchasing Website shall not legally bind GTA or the City. Any
amendments, changes to specifications, or interpretations that are posted in writing as an
addendum on the City’s Purchasing Website shall become part of the IFB and all Bidders shall be
bound by such any such addenda, whether or not received by the Bidders. It is the responsibility
of each Bidder to obtain a copy of all responses and/or any addenda issued for this IFB by
monitoring City’s Purchasing Website.
l) DISCUSSIONS. By a submission of a response to the IFB, Bidder agrees that during the time
following issuance of the IFB and prior to final award of contract, Bidder shall not discuss this IFB with
any party except the Procurement Administrator. Bidder shall not attempt to negotiate with any other
parties, and shall not discuss any aspects of the procurement without prior written approval of the
Purchasing Administrator.
m) CORRECTION OR WITHDRAWAL OF BID; CANCELLATION OF AWARD. Any Bidder may
withdraw its bid prior to the closing time for the receipt of bids. Correction or withdrawal of
inadvertently erroneous bids before or after the opening date, or cancellation of awards or contracts
based on such mistakes, may be permitted subject to the following:
i)
Appropriate mistakes discovered by the Bidder before bid opening may be modified or
withdrawn by submitting written notice to the Purchasing Administrator prior to the time set for
bid opening.
ii)
After opening, no changes in prices or other provisions of bids prejudicial to the interest
of GTA shall be permitted.
iii) Except as otherwise provided by regulation, all decisions to permit the correction or
withdrawal of bids, or to cancel awards, or contracts, after award but prior to performance shall be
supported by a written determination made by the Executive Director of GTA.
