Term of
CONTRACT TERMS
This contract shall become effective from date of acceptance and approval
by BTU. It shall remain in full force and effect with firm fixed proposal prices
for a period of twelve (12) months.
Extension of Contract
Upon completion of the term of the original contract and upon the mutual
agreement of both parties, the original contract may be renewed for up to
four (4) additional one (1) year periods [five (5) years total]. Contracts are
extended upon mutual agreement of both Contractor and the City/BTU.
The renewal will be under the same terms and conditions as the original
contract; provided, however, that the unit prices proposal under the original
contract may, by mutual agreement, be increased by no more than eight
percent (8%) of the original contract price over the five (5) year period. In
the event a new contract cannot be executed at the anniversary date of the
original term or any renewal term, the contract may be renewed month-to-
month until a new contract is executed.
PRINCIPLES AND DEFINITIONS
A. “Contractor” shall mean the successful Bidder to whom a Contract is awarded.
B. “Work” and “Services” shall refer to everything agreed to be done and furnished
by the Contractor including all supervision, supplies, labor, transportation and
equipment together with all responsibilities and obligations imposed by the
Contract Documents.
C. “Equipment” shall mean the trucks, trailers, tools, saws, and other apparatus
which are owned and operated by the Contractor and which are required to be
maintained by the Contractor for the performance of the Contract in accordance
with the Specifications.
D. “Specifications” shall mean all specifications pertaining to the Work to be
performed.
E. “Contract” shall mean the fully executed document which binds the interested
parties in an agreement to fulfill all terms, conditions, and specifications
pertaining thereto.
F. “Invitation for Bids” shall be the means by which BTU solicits bids from
Pre­qualified Contractors for Work which BTU may from time to time deem
necessary to have performed.
G. “Install”, “Furnish”, “Provide”, or words of like import shall mean the Contractor
shall install, furnish, or provide, and similarly the words “Approved”, “Authorized”,
“Required”, “Satisfactory”, “Acceptable”, or words of like import shall mean, as
applicable, approved by, authorized by, required by, satisfactory to, or acceptable
to BTU, unless otherwise expressly stated.
SCOPE OF BID
Bryan Texas Utilities (hereafter, ‘BTU’), a municipal electric utility owned by the
City of Bryan, Texas seeks to establish a contract with a qualified Contractor to
perform miscellaneous work in BTU’s right of ways, easements and upon
substation properties.
These specifications require furnishing of all supervision, materials, labor,
supplies, tools, fuel, equipment and transportation necessary to perform the
work, and at such time and place as may be designated by authorized
representatives of BTU. The Contractor must supply the needed equipment and
personnel “in-house”, subcontracting of work is not allowed.
SCOPE OF WORK
In accordance with the line clearance specifications presented herein, the
Contractor will perform mulching services, side trimming trees, shredding, culvert
installation, road base/bull rock installation, rut repairs and other miscellaneous
